INTERLOCAL AGREEMENT
BETWEEN THE CITY OF FORT WORTH
AND THE
FORT WORTH TRANSPORTATION AUTHORITY
FOR
PLANNING SERVICES
THIS AGREEMENT is entered into by and between the City of Fort Worth, Texas, a
home-rule municipal corporation situated in Tarrant and Denton Counties, Texas, hereinafter
called "City," acting herein by and through Ramon Guajardo, its duly authorized Assistant City
Manager, and the Fort Worth Transportation Authority, a governmental entity pursuant to
Chapter 452, Texas Transportation Code hereinafter called "T," acting herein by and through
Anthony V. Johnson, its duly authorized Assistant General Manager as directed by the T's
Executive Committee.
WITNESSETH:
WHEREAS, Texas Government Code, chapter 791, authorizes the formulation of
interlocal cooperation agreements between and among governmental entities; and
WHEREAS, Texas Government Code, § 791.011 provides that a local government may
contract with another to perform governmental functions and services, and the definition of
"governmental functions and services" under § 791.003(3) includes planning; and
WHEREAS the T would like to enter into an agreement with the City of Fort Worth so
that the City of Fort Worth Planning Department would perform specified planning tasks related
to existing and future public transportation services in Fort Worth; and
WHEREAS, the parties mutually desire to be subject to the provisions of Texas
Government Code, Chapter 791, also known as the Interlocal Cooperation Act;
NOW THEREFORE, it is agreed as follows:
1. Purpose
The purpose of this Interlocal Agreement ("Agreement") is to allow the City of Fort
Worth to assist the T by performing specified planning tasks related to existing and future public
transportation services in Fort Worth.
2. Term
The term of this agreement is for a period commencing March 1, 2001, and ending on
September 30, 2001.

3. Services Provided by City
Under the terms of this agreement, the City would be responsible for completing the following
tasks and submitting related products to the T.
A. Research and Data Analysis Tasks
I. Socio-Economic Data Analysis: Update the Transit Need Index using available 2000
Census socio-economic data as described in the T's Service Analysis and
Development Plan. As part of this task, analyze other factors that may have an
impact on transportation choice.
Product: Updated Transit Need Index and ArcView maps for T service areas.
II. Land Use and Zoning Analysis: Provide existing and proposed land use data and
existing zoning information for property along transit routes. As part of this task, the
land use and zoning data files will be converted from MapInfo to ArcView format.
Products: ArcView maps depicting existing and proposed land uses and existing
zoning districts for property along transit routes.
III. Transit Impact Assessments: Provide timely information to T staff on proposed
large-scale concept plans, preliminary plats, zoning changes, and annexations that
would significantly impact transit services; and communicate anticipated transit
impacts to City staff involved in the review of these projects. Planning staff would
develop and implement a process for assessing transit impacts, and would use the
impact assessments to inform the T about potential service improvements.
Furthermore, the assessments could test the applicability of a policy requiring the
provision of transit facilities for projects that stimulate significant ridership.
Products: Transit impact assessments for large-scale concept plans, preliminary
plats, zoning changes, and annexations that:
a. describe project elements (e.g. housing units, employment, proximity to transit
services) likely to influence transit service;
b. analyze the relationship of proposed land uses and existing transit services;
c. estimate ridership stimulated by the proposed development or policy; and
d. recommend development and transit strategies to further encourage transit
ridership and reduce single occupancy vehicle trips.
B. Policy, Project, and Program Tasks
I. Transit-Oriented Development Strategy: Formulate a strategy to promote transit-
oriented development near principal bus and rail facilities, particularly in designated
mixed-use growth centers and along targeted central city commercial corridors, for
inclusion in the City's Comprehensive Plan and the T's Strategic Plan.
Product: Report describing urban design strategies, development regulations,
economic development programs, and transit service modifications that would work
together to encourage compact, mixed-use development that supports various levels

and modes of transit service. Findings and recommendations from the Commercial
Corridors Study, to be led by Leland Consulting Group, would supplement and/or
inform this report.
II. Targeted Redevelopment Plans: Develop conceptual plans for redevelopment at
Hyde Park and adjacent to the Intermodal Transportation Center(ITC), the East Fort
Worth bus transfer center on East Lancaster, and the Northside Transfer Center on
North Houston at 25`h Street. Hyde Park represents a partnership among the City, the
T, Downtown Fort Worth, Inc., and the US General Services Administration to create
a transit-oriented civic square at the site of Fort Worth's oldest park. In accordance
with the T's 1999 resolution regarding the ITC and Downtown improvements, the T
will "work with the community to devise an efficient bus transfer system that
includes an appropriate number of bus transfer plazas that are designed as vital public
spaces for the enjoyment of bus passengers and the general public." The
redevelopment plans shall:
a. illustrate the functional relationship between transit facilities and surrounding
development; and
b. inform policy decisions concerning development regulations and redevelopment
incentives.
Products: Four conceptual urban design plans, descriptive reports and grant
nominations as appropriate.
III. Bike Center Plan: Work on location and characteristics of a bike commuter center at
the Intermodal Transportation Center.
Product: Report including both a comparative analysis of potential locations and
recommendations describing location and design strategies.
IV. Rail Corridor Analysis: Analyze existing rail corridors in the Fort Worth area to
determine the feasibility of inclusion in a regional passenger rail plan.
Product: ArcView maps and a report describing existing rail lines, usage and
ownership.
5. Compensation
As fair compensation for the services provided by City pursuant to this agreement:
A. For the term of this agreement, the T shall pay City an amount not to exceed twenty-eight
thousand six hundred dollars ($28,600). City shall bill the T monthly for the hours spent
each month in performing this agreement. The T shall pay the City within 30 days of
receiving each bill.
B. Pursuant to the requirements of Government Code § 791.011(d)(3), the amount due City
under subparagraph A. above shall be paid from revenues currently available to the T.

6. Independent Contractor
City shall operate under this agreement as an independent contractor and not as an
officer, agent, servant, or employee of the T. City shall have the exclusive right to control the
details of the work and the services performed hereunder, and all persons performing same. The
T shall have no right to exercise any control over or to supervise or regulate City personnel in
any way. The doctrine of Respondent Superior shall not apply as between the parties, and
nothing herein shall be construed as creating a partnership or joint enterprise between the parties.
7. Liaison
The T shall designate one or more persons who shall be available to consult with City, if
needed, to assist in resolving problems and questions that may occur during the term of this
agreement.
8. Termination
This agreement may be terminated as follows:
A. A material breach of this agreement by either party shall immediately terminate the
obligations of the other party under this agreement.
B. Without cause by either party with thirty days written notice to the other party.
9. Immunity
It is expressly understood and agreed that, in the execution of this agreement, neither of
the parties waives, nor shall be deemed hereby to waive, any immunity or defense that would
otherwise be available to it against claims arising in the exercise of governmental powers and
functions. By entering into this agreement the parties do no intend to create any obligations,
expressed or implied, other than those set forth herein and this agreement shall not create any
rights in parties not signatories hereto.
10. Non-assignability
Except as otherwise expressly provided herein, this agreement is non-assignable, and any
unauthorized purported assignment or delegation of any duties hereunder, without the prior
written consent of the other party, shall be void and shall constitute a material breach of this
agreement.
11. Entirety
This agreement and all attachments incorporated herein by reference constitute the entire
agreement by the parties hereunder, and any prior or contemporaneous oral or written
agreements, shall be void.

12. Severability
In case any one or more of the provisions contained in the agreement shall for any reason
be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or
unenforceability shall not affect any other provision of this agreement, and this agreement shall
be construed as if such invalid, illegal, or unenforceable provisions had never been contained
herein.
13. Venue
This agreement shall be construed under and in accordance with the laws of the State of
Texas, and the venue for any litigation arising from this agreement shall be in Tarrant County,
Texas.
14. Authority
This agreement is made for City and the T as an Interlocal Agreement pursuant to
Chapter 791 of the Government Code of Texas.
15. Authorization
The undersigned officers and/or agents of the parties hereto are properly authorized
officials and have the necessary authority to execute this agreement on behalf of the parties
hereto, and each party hereby certifies to the other that any necessary actions extending such
authority have been duly passed and are now in full force and effect.

SERVICES
RECOMMENDATION:
It is recommended that the City Council:
1. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the
General Fund by $28,600 from available funds; and
2. Authorize the City Manager to execute an Interlocal Agreement with the Fort Worth Transportation
Authority (The T) to allow the Planning Department, in coordination with the Transportation and
Public Works Department, to provide transportation planning services to The T.
DISCUSSION:
At the request of The T, the City has prepared an Interlocal Agreement to provide transportation
planning services to The T at a projected cost of $28,600. The Planning Department, in coordination
with the Transportation and Public Works Department, would assist The T by performing planning tasks
related to existing and future public transportation services in Fort Worth. The tasks would consist of
F the following:
• Socio-economic data analysis for The T service areas;
• Land use and zoning analysis for The T service areas;
• Transit impact assessments of development;
• Transit-oriented development strategy for inclusion in the City's Comprehensive Plan and The
M T's Strategic Plan;
• Targeted redevelopment plans for transit centers;
• Bike center analysis for commuters; and
• Rail corridor analysis to determine passenger rail opportunities.
These tasks would supplement services provided by the North Central Texas Council of Governments
and consultants to the City and The T.
The term of this agreement is from March 1, 2001, through September 30, 2001.
On February 15, 2001, The T's Executive Committee voted to authorize the General Manager to
execute an Interlocal Agreement with the City of Fort Worth for the transportation planning services.
