WHEREAS,the City of Fort Worth, a Texas home rule municipal corporation ("Lessee") entered into a lease agreement ("Lease") (City Secretary Contract No. 42358) effective as of October 1, 2011 with Town Center Mall, L.P. ("Lessor") for 1,244 square feet of leased premises located at 4200 S. Freeway, suite 2655, Fort Worth, Texas, more particularly described in the Leased ("Leased Premises); and WHEREAS, the lease extension and first amendment to the lease (City Secretary Contract No. 42358-R1) expires on September 30, 2016; and WHEREAS, Lessee desires to extend the lease for an additional three year term to begin on October 1, 2016, and end on September 30, 2019, with three one year term renewals to begin on October 1, 2019, and expiring on September 30, 2022; and WHEREAS, Lessor has agreed to extend the Lease for one three term with three one year renewals; NOW THEREFORE, in consideration of the rentals set forth in the Lease, the parties agree as follows: I. Section 3 Term subsection (a) of the Lease is hereby amended and replaced in its entirety as follows: "(a) This Lease shall be for a period of three years commencing on October 1, 2016, and terminating on September 30, 2019 (Term), unless a prior termination is effected by either Lessor or Lessee under the termination provisions of this Lease. This Lease can be renewed for three additional on year terms as follows: First Renewal Term: October 1, 2019 thru September 30, 2020 Second Renewal Term: October 1, 2020 thru September 30, 2021 Third Renewal Term: October 1,2021 thru September 30,2022." Il. Section 4 Rent of the Lease is hereby amended and replaced in its entirety as follows: "Lessee shall pay Lessor rent in the amounts as follows: Year One: $1,574.41 per month, $18,892.92 annually Year Two: $1,658.67 per month, $19,904.04 annually Year Three: $1,710.50 per month, $20,526.00 annually Each One Year Renewal: To be determined based upon fair market value and mutual agreement between Lessor and Lessee. Authorize the execution of a lease amendment and renewal with Town Center Mall, L.P., for office space at LaGran Plaza, 4200 South Freeway No. 2655; and 2. Authorize the amendment to be effective on October 1, 2016, and ending on September 30, 2019, with the right to renew annually for three additional one-year terms to expire September 30, 2022. DISCUSSION: In 2006, the City of Fort Worth (Tenant) entered into a Lease Agreement with Town Center Mall, L.P. (Landlord) for 1,244 square feet of office space in LaGran Plaza located at 4200 South Freeway, Suite No. 2655 for the Planning and Development Department (City Secretary Contract No. 42358). The inspectors for Planning and Development, South Division are housed at LaGran Plaza. The lease was amended and renewed in 2013 (City Secretary Contract No. 42358 R-1) and is due to expire on September 30, 2016. The landlord and tenant desire to continue to lease the space. This second lease amendment term will be for three years beginning on October 1, 2016, and ending on September 30, 2019, with the right to renew annually for three additional one-year terms to expire September 30, 2022. Rental rate for the three-year term and renewals is as follows: • Year One: $1,574.41 per month, $18,892.92 annually; • Year Two: $1,658.67 per month, $19,904.04 annually; • Year Three: $1,710.50 per month, $20,526.00 annually; and • Three one-year renewals: To be agreed upon between the parties based upon fair market value. Landlord pays all utilities except phone and internet service. This office space is located in COUNCIL DISTRICT 9.
