HomeMy WebLinkAboutContract 18796 STATE OF TEXAS COUNTY OF TARRANT § '•f `=TSS"'"`` "`" This Contract is made and entered into by and between the City of Fort Worth, a municipal corporation ("City") , acting herein by and through its duly authorized Assistant City Manager, Charles Boswell and the Arts Council of Fort Worth and Tarrant County, a Texas nonprofit corporation ( "Arts Council ") , acting by and through its duly authorized President , Kenneth Kahn. WHEREAS, V.T. C.A. , Tax Code §351 .002 , authorizes the City to levy by ordinance a hotel occupancy tax which may not exceed seven percent (7%) of the consideration paid by a hotel occupant ; and WHEREAS, the City has levied such a hotel occupancy tax of seven percent (7%) by adopting Ordinance No. 8900 (August 23 , 1983) of the Code of Ordinances of the City of Fort Worth; and WHEREAS, V.T.C.A. , Tax Code §351 . 101(a) (4) and (5 ) , authorize the City to use revenue derived from its hotel occupancy tax for "the encouragement , promotion, improvement , and application of the arts , including instrumental and vocal music, dance, drama, folk art , creative writing, architecture, design and allied fields , painting, sculpture, photography, graphic and craft arts , motion pictures , radio, television, tape and sound recording, and other arts related to the presentation, performance, execution, and exhibition of these major art forms" ; 5vma RECORD WHEREAS, the membership and board of directors of the Arts Council are broadly representative of the arts council in Fort Worth, and the purposes of the Arts Council include providing assistance in the responsible distribution of public funds for the support of the arts in Fort Worth; NOW, THEREFORE, THIS AGREEMENT FURTHER WITNESSETH : For and in consideration of the performance of the mutual covenants and agreements herein contained, the parties agree as follows : City agrees , pursuant to the state statute and city ordinances hereinabove cited, to pay monies to the Arts Council from this hotel occupancy tax revenues , in consideration of which the Arts Council will undertake activities for the promotion of tourism and the convention and hotel industry through furthering artistic and cultural activities in the city of Fort Worth. Specifically, but without limitation the Arts Council agrees to allocate and distribute funds to qualifying cultural and arts organizations located in the city of Fort Worth, or in support of special activities benefiting such organizations , including but not limited to the support of festivals , exhibitions , recitals , competitions , etc . , which further the interests and development of local cultural or arts organizations . The Arts Council , under its three grant programs , (including grants to major institutions , mid-sized organizations , and IAI small organizations) acting by and through grant rev ' offleune ffCQDD CITY SECRETARY ET. WORTH, TEX. 2 _------ grant review panels , shall make distributions and expenditures of funds only for those purposes which are reasonably related to the cultural and artistic activities recognized under V.T.C.A. , Tax Code §351 . 002 . The Arts Council understands and agrees that its grant review panels shall each include one representative of the City Manager ' s office. A statement of the Arts Council ' s program objectives , eligibility, criteria and application procedures , marked Exhibit "A" , is attached hereto and incorporated herein. 2 . The City may terminate this contract at any time and for any cause upon six months notice, in writing, addressed to the Arts Council of Fort Worth and Tarrant County, One Tandy Center, Suite 150 , Fort Worth, TX 76102 . Subject to /termination as herein provided, the term of this contract shall be for one (1) year commencing on the 1st day of October, 1991 , and ending on the 30th day of September, 1992 . 3 . In consideration of the services to be provided until this agreement by the Arts Council , City agrees to pay to the Arts Council a sum of money not to exceed Ninety-three Thousand Five Hundred Thirty-seven Dollars ($93 , 537 ) , in twelve even installments of Seven Thousand Seven Hundred Ninety-four and 75/100 Dollars ($7 , 794. 75) . It is understood and agreed by the parties hereto that up to 20% of such funds may be allocated to administrative costs of the Arts Council attrib �'d lt OEM administration of its grant programs . FT. WORTH, TEX. 3 The Arts Council shall maintain funds received hereunder in a separate account established for this purpose and shall not commingle such funds with other .funds nor maintain it in any other account . The Arts Council shall annually furnish City at the Arts Council 's expense an audit and accounting of such monies at such time as the City may require, said audit to be performed by an independent auditor or certified public accountant acceptable to the City . City shall also have the right to perform an audit and inspection of the Arts Council 's business records relating to the expenditure of such monies , at such time and intervals as the City may request . The Arts Council shall periodically submit financial reports to the City Council and City Manger reflecting all receipts and disbursements by the Arts Council , which shall clearly delineate expenditures made from funds provided hereunder. The Arts Council shall submit such reports quarterly . In addition to quarterly reports, the Arts Council shall furnish an annual financial report describing all receipts and disbursements of the Arts Council during the calendar year and setting out all other material information concerning the financial. activities and financial condition of the Arts Council . All expenditures from funds provided hereunder shall be made only in accordance with the Budget , attached hereto as Exhibit "B" and made a part of this Contract for all purposes . It is understood and agreed that , upon the acceptance of funds hereunder, a fiduciary duty is created in the Arts Council with respect to the aLIR®TARY TEX. 4 such funds . The Arts Council shall require all cultural and arts organizations which receive grants funded by this contract to make annual reports of expenditures of. such .funds , which reports shall be included by Arts Council in its reports to City . Records of grantees ' expenditures shall be available for inspection by City. 4 . The Arts Council shall operate as an independent contractor as to all services performed hereunder and not as an officer, agent , servant or employee of the city . The Arts Council shall have exclusive control of its operations hereunder and the persons performing same and shall be solely responsible for the acts and omissions of its officers , agents , servants , employees , contractors , subcontractors and members . The doctrine of respondeat superior shall not apply as between City and the Arts Council , its officers , agents , servants , employees , contractors , subcontractors and members, and nothing herein shall be construed as creating a partnership or joint enterprise between City and the Arts Council . 5 . The Arts Council covenants and agrees to and does hereby indemnify, hold harmless and defend City, its officers , agents, servants and employees , from and against any and all claims or suits for property damage or loss and/or personal injury , including death, to any and all persons , of whatsoeve YRECORD character, whether real or asserted, arising out fC1TJr S€ RETARY �To FORTH. TEX. 5 --- connection with this contract , its performance, attempted performance or non-performance; and the Arts Council hereby assumes all liability and responsibility for same. 6 . This written instrument constitutes the entire agreement by the parties hereto concerning the operations to be performed hereunder, and any prior or contemporaneous , oral or written agreement which purports to vary from the terms hereof shall be void. 7 . The Arts Council shall not assign all or any part of its interest in this contract , and any attempted assignment of same shall be void and unenforceable . 8 . Should any action, whether real or asserted, at law or in equity, arise out of this agreement , venue for said action shall lie in Tarrant County, Texas . 9 . The City' s obligations and the Arts Council ' s rights under this Agreement shall be subordinate to, and limited by, the terms and conditions of all ordinances of the City which may be passed authorizing issuance of bonds to the payment of which the gross receipts of the City ' s hotel occupancy tax are pledged. The rights of the holders of any such revenue bonds which may be hereafter authorized to such receipts shall be paramount tn __A.M*- rights of the Arts Council hereunder. Arts Council of Fort Worth and Tarrant County GRANT PROGRAMS GUIDELINES PURPOSE To assist organizations in Tarrant County with their institutional advancement, to improve the artistic quality of their products,to encourage creativity and to support programs and projects which will enhance the cultural life of the community. Funding is available for on-going operating support or a single project. Organizations may apply for one or the other, once annually. Although the Arts Council welcomes new programs,it is equally concerned with strengthening existing programs and improving artistic quality. Specifically, the Arts Council's grant programs are designed to: foster artistic excellence; advance the art forms which define each organization; increase artistic productivity; develop processes that nurture new artists and encourage new works of art. educate a larger constituency in appreciating the arts and encourage wider participation in artistic activities; increase accessibility to the arts for all citizens of Tarrant County; reach out to the broad range of cultural diversity in our community; increase attendance. The Regrant Panels will be composed of nine members with three, two and one year terms. The Panels shall consist of arts and business professionals and knowledgeable lay representatives. (c) Applicant organizations maybe subject to site evaluations as determined by the Regrant Panels. ID Site evaluators will be chosen from a list of arts and business professionals provided by the Regrant Guidelines Committee. DISCUSSION: The Arts Council of Fort Worth and Tarrant County, through the Arts Grant Program, provides financial assistance to nonprofit organizations in Fort Worth on a project basis for performances which enhance the cultural and artistic life of the community. Funds for the programs are appropriated to the Arts Council by the City from a portion of the Hotel/Motel Occupancy Tax receipts. All grants are subject to the approval of a Grant Review Panel of the Arts Council . The grant review panels shall include one representative of the City Manager's Office. A portion of the Hotel/Motel Occupancy Tax receipts also funds the City's contribution to the International Sister Cities Association. Since the City of Fort Worth became involved in the International Sister Cities Association, affiliations have been established with five cities: Reggio Emilio, Italy; Trier, West Germany; Nagaoka, Japan; Bandung, Indonesia; and Budapest, Hungary. International Sister Cities Association of Fort Worth, Inc. , in 1986-87 agreed by contract to perform the City's responsibilities for the 1987 Sister Cities International Conference, which was held in Fort Worth, and to provide staff assistance to Sister Cities volunteers. In 1987-88 the growing number of Sister Cities activities required full-time staffing of a Fort Worth Sister Cities office to assist the City of Fort Worth, which has the official relationship with the five cities. The City of Fort Worth budget adopted for 1991-92 includes a $93,537 appropriation for the Arts Council to provide assistance in the distribution of public funds for the support of the arts in Fort Worth through its arts grant program. The adopted budget also includes a $95,026 appropriation for the International Sister Cities Association of Fort Worth to provide staff, office expenses, and coordination and implementation of Sister Cities activities necessary to Fort Worth's participation in the growing number of Sister Cities activities, which services promote the City of Fort Worth. It is proposedthat the City Council approve a contract between the City of Fort Worth and each of these agencies for the period of October 1, 1991, through September 30, 1992.
