THIRD AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 47400
This Amendment is made between the City of Fort Worth ("CITY"), a municipal corporation,
acting herein by and through Jesus J. Chapa, its duly authorized Assistant City Manager and SP
Plus Corporation("OPERATOR"or"SP Phis"), acting herein through Christopher B. Conley,its
duly authorized Senior Vice President,
WHEREAS, CITY and OPERATOR entered into an agreement identified as Fort Worth
City Secretary Contract No.47400 ("Agreement") for a period of five years beginning February
1,2016;
WHEREAS, CITY and OPERATOR amended the Agreement on April 15, 2016 to
change the payment terns process for reimbursement of operating expenses;
WHEREAS, CITY and OPERATOR amended the Agreement on September 28, 2016 to
change the deadline to invest up to $75,000 in equipment, infrastructure and technology
improvements contained in Section 4.1 of the Agreement; and
WHEREAS, it is the collective desire of both CITY and OPERATOR to amend the
Agreement to allow OPERATOR to administer CITY's Arlington Heights Residential Permit
Pilot Program between January 1, 2017, through March 31,2017;
NOW THEREFORE,KNOWN ALL BY THESE PRESENT:
Fort Worth City Secretary Contract No. 47400, as amended by City Secretary Contract Nos.
47400-A1 and 47400-A2,is hereby amended to be effective on the date of execution by:
Adding the services outlined in the attached Exhibit A, incorporated herein as if copied in full,
under the terns and conditions of the existing Agreement in order to allow OPERATOR to
administer CITY's Arlington Heights Residential Permit Pilot Program between January 1,2017,
through March 31, 2017, only and at the rates also identified in the attached Exhibit. Upon
completion of the Arlington Heights Residential Permit Pilot Program or after March 31, 2017,
whichever occurs first, this Third Amendment shall terminate. If CITY desires to allow
OPERATOR to continue to provide services related to a residential permit program, CITY and
OPERATOR will enter into an agreement to cover those additional services and costs.
All other terms, provisions, conditions, covenants and recitals of said Agreement not expressly
amended herein shall remain in full force and effect.

Exhibit A
SCOPE OF SERVICES
SP Plus in conjunction with Parkmobile will deliver the following items to the City for the
Arlington Heights Residential Permit Pilot Program before , December 10,2016:
• Website link for posting on City's website(as deemed appropriate by the City) to access
the Digital Permit System
• Customer interface(Residents of the Arlington Heights Neighborhood can register, apply
and manage account information online 240) (online system will be capable of
confirming the residents registering for the permits live in the Arlington Heights
Neighborhood)
• System configuration(will incorporate permit types,workflows and regulations provided
by City)
• Project management through design, initial deployment, and until the completion of the
pilot program
• Electronic permit fulfillment for visitor and vendor permits (hang tag or printable sign
delivered by email and/or printed by the resident and/or picked up at Will Rogers office)
• Access to Parkmobile's integrated enforcement database
• Effective December 15,2016,through March 31,2017, system will allow residents to:
• Register up to 4 personal vehicles via license plate, stickers will be required to be
displayed, and resident can pick up in person at Will Rogers Memorial Center Wester:
Heritage Garage office(no charge to resident)
• Register up to 20 visitor permits per month, and visitor permits will only be valid for one
day. Residents with long term visitors may request the visitor permit be valid for the
duration of their visitors stay, Visitors will need to display permit at all times. (no charge
to resident) (printable sign delivered by email and/or printed by the resident and/or
picked up at Will Rogers Memorial Center Western Heritage Garage office)
• Register for vendor permits for individuals or business providing services to the residents
(e.g. lawn services, cleaning services, child care services,home repair services,etc.) (will
be valid for the duration of the pilot program) (hang tag delivered by email and/or printed
by the resident and/or picked up at Will Rogers Memorial Center Western Heritage
Garage office)
• Provide comments or feedback about the pilot program in a dedicated section of the
online system
COST
• Initial one time set-up fee of$1,000 payable at the time of execution of this Third
Amendment
• Flat fee of$500 per month,not to exceed a total of$1,500 for the three month pilot
program,payable within thirty days of receiving an invoice for the prior months services

• SP Plus Management Fee of$100 per Month not to exceed a total of$300 for the three
month pilot program,payable within thirty days of receiving an invoice for the prior
months services
• Total for three month pilot program will not exceed $2,800.00
