Home My WebLink AboutContract 45063-AD3 CITY SECRETARY CONTRACT NO. ` TL-1IRD ADDENDUM TO CITY SECRETARY CONTRACT NO. 45063 This Third Addendum to City Secretary Contract Number 45063 ("Third Addendum") is by and between the City of Fort Worth("City"), a home-rule municipality organized under the laws of the State of Texas, acting by and through its duly authorized Assistant City Manager, and Displays Unlimited, Inc. (the"Contractor") acting by and through Pamela McGann, its General Manager. The City has designated the Arts Council of Fort Worth and Tarrant County, Inc. as its Contract Manager to manage this agreement on its behalf. WHEREAS, on November 4, 2013, the City and Contractor entered into City Secretary Contract Number ("CSC No.")45063, as amended ("Agreement") whereby Contractor agreed to provide specific services for the purpose of assisting with the care and maintenance of the Public Art Collection, and two renewals(CSC 45063 R1 and 112) (collectively,the"Agreement"); WHEREAS, the City and Contractor have entered into several addenda related to the services provided under the Agreement, including CSC No.45063-ADI and 45063-AD2; WHEREAS, the Agreement provided for an initial one-year term and for the possibility of three, one-year renewals, at the sole discretion of the City; WHEREAS, on November 19, 2014, the parties executed and renewed the Agreement for the first one-year renewal period, effective beginning on December 2, 2014, and expiring on December 1,2015,the same being CSC No.45063-R1; WHEREAS, on November 25, 2015, the parties executed and renewed the Agreement for the second one-year renewal period, effective beginning on December 2, 2015, and expiring on December 1, 2016,the same being CSC No. 40164-R2; WHEREAS, on December 2, 2016, the parties executed and renewed the Agreement for the third one-year renewal period, effective beginning on December 2, 2016, and expiring on December 1,2017,the same being CSC No. 40164-R3; WHEREAS, the parties now desire to enter into a new addendum for the provision of services associated with an untitled artwork by Benito Huerta located at 3317 Chestnut Avenue, Fort Worth, TX 76106, and an artwork titled Golden Assembly by Eric Eley, located at 2200 McCandless St, Fort Worth, TX 76114, both pictured in the attached Exhibit "C" ("Artworks"); and WHEREAS, the City and Contractor wish to set out the additional Services to be provided per the Agreement that will be specific to this addendum and this Artwork with the intent that further Services may be requested by the City through future addenda; NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth,the sufficiency of which is hereby acknowledged,the parties agree as follows: Third Addendum to CSC 45063 LOFFICIAL RECORD Page t of s CRETARYRTH,TX I. The Services to be performed by the Contractor for this Third Addendum are set forth in the Contractor's Proposal ("Contractor's Proposal"), which is attached hereto as Exhibit "D" and incorporated herein for all purposes, and includes all labor, travel, and any other expenses required to complete the Services for this Artwork. If any terms and conditions contained in Exhibit D are contrary to the Agreement or this Third Addendum, the terms and conditions of the Agreement shall control first and then the terms and conditions of this Third Addendum. 2. In consideration of the Services to be performed under this Third Addendum, the City agrees to pay the Contractor an amount up to Two Thousand, Seven Hundred Dollars and No Cents ($2,700.00). 3. Contractor shall coordinate with the City to coordinate the required schedule and availability to access the Artworks. 4. Contractor shall provide in its final report any information related to the services provided under this Third Addendum including before and after documentation noting areas of concern and recommendations. 5. Contractor shall take such measures as are necessary to protect the Artwork from loss or damage, including, without limitation, purchasing and maintaining the insurance required in Article 6 of the Agreement. 6. All terms and conditions of the Agreement not specifically addressed herein remain in full force and effect and are binding upon the parties.
