Addendum No. 2
Statement of Work
This Addendum No. 2 - Statement of Work(SOW) is made as of this day of December
2016, under the terms and conditions established in the MASTER PROFESSIONAL
SERVICES AGREEMENT between the City of Fort Worth ("City") and Mackenzie Eason
& Associates, LLC ("Consultant"), the same being Fort Worth City Secretary Contract No.
48121 (the "Master Agreement" or "MSA").
This Statement of Work is made for the following purposes, consistent with the services
defined in the Master Agreement: recruitment and hiring of a new Assistant Director for
the City of Fort Worth Water Department (the "Assistant Director Search"). In particular,
Consultant shall perform those functions identified below in the Scope of Services, as
such services are more fully detailed in the MSA.
Section A. Scope of Services
a) Comprehensive organizational and position analysis
b) Market analysis and creation of a candidate specification
c) Candidate identification and assessment
d) Candidate selection and interview process
e) Offer and negotiation process
f) Integration of candidate into position
g) Final report
Key Tasks:
Deliverables and/or other results of services: Successful Hire of the Assistant
Director in the Water Department.
Section B. Schedule: To begin immediately and conclude by April 30, 2017.
Section C. Compensation, Reimbursable Expenses, and Billing Terms: Processing and
payment of Fees and Reimbursable Expenses, including the structure of payments and
invoicing therefor, shall be in accordance with the Master Professional Services
Agreement. The total Fee to be paid to Consultant for the Assistant Director Search shall
be a percentage of the compensation for the selected candidate calculated in accordance
with the final paragraph of Section 3.4 of the Agreement. The Fee shall be payable in
three installments, which shall be due as follows:
o $9,000.00, on execution of this SOW;
o $9,000.00, on the date on which Consultant presents City with written notice
and information for the initial slate of candidates
o the balance of the Fee, seven days after the date on which the selected
candidate first reports for work at the City
Section D. City's Responsibility: City shall provide all requisite data needed by Consultant

to perform a diligent search for a viable candidate.
Section E. Other Provisions: None.
This SOW may be executed in one or more counterparts, each of which when so executed
and delivered shall be considered an original, but such counterparts shall together
constitute one and the same instrument and agreement. Any signature delivered by a
party by facsimile or other electronic transmission (including email transmission of a
portable document file (pdf) or similar image) shall be deemed to be an original signature
hereto.

SUBJECT: Authorize Execution of a Master Professional Services Agreement with Mackenzie Eason
&Associates LLC, in an Amount Not to Exceed $250,000.00 Annually for Recruitment
Services for City Departments (ALL COUNCIL DISTRICTS)
RECOMMENDATION:
It is recommended that the City Council authorize the execution of a Master Professional Services
Agreement with Mackenzie Eason &Associates, LLC, in an amount not to exceed $250,000.00
annually for recruitment services for City departments.
DISCUSSION:
The City of Fort Worth uses a variety of vendors for recruitment services annually. Firms like
Strategic Government Resources are used when recruiting positions that require Municipality
experience. Currently, Human Resources has determined that 75 percent of the employees hired at
the City of Fort Worth come from the private sector. It is therefore recommended that the City utilize
the services of a private sector executive search firm to assist with providing adequate pools of
qualified private sector candidates for positions that are difficult to fill each year in various
departments. All recruiting fees would be approved by the appropriate Assistant City Manager and
Department Director, and charged to the department for which the search is being performed.
In 2015, Mackenzie Eason &Associates LLC (Mackenzie Eason &Associates), a local executive
search firm, was first contracted to handle a national search for an Assistant Director position in
Human Resources. In 2016, they were contracted to find four positions within Financial Management
Services that were difficult to fill. In each instance, the level of service and capability of finding
passive candidates was noted by the departments and candidates. Mackenzie Eason &Associates
has demonstrated they have in place the strategy, personnel, experience and network to effectively
conduct the executive search services. Authorizing a Master Services Agreement with Mackenzie
Eason & Associates allows every department to utilize these services, eliminates the need for
departments to enter into individual contract Agreements, and provides consistent services on a non-
exclusive as needed basis.
M/WBE OFFICE -A waiver of the goal for MBE/SBE subcontracting requirements was requested by
the department and approved by the M/WBE Office, in accordance with the BDE Ordinance, because
the purchase of goods or services is from sources where subcontracting or supplier opportunities are
negligible.
TERM -This Agreement shall be effective upon execution and shall remain in effect for one year from
the date of execution.
RENEWALS -This Agreement may be renewed at the City's option for four consecutive terms of one
year each. This action does not require specific City Council approval provided that sufficient funds
have been appropriated during the renewal terms. The pricing during any renewal term shall not
exceed five percent of the previous years' pricing.

FISCAL INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available in the current operating budget, as
appropriated, of the participating departments and that prior to an expenditure being made, the
participating department has the responsibility to validate the availability of funds without exceeding
existing appropriations.
