INTERLOCAL CONTRACT FOR GEOGRAPHIC CONTRACT NO, INFORMATION SYSTEM ACCESS,DATA SHARING AND SERVICES THE STATE OF TEXAS § COUNTY OF TARRANT § KNOW ALL BY THESE PRESENTS: This Interlocal Contract and Agreement is made and entered into this // i day of -,Id- zza tz , 2003 by and between the City of Fort Worth, Texas acting by and through its City Manager, her4after referred to as"City" and Tarrant County, Texas,hereinafter referred to as"County", acting by an through its governing body. WITNESSETH: WHEREAS, the Texas State Legislature has authorized the formulation of interlocal cooperating agreements between and among governmental entities; and WHEREAS, this Interlocal Contract is made under the authority granted by and pursuant to Chapter 791 of the Texas Government Code; and WHEREAS, County desires to use City's geographic information to help develop the County's geographic information system; and WHEREAS, the parties desire to share certain geographical information; and WHEREAS, the parties may avail themselves of each other's technical expertise to develop geographic information systems applications on a time and materials basis; and WHEREAS, the governing bodies of each entity find that the project or undertaking is necessary for the benefit of the public and that each party has legal authority to provide the governmental function which is the subject matter of this contract; and WHEREAS, the governing bodies further find that the performance of this contract is in the common interest of all parties, and that the division of costs fairly compensates the performing party for the services of functions performed under this Interlocal Contract; and WHEREAS, the parties, in paying for the perfomZance of governmental functions or in performing such governmental functions, shall make payments therefore only from current revenues legally available to such party; NOW THEREFORE, FOR AND IN CONSIDERATION of the mutual promises and agreements contained herein, the parties do hereby agree as follows: � 1C ►, `l1 1. Interlocal Contract—Page 1 �, I. COUNTY ACCESS TO CITY GEOGRAPHIC INFORMATION SYSTEM AND INFRASTRUCTURE City shall grant County access to City's geographic information subject to the following: (1) A Geographic Information System or GIS refers to an organized collection of computer hardware, software, geographic data, and personnel designed to efficiently capture, store,update, manipulate, analyze, and display all forms of geographically referenced information. (2) The City and County shall,to the extent authorized by applicable law, provide mutual access to all geographic data related to emergency management, public health,physical infrastructure and flood control. City and County may, at their discretion, share other geographic data subject to the provisions of Section III of this Interlocal Agreement. (3) The City of Fort Worth has established an enterprise wide GIS infrastructure based on Environmental Systems Research Institute (ESRI) suite of software products. A central repository for GIS data has been established around ESRI's ArcSDE (Spatial Data Engine)that allows the GIS software (ArcInfo,ArcEditor, ArcView and ArcIMS)to work directly with spatial data managed in a RDBMS (Microsoft SQL Server). (4) The City will provide the County high speed data access to this infrastructure and appropriate security access rights to selected geographic information being maintained by the City including parcels (lot and block), street centerline, zoning, city limits, council districts and other non-confidential data. (5) The City will provide the County with appropriate and necessary security access and privileges for up to 20 user accounts to access all data layers that the County wishes to maintain on the City's enterprise server. Additional user accounts may be established by mutual agreement of City and County. (6) The City will be responsible for providing and maintaining the necessary hardware, operating system,backup process, fail-over system,maintenance and connectivity to ensure adequate functionality and performance of the City's GIS infrastructure. (7) The City will provide hard disk space of up to 20 gigabytes for storage of the County's geographic data. Additional hard disk space will be provided by City upon mutual agreement of City and County. (8) The County will have access to the City's licensed orthophotography subject to the terms and conditions imposed by licensing agreement with the North Central Texas Council of Governments. (9) The City will provide up to 40 hours per year of assistance in trouble shooting and general technical support. Additional support if required,will be available on a for-fee basis through the execution of a Project Order as provided in Section IV of this Agreement. Interlocal Contract—Page 2 °1� '�1 V u 12 !•. q •n n SII� gI (q r a ? `V7UG.UW1 1I (10) The City will provide up to 20 hours of assistance in loading the County's data currently in ESRI Coverage and Shape File formats to a multi-user geodatabase. (11) The City will provide up to 10 hours of training and assistance to two County employees who will function as GIS/Database administrators for the County. (12) The City has developed a 2-day Introduction to ArcGIS training class and will offer this class at no cost for up to 10 County employees in each year of the contract. Additional County personnel may be trained on a for-fee basis through the execution of a Project Order as provided in Section IV of this Agreement. The City will provide up to 20 hours to develop an Internet mapping site for the County that will provide some basic GIS functionality for all County employees. II. CITY GEOGRAPHIC INFORMATION SYSTEMS HOSTING FOR THE COUNTY County is hereby granted a limited right to access the City's network for the sole purpose of gathering, depositing, managing and displaying geographic information data on a designated file server subject to the following conditions: (1) County may not share the password or access number or numbers provided by the City except with County's officers, agents, servants or employees as may be reasonably required for County business use of City's geographic information system; (2) County may not access City's network for any purpose other than accessing geographic information data; (3) County acknowledges, agrees and hereby gives its authorization that City may monitor County's use of City's network to ensure County's compliance with this agreement; (4) A breach by County, its officers, agents, servants or employees of this agreement or any other written instructions or guidelines that City provides to County pursuant to this grant of limited access shall be grounds for the City immediately to terminate County access to City's network and to any other remedies that City may have under this agreement or at law. (5) The City will provide its most current information from Tarrant Appraisal District, Tarrant 911 District and North Central Texas Council of Governments information subject to the following restrictions: a) The City and the County shall not sell, trade or otherwise attempt to capitalize on the data provided by the aforementioned agencies. b) Subject to applicable law, City and County shall refer all requests for the information provided by these agencies to the providing agency. III. SHARING OF GEOGRAPHIC INFORMATION City and County agree to allow direct access to selected geographic information system data that is not proprietary, confidential or secure. Subject to applicable law,the party that owns and maintains the data shall at its sole discretion classify such data as proprietary, confidential or secure. City and County agree not to sell, share or otherwise transfer the other party's geographic information data to any other Interlocal Contract—Page 3 s6' entity outside of the City and the County without the prior express written consent of the party that owns the data. The City and the County shall maintain separate software licenses for the GIS software. In the event of receipt of a request for Public Information that implicates information involved in this Agreement, the receiving party shall inform the owner of the information and take appropriate action. IV. DEVELOPMENT SERVICES FOR FEE Should either party desire the other to provide technical services to develop software applications for the geographic information system, such services shall be made available on a time and materials basis for each project mutually agreed to: (1) The party providing development services shall issue, and the receiving party shall execute a Project Order in the form attached as Appendix A hereto referencing its incorporation of the terms and conditions of this agreement and stating the description of the project,the number of estimated labor hours to complete the project and the hourly rate to be paid, description of any additional materials required for the project and their individual costs, and any other terms to which the parties may choose to agree; (2) In the event of a conflict between the terms of this Agreement and a Project Order, the terms of this Agreement shall control unless the Project Order specifically and not generally identifies the conflicting terms of this Agreement and explicitly states that such terms shall not apply but shall instead be superceded by the Project Order; (3) An authorized representative of each party shall sign the Project Order. The County Judge on authorization by the Commissioners Court shall sign for the county. (4) If the actual number of labor hours to complete the project exceeds the estimated number of labor hours in the Project Order, or if the cost of materials exceeds that stated in the Project Order, the party providing development services shall issue an Amended Project Order for the receiving party's approval prior to the additional labor hours being expended or the additional material costs being incurred. (5) The party providing development services shall invoice the receiving party not less than monthly for each Project Order. The terms of such invoices shall be Net 30 from date of invoice. (6) The parties agree that all material, documentation, deliverables and other tangible expressions of information including but not limited to software programs and software documentation, designs, technical data, formula, and processes, whether in final production or draft, which result from any work performed by any technical personnel providing services under this Section of this Agreement shall be deemed to be works for hire and all rights, title and interest, including any copyright, patent rights and all other intellectual property rights, shall belong exclusively to the receiving party unless some other arrangements have been agreed to by both parties in writing. (7) The parties will be available to consult with each other on GIS applications and applications of common interest and advise each other accordingly. 1 SS Interlocal Contract—Page 4 V. TERMINATION Either party to this contract may terminate this contract upon ninety-days (90) written notice to the other party. Upon termination of this contract, County shall be entitled to a pro-rated refund of the annual fee paid to City for access to the geographic information system and shall be entitled to immediate possession of all geographic information data owned by County that resides on City computer systems. In the event that this Agreement is terminated, the receiving party shall pay party providing development services for fee under Section IV of this agreement for services actually rendered as of the effective date of termination. VI. IMMUNITY It is expressly understood and agreed that in the execution of this Contract, no party waives nor shall be deemed hereby to waive any immunity or defense that would otherwise be available to it against claims arising in the exercise of governmental powers and functions. VII. SUCCESSORS AND ASSIGNS City and County each bind themselves, their successors, executors, administrators and assigns to the other party to this Contract. Neither City nor County will assign, sublet, subcontract or transfer any interest in this Contract without the written consent of the other party. No assignment, delegation of duties or subcontract under this Contract will be effective without the written consent of the other party. VIII. VENUE The parties to this Contract agree and covenant that this Contract will be enforceable in Fort Worth, Texas; and that if legal action is necessary to enforce this Contract, exclusive venue will lie in Tarrant County, Texas. IX. REMEDIES No right or remedy granted herein or reserved to the parties is exclusive of any other right or remedy herein by law or equity provided or permitted;but each shall be cumulative of every other right or remedy given hereunder. No covenant or condition of this Contract may be waived without consent of the parties. Forbearance or indulgence by any party shall not constitute a waiver of any covenant or condition to be performed pursuant to this Contract. X. SEVERABILITY If any of the terms, sections, subsections, sentences, clauses, phrases, provisions, covenants, conditions or any other part of this Contract are for any reason held to be invalid, void or unenforceable, the remainder of the terms, sections, subsections, sentences, clauses, phrases, provisions, covenants, conditions or any other part of this Contract shall remain in full force and effect and shall in no way be affected, impaired or invalidated. APPLICABLE LAW This Agreement is entered into subject to the City Charter and Ordinances of the City, as they may be amended from time to time, and is subject to and is to be construed, governed and enforced under all applicable State of Texas and Federal law. Situs of this Agreement is agreed to be Tarrant County, Texas, for all purposes including performance and execution. XII. ENTIRE AGREEMENT. This Contract embodies the complete agreement of the parties hereto superceding all oral or written previous and contemporary agreements between the parties relating to matters herein; and except as otherwise provided herein, cannot be modified without written agreement of the parties. XIII. NON-WAIVER It is further agreed that one or more instances of forebearance by City or County in the exercise of its rights herein,shall in no way constitute a waiver thereof. XIV. COMPENSATION For Section I above,County shall pay City the sum of$45,000.00(forty-five thousand dollars and no cents). `4•v, For Section II a ove,neither County nor City shall pay any amount. If a Request For Offer(acquiring geospatial information from non-County sources) is to be issued in connection with the dataset acquisition, development or improvement,coordination with the GISUG should be in advance of RFO issuance. o a T HP, II - Geospatial Data Exchange Purpose: To ensure that a geospatial dataset produced by one agency is usable by other agencies and the public without requiring special programming, and to ensure that the County does not waste resources by purchasing the same public domain data more than once. Standard: (a) An agency or department that originates or adds data content to a digital geospatial dataset and distributes the dataset to other agencies, department or the public may offer the dataset in any appropriate digital format or formats. However, the agency must offer at least one format, which is readily usable by a variety of Geographic Information System software packages. (b) An agency that purchases a copy of a federal or other public domain geospatial dataset will make the dataset available to other upon request. The Geographical Information Systems User's Group will strive, within its resource constraints, to make such datasets freely and easily available through the world wide web or other means. Alternatively the purchasing agency may choose to directly distribute the dataset, following specific and negotiated guidelines. Implementation Guidance: (a) TGIC currently recognizes the following data formats as readily usable in a variety of GIS packages but the County's Standard for GIS software is ESRI Shape File and ESRI ArcInfo Export: • Digital Elevation Model(.dem) • ESRI Arclnfo Export(.e00) • ESRI Shape File(.shp) ❑ JPEG World File(.jpg+.jfw) (b) Please contact Geographical Information Systems User's Group even before purchasing public domain digital spatial data, to determine if it may already be available without charge. After purchasing such data, coordinate with GISUG on the timing and best method to post a copy of the data for other users. W III - Geospatial Data Documentation Purpose: To increase the usability, accessibility and integrity of the County's geospatial datasets through proper documentation. Standard: (a) An department/agency shall prepare standardized documentation for each digital geospatial dataset that it(1) originates and/or adds data content to and(2) distributes as a standard product to other departments, governmental entities or the public. This standardized documentation shall be patterned after the Federal Geographic Data Committee's Content Standard for Digital Geospatial Metadata, Version 2 (FGDC-STD-001-1998). (b) Documentation required under part(a) of this rule shall be delivered along with the geospatial datasets to each requesting entity. Implementation Guidance: The content standard, as well as other geospatial metadata resources,will be available at http://taic.state.ts.us/standards/metadata. A variety of software tools are available to assist in the generation and maintenance of metadata; this standard does not specify the use of a particular tool. To be considered compliant, a metadata record must pass the "metadata parser"program. As stated in the FGDC metadata content standard, a section or element labeled"mandatory if applicable"must be provided if the data set exhibits the defined characteristic. However,in many cases a value of"unknown" may be inserted in these elements if the information requested is not available. The County will periodically offer metadata training classes. For specific technical questions, contact the Geographical Information Systems User's Group. IV - Mapping Datum Purpose: To be consistent with national mapping standards and to ensure that positional measurements in the field are as accurate as possible. Standard: (a) All horizontal positional data obtained on or after September 1, 2001 by an agency or its contractor using on-site measurement techniques (eg, global positioning or conventional land surveying) must be referenced to the North American Datum of 1983 (NAD83). (b) All vertical elevation data obtained on or after September 1,2001 by an agency or its contractor using on-site measurement techniques (eg, global positioning, conventional land surveying, or airborne ranging) must be referenced to the North American Vertical Datum of 1988 (NAVD88). (c) Coordinates obtained in a specific horizontal datum may be transformed to another datum for the purposes of compatibility with existing data. To ensure accurate results, the horizontal datum transformation method should directly use, or be directly traceable to, the NADCON algorithm. (d) Coordinates obtained in a specific vertical datum may be transformed to another datum for the purposes of compatibility with existing data. To ensure accurate results,the vertical datum transformation method should directly use,or be directly traceable to, the VERTCON algorithm. Implementation Guidance: If you are uncertain whether your software uses one of the accepted algorithms, or if you want to use an algorithm that is not listed, seek assistance from the Geographical Information Systems User's Group. V — Global Positioning System Data Collection Purpose: To ensure the most cost-effective, accurate, and up-to-date use of GPS technology by the County. Standard: a) County employees and contractors of state agencies and universities developing geospatial data using Global Positioning Systems (GPS)techniques should be adequately trained or possess the requisite skill set. Training of GPS operators will be provided and will consist of either formal class room instruction, online self-paced tutorials, or on the job training from a knowledgeable co-worker. Each agency will determine the appropriate level and content of this training. Each agency will maintain a record showing each successful GPS trainee and the name of the trainer. (b)For each geographic feature measured with GPS techniques, the following attribute data shall be recorded at a minimum: data collection method,type of equipment used,reference location used, type of differential correction used, date of collection and name of person collecting the data. Each department may determine further attribute data collection based on their specific needs. Authorize the City Manager to execute an Interlocal Agreement with Tarrant County to provide access to the City's Geographic Information System (GIS) and related services at a cost to Tarrant County in the amount of$45,000 per year; and 2. Authorize the agreement to begin October 1, 2002, with automatic annual renewals each October 1 thereafter until the agreement is terminated. DISCUSSION: Tarrant County has yet to develop a GIS for its own use. Given the numerous commonalties that exist between the City and Tarrant County (such as common geography and a need for many of the same types of geographic data), both the City and Tarrant County stand to benefit from sharing a single GIS infrastructure. The attached Interlocal Agreement provides for Tarrant County's access to the City's GIS for an annual fee, sharing of data that is not proprietary, confidential or secure, and various technical services, including training and application development. Tarrant County will pay the City $45,000 per year for access to the City's GIS. The fee will be applied proportionately to partially reimburse those funds that pay for the maintenance of the GIS infrastructure, and thereby reduce the City's overall financial effort in support of the GIS infrastructure. Tarrant County will use the City's GIS infrastructure in the same way as do City departments, with Tarrant County personnel accessing their own GIS data for their own purposes.
