This Memorandum of Amendment of Oil and Gas Lease ("Memorandum") is made and
entered into as of the date herein specified by and between the City of Fort Worth, ("Lessor"),
the address of which is 1000 Throckmorton Street, Fort Worth, Texas 76102 and Chesapeake
Exploration, L.L.C., an Oklahoma limited liability company, the address of which is P.O. Box
18496, Oklahoma City, Oklahoma 73154-0496, Larchmont Resources L.L.C. ("LIU),
Jamestown Resources L.L.C. ("JR'), and Pelican Energy, L.L.C., ("Pelican7% Oklahoma
limited liability companies, the address of each of which is 600 Travis, Suite 4750, Houston,
Texas 77002, Parallel Petroleum, LLC,. ("Parallel") a Delaware limited liability company,
the address of which is 1004 N. Big Spring, Suite 400, Midland, Texas 79701, and
Dorchester Resources L.P. ("DR"), the address of which is P.O. Box 18879, Oklahoma City,
Oklahoma 73154-8879 (collectively"Lessees").
WHEREAS, Lessor previously entered into the oil and gas leases identified on the
attached Exhibit A(the "Leases") with Lessees or a predecessor or affiliate of one of the Lessees
covering the lands therein described for the purposes and on the terms and conditions as set forth
therein;
WHEREAS, a Memorandum of each of the Leases is filed of record;
WHEREAS, Lessees are current lessees and owners of working interests in and under
one or more of the Leases; and
WHEREAS, Lessor and Lessees amended each of the Leases as to the interests of
Lessees only as set forth in the Amendment of Oil and Gas Leases ("Amendment"), dated
effective as of April 1, 2016, with the terms and provisions of the Amendment superseding,
controlling and taking precedence -over any conflicting or contrary terms and provisions in the
Leases as to the interests of the Lessees only; however, in all other respects, said Leases, as
previously amended, and the prior terms and provisions contained therein, shall remain in full
force and effect.

WHEREAS, executed copies of the Amendment are in the possession of Lessor and
Lessees and the terms of the Amendment are incorporated herein and made a part hereof as
though fully set forth herein.
NOW THEREFORE, this Memorandum is placed of record for the purpose of giving
notice of the Amendment to Oil and Gas Leases. The Memorandum may be executed in any
number of multiple counterparts, each of which shall have the same force and effect as an
original instrument executed by all of the undersigned parties, regardless of whether such
counterpart is executed prior to or subsequent to the date hereof or the filing of record of a
counterpart hereof. The failure of any working interest owner to execute a counterpart shall not
render this Memorandum ineffective as to (a) those working interest owners executing this
Memorandum, or (b) Lessor. This Memorandum shall be recorded in the Official Public
Records of Tarrant County, Texas, within a reasonable time by a Lessee with a copy thereof to
be promptly furnished to Lessor.
IN WITNESS WHEREOF, this Memorandum is EXECUTED by each of the
undersigned on the date(s) indicated below, but the same shall be effective for all pur f

SUBJECT: Adopt Resolution Authorizing Settlement of All Claims with Chesapeake Energy Corp., et

Settlement and Authorize the City Manager to Execute Amendments to Gas Leases with
Respect to Chesapeake's and Dorchester's Interests (ALL COUNCIL DISTRICTS)
RECOMMENDATION:
It is recommended that the City Council:
1. Adopt a resolution approving the settlement of all claims against Chesapeake Energy Corp.,
Chesapeake Operating L.L.C., Chesapeake Exploration L.L.C., Chesapeake Energy Marketing, Inc.
(collectively Chesapeake), and Dorchester Resources, L.P. (Dorchester), related to the referenced lawsuit;
2. Authorize the City Manager to execute amendments to the gas leases with respect to Chesapeake's and
Dorchester's interests; and
3. Authorize the City Manager to execute any other Agreements necessary to complete the settlement.
DISCUSSION:
The City of Fort Worth (City), as lessor, entered into a number of oil and gas leases with various lessees,
including Chesapeake Exploration, L.L.C. (Chesapeake) and its affiliates. In 2010, Total E&P (USA) Inc.
(Total E&P) acquired a 25 percent working interest in the lease from a Chesapeake entity. In 2013, the City
and related entities filed suits as Cause Nos. 48-268798-13 and 352-272138-14, alleging that Total E&P
and Chesapeake breached their obligations under those leases by underpaying royalties under the
leases. On March 22, 2016, City Council adopted Resolution No. 4608-03-2016, approving the settlement
of all claims against Total E&P for$6,000,000.00.
The City and Defendants Chesapeake and Dorchester have determined that it is in their respective best
interests to resolve the lawsuit (Cause No. 48-268798-13). The City will pay the law firm of Cantey Hanger
33-1/3 percent of the total cash payment received under the settlement, plus expenses.
A resolution will be distributed to the City Council and public outlining the terms of the settlement and
authorizes the City Manager to execute all documents necessary to complete the settlement and execute
the amendments to the gas leases with Chesapeake and Dorchester.
FISCAL INFORMATION/CERTIFICATION:
Upon approval, the Director of Finance certifies that a subsequent Mayor and Council Communication will
be prepared to appropriate the funds received under this Settlement Agreement.
