Customer's payment in full Is due at the time this agreement is returned to Company. Company at all times shall have title to and complete ownership and control over said facilities. Customer Is responsible for providing,without cost to the Company:(1)suitable space on customer's premises for the installation of the facilities;and(2)rough site grading to final grade along the route of the facilities and clearing the area of all obstructions. Customer has elected to provide,without cost to the Company,all civil construction necessary to install oncor Electric Delivery facilities on the Customers premises,Including labor and material. Customer agrees to provide all civil construction in accordance with the Company's standards. Customer has disclosed to Company all underground facilities owned by Customer or ary other party that Is not a public utility or governmental entity,that are located within real property owned by Customer. In the event that Customer has failed to do so,or in the event of the existence of such facilities of which Customer has no knowledge,Company,its agents and contractors,shall have no liability, of any nature whatsoever,to Customer,or Customer's agents or assignees,for any actual or consequential damages resulting from damage to such undisclosed or unknown facilities, This agreement supersedes all previous agreements or representation,eitherwritten or oral,between Company and Customer made with respect to the matters herein contained,and when duly executed constitutes the agreement between the parties hereto and is not binding upon Company unless and until signed by one of its duty authorized representatives. DISCUSSION: On July 21, 2015, the City Council authorized execution of a Construction Manager-At-Risk contract with The Ridgemont Company d/b/a Ridgemont Commercial Construction, Inc., in an amount not to exceed $25,462,398.00 for the North Service Center, Phases I and II, Field Operations Services Center. The construction started in December 2015 and is anticipated be completed by fall of 2017. An Agreement with Oncor Electric Delivery Company, LLC (Oncor), is necessary to provide electrical service to the new facilities. This work will provide 560.3 kW and all associated transformers and primary cable. This expense was anticipated and is below the City's budgeted cost. It was anticipated that the City would execute one Agreement with Oncor to complete the project. However, due to time constraints and scheduling, Staff determined that the project would need to be split into two phases to avoid a delay in completing the construction of the North Service Center. Each phase of the contract will be completed pursuant to a separate Agreement. The total cost of the two Agreements with Oncor will not exceed $130,544.34. The first Agreement with Oncor, in the amount of $65,272.71, was administratively executed on January 30, 2017 (City Secretary Contract No. 48619). A portion of this project will include 2014 Bond Program funds. Available resources within the General Fund will be used to provide interim financing for these expenses until debt is issued. Once debt associated with this project is sold, bond proceeds will reimburse the General Fund, in accordance with the statement expressing official Intent to Reimburse which was adopted as part of the ordinance canvassing the bond election (Ordinance No. 21241-05-2014) and the subsequent ordinance authorizing debt in 2016 (Ordinance No. 22216-05-2016). M/WBE OFFICE -A waiver for the goal for DBE/SBE subcontracting requirements was requested by the Property Management Department approved by the M/WBE Office because the purchase of goods and services is from sources where subcontracting or supplier opportunities are negligible.
