PROFESSIONAL SERVICES AGREEMENT
(Infor•mation Technology)
This PROFESSIONAL SERVICES AGREEMENT ("AgeemenY') is made and entered into
by and between the CITY OF FORT WORTH (the "City" or "Client"), a home-rule municipal
corporation situated in portions of Tarrant, Denton, Johnson and Wise Counties, Texas, acting by and
through its duly authorized Assistant City Manager, and DATA TRANSFER SOLUTIONS, LLC
("Consultant"), a Florida limited liability company, and acting by and through A. M. `Trey' Fragala, III,
AICP, PMP its duly authorized Chief Operating Officer. City and Consultant are each individually
referred to herein as a"party" and collectively refetred to as the "parties." The term "Consultant" shall
include the Consultant, its officers, agents, employees, representatives, contractors or subcontractars.
The term "City" shall include its officers, employees, agents, and representatives.
CONTRACT DOCUMENTS:
The Contract documents shall include the following:

All E�ibits attached hereto are incorporated herein and made a part of this Ageement for all purposes.
In the event of any conflict between the documents, the terms and conditions of this Professional
Services Ageement shall control.
The term "Consultant" or "Contractor" shall include the Consultant ar Contractor, and its officers,
agents, employees, representatives, servants, contractors or subcontractors.
The term "City" shall include its officers, employees, agents, and representatives.
1. Scope of Services.
Consultant hereby agees, with good faith and due diligence, to provide the City with professional
consulting services for performance-based asset management software and support consisting of five
primary categories: core assets, work management, resource management and plan management..
Specifically, Consultant will perform all duties outlined and described in the Statement of Work, which is
attached hereto as E�hibit "A" and incorporated herein for all purposes, and further referred to herein as the
"Seivices." Consultant shall perform the Services in accordance with standards in the industiy far the same

or similar services. In addition, Consultant shall perform the Services in accordance with all applicable
federal, state, and local laws, rules, and regulations. If there is any conflict between this Agreement and
E�ibit A, the terms and conditions of this Ageement shall control.
2. Term.
This Agreement shall commence upon execution ("Effective Date") and shall expire no later than
December 31, 2017 ("Expiration Date"), unless terminated earlier in accordance with the provisions of
this Agreement or otherwise extended by the parties. This Agreement may be renewed far up to five
additional one-year terms at the City's option, each a"Renewal Term." The City shall provide Consultant
with written notice of its intent to renew at least thirty (30) days prior to the end of each term.
3. Compensation.
The City shall pay Consultant an amount not to exceed $1,396,810.00 in accordance with the
provisions of this Agreement and Exhibit "B," Payment Schedule, which is attached hereto and
incorporated herein for all purposes. Consultant shall not perform any additional services for the City
not specified by this Ageement unless the City requests and approves in writing the additional costs for
such services. The City shall not be liable for any additional expenses of Consultant not specified by
this Agreement unless the City first approves such expenses in writing. City agees to pay all invoices of
Consultant within thirty (30) days of receipt of such invoice. Consultant may charge interest on late
payments not to exceed one percent (1%).
4. Termination.
4.1. Convenience. Either the City or Consultant may terminate this Ageement at any time and for
any reason by providing the other party with 30 days written notice of termination.
4.2 Breach. If either party commits a material breach of this Agreement, the non-breaching Party
must give written notice to the breaching party that describes the breach in reasonable detail. The
breaching party must cure the breach ten (10) calendar days after receipt of notice from the non-
breaching party, or other time frame as agreed to by the parties. If the breaching party fails to cure the
breach within the stated period of time, the non-breaching pariy may, in its sole discretion, and without
prejudice to any other right under this Agreement, law, or equity, immediately terminate this Agreement
by giving written notice to the breaching party.
43 Fiscal Fundin� put• In the event no funds or insufficient funds are appropriated by the City in
any fiscal period for any payments due hereunder, the City will notify Consultant of such occurrence and
this Agreement shail terminate on the last day of the fiscal period for which appropriations were received
without penalty or expense to the City of any kind whatsoever, except as to the portions of the payments
herein agreed upon for which funds have been appropriated.
4.4 Duties and Obligations of the Parties. In the event that this Ageement is
terminated prior to the Expiration Date, the City shall pay Consultant for services actually rendered up
to the effective date of termination and Consultant shall continue to provide the City with services
requested by the City and in accordance with this Agreement up to the effective date of termination.
Upon termination of this Agreement for any reason, Consultant shall provide the City with copies of all
completed or partially completed documents prepared under this Agreement. In the event Consultant
has received access to City information or data as a requirement to perform services hereunder,

Consultant shall return all City provided data to the City in a machine readable foimat ar other format
deemed acceptable to the City.
5. Disclosure of Conflicts and Confidential Information.
5.1 Disclosure of Conflicts. Consultant hereby warrants to the City that Consultant has made full
disclosure in writing of any e�sting or potential conflicts of interest related to Consultant's services
under this Agreement. In the event that any conflicts of interest arise after the Effective Date of this
Agreement, Consultant hereby agrees immediately to make full disclosure to the City in writing.
5.2 Conf'idential Information. The City acknowledges that Consultant may use products, materials,
or methodologies proprietary to Consultant. The City agrees that Consultant's provision of services
under this Agreement shall not be gounds for the City to have or obtain any rights in such proprietary
products, materials, or methodologies unless the parties have executed a separate written agreement
with respect thereto. Consultant, for itself and its officers, agents and employees, agrees that it shall
treat all information provided to it by the City ("City Information") as confidential and shall not
disclose any such information to a third party without the prior written approval of the City.
5.3 Unauthorized Access. Consultant shall store and maintain CiTy Information in a secure manner
and shall not allow unauthorized users to access, modify, delete or otherwise corrupt City Information
in any way. Consultant shall notify the City immediately if the security or integrity of any City
information has been compromised or is believed to have been compromised, in which event,
Consultant shall, in good faith, use all commercially reasonable efforts to cooperate with the City in
identifying what information has been accessed by unauthorized means and shall fully cooperate with
the City to protect such information from further unauthorized disclosure.
6. Right to Audit.
Consultant agrees that the City shall, until the expiration of three (3) years after final payment
under this Agreement, have access to and the right to examine at reasonable times any directly pertinent
books, documents, papers and recards of the Consultant involving transactions relating to this
Agreement at no additional cost to the City. Consultant agrees that the City shall have access during
normal working hours to all necessaiy Consultant facilities and shall be provided adequate and
appropriate work space in order to conduct audits in compliance with the provisions of this section.
The City shall give Consultant not less than 10 days written notice of any intended audits.
Consultant further agrees to include in all its subcontractor agreements hereunder a provision to
the effect that the subcontractor agees that the City shall, until expiration of three (3) years after final
payment of the subcontract, have access to and the right to examine at reasonable times any directly
pertinent books, documents, papers and records of such subcontractor involving transactions related to
the subcontract, and fiirther that City shall have access during normal working hours to all
subcontractor facilities and shall be provided adequate and appropriate work space in order to conduct
audits in compliance with the provisions of this paragraph. City shall give subcontractor not less than
10 days written notice of any intended audits.
7. Independent Contractor.
It is expressly understood and agreed that Consultant shall operate as an independent contractor

as to all rights and privileges granted herein, and not as agent, representative or employee of the City.
Subject to and in accordance with the conditions and provisions of this Ageement, Consultant shall
have the exclusive right to control the details of its operations and activities and be solely responsible
for the acts and omissions of its officers, agents, servants, employees, contractors and subcontractors.
Consultant acknowledges that the doctrine of respondeat superior shall not apply as between the City,
its officers, agents, servants and employees, and Consultant, its officers, agents, employees, servants,
contractors and subcontractors. Consultant further agrees that nothing herein shall be construed as the
creation of a partnership or joint enterprise between City and Consultant. . It is further understood that
the City shall in no way be considered a Co-employer or a Joint employer of Consultant ar any officers,
agents, servants, employees or subcontractors of Consultant. Neither Consultant, nar any officers,
agents, servants, employees or subcontractors of Consultant shall be entitled to any employment
benefits from the City. Consultant shall be responsible and liable far any and all payment and reporting
of taYes on behalf of itself, and any of its officers, agents, servants, employees or subcontractors.
8. LIABILITY AND INDEMNIFICATION.
A. LIABILITY - CONSULTANT 5HALL BE LIABLE AND RESPONSIBLE FOR ANY AND
ALL PROPERTY LOSS, PROPERTY DAMAGE AND/OR PERSONAL INJURY, INCLUDING
DEATH, TO ANY AND ALL PERSONS, OF ANY KIND OR CHARACTER, WHETHER REAL
OR ASSERTED, TO THE EXTENT CAUSED BY THE NEGLIGENT ACT(S) OR
ONIISSION(S), MALFEASANCE OR INTENTIONAL MISCONDUCT OF CONSULTANT, ITS
OFFICERS, AGENTS, SERVANTS OR EMPLOYEE5.
B. INDEMNIFICATION - CONSULTANT HEREBY COVENANTS AND AGREES TO
INDENINIFY, HOLD HARMLESS AND THE CITY, ITS OFFICERS, AGENTS, SERVANTS
AND EMPLOYEES, FROM AND AGAINST ANY AND ALL CLAIMS OR LAWSUITS OF
ANY KIND OR C�IARACTER, WHETHER REAL OR ASSERTED, FOR EITHER
PROPERTY DAMAGE OR LOSS (INCLUDING ALLEGED DAMAGE OR LOSS TO
CONSULTANT'S BUSINESS, AND ANY RESULTING LOST PROFITS) PERSONAL
INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS, AND DAMAGES FOR
CLAIlVIS OF INTELLECTUAL PROPERTY INFRINGEMENT, ARISING OUT OF OR IN
CONNECTION WITH THIS AGREEMENT, TO THE EXTENT CAUSED BY THE ACTS OR
OMISSIONS OF CONSULTANT, ITS OFFICERS, AGENTS, SUBCONTRACTORS,
SERVANTS OR EMPLOYEES.
C. INTELLECTUAL PROPERTY INFRINGEMENT —(i) The Consultant warrants that all
Deliverables, or any part thereof, furnished hereunder, including but not limited to: programs,
documentation, software, analyses, applications, methods, ways, and processes (in this Section 8C
each individually referred to as a"Deliverable" and collectively as the "Deliverables,") do not
infringe upon or violate any patent, copyrights, trademarks, service marks, trade secrets, or any
intellectual property rights or other third party proprietary rights, in the performance of services
under this Agreement.
(ii) Consultant shall be liable and responsible for any and all claims made against the City for
infringement of any patent, copyright, trademark, service mark, trade secret, or other intellectual
property rights by the use of or supplying of any Deliverable(s) in the course of performance or
completion of, or in any way connected with providing the services, or the City's continued use of
the Deliverable(s) hereunder.

(iii) Consultant agrees to indemnify, defend, settle, or pay, at its own cost and expense, including
the payment of attorney's fees, any claim or action against the City for infringement of any patent,
copyright, trade mark, service marle, trade secret, or other inteliectual property right arising from
City's use of the Deliverable(s), or any part thereof, in accordance with this Agreement, it being
understood that this agreement to indemnify, settle or pay shall not apply if the City modifies or
misuses the Deliverable(s). So long as Consultant bears the cost and expense of payment for claims
or actions against the City pursuant to this section 8, Consultant shall have the right to conduct the
defense of any such claim or action and all negotiations for its settlement or compromise and to
settle or compromise any such claim; however, City shall have the right to fully participate in any
and all such settlement, negotiations, or lawsuit as necessary to protect the City's interest, and
City agrees to cooperate with Consultant in doing so. In the event City, for whatever reason,
assumes the responsibility for payment of costs and expenses for any claim or action brought
against the City for infringement arising under this Agreement, the City shall have the sole right to
conduct the defense of any such claim or action and all negotiations for its settlement or
compromise and to settle or compromise any such claim; however, Consultant shall fully
participate and cooperate with the City in defense of such claim or action. City agrees to give
Consultant timely written notice of any such claim or action, with copies of all papers City may
receive relating thereto. Notwithstanding the foregoing, the City's assumption of payment of costs
or egpenses shall not eliminate Consultant's duiy to indemnify the City under this Agreement. If
the Deliverable(s), or any part thereof, is held to infringe and the use thereof is enjoined or
restrained or, if as a result of a settlement or compromise, such use is materially adversely
restricted, Consultant shall, at its own expense and as City's sole remedy, either: (a) procure for
City the right to continue to use the Deliverable(s); or (b) modify the Deliverable(s) to make
them/it non-infringing, provided that such modi�cation does not materially adversely affect
City's authorized use of the Deliverable(s); or (c) replace the Deliverable(s) with equally suitable,
compatible, and functionally equivalent non-infringing Deliverable(s) at no additional charge to
City; or (d) if none of the foregoing alternatives is reasonably available to Consultant, terminate
this Agreement, and refund all amounts paid to Consultant by the City, subsequent to which
termination City may seek any and all remedies available to City under law. CONSULTANT'S
OBLIGATIONS HEREIINDER SI�IALL BE SECiJRED BY THE REQUISITE INSURANCE
COVERAGE AND AMOUNTS SET FORTH IN SECTION 10 OF THIS AGREEMENT.
9. Assignment and Subcontractin�.
Consultant shall not assign or subcontract any of its duties, obligations or rights under this
Agreement without the prior written consent of the City. If the City grants consent to an assignment, the
assignee shall execute a written agreement with the City and the Consultant under which the assignee
agees to be bound by the duties and obligations of Consultant under this Agreement. The Consultant
and Assignee shall be jointly liable for all obligations under this Agreement prior to the assignment. If
the City grants consent to a subcontract, the subcontractor shall execute a written agreement with the
Consultant referencing this Ageement under which the subcontractor shall agee to be bound by the
duties and obligations of the Consultant under this Agreement as such duties and obligations may apply.
The Consultant shall provide the City with a fully executed copy of any such subcontract.

10. INSLTi2ANCE.
10.1 The Consultant shall carry the following insurance coverage with a company that is licensed to
do business in Texas or otherwise approved by the City:
1. Commercial General Liabilitv
a. Combined limit of not less than $2,000,000 per occurrence; $4million aggregate or
b. Combined limit of not less than $1,000,000 per occurrence; $2,000,000 aggregate and
Umbrella Covera�e in the amount of $4,000,000. Umbrella policy shall contain a follow-form
provision and shall include coverage for personal and advertising injury.
c. Defense costs shall be outside the limits of liability.
2. Automobile Liability Insurance covering any vehicle used in providing services under this
Ageement, including owned, non-owned, or hired vehicles, with a combined limit of not less
than $1,000,000 per occurrence.
3. Professional Liability (Errars & Omissions) in the amount of $1,000,000 per claim and
$1,000,000 aggregate limit.
4. Statutory Workers' Compensation and Employers' Liability Insurance requirements per the
amount required by statute.
5. Technology Liability (Errors & Omissions)
a. Combined limit of not less than $2,000,000 per occurrence; $4million aggregate or
b. Combined limit of not less than $1,000,000 per occurrence; $2,000,000 aggregate and
Umbrella Covera�e in the amount of $4,000,000. Umbrella policy shall contain a follow-form
provision and shall include coverage for personal and advertising injury. The umbrella policy
shall cover amounts for any claims not covered by the primary Technology Liability policy.
Defense costs shall be outside the limits of liability.
(a) Coverage shall include, but not be limited to, the following:
(i) Failure to prevent unauthorized access
(ii) Unauthorized disclosure of information
(iii) Implantation of malicious code or computer virus
(iv) Fraud, Dishonest or Intentional Acts with final adjudication language
(v) Intellectual Property Infringement coverage, specifically including coverage for
intellectual property infringement claims and far indemnification and legal defense of
any claims of intellectual property infringement, including infringement of patent,
copyright, trade mark or trade secret, brought against the City for use of Deliverables,
Software or Services provided by Consultant under this Ageement.
Technology coverage may be provided through an endarsement to the Commercial General
Liability (CGL) policy, a separate policy specific to Technology E&O, or an umbrella policy that
picks up coverage after primary coverage is e�austed. Either is acceptable if coverage meets all
other requirements. Technology coverage shall be written to indicate that legal costs and fees are
considered outside of the policy limits and shall not erode limits of liability. Any deductible will
be the sole responsibility of the Consultant and may not exceed $50,000 without the written
approval of the City. Coverage shall be claims-made, with a retroactive or prior acts date that is
on or before the effective date of this Ageement. Coverage shali be maintained for the duration
of the contractual ageement and far two (2) years following completion of services provided.

An annual certificate of insurance, ar a full copy of the policy if requested, shall be submitted to
the City to evidence coverage.
6. Any other insurance as reasonably requested by City.
10.2 General Insurance Requirements:
1. All applicable policies shall name the City as an additional insured thereon, as its interests may
appear. The term City shall include its employees, officers, officials, agents, and volunteers in
respect to the contracted services.
2. The workers' compensation policy shall include a Waiver of Subrogation (Right of Recovery) in
favor of the City of Fort Worth.
3. A minimum of Thirty (30) days' notice of cancellation or reduction in limits of coverage shall be
provided to the City. Ten (10) days' notice shall be acceptable in the event of non-payment of
premium. Notice shall be sent to the Risk Manager, City of Fort Worth, 1000 Throckmorton,
Fort Worth, Texas 76102, with copies to the City Attorney at the same address.
4. The insurers for all policies must be licensed and/or approved to do business in the State of
Texas. All insurers must ha�e a minimum rating of A- VII in the current A.M. Best Key Rating
Guide, or have reasonably equivalent financial strength and solvency to the satisfaction of Risk
Management. If the rating is below that required, written approval of Risk Management is
required.
5. Any failure on the part of the City to request required insurance documentation shall not
constitute a waiver of the insurance requirement.
6. Certificates of Insurance evidencing that the Consultant has obtained all required insurance sha11
be delivered to and approved by the City's Risk Management Division prior to execution of this
Agreement.
11. Comnliance with Laws, Ordinances, Rules and Regulations.
Consultant agees to comply with all applicable federal, state and local laws, ordinances, rules
and regulations. If the City notifies Consultant of any violation of such laws, ardinances, rules ar
regulations, Consultant shall immediately desist from and correct the violation.
12. Non-Discrimination Covenant.
Consultant, for itself, its personal representatives, assigns, subcontractors and successars in
interest, as part of the consideration herein, agrees that in the performance of Consultant's duties and
obligations hereunder, it shall not discriminate in the treatment or employment of any individual or group
of individuals on any basis prohibited by law. If any claim arises from an alleged violation of this non-
discrimination covenant by Consultant, its personal representatives, assigns, subcontractors or successors
in interest, Consultant agrees to assume such liability and to indemnify and defend the City and hold the
City harmless from such claim.

13. Notices.
Notices required pursuant to the provisions of this Agreement shall be conclusively determined
to have been delivered when (1) hand-delivered to the other party, its agents, employees, servants ar
representatives, (2) delivered by facsimile with electronic confirmation of the transmission, or (3)
received by the other party by United States Mail, registered, return receipt requested, addressed as
follows:

It is understood and agreed that by execution of this Agreement, the City does not waive ar
surrender any of its governmental powers.
16. No Waiver.
The failure of the City or Consultant to insist upon the performance of any term or provision of
this Agreement ar to exercise any right granted herein shall not constitute a waiver of the City's or
Consultant's respective right to insist upon appropriate performance or to assert any such right on any
future occasion.
17. Governing Law and Venue.
This Agreement shall be construed in accordance with the laws of the State of Texas. If any
action, whether real or asserted, at law or in equity, is brought on the basis of this Agreement, venue far
such action shall lie in state courts located in Tarrant County, Texas or the United States District Court
for the Northern District of Texas, Fort Worth Division.
18. Severabilitv.
If any provision of this Agreement is held to be invalid, illegal or unenforceable, the validity,
legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

19. Force Maieure.
The City and Consultant shall exercise their best efforts to meet their respective duties and
obligations as set forth in this Agreement, but shall not be held liable for any delay or omission in
performance due to force majeure or other causes beyond their reasonable control (force majeure),
including, but not limited to, compliance with any government law, ordinance or regulation, acts of God,
acts of the public enemy, fires, strikes, lockouts, natural disasters, wars, riots, material or labor
restrictions by any governmental authority, transportation problems and/or any other similar causes.
20. Headin�s Not Controlling.
Headings and titles used in this Agreement are for reference purposes only and shall not be
deemed a part of this Agreement.
21. Review of Counsel.
The parties acknowledge that each party and its counsel have reviewed this Agreement and that
the normal rules of construction to the effect that any ambiguities are to be resolved against the drafting
party shall not be employed in the interpretation of this Agreement or e�ibits hereto.
22. Amendments.
No amendment of this Ageement shall be binding upon a party hereto unless such amendment is
set forth in a written instrument, and duly executed by an authorized representative of each party.
23. Entiretv of Agreement.
This Ageement, including any e�ibits attached hereto and any documents incorporated herein
by reference, contains the entire understanding and agreement between the City and Consultant, their
assigns and successors in interest, as to the matters contained herein. Any prior or contemporaneous
oral or written agreement is hereby declared null and void to the extent in conflict with any provision of
this Ageement.
24. Counterparts.
This Ageement may be executed in one or more counterparts and each counterpart shall, for all
purposes, be deemed an original, but all such counterparts shall together constitute one and the same
instrument. An executed Ageement, modiiication, amendment, or separate signature page shall
constitute a duplicate if it is transmitted through electronic means, such as fax or e-mail, and reflects the
signing of the document by any party. Duplicates are valid and binding even if an original paper
document bearing each party's ariginal signature is not delivered.
Z5. Warrantv of Services.
Consultant warrants that its services will be of a professional quality and conform to generally
prevailing industry standards. City must give written notice of any breach of this warranty within thirty
(30) days from the date that the services are completed. In such event, at Consultant's option, Consultant
shali either (a) use commercially reasonable efforts to re-perform the services in a manner that conforms
with the warranty, or (b) refund the fees paid by the City to Consultant far the nonconforming services.

26. Milestone Acceptance.
Consultant shall verify the quality of each deliverable before submitting it to the City far review
and approval. The City will review all deliverables to determine their acceptability and signify
acceptance by execution of the Milestone Acceptance Form, which is attached hereto as Eghibit "C." If
the City rejects the submission, it will notify the Consultant in writing as soon as the determination is
made listing the specific reasons for rejection. The Consultant shall have ten (10) days to correct any
deficiencies and resubmit the corrected deliverable. Payment to the Consultant shall not be autharized
unless the City accepts the deliverable in writing in the form attached. The City's acceptance will not be
unreasonably withheld.
27. Network Access.
27.1 City Network Access. If Consultant, and/ar any of its employees, officers, agents,
servants ar subcontractors (for purposes of this section "Consultant Personnel"), requires access to the
City's computer network in order to provide the services herein, Consultant shall execute and comply
with the Network Access Agreement which is attached hereto as Eghibit "D" and incorporated herein
far all purposes.
27.2 Federal Law Enforcement Database Access. If Consultant, ar any Consultant Personnel,
requires access to any federal law enforcement database or any federal criminal history record
information system, including but not limited to Fingerprint Identification Records System ("FIRS"),
Interstate Identification Index System ("III System"), National Crime Information Center ("NCIC") e�
National Fingerprint File ("NFF"), or Texas Law Enforcement Telecommunications Systems ("TLETS"),
that is governed by and/or defined in Titie 28, Code of Federal Regulations Part 20 ("CFR Part 20"), for
the purpose of providing services for the administration of criminai j ustice as defined therein on behalf of
the City or the Fort Worth Police Department, under this Agreement, Consultant shall comply with the
Criminal Justice Information Services Security Policy and CFR Part 20, as amended, and shall separately
execute the Federal Bureau of Investigation Criminal Justice Information Services Security Addendum.
No changes, modifications, alterations, ar amendments shall be made to the Security Addendum. The
document must be executed as is, and as approved by the Texas Department of Public Safety and the
United States Attorney General.
28. Immigration Nationality Act.
The City of Fort Worth actively supports the Immigration & Nationality Act (INA) which
includes provisions addressing employment eligibility, employment verification, and nondiscrimination.
Consultant shall verify the identity and employment eligibility of all employees who perform work under
this Agreement. Consultant shall complete the Employment Eligibility Verification Form (I-9), maintain
photocopies of all supporting employment eligibility and identity documentation for all employees, and
upon request, provide City with copies of all I-9 forms and supporting eligibility documentation for each
employee who performs work under this Agreement. Consultant shall establish appropriate procedures
and controls so that no services will be performed by any employee who is not legally eligible to perform
such services. Consultant shall provide City with a certification letter that it has complied with the
verification requirements required by this Agreement. Consultant shall indemnify City from any penalties
or liabilities due to violations of this provision. City shall have the right to immediately terminate this
Agreement for violations ofthis provision by Consultant.

29. Informal Dispute Resolution.
Except in the event of termination pursuant to Section 4.2, if either City or Consultant has a claim,
dispute, ar other matter in question for breach of duty, obligations, services rendered or any warranty that
arises under this Ageement, the parties shall first attempt to resolve the matter through this dispute
resolution process. The disputing party shall notify the other party in writing as soon as practicable after
discovering the claim, dispute, ar breach. The notice shall state the nature of the dispute and list the party's
specific reasons for such dispute. Within ten (10) business days of receipt of the notice, both parties shall
commence the resolution process and make a good faith effort, either through email, mail, phone
conference, in person meetings, or other reasonable means to resolve any claim, dispute, breach or other
matter in question that may arise out of, or in connection with this Ageement. If the parties fail to resolve
the dispute within sixty (60) days of the date of receipt of the notice of the dispute, then the parties may
submit the matter to non-binding mediation in Tarrant County, Texas, upon written consent of authorized
representatives of both parties in accordance with the Industry Arbitration Rules of the American
Arbitration Association or other applicable rules governing mediation then in effect. The mediator shall be
ageed to by the parties. Each party shall be liable for its own expenses, including attorney's fees;
however, the parties shall share equally in the costs of the mediation. If the parties cannot resolve the
dispute through mediation, then either party shall have the right to exercise any and all remedies available
under law regarding the dispute. Notwithstanding the fact that the parties may be attempting to resolve a
dispute in accardance with this infarmal dispute resolution process, the parties agree to continue without
delay all of their respective duties and obligations under this Agreement not affected by the dispute.
Either party may, before or during the exercise of the informal dispute resolution process set forth herein,
apply to a court having jurisdiction for a temporary restraining arder or preliminary injunction where
such relief is necessary to protect its interests.
30. Renortin� Requirements.
For purposes of this section, the words below shall have the following meaning:
Child shall mean a person under the age of 18 years of age.
Child pornogr-aphy means an image of a child engaging in sexual conduct or sexual performance as
defined by Section 43.25 of the Texas Penal Code.
Comparter means an electronic, magnetic, optical, electrochemical, ar other high-speed data processing
device that performs logical, arithmetic, or memory functions by the manipulations of electronic or
magnetic impulses and includes all input, output, processing, storage, or communication facilities that are
connected or related to the device.
Computer technician means an individual who, in the course and scope of employment or business,
installs, repairs, or otherwise services a computer for a fee. This shall include installation of software,
hardware, and maintenance services.
If Consultant meets the definition of Computer Technician as defined herein, and while providing
services pursuant to this Agreement, views an image on a computer that is or appears to be child
pornography, Consultant shall immediately report the discovery of the image to the City and to a local or
state law enforcement agency or the Cyber Tip Line at the National Center for Missing and Exploited
Children. The report must include the name and address of the owner or person claiming a right to
possession of the computer, if known, and as permitted by law. Failure by Consultant to make the report
required herein may result in criminal and/or civil penalties.

31. Si�nature Authoritv.
The person signing this agreement hereby warrants that he/she has the legal authority to execute
this agreement on behalf of the respective party, and that such binding authority has been ganted by
proper order, resolution, ordinance or other authorization of the entity. This Agreement, and any
amendment(s) hereto, may be executed by any authorized representative of Consultant whose name, title
and signature is affixed on the Verification of Signature Authority Form, which is attached hereto as
Exhibit "E" and incorporate herein by reference. Each party is fully entitled to rely on these warranties
and representations in entering into this Agreement oi• any amendment hereto.
32. Survival of Provisions.
The parties' duties and obligations pursuant to Section 4.4 (Duties and Obligations), 5
(Disclosure of Conflicts and Confidential Information), Section 6(Right to Audit), and Section 8
(Liability and Indemnification) shall survive termination of this Agreement.

VUEWorks Software Overview
VUEWorks Scope of Work
VUEWorks is a commercial off-the-shelf (COTS) software solution. VUEWorks was initially developed in
1999 as a web-6ased solution forthe development of asset management plans based on performance-
based asset management philosophies. Performance-based asset management is a holistic approach to
operational and life-cycle asset management of networks. It is extremely critical to employ a holistic
approach to managing aging infrastructure as populations and asset inventory counts continue to grow
while 6udgets and staff continue to shrink or stagnate. Over the years VUEWorks has evolved into an
asset management platform with a continued strong grounding in performance-based asset
management.
Performance-6ased asset management breaks the asset management life-cycle down into five primary
categories:
• Core assets
• Workmanagement
• Resource management
• Risk-based asset management
• Plan management
Each of these categories are equally important in assessing, evaluating, planning and rnaintaining
alignment between organizational goals and the efficient, cost-effective utilization of limited resources.
This is critical to effectively maintain an organization's infrastructure and assets in a sustainable state of
good repair. Following is a deeper dive into the five primary categories.
Core Assets is the GIS-centric listing of all the individuai infrastructure assets that make up an asset,
system or network that requires periodic reactive or routine maintenance to keep it in a state of good
repair. Core Assets consists of a real-time integration with Esri's ArcGIS Server REST end-point services
to allow your registry of assets mapped in GIS to be used as your asset inventory against which Service
Requests and Work Orders, Resources, Risk-based Asset Management and Budget Forecasting can be
applied. For non-spatial assets and information that also requires management, VUEWorks offers a
Facilities application that can be tailored to manage information related to assets such as assets within
a 6uildingorfleet.
Work Management is the timely coordination and efficient execution of activities that are in alignment
with organizational goals for maintaining infrastructure in a state of good repair. Wor1c management
consists of Service Requests and Work Orders. Service Requests encompass requests made upon an
organization for information or for action, typically in way of a defined work activity. Requests can 6e
fnternal or external. They can come from departments internal to the organization or from citizens and
stakeholders external to the organization. Work Orders encompass reactive, proactive, capital and
preventative maintenance work orders to organize and execute work. Work Management is integrated
with or may be used separately from Resource Management.
Resource Management allows you to efficiently manage work activities 6y managing the limited
resources required to execute those adivities. These resources include detailed information about
labor, equipment and material inventory as well as contraded labor, equipment and/or inventory
provided by vendors. Log resources against a Work Order for tracking and Activity Based Costing. Track
stock materials, quantities on hand, locations and trigger re-ordering.

Risk-Based Asset Management is the process of maintaining infrastructure in a sustainable state of
good repair based on how a particular asset performs or deteriorates over time. Risk-based asset
management includes the routine inspection and condition assessment of assets within an
infrastructure network in order to compare a single asset's performance against the general
performance of all like assets. In risk-based asset management, each asset is also assessed for risk
related to the likelihood and consequence of failure of that specific asset. These risk factors are used in
prioritization when creating work plans and budgets. Other considerations in risk-based asset
managernent are the valuation of an asset and "cost of ownership" through an asset's life-cycle, as well
as replacement costs.
Plan Management brings together budgets and plans for annual programs, capital improvement plans
and master plans. This allows organizations to analyze the impacts of annual programs to determine
what the next set of projects and budgets should be to align master plans and organizational goals. An
important step within Plan Management is the analysis of different routines, capital and long-term
programs and plans using "what-if" scenarios. Organizations can create, for instance, capital
improvement plans that model out both "budget" and "impact on asset condition" and include
additional useful life of the asset based on plan scenarios. The capa6ility to run multipie plan scenarios
to get the right mix of "budget" and "impact" to maintain infrastructure networks in a state of good
repair is a critica) function of a performance-based asset management system.

One of the greatest challenges to maintaining a system like VUEWorks is the ability to efficiently colled
field data in a consistent and standardized manner and get it into the enterprise database without
havingto hire additional office personnel.
MobileW E is designed to resolve that challenge by extending the Work Order and Condition modules
in VUEWorks into the Google Android and Apple iOS operating system environments, allowing
MobileW E to operate on any Android or i05 tablet orsmartphone in the field.
Mo6ileW E can operate in a connected or disconnected mode in the field. Field crews may receive new
assigned work orders on their tablet or smartphone in the field. Each user sees only the work orders
and asset inspections they are assigned. With a cellular connected device Mo6ileVUE will show the user
their current location and the distance to each assigned work order. Users can initiate driving directions
to their next work order from MobileVUE.
MobileW E work orders and condition inspection forms can be tailored for each specific activity or type
of inspection, just like in VUEWorks, providing maximum efficiencies in data entry while in the field.

VUEWorks works closely with Esri ArcG15 Server .NET framework on the same Windows server
hardware. Our most important requirement is to follow Esri's recommendations for hardware
requirements.

The most resource intensive operetions implemented by VUEWorks occur on the server that hosts SQL
Server. At a minimum this server should have S GB of RAM and a dual core processor running at 2.4
GHz. Simply put, VUEWorks and ArcG15 Server will perform faster with fast multi-core CPUs, more
memory and with no other applications competfng for the same resources on the SQL Server machine.

Server requirements can vary widely depending on the number of users, other applications that share
the same resources, and the performance that your users expect. Contact VUEWorks directly to discuss

• Backup software capable of backing up MS SC1L Server database without taking it offline
The VUEWorks databases are standard SC1L Server databases that are easily accommodated by existing
6ackup policies at most organizations. Typical back policies include a daily incremental or differential
with weekly or monthly full. Organizations are responsible for developing their own backup policies.
VUEWorks does not aid in developing backup policies through ourstandard support policy.
Virtual Servers
VUEWorks will run on VMWare and Microsoft Hyper-V. Other virtualization environments are untested

Proposed Scope of Services for the City of Fort
Worth, TX
The following proposed Scope of Services is a combination of remote and onsite consultation,
configuration and training services designed to meet the needs and recommendations for each of the
areas of focus discussed in the Findings section. The scope is designed to provide enough services to
augment the limited staff resources of the City to properly configure VUEWorks and train City staff to
ensure successful use of VUEWorks in meeting the Department of Public Works' operational needs and
goa Is.
To set the stage for the following tasks and activities, the following definitions apply:
In-Scope Items
1. Project Consultation and Implementation activities, including on-site and remote meetings as
defined in the project schedule.
2. Software Installation and Configuration activitiesforthe listed departments, Gates and Phases.
3. Custom Software programming as defined in the Integrations sections of the scope of work.
4. Treining Adivities including on-site and remote meetings as defined in the project schedule.
5. VUEWorks will provide a Development, Test and Production license of VUEWorks forthe City.
The City will maintain these instances on their internal server and will be responsible for the
promotion of any configuration between environments. VUEWorks will provide automated
scripted updates related to software releases and builds as part of normal maintenance and
support.
6. Data Migration from legacy systems into VUEWorks as described 6elow.
Out-of-Scope Items
1. Data Cleansing, Normalization, Manipulation, Editing, unless agreed upon by VUEWorks Project
Manager.
2. GIS data server configuration or network configuration on the City's IT infrastructure.
3. Database administration of any kind related to the City's IT Infrastructure. This includes the
creation of data6ase views for data integration activities from any data source (GIS, Peoplesoft,
or Active Directory).
The Scope of Services will be used to implement VUEWorks in a phased approach. Each phase will
follow a similar process and workflow. Each area of focus will include a mix of one or more of the
following service categories:
• Project Management • Configuration
• Consultation • Training
• Documentation • Onsite Support Services
Each service category, except for Onsite Support Services, can he conducted remotely or onsite. To
6alance cost against adequate service hours, DTS recommends most services be conducted rernotely
with onsite face-to-face meetings and services periodically occurring throughout the life of the
implementation project.

1. Project Initiation
Each project phase begins with an initiation phase where the project goals and objectives are laid out to
the project team, team members and support personnel who will be involved in the process. The
VUEWorks implementation tasks, goals, schedule and timeline will be shared with the project tearn.
All team members will be made aware of when their support will be needed throughout the process, so
they can plan fortheir involvement ahead of major and minor deadlines. This transparency is crucial to the
success of the project and to mitigate any risks related to the inevitable change experienced by these team
mem6ers.
2. Project Planning
The VUEWorks standard process for implementation, starts with the assigning of a Project Manager who
will 6e entrusted with the day-to-day coordination and responsibility for the project implementation. It is
the Project Manager's responsibility to see that the detailed project tasks are completed and that efforts of
the other project team members are coordinated to provide for the efficient and timely completion of the
project. This person may also be directly involved with performing the project tasks. The Project Manager
is responsible for assembling and managing the VUEWorks Project Team, which consists of the project
manager,junior and senior level consultants and technicians and a supportingteam of qualified individuals
with a wide variety of business, engineering and technical expertise.

4. Project Monitoring and Controlling

• Prepare monthly written progress reports and provide such reports to the City's Project

report should include accomplishments, critical issues, personnel utilized, and items planned for
the next reporting period. Upon request by the City's Project Manager, the Contractor shall report
more frequently.
• Prepare at a minimum, a Level III Microsoft� Project Plan, utilizing Microsoft� Project Professional
2003. This schedule will be utilized to track activities, resources, deliverables, key milestones,
overall progress and variances to the schedule. The schedule shall be updated with the progress
report. The Contractor will provide the schedule in electronic format to the City's Project Manager
upon request.
• The Contractor's Project Manager shall meet formally with the Cit�/s Project Management Team on
a monthly basis {or more frequently at the City's option) to review the project's progress.
• Prior to the commencernent of activities for each phase, the Contractor is required to submit a

A formal risk management plan format will be submitted to the City for approval within twenty (20)
business days after the effective date of the contract. DTS will submit a risk management plan for the
initial planning phase of the project. DTS understands that once both parties have agreed to the format
of the plan, it will become the standard to follow for the duration of the contrect. This plan will be
updated bi-weekly, unless another timeframe is agreed upon.
The purpose of the risk management plan is to specify the processes used to identify and manage risk.
The risk management plan addresses both internal and external project risks associated with the
projed, and is drafted prior to completion of the project planning phase. Both the risk management plan
and the risk log will be regularly reviewed throughout the project to monitor existing risks and to
identify new ones.
The projed manager is responsible forfacilitating sessions with project stakehoiders to identify risks. A
risk owner is assigned to each risk, with responsibility for developing, documenting and executing risk
action plans. The project rnanager is responsible for monitoring the status of all project risks and
escalating as appropriate.

City staff to support the Business Process Analysis portion of the project. A schedule for these
meetings will be deterrnined as well as the required resources and then these meetings will commence
immediately after the kick-off sessions.
The Current State analysis will focus on how operations are conducted today. These interviews will
consist of working sessions where the prectitioners of Asset Management will meet with the VUEWorks
project team. The interviews will focus on determining the data (GIS, Tabular, Hard-copy, electronic,
etc) that is available currently to support this project. The VUEWorks team will document the results of
these discussions to determine the best path for moving forward into the Gap Analysis portion of the
project.
During Gap analysis, the results from the Current State processes will be reviewed to determine what
the quality of the data is (Good, Fair, Poor) and if that data can be utilized as part of the Asset
Management project, This phase of the projed will also determine what needs to happen in terms of
data and processes to make sure that the information that is going to 6e loaded, integrated or linked to
VUEWorks meets the quality guidelines of the City.
Finally, the Future State analysis will commence with a thorough documentation of the "To-Be'
business processes. These processes will contain a high-level discussion related to how operations and
information should flow between the daily Asset Management functions and the VUEWorks software.

Each project begins with the instailation of the VUEWorks software in the target environment (On-
premise or VUEWorks-hosted). Installation sets up the framework from which all of the other tasks wil�
6e built upon. The VUEWorks software is a commercial-off-the-shelf (COTS) product that can be
installed as an Asset Management platform. Once installed, this platform serves as the Asset
Management foundation, from which all configuration activities occur.
It is critical that the software is installed in this initial Gate, so that all future Gates can be configured as
the project moves forward.
After this Gate, VUEWorks will provide the following deliverables:
1. Developmerrt, Test and Production Environments Installed on-premise at the City of Fort
worth.
2. Installation Documentation related to the VUEWorks software.
Gate 3- Interfaces and lntegration — Deli�ered during each phase
VUEWorks' application database is SqL Server-based and will integrate with any ODBC-compliant
database or set of databases (SQL, Oracle, Access, Excel), coded in C#. The Data Linking functionality
that is native to the system was designed for integration 6etween the Core application and any third-
party system to ensure that other IT investments can be leveraged. The VUEWorks application also runs
wlthfn a virtualixed �rv�r environment.
DTS has extensive experience in the migration of data from the multiple systerns into the VUEWorks
solution. Migration tasks that could be used for this project (based on what data and integration APIs,
available documentation and need as determined collaboratively} include:
• Investigate exiting asset systems operational features and database structure for asset data.
. Provide the City system administrator(s) with an overview of the VUEWorks table structure,
data views and configuration options.
• DTS will prepare a detailed work plan that covers all aspects of the rnigration with assistance

requirements of the City. The following aspects of the migration will be covered in the work
plan:
• Functional requirements forthe asset data by asset type.
• Identification of asset types and fields that will be migrated to GIS feature classes for use by
VUEWorks.
• Identification of asset types and fields that will be migrated to the VUEWorks modules.
• Identification of the asset hiererchy that will be replicated in the VUEWorks modules.
• Identification and migration of dropdown field data that will 6e transferred. The functional
aspects of the dropdown fields will be migrated to GIS domains or VUEWorks dropdowns as
appropriate.
• Define data structure and templates required in the GIS or VUEWorks modules.
• Identification of any special considerations for the migration. (For instance, numerical data
should be migrated to a numerical field even if numerical data is currently stored in a text
field).
• Identification of any data that will not be transferred (obsolete data or data that has no value
to the City).
• Document data integrity issues discovered during the process. Data integrity issues consist
mostly of misspellings and/or inconsistent terminology. While it may be possi6le to address
some data integrity issues, DTS will be lirnited to docurnenting any issues discovered that may
be addressed in the future by the City.
• Plan to accommodate final migration of data immediately priorto the Go Live date.
• The City will review the work plan with DTS for approval. The review requires VUEWorks to
attend at least one on-site meeting. Additional meetingtime can 6e arrenged as needed using
telephone and/or screen sharing technology.
• DTS will execute the work plan collaboratively. DTS will be responsible for tasks that require
DTS' expertise with SQL Server Oracle and the VUEWorks database.
Sharing data between VUEWorks and other 3rd party systems can typically occur by one of two
methods. The first is by doing a periodic data import from a 3rd party system into VUEWorks. The
second method is by establishing a live one-directional link from a third party system into VUEWorks
using our ODBC-based Data Link technology.
VUEWorks will facilitate a discovery phase to review the City's systems for Human Resources,
Inventory, and Fleet with respect to integrations. The VUEWorks' SOW does not include the
development of any custom middleware to enable bi-diredional integrations. Moreover, integrations
are dependent on a hast of factors includ(ng the availability of an API, what formats can be
exported/imported, etc.
VUEWorks staff will work with the City's staff to determine where integretions are possible and which
of those need to be bi-directional and which can be one direction; from the 3`d party systern into
VUEWorks. Those that can be one direction into VUEWorks will be integrated using the VUEWorks Data
Link under the current contract.

estimate will be prepared for the City's consideration. Where possible and feasible, the Contrector will
design and build interfaces that will allow in6ound and outbound data exchange between the City's
applications and VUEWorks.
The City has identified the following interfaces:

• PeopleSoft
VUEWorks will support the creation of these interfaces as part of this consulting agreement. The actual
scope of work for these integrations will be determined as part of the business process analysis
functions of this project. This process will identify the type of integration needed:
• Extract, Transform, Load (ETL) One-Way— Interface is developed to read in data from source
database at a desired frequency (Hourly, Daily, Weekly, Monthly, etc.)
• Data Link— Direct database connection between source data and VUEWorks. Data is accessed
in real-time by VUEWorks.
• Bi-Directional — Data is accessed and loaded into VUEWorks using ETL tools at a desired
frequency. VUEWorks creates new data based on Resource Usage and then places data into a
staging data table (Data Isiand) for the original source database to Access (e.g. Peoplesoft).
To accomplish these integrations, VUEWorks envisions that a combination of Discovery meetings will
take place that will identify any Integration Points, Databases and Applications that will need an
interface developed. Next, the 4UEWorks team will architect the solution using a combination of
wireframes and Visio diagrams for the City to review, edit and approve. Once approved, the
middleware piece will be developed to support ETL operations and if required, the VUEWorks Web
Services API will be extended to accommodate these integrations.
Once the system has been developed, testing and de-bugging will begin using the City's VUEWorks
environment to make sure that all workflows are supported by this integration. Any bugs or defects
will be identified and correded during this phase of the testing period. Finally, users and
Aclministrators wiil be trained on the use and support of these tools before Go-Live to a larger
audience.
After this Gate, VUEWorks will provide the following delivere6les:

This data will be incorporated into the VUEWorks Facility module utilizing the followingtechnique:
1. Establish the Geographic location (point) of the Facility by Geocodingthe Address. This can
also be linked via an existing GIS address layer (Point or Polygon) supplied by the City.

Training—Delivered during each phase
VUEWorks will provide a variety of training services onsite and via the Internet. Training will be
conducted periodically throughout the implementation process and will be tailored to:

DTS will conduct targeted training for each of the assets outlined in the scope as part of the system
implementation. These training sessions are limited to 20 potential users in any one workshop. Our
training approach will be onsite initially; however, in terms of follow-up and ongoing training, we can
provid� a series of training typ�s:

workshops for: Internal users (a variety of types of users will be trained). Web-based or online
training. Decisions will need to be addressed to determine which types of users and courses

3. Built-In Tookips - The software application will have built-in tooltips, helps and prompts for
users.
4. Webinars - These courses can be flexible and customized for large groups of users or for select,

5. Train-the-Treiner - Under this treining model, the City's administrator(s) and other managers
(as desired) can be trained by eitherthetraining team orthe implementation team.
Note: We find that one on one training for a minimum of two 4 to 6 hour sessions is optimal. After the
initial one on one sessions, remote training is highly effective {e.g. GoToMeeting or WebEx). The
duration of treining is a function of the nurnber of modules in use more than the number of user
groups/roles. As with the Enterprise training options — all training is done on an exact copy of the
production system.

Mobile Field Unit Considerations
To mobilize or not to mobilize? That is not the only question to be!
VUEWorks Scope af Work
Most agencies recognize the benefits of providing mobile field computing to their field workforce. First,
it provides a tool for consistent and accurate data capture in the field. And second, it reduces the need
for additional data entry personnel back in the office to take the day's paper work order inforrnation
and key it into your work and asset management software. These 6enefits from field computing
outweigh the cost of providing the mobile computing hardware to your staff, and with the affordability
and options availa6le today, your Return on Investment is often within the first year. But what are the
other consideretions when looking at going mo6ile?
When considering mobi�izing your field workforce with field computing, there are numerous
considerations that will lead you in selecting the right tool for the jo6 at hand. When it comes to
automating your field workforce with laptops, smartphones or tablets, it is not a matter of one size fits
all. The worker and the work they do will help dictate which mobile device is most appropriate. A large
part of your initial consideration relates to the software functionality the worker will need to access on
the device.
When considering deploying VUEWorks in the field, users have two options in software and four
options in hardware devices from which to consider and choose.
The two software options include accessing the full VUEWorks application via a web browser using an
Internet connection or utilizing the VUEWorks MobileVUE application running on an i05 or Android
operating system in a connected or disconnected mode. MobileVUE provides a store-forward offline
capability for performing work orders in those areas that do not always have Internet coverage.
When considering your software options for the field, you will want to consider the activities and data
the user may need to access in the field, and the business tasks they may wish to perform in the
software in order to determine the right fit for that individuai user. Typically when dealing with
software applications, the mobile app versions of the software are scaled down veRions of the full
software application and are designed to perform a select group of business functions and therefore do
not provide the full breadth of application functionality found in the desktop version of the software.
A field worker or crew who will be going into the field with preassigned work orders in VUEWorks to
perform a work order activity and/or condud an asset inspedion can uti�ize the MobileVUE app.
MobileWE aiso provides the field worker the option of creating new work orders on an as-needed
basis in the field. Field crews can use MobileVUE in a connected manner using a MiFi connection or a
cellular data plan tied to an i05 or Android device, or can manage synchronized work orders and
condition inspection records on the device in a disconnected manner; synchronizingthe device with the
database usin� a wireless (cellular ar �Ni-Fi) or hard wired connection at the appropriate time and
place.
Those individuals that need to manage more than just their own work and may need to access the
majority of the full VUEWorks system will want to use the full VUEWorks application functionality by
accessing the program through a desktop Internet web browser, typically on a laptop or hybrid
laptop/tablet ru�ning a Windows operating system. Under this scenario, the users tend to he field

supervisors who oversee multiple crews work orders or find themselves having to answer questions in
the field related to data contained in the VUEWorks data6ase regarding assets, service requests, work
orders or labor, equipment or material resources. When using VUEWorks in the field, the userwill need
Internet access via a Wi-Fi or MiFi connection or cellular card built into their hardware device. It is
common for supervisors to use a laptop like a Toughbook along with a MiFi cellular hotspot to access
the VUEWorks software in the field. Hybrid laptop/ta6lets like the Microsoft Surface and Surface Pro
are also gaining interest as a tool forfield use with W EWorics.
Once you know which software functions your workers will need in the field you will then be able to
determine whetheryou will need to use WEWorks through a desktop browser or the MobileVUE app
running on a smartphone or tablet. Once you have rnade the determination, you will then be able to
look at your hardware options: laptop, laptop-tablet hybrid, smartphone ortablet.
We will briefly discuss some of the pros and cons to each hardware option next:
Smartphones — Smartphones are an easy to use tool that most workers have experience with and often
times have assigned to them, so they are a desired consideration for many agencies. Android and iOS
based phones can run the MobileVUE app to manage work orders and asset condition inspection
records. The draw back with most smartphones will be the small screen and keyboard forviewing and
entering information into MobileVUE. If the field worker wishes to interact with a GIS map as well as
the work order and condition records, smartphones repidly become an unattrective option.
Tablets — Tablets running an Android or iOS operating system are ideal for working with MobileVUE
because they offer a larger screen for viewing your information on a GIS map. Tablet keyboards also
offer more onscreen space for typing information. Tablets also offer peripheral keyboard extensions for
entering information for those who do not like typing on a ta6let screen's virtual keyboard. Another
benefit to tablets running MobileVUE is the fact that you can enter information in a disconnected
mode. This can be beneficial for agencies who have spotty cellular coverage in their communities.
Tablets are also easy to work with outside of the work vehicle.
Laptops — Although laptops are typically the most expensive device to deploy in the field, and they are
difficult to work with outside of your work vehicle, they do offer benefits that smartphones and tablets
do not. First, they can run the full W EWorks application in a desktop browser, providing full access to
all the data and functionality VUEWorks has to offer right in the field. Second, they can double as a
supervisor's office PC. Another considerations when looking at using laptops in the field is the fact that
they require a real-time connection with the database via a cellular, MiFi or Wi-Fi connection in order
to access or update data in the field.
Laptop-Tablet Hybrid — A cornbination laptop-tablet hybrid, like the Microsoft Surface, are tablet
devices that run a full Windows operating system and have a full keyboard extension that can be used
along with the touchscreen. These devices, like the traditional laptop, allow you to access the full
functionality of VUEWorks via a desktop web browser like Internet Explorer, Chrome or Firefox, with
the added benefit of using its touchscreen like a tablet. This provides the ability to easily use the device
outside of the work vehicle.
The following matrix may 6e used in helping determine the right software {VUEWorks v. MobileVUE}
and the right hardware (smartphone v. tablet v. laptop v. hyhrid) for your different field workers. You
mayfind that different workers require different devices and software.

RECOMMENDATION:
It is recommended that the City Council authorize Execution of a Master Purchase Agreement with Data
Transfer Solutions LLC, for an enterprise asset management system and property management condition
assessment for the Transportation and Public Works Department, Park and Recreation Department and
Property Management Department using North Central Texas Council of Governments Contract No.
NCTCOG RFP NCT-2016-14 in the total amount up to $2,002,405.00 for the first year.
DISCUSSION:
The Information Technology Solutions Department (ITS) will use this Master Purchase Agreement with
Data Transfer Solutions LLC (DTS) to implement an enterprise asset management system that will be used
by multiple city departments. DTS will also perform a condition assessment for the Property Management
Department.
The need to acquire this cross-departmental asset management system resulted from several City work
sessions to determine if an enterprise asset management system could be used to track and maintain
assets that require periodic reactive or routine maintenance to keep them in a good state of repair. The
system will help departments assess, evaluate and assist with planning and maintaining alignment with
departmental goals and provide efficient, cost-effective utilization of limited resources between multiple
departments. This is critical to effectively maintain the departments' infrastructure and assets in a
sustainable state of good repair.
The software will be deployed in the Transportation Public Work� 9��artment (Streets/Traffic), Property
Management Department (Facilities) and the Park and Recreation Department. The following activities will
be performed for each department as part of this effort:

System, Module, and Form Configurations (Example: Streets, Curb/Gutter,

There will be an annual impact on the operating budgets in the amount of $50,000.00 to support the
maintenance of the software system. Departments will be responsible for planning resources for continued

COOPERATIVE PURCHASE - The Purchasing Division will use the North Central Texas Council of
Governments( NCTCOG) Contract No. NCTCOG RFP NCT-2016-14 to purchase the enterprise asset
management system. State law provides that a local government purchasing an item under a Cooperative
Purchasing Agreement satisfies state law requiring that the local government seek competitive bids for
purchase of the item. The NCTCOG contract has been competitively bid to increase and simplify the
purchasing power of government entities that elect to participate in the cooperative purchase.
M/WBE OFFICE - A waiver of the goal for MBE/SBE subcontracting requirements was requested by the
Purchasing Division and approved by the M/WBE Office, in accordance with the BDE Ordinance because
the purchase of goods or services is from sources where subcontracting or supplier opportunities are
negligible.
ADMINISTRATIVE CHANGE ORDER - An administrative change order or increase may be made by the
City Manager in the amount up to $50,000.00 and does not require specific City Council approval as long
as sufficient funds have been appropriated.
AGREEMENT TERMS - With City Council's approval, the Agreement began on December 14, 2016 and will
end on December 31, 2017 to correspond with the terms of the cooperative contract.
RENEWAL OPTIONS - This Agreement may be renewed for up to five additional one-year terms at the
City's option providing the North Central Texas Council of Governments renews its cooperative
contract. This action does not require specific City Council approval provided that the City Council has
appropriated sufficient funds to satisfy the City's obligations during the renewal term.
FISCA� INFORMATION/CERTIFICATION:
The Director of Finance certifies that funds are available within the existing appropriations of the
participating departments for these expenditures and that prior to an expenditure being made, the
participating department has the responsibility to validate the availability of funds.
