THIS AGREEMENT, made and entered into this day of
_���.% L� ;,� , 2017, by and between LVG Investments. LLC, acting by
and tluough Louis V. Gennarelli, hereinafter referred to as "Landowner", and the City of
Fort Worth, hereinafter refel7�ed to as "Cit�'.
WITNES SETH
WHEREAS, the Landowner is the owner of cet-tain real property described as an
approximately 0.0121 acre tract located in the H.H. Car�•oll Survey, Abstract 264, Tarrant
County, Texas according to the deed recorded in Instrument Number D207124391.
Official Public Records, Tarrant County, Texas, hereinafter called the "Property".
WHEREAS, the Landowner is proceeding to build on and develop the Property
according to the Site Plan/Subdivision Plan known as Crystal Sprin�s hereinafter called
the "Plan", which is expressly made a part hereof, as approved or to be approved by the
City and the Landowner provides for management of Stormwater and its runoff quality
within the confines of the Property; and
WHEREAS, this Agreement shall run with the land and apply to the Landowner,
its successors and assigns. The term "Landowner" shall refer to the then-current legal
owner of the Property and/or the Facility as same are herein defined; and WHEREAS, the
Landowner has determined that on-site Stormwater Management Facilities to control
trash, debris and other floatable materials ("Facility") should be constructed and
maintained on a portion of the Property; and
WHEREAS, the City requues that the Facility, whether one or more, as shown on
the Plan be constructed and adequately maintained by the Landowner the locations of
which are as shown in the attached Exhibit "A" ("Facility Property"); and

NOW, THEREFORE, in consideration of the foregoing premises, the mutual
covenants contained herein, and the following terms and conditions, the parties hereto
agree as follows:
1. The Landowner shall adequately construct and maintain the Facility at no
expense to the City of Fort Worth in accordance with the design specifications
for the Facility, attached as Exhibit "B", and the current standards then in force
and effect in the City of Fort Worth and with the Operations and Maintenance
Plan attached to this Agreement as E�ibit "C". The Facility includes all
structures required to control the quality of the storm water. Adequate
maintenance is herein defined as good working condition so that these facilities
are performing their designed functions. Maintenance forms provided by the
City, or an equivalent provided by the manufacturer of the Facility, attached
to this Agreement as E�ibit "D", are to be used to establish what good
working condition is acceptable to the City.
2. If the Landowner contracts the maintenance of the Facility with a qualified
third-party, Landowner shall attach a copy of the contract to this Agreement as
Exhibit "E".
3. The Landowner shall inspect or shall cause to be inspected the Facility at least
quarterly, using the form in Exhibit D, and shall be submitted to the City
quarterly. The purpose of the inspection is to assure safe and proper
functioning of the Facility. The inspection shall cover the entire Facility.
Components of the Facility which need maintenance or replacement to perform
theu design function, shall be noted in the inspection report along with the
conective actions to be taken. The corrections identified in the inspection
report must be corrected within the 3 month period in which the next
inspection report is requued.
4. The Landowner hereby grants permission to the City, its authorized agents and
employees, to enter upon the Property to inspect the Facility whenever the City
deems necessary. The inspection may involve follow-up on reported

deficiencies and/or to respond to citizen complaints. The City shall provide the
Landowner copies of the inspection findings and a d'u•ective to commence with
maintenance and repairs if necessary.
5. In the event the Landowner fails to maintain the Facility as specified herein,
the City, its authorized agents and employees, may enter upon the Facility
Property and talce whatever stens necessarX to correct deficiencies identified in
the inspection report to protect public health, safety and welfare and to charge
the costs of such maintenance and repairs to the Landowner. It is expressly
understood and agreed that the City is under no obligation to routinely
maintain or repair the Facility, and in no event shall this Agreement be
construed to impose any such obligation on the City, such obli�ation is the
Landowner's.
6. The Landowner will perform the work necessary to keep the Facility in good
working order as appropriate. In the event the City pursuant to this Agreement,
performs work of any nature, or expends any funds in performance of said
work for labor, use of equipment, supplies, materials, and the like, the
Landowner shall reimburse the City upon demand, within thirty (30) days of
receipt thereof, for all actual costs incurred by the City hereunder. In the event
that Landowner fails to pay the City for the costs incurred under this section,
the City shall impress a lien for the costs of such work upon other lots owned
by the Landowner. Such lien shall be perfected by filing in the office of the
County Clerk of the county in which the Facility lies, an affidavit identifying
the real property to be charged with such lien, stating the amount thereof, and
malcing reference to this Agreement.
7. This Agreement imposes no liability of any kind whatsoever on the City. THE
LANDOWNER AGREES TO HOLD THE CITY HARMLESS FROM
ANY LIABILITY IN THE EVENT THE FACILITY FAILS TO
OPERATE PROPERLY. LANDOWNER COVENANTS AND AGREES
AND DOES HEREBY INDEMNIFY, HOLD HARMLESS AND DEFEND
THE CITY OF FORT WORTH, ITS AGENTS, SERVANTS AND
EMPLOYEES FROM AND AGAINST ALL COSTS, EXPENSES,

LOSSES, DAMAGES, CLAIMS OR CAUSES OF ACTION
WHATSOEVER ARISING, OR WHICH MIGHT ARISE, FROM THE
FAILURE OF LANDOWNER TO: PROPERLY INSTALL, MAINTAIN
AND REPAIR THE FACILITY, OR ANY DAMAGES CAUSED TO
PERSON OR PROPERTY DUE TO (1) FLOODING ATTRIBUTED TO
THE FACILITY , OR (2) IMPROPER INSTALLATION,
MAINTENANCE AND REPAIR OF THE FACILITY ,.
8. Landowner covenants and agrees that no habitable building shall be erected
within the drainage easement outlined on Exhibit "A" but this paragraph shall
not preclude construction of other improvements within the drainage easement,
which do not impede access to the Facility. This Agreement shall be recorded
among the land records of Taz�rant County, Texas, shall constitute a covenant
running with the land, and shall be binding on the Landowner, its
administrators, executars, assigns, heirs and any other successors in interests,
including any property owners association.

We are pleased to submit our report for the above refe�•enced project. Tlie pucpose of this repo►-t is to
provide a peer review of the hydraulic calculations, and shop drawings for tl�e two (2) proposed CDS
u»its �t the above referenced project location. We have evalu�ted the hydraulic calculations, and
shop drawings and agree khey conform to accepted industry standards for these product types. The
water quality flow rates through the CDS units proposed to be installecl at the project site have been
vecified to be within the Manufacturer's (Contech) published treatment flow rates of the CDS units as
shown in the attached calculations. We hlve not made an independent verification of the data used to
perform the calculations, and are assuming all initial assumptions and data are correct as presented to
us, No structural design calculations or details have been reviewed in conjunction with this project
and others than CBC are responsible for all othec aspects of this project including but not limited to
the structucal design and buoyancy evaluation. We have accocdingly signed aiid sealed this report
containing the calculations and shop drawings, and they are attached in Appendix A and A�pendix B
of Niis repoct, respectively.

A. Scope

in the Drawings and these specifications.

1.2 QUALITY ASSURANC�S
A. Inspection
Alt components shall be subject to inspection by the engineer at the place of
manufacture and/or installation. AJI components are subject to �•ejected or
identified fot� repair if #he quality of materials and manufacturing do not aomply
with the requirennents of this specificatian, Components which have been
identified as defective may be subject for repair where final acceptance of the
component is contingent on the discretion of the Bngineer.
B. Warranty
The manufacturer shail guacantee the SWTD components against ail
manufacturer originated defects in materiafs or workmanship for a period of
twalva (12) months from the date the components are delivered to the owner for
instatlation. The manufacturer shall upon its detertnination repai►•, correct oi•
replace any rnanufacturer originated defects advised in writing fo the
tnanufacturer within the refe�•enced warranty periad, Tha use of SWTD
components shall be fimited to the application fat� which it was speci�icai(y
designed,

The SWTD manufacturer shall submit to the Engineer of Record a
"Manufacturei's Performance Cei�tifioation" ce�•tifying #hat each SWTD is
capabie of achieving the specified removai efftciencies listed in these
speci�cations. The certification sha11 be supported by independent third-party
research.

2.2 PERFORMANCE
A. REMOVAL EFFICIENCIES
I. The SWTD shali be capabie of achieving an 80 percent average annual
reducfion for a par•ticle distribution having a mean pariicle size (dso) of 125
microns
The SWTD shall 6e capable of captiiring and cetaining 100 pe�•cenf of
polluta��ts greater than or equaf to 3/16 of an inch regardless of the
pollutant's speci�ic gravity {i.e.: floatable and neutrally buoyant materials)
for fJows up to the device's rated-treatment capacity. The SWTD shall be
designed to retain atl previous[y captared po[lutants addressed by this
subsection under all flo�v conditions.
The SWTD shall be capable of captui•ing and �•etaining total petroleum
hydrocar�bons. The S�1VTD shail be capab(e of achieving a t•emova!
efficiency of 92 and 7$ percent when the device is operating at 25 and 50

captured sediments and other negativeIy buoyant pollutants in between
maintenance cycles, The minimum storage capacity provided by the sump
chamber shall be in accordance with the volume listed in Table I. The
boundaries of the sump chamber shall be Iimited to that which do not
degrade the SWTD's treatmant efficiency as captuced poilutants accumulata.
The sump chambe�� shali be separate from the treatinent processing
portion(s) of the SWTD to minimize the pi•obabiiity of �ne pai�ticle re-
suspension, In ocder to not restcict the Owner's ability to maintain the
SWTI7, the minilnum dimension p�•oviding access from the ground sui•face

site guidance during the important stages of the installaiion as ideniifiec! by the
rr�anufacturer at no additional expense. A miniinum of 72 hours notice shall be
provided to the manufacturer px�ior to theiz� pei-farmance oi the services inctuded
under this subseetian�
2. The contractor shall fiil all voids associated with lifting provisiot�s p�•ovided by
the manufacturer. These voids shall he �Iled with non-shrinlcing grout
providing a finished su�•face consistent with adjacent surfaces. The eontractor
shall irim a11 protruding lifting pravisions flush with the adjacent conc��ete
surface in a manner, which leaves no sharp points or edges.
3, Tha contcactar shall removal aIl loose inateciai and pooling water from ihe
SWTD pt•ior to the trans�er of opet•afional responsibility to the Owner.

The only responsibility the City of Fort Worth has in the operation and
maintenance of this Facility is inspection.
General Maintenance Procedures
The structural and functional integrity of the Facility shall be maintained at all
times by following the manufacturer recommendations for maintaining the system,
or once every 6 months, whichever is of the shorter duration
Disposal of litter, sediment, and debris shall be in accordance with federal, state
and local regulations.
PREVENTIVE MAINTENANCE/INSPECTION
• Visual inspections of all components will be conducted every 3 months and
documented in the manufacturer supplied or City's inspection form (Exhibit
)
• The inspection form shall document the condition of the Facility's
components, Inspections for each water quality device shall be performed
using the form below, or equivalent from the manufacturer of the device. If
performing inspections using manufacturer's inspection list, attach to
Exhibit C.
• Written maintenance and repair records shall be maintained by the
party or parties signing the attached Agreement and shall be provided
to the City quarterly.

Maintenance
The CDS system should be inspected at regular intervals and
maintained when necessary to ensure optimum performance.
The rate at which the system collects pollutants will depend more
heavily on site activities than the size of the unit. For example,
unstable soils or heavy winter sanding will cause the grit chamber
to fill more quickly but regular sweeping of paved surfaces will
slow accumulation.
Inspection
Inspection is the key to effective maintenance and is easily
performed. Pollutant transport and deposition may vary from
year to year and regular inspections will help ensure that the
system is cieaned out at the appropriate time. At a minimum,
inspections should be performed twice per year (e.g. spring
and fall) however more frequent inspections may be necessary
in climates where winter sanding operations may lead to rapid
accumulations, or in equipment washdown areas. Installations
should also be inspected more frequently where excessive
amounts of trash are expected.
The visual inspection should ascertain that the system
components are in working order and that there are no
blockages or obstructions in the inlet and separation screen.
The inspection should also quantify the accumulation of
hydrocarbons, trash, and sediment in the system. Measuring
pollutant accumulation can be done with a calibrated dipstick,
tape measure or other measuring instrument. If absorbent
material is used for enhanced removal of hydrocarbons, the level
of discoloration of the sorbent material should also be identified
during inspection. It is useful and often required as part ot an
operating permit to keep a record of each inspection. A simple
form for doing so is provided.
Access to the CDS unit is typically achieved through two mannole
access covers. One opening allows for inspection and cleanout
of the separation chamber (cylinder and screen) and isolated
sump. The other allows for inspection and cleanout of sediment
captured and retained outside the screen. For deep units, a
single manhole access point would allows both sump cleanout
and access outside the screen.
The CDS system should be cleaned when the level of sediment
has reached 75% of capacity in the isolated sump or when an
appreciable level of hydrocarbons and trash has accumulated.
If absorbent material is used, it should be replaced when
significant discoloration has occurred. Performance will not be
impacted until 100°/o of the sump capacity is exceeded however
it is recommended that the system be cleaned prior to that
for easier removal of sediment. The level of sediment is easily
determined by measuring from finished grade down to the
top of the sediment pile. To avoid underestimating the level of
sediment in the chamber, the measuring device must be lowered
to the top of the sediment pile carefully. Particles at the top of
the pile typically offer less resistance to the end of the rod than
consolidated particles toward the bottom of the pile. Once this
measurement is recorded, it should be compared to the as-built
drawing for the unit to determine weather the height of the
sediment pile off the bottom of the sump floor exceeds 75% of
the total height of isolated sump.
Cleaning
Cleaning of a CDS systems should be done during dry weather
conditions when no flow is entering the system. The use of a
vacuum truck is generally the most effective and convenient
method of removing pollutants from the system. Simply remove
the manhole covers and insert the vacuum hose into the sump.
The system should be completely drained down and the sump
fully evacuated of sediment. The area outside the screen should
also be cleaned out if pollutant build-up exists in this area.
In installations where the risk of petroleum spilis is small, liquid
contaminants may not accumulate as quickly as sediment.
However, the system should be cleaned out immediately in
the event of an oil or gasoline spill should be cleaned out
immediately. Motor oil and other hydrocarbons that accumulate
on a more routine basis should be removed when an appreciable
layer has been captured. To remove these pollutants, it may
be preferable to use absorbent pads since they are usually less
expensive to dispose than the oil/water emulsion that may be
created by vacuuming the oily layer. Trash and debris can be
netted out to separate it from the other pollutants. The screen
should be power washed to ensure it is free of trash and debris.
Manhole covers should be securely seated following cleaning
activities to prevent leakage of runoff into the system from above
and also to ensure that proper safety precautions have been
followed. Confined space entry procedures need to be followed
if physical access is required. Disposal of all material removed
from the CDS system should be done in accordance with local
regulations. In many jurisdictions, disposal of the sediments may
be handled in the same manner as the disposal of sediments
removed from catch basins or deep sump manholes.

top of the sediment pile and the other from the manhole opening to the water surface. If the difference between these measurements is less
than the values listed in table 1 the system should be cleaned out. Note: to avoid underestimating the volume of sediment in the chamber,
the measuring device must be carefully lowered to the top of the sediment pile.
For optimum performance, the system should be cieaned out when the fioating hydrocarbon layer accumulates to an appreciable thickness. In
