AMENDMENT NO. 2 TO
CITY SECRETARY CONTRACT NO. 42063
GEOTECHNICAL AND MATERIALS TESTING AGREEMENT
This Amendment is entei•ed into by and between the City of Fort Worth ("City") and
Terracon Consultants, Inc. (`Bngineer").
WHEREAS, the parties have pi�eviously entered into City of Fort Worth City Secretary
Contract No. 42063 (the "Agreement"), which was executed on July 29, 2011 and which was
subsequently renewed two times pursuant to its items; and
WHEREAS, the parties amended the Agreement (City Secz•etai•y No. 42063-A1) on
April 27, 2015 to extend the termination date, specify the scope and provide for an increase in
compensation; and
WHEREAS, the Contract as renewed and amended was due to expire on April 26, 2016
but is related to an; on-going project, construction of Dirlcs Road n/k/a Altamesa Blvd. (CPN
00768), which is not yet completed; and
WHEREAS, additional Work is i•equired under the Agt•eeinent for the Dirks Road/Altamesa
Blvd. Pi•oject as memorized in a letter dated Ju15, 2016, attached hereto; and
WHEREAS, it has become necessary to execute Amendment No. 2 to the conh•act to
increase scope of work and inci•eased fee in the amount of $34,709; and
WHEREAS, the City and Engineer desire to amend the Agreement to provide materials
testing to woi•k assigned prior to the expiration of the Agreement which has not been completed
to date;
NOW, THEREFORE, City and Engineer acting herein by the through their duly
authorized representatives, enter• into the following agreement to amend the contract:
Article III, Section 3. The tei-m of the Contract is hereby amended to extend the term to
expire September 30, 2017, unless terminated eai•lier in accordance with the Contract.

Article II, Section 2 is hereby amended to add the amount of $34,709 to the annual
compensation to Engineer.
3.
All othei• provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.
This Amendment is effective as of the date subscribed by the designated City Manager.

Dear Mr. Hernandez,
We appreciate the opportunity to submit our proposal to provide continued construction
observation and material testing services for the above referenced project. This proposal
describes our understanding of the project and the scope of services we are being asked to
provide. It also includes our unit rate fee schedule and addresses the conditions under which
services will be provided.

Based on our understanding of the project, we propose to provide observation and testing
services on an As-requested basis during the following phases of construction:
o Utility related construction
o Lime treated subgrade construction
o Concrete construction
Utility related services could include but is not limited to:
Sampling and laboratory testing of soil and aggregate materials proposed for use during
backfilling operations. The laboratory tests would include Atterberg Limits and sieve analysis
for sample classification, and Standard Proctor tests to establish the moisture-density
relationship for use in evaluating the percent compactions for field density tests.
In-place moisture and density measurements by the nuclear method.
Lime treated subgrade related services could include but is not limited to:
Sampling soil and perform Atterberg Lirnits and lime series to determine percentage of lime
required for lime saturation,

Sampling and laboratory testing of soil/lime mixture from project site The laboratory tests
would include Atterberg Limits and sieve analysis for sample classification, and Standard
Proctor tests to establish the moisture-density relationship for use in evaluating the percent
compactions for field density tests.
In-place moisture and density measurements by the nuclear method.
Concrete related services could include but is not limited to:
Field sampling and testing of concrete for slump, air content and temperature
Making, transporting, curing and testing cylindrical test specimens
Qualified staff will be assigned and scheduled as available to perform the requested
service. This can result in changes in personnel assigned to the project. We request a
minimum of 24 hours' notice to schedule our services, although we will attempt to meet
requests in a shorter time frame. However, we cannot be responsible for additional costs
to the project when adequate notice is not given for us to me�t the desired schedule.
When our staff is on-site, we ask that the Client's designated representative coordinate
with our project manager to confirm when and where observation and testing services are
needed. It will not be possible for us to comment on the suitability of materials we have
not been directed to observe and test.
Whenever possible, our staff will report the results of tests performed in the field to the
Client's designated agent before leaving the site. Terracon's innovative and proprietary
software application called Construction Materials Engineering and Lab Management
System (CMELMS) will be utilized to comprehensively manag� the volumes of data that
will be created. Technicians' schedules, costs, and budgets are traciced and daily
progress is communicated to keep owners and the design/construction team informed
every step of the way.
With CMELMS our goals ar� simple. We will deliver:
s Written notification of deviations within 24 hours
� Field reports in no more than five business days from when field services were
provided (typically 1 to 2 days)
m Laboratory reports in no more than two business days from when the laboratory
services were completed (typically 0 to 1 day)
If tests/inspections made indicate non-compliant with the contract documents or
referenced specifications, we will promptly notify the on-site contractor personnel so

corrective action can be taken and documented. Failing tests or non-conformance items
(deviations) are immediately relayed to the designated parties, and draft reports are
available at the end of each day. The test results and inspection information are quic{<ly
entered into the system and formal reports are produced. Failing tests and project
deviations are easily tracked in a tabular Project Deviation Log which is distributed to all
appropriate parties when deviations are reported.
The Client will be responsible for providing us a complete set of plans and specifications
at the start of the project and providing copies of all subsequent revisions and approved
submittals/structural steel shop drawings that relate to our services.

Services provided will be billed at the unit rates shown on the attached fee schedule (Exhibit A).
Based upon information provided by the City of Fort Worth and Austin Road and Bridge we
estimate that the remaining observation and testing services will cost $34,709.00. Our services
will originate from our Fort Worth, Texas office location and involve charges for travel time and
mileage between the two locations.
The quantity of the worl< performed and factors beyond our control, such as weather and the
contractor's schedule/efficiency, will affect the actual cost for our services. You will be invoiced
at regular intervals but not less than monthly for services perFormed. Invoices for our services will
be directed to the addressee of this letter unless we are directed otherwise. Payment is due within
thirty (30) days following receipt of an invoice.
All services must be scheduled through our dispatch office (817-268-8600) at least 24 hours in
advance. Cancellations shall also be through our dispatcher prior to 4:30 pm the day prior. Our
dispatch office is available between the hours of 7:30 am - 4:30 pm, M-F. After hours calls are
handled by our voice mail system. It is recommended that you schedule services through our
dispatch office during our regular working hours noted above. Voice mail is checked the following
morning. Sarne day call-ins or after hour voice mail call-ins for work the following day are subject
to the availability of personnel. We cannot guarantee service for same day call-ins.

Client shall secure all necessary site related approvals, permits, licenses, and consents
necessary to commence and complete the services and will execute any necessary site access
agreement. Terracon will be responsible for supervision and site safety measures for its own
employees, but shall not be responsible for the supervision or health and safety precautions for

any third parties, including Client's contractors, subcontractors, or other parties present at the
sife.

Client understands that testing and observation are discrete sampling procedures, and that such
procedures indicate conditions only at the depths, locations, and times the procedures were
performed. Terracon will provide test results and opinions based on tests and field observation
only for the work tested. Client understands that testing and observation are not continuous or
exhaustive, and are conducted to reduce — not eliminate — project risk. Client agrees to the level
or amount of testing performed and the associated risk. Client is responsible (even if delegated
to contractor) for notifying and scheduling Terracon so Terracon can perform these services.
Terracon shall not be responsible for the quality and completeness of Client's contractor's work
or their adherence to the project documents, and Terracon's performance of testing and
observation services shall not relieve contractor in any way from its responsibility for defects
discovered in its work, or create a warranty or guarantee. Terracon will not supervise or direct the
work performed by contractor or its subcontractors and is not responsible for their means and
methods.
