MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING ("MOU") is entered into by and
between the City of Fort Worth, Texas, a home-rule municipal corporation situated in Tarrant,
Denton and Wise Counties, Texas, hereinafter called "Fort Worth," acting herein by and through
Libby Watson, its duly authorized Assistant City Manager, and the City of Forest Hill, Texas, a
home-rule municipal corporation situated in Tarrant County, hereinafter called "Forest Hill", acting
herein by and through Sam Hill, its duly authorized City Manager. Fort Worth and Forest Hill are
collectively referred to herein as the"Parties".
WITNESSETH :
WHEREAS, Fort Worth owns and operates the Southeast Landfill which accepts Municipal
Solid Waste for disposal;
WHEREAS, the entrance to the Southeast Landfill is currently located along Dick Price
Road which lies within the jurisdiction of the City of Kennedale;
WHEREAS, access to the Southeast Landfill on Dick Price Road is inadequate to meet
current traffic needs;
WHEREAS, the Texas Commission on Environmental Quality ("TCEQ") mandates that
access to the Southeast Landfill be safe and adequate;
WHEREAS, Fort Worth finds that it is in its best interests to gain ownership of the
access to the Southeast Landfill in order to fulfill TCEQ's requirements;
WHEREAS, it is in the best interest of Forest Hill to adjust its boundary lines in order to
better provide for the health and safety of its citizens;
WHEREAS, Fort Worth is seeking to acquire approximately 6.29 acres of private land
currently located within Forest Hill's city limits for the purpose of constructing a new road by
which Fort Worth may gain access to the Southeast Landfill;

WHEREAS, Forest Hill is seeking to acquire certain property in Fort Worth's city limits
on Alta Mesa Boulevard for future public purpose;
WHEREAS, Fort Worth and Forest Hill wish to clarify and determine their shared
boundary lines of Wichita Street, Anglin Drive and Lon Stephenson Drive to better address
public safety concerns;
WHEREAS, Fort Worth and Forest Hill now desire to adjust their corporate boundary
lines, whereby Fort Worth will release from its city limits and its exclusive extra-territorial
jurisdiction ("ETY) certain land described herein to be relinquished to and to become a part of
the city limits of Forest Hill, and Forest Hill will release from its city limits and its exclusive ETJ
certain land described herein to be relinquished to Fort Worth and to become a part of the city
limits of Fort Worth;
WHEREAS, the following boundary adjustments between Fort Worth and Forest Hill as
herein described, are in the best interests of the property owners and inhabitants of both cities;
WHEREAS, Texas Government Code, Chapter 791 authorizes the formation of interlocal
cooperation agreements between governmental entities to perform governmental functions and
services; and
WHEREAS, the Parties mutually desire to be subject to the provisions of Texas
Government Code, Chapter 791, also known as the Interlocal Cooperation Act for the performance
of road reconstruction and widening;
NOW THEREFORE, for and in consideration of the mutual covenants contained herein,
and other good and valuable consideration, the receipt and sufficiency of which are herby
acknowledged and confessed, the Parties hereto agree as follows:
1. Definitions
Including shall mean including but not limited to.
Reconstruction shall be defined as described in Section 4 b. i through iii.
Southeast Landfill shall mean the landfill owned by Fort Worth that accepts Municipal Solid
Waste, located at 6900 Dick Price Road, Fort Worth, Texas 76060 and all improvements
thereto.
2. Purpose
The purpose of this MOU is to set out the terms and conditions to be undertaken by Fort
Worth and Forest Hill for the boundary adjustment and conveyance of certain land described

herein. Fort Worth is seeking to acquire approximately 6.29 acres of land from private
landowners that is currently located within Forest Hill's city limits on which to construct an
adequate and safe entrance road into Fort Worth's Southeast Landfill ("Landfill Road").
Forest Hill is seeking boundary adjustments and reconstruction as defined herein, of certain
streets and the acquisition of title to approximately 4.72 acres of land owned by Fort Worth
and currently within Fort Worth's city limits. This MOU shall be a binding agreement,
establishing certain rights and duties for both Parties, and all covenants herein shall be
enforceable as allowable by law.
3. Land Transactions
a. Fort Worth, at its sole cost and expense, will close the purchases of certain parcels of
property located within the city limits of Forest Hill and described below from private
landowners pursuant to Fort Worth's purchase agreements with them (collectively the
"Landfill Road Parcels"). Promptly thereafter, Forest Hill, at its sole cost and expense, shall
disannex, release its ETJ, and allow for the annexation by Fort Worth of the Landfill Road
Parcels, described as follows:
i. Approximately 3.055-acre tract more particularly described on the attached
Exhibit 1.
ii. Approximately.024-acre tract more particularly described on the attached Exhibit 2.
iii. Approximately .774-acre tract more particularly described on the attached Exhibit 3.
iv. Approximately .176-acre tract more particularly described on the attached Exhibit 4
and additionally described as the eastern end of Glenn Court (this will also require
vacation by Forest Hill).
v. Approximately.939-acre tract more particularly described on the attached Exhibit 5.
vi. Approximately.496-acre tract more particularly described on the attached Exhibit 6.
vii. Approximately.838-acre tract more particularly described on the attached Exhibit 7.
Fort Worth agrees to relinquish back to Forest Hill's city limits any portion of the Landfill
Road Parcels described above that Fort Worth later deems in its sole judgment not to be
necessary for its purpose.
b. Fort Worth, at its sole cost and expense, shall convey to Forest Hill approximately 4.72
acres of land located along Anglin Drive and more particularly described in Exhibit 8, and
shall disannex the land, release its ETJ, and allow for the annexation of such property by
Forest Hill.

c. In exchange for the conveyance described in subsection b above, Forest Hill, at its sole
cost and expense, shall vacate in favor of Fort Worth the eastern end of Glenn Court,
which is an unimproved, platted street in Forest Hill within the proposed Landfill Road
Parcels, and shall also vacate and/or release, at its sole cost and expense, in favor of Fort
Worth any utility easements or rights-of-way located within or encumbering the proposed
Landfill Road Parcels that Forest Hill currently holds.
d. Fort Worth agrees to allow Forest Hill, at Forest Hill's sole cost and expense, to condemn
approximately 3.276 acres of property located north of the future right-of-way of Alta
Mesa Boulevard East, west of Forest Hill Drive and south of the current site of the Forest
Hill water tower more particularly described in Exhibit 9 to be used for Forest Hill's own
public purpose. Upon successful condemnation by Forest Hill, Fort Worth agrees that it
will disannex, release its ETJ, and allow for the annexation of such property described
above in favor of Forest Hill.
e. Both Parties agree that they will work cooperatively to prepare and execute all necessary
documents, including any and all Joint Resolution(s) and Boundary Agreement(s),
conveyance documents, and Interlocal Agreements as are necessary to carry out the terms
of this MOU in a timely manner.
4. Road Boundary Adjustment and Maintenance
a. Both Parties agree to adjust the boundary lines of the following named roads between Fort
Worth and Forest Hill to be redefined as such. In such case, Forest Hill acknowledges the
existence of water lines currently owned and maintained by Fort Worth under the surface of
such road, and the continued rights of Fort Worth to maintain and operate such water lines.
i. The boundary line of Forest Hill's city limit shall be the easternmost edge of the
right-of-way of Anglin Drive from its intersection with the northern right-of-way of
Freeman Drive to its intersection with the southern right-of-way of Lon Stephenson
Drive.
ii. The boundary line of Forest Hill's city limit shall be the southernmost edge of the
right-of-way of Lon Stephenson Drive from its intersection with the eastern right-of-
way of Forest Hill Drive to its intersection with the eastern right-of-way of Anglin
Drive.
iii. The boundary line of Forest Hill's city limit shall be the western most edge of the
right-of-way of Wichita Street from the southern right-of-way of Forest Hill Circle to
a location located north of the northern right-of-way of Alta Mesa Boulevard East.
b. Pursuant to Section 791.032 of the Interlocal Cooperation Act, Fort Worth and Forest Hill
shall enter into an Interlocal Agreement for the one-time reconstruction of such roads as

described in i. through iii below. Such Interlocal Agreement shall state that at its sole cost
and expense, Fort Worth shall widen the roads described in i. through iii below, as well as
reconstruct the roads. The one-time reconstruction shall be performed in accordance with
the specifications as described below.
i. Wichita Street from the southern right-of-way of US Highway 820 to a location north of
the northern right-of-way of Alta Mesa Boulevard East with existing pavement of thirty-
two (32) feet wide and provide a pulverized overlay reconstruction running a length of
five thousand one hundred (5,100) feet. The one-time reconstruction shall be performed
in accordance with the following general specifications:
The existing street surfaces will be pulverized to a depth of eight inches (8"). After
pulverization is completed, three percent (3%) portland cement shall be mixed with
the pulverized material. The pulverized material shall be compacted to ninety-five
percent (95%) per Fort Worth's Standard Specifications. After the pulverized
material is cured, two inches (2") of H.M.A.C. Type D will be placed over two
inches(2") of HMAC Type B.
ii. Anglin Drive from the southern right-of-way of I-20 Service Road to the southern
right-of-way of Lon Stephenson Drive widened to thirty feet (30) and provide a
pulverized overlay reconstruction running a length of five thousand six hundred and
sixty feet (5,660). The one-time reconstruction shall be performed in accordance with
the following general specifications:
The existing street surfaces will be pulverized to a depth of eight inches (8"). After
pulverization is completed, three percent (3%) portland cement shall be mixed with
the pulverized material. The pulverized material shall be compacted to ninety-five
percent (95%) per Fort Worth's Standard Specifications. After the pulverized
material is cured, two inches (2") of H.M.A.C. Type D will be placed over two
inches(2")HMAC Type B.
iii. Lon Stephenson Drive from the eastern right-of-way of Forest Hill Drive to the
western right-of-way of Anglin Drive widened to twenty five (25) feet and provide a
pulverized overlay reconstruction running a length of approximately five thousand
three hundred (5,300) feet. The one-time reconstruction shall be performed in
accordance with the following general specifications:
The existing street surfaces will be pulverized to a depth of eight inches (8"). After
pulverization is completed, three percent (3%) portland cement shall be mixed with
the pulverized material. The pulverized material shall be compacted to ninety-five
percent (95%) per Fort Worth's Standard Specifications. After the pulverized
material is cured, three inches (3")of H.M.A.C. Type D will be placed.

c. Fort Worth shall assume such governmental liability as against Forest Hill during the
one-time widening and reconstruction of such roads as described in this section. Such
liability shall cease upon completion of the road widening and reconstruction. Forest Hill
shall be solely responsible for all future maintenance of the roads following such
widening and reconstruction.
d. In lieu of Fort Worth's performing the one-time reconstruction and widening of the roads
described above, Forest Hill, (at its sole cost and expense, for soliciting and advertising
for bids) shall have the option of competitively bidding the work described above in
subsection b in compliance with all applicable laws, and Fort Worth shall make a one-
time payment in the amount of the winning bid up to a maximum of nine hundred eight
thousand dollars ($908,000). If Forest Hill elects this bid-and-payment alternative, then
following such payment Fort Worth will have no additional cost or responsibility for the
reconstruction and widening and/or rehabilitation of the roads as described above.
5. Construction and Maintenance of the Landfill Road
a. Forest Hill shall grant, at no cost to Fort Worth, any necessary easements and rights-of-way
to provide necessary access for Fort Worth's construction of the Landfill Road, specifically
including a temporary construction easement on the unvacated portion of Glenn Court. Fort
Worth shall be responsible, at its expense, for preparing and recording any documents
evidencing such easements or rights-of-way.
b. If applicable, Forest Hill shall provide at no cost to Fort Worth any permits that Forest Hill
may require for the construction of the Landfill Road.
c. At its sole cost and expense, Fort Worth shall institute and maintain a litter control program
to pick up trash and litter on the Landfill Road. Additionally, Fort Worth shall erect and
maintain a fence boarding the Landfill Road.
6. Other Matters
The Cities are aware that the Texas Department of Transportation has tentative design plans
for the widening of U.S. Interstate Highway 820/20 in the City of Forest Hill. The Cities
agree that the final design of U.S. Interstate highway 820/20 in the City of Forest Hill is of
significant importance to both cities. The Cities agree to act cooperatively to obtain a final
design of U.S. Interstate highway 820/20 in the City of Forest Hill that is in the best interest
of the Cities. In particular, the City of Fort Worth will cooperate with the City of Forest Hill
to seek to maintain an exit ramp for east bound traffic west of Anglin Avenue and an
entrance ramp for west bound traffic west of Anglin Avenue.

7. Immunity
It is expressly understood and agreed that, in the execution of this MOU, neither of the
Parties waives, nor shall be deemed hereby to waive, any immunity or defense that would
otherwise be available to it against claims arising in the exercise of governmental powers and
functions. By entering into this MOU the Parties do not intend to create any obligations,
expressed or implied, other than those set forth herein and this MOU shall not create any
rights in parties not signatories hereto.
8. No Third-Party Beneficiaries
This MOU shall inure only to the benefit of the Parties hereto and third persons not privy
hereto shall not, in any form or manner, be considered a third party beneficiary of this MOU.
Each Party hereto shall be solely responsible for the fulfillment of its own contracts or
commitments.
9. Non-assignability
Except as otherwise expressly provided herein, this MOU is non-assignable, and any
unauthorized purported assignment or delegation of any duties hereunder, without the prior
written consent of the other Party, shall be void and shall constitute a material breach of this
MOU.
10. Entirety
This MOU and all attachments incorporated herein by reference constitute the entire MOU
by the Parties hereunder, and any prior or contemporaneous oral or written agreements shall
be replaced or superseded by this MOU.
11. Severability
In case any one or more of the provisions contained in the MOU shall for any reason be held
to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or
unenforceability shall not affect any other provision of this MOU, and this MOU shall be
construed as if such invalid, illegal, or unenforceable provisions had never been contained
herein.
12. Venue
This MOU shall be construed under and in accordance with the laws of the State of Texas,
and the venue for any litigation arising from this MOU shall be in Tarrant County, Texas.

13. Authorization
The undersigned officers and/or agents of the Parties hereto are properly authorized officials
and have the necessary authority to execute this MOU on behalf of the Parties hereto, and
each party hereby certifies to the other that any necessary actions extending such authority
have been duly passed and are now in full force and effect.
14. Notices
Any notices (unless otherwise specified herein), bills, invoices or reports required by this
MOU shall be sufficient if sent by the Parties in the United States mail, postage paid, to the
address noted below:

called 75.78 acre tract of land conveyed to the city of Fort Worth by deed recorded

particularly described as follows using the Texas Coordinate System,North Central

Authorization to Execute a Memorandum of Understanding with the City of Forest Hill, Texas for the
Construction of the Southeast Landfill Road
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute a Memorandum of
Understanding with the City of Forest Hill, Texas for the Construction of the Southeast Landfill Road.
DISCUSSION:
Fort Worth owns and operates the Southeast Landfill which accepts municipal solid waste for disposal. The
entrance to the Southeast Landfill is currently located along Dick Price Road which lies within the
jurisdiction of the City of Kennedale. Access to the Southeast Landfill on Dick Price Road does not meet
the Texas Commission on Environmental Quality ("TCEQ") mandate that access be safe and
adequate. City staff recommends that it is in the best interest of Fort Worth to gain ownership of the access
to the Southeast Landfill in order to fulfill TCEQ's requirements. Fort Worth is seeking to acquire
approximately 6.29 acres of private land currently located within Forest Hill's city limits in order to construct
a new road for this purpose. Therefore, City staff is recommending the execution of a Memorandum of
Understanding ("MOU") with the City of Forest Hill to adjust their corporate boundary lines, whereby Fort
Worth will release from its city limits and its exclusive Extra-Territorial Jurisdiction ("ETY) certain land
described in the MOU to be relinquished to become a part of the city limits of Forest Hill; and Forest Hill will
release from its city limits and its exclusive ETJ certain land described in the MOU to be relinquished to Fort
Worth and to become a part of the city limits of Fort Worth.
Additionally, Forest Hill wishes to adjust its boundary lines in order to better provide for the health and
safety of its citizens. Forest Hill is seeking boundary adjustments and rehabilitation, as defined within the
MOU and in an amount not to exceed $908,000.00, of Wichita Street, Anglin Drive and Lon Stephenson
Drive, and the acquisition of title to approximately 4.72 acres of land owned by Fort Worth and currently
within Fort Worth's city limits.
The MOU sets out the terms and conditions to be undertaken by Fort Worth and Forest Hill for the boundary
adjustment and conveyance of land. It calls upon both municipalities to execute an Interlocal Agreement for
the rehabilitation of Wichita Street, Anglin Drive and Lon Stephenson Drive as well as Joint Resolution(s)
and Boundary Agreement(s) and conveyance documents as are necessary, in a timely manner. This MOU
shall be a binding agreement, establishing certain rights and duties for both parties, and all covenants within
shall be enforceable as allowable by law.
FISCAL INFORMATIONXERTIFICATION:
The Finance Director certifies that funds will be available for this MOU pending the sale and appropriation of
Certification of Obligation for the Southeast Landfill Road.
