HomeMy WebLinkAboutContract 33450 AMENDMENT NO. 2 STATE OF TEXAS § CITY SECRETARY CONTRACT NO. 27501 COUNTY OF TARRANT § WHEREAS, the City of Fort Worth (City) and Freese and Nichols, Inc., (Engineer) made and entered into City Secretary Contract No. 27591 (the Contract) which was authorized by the City Council by M&C C-19013 on the 3rd day of April, 2002; and WHEREAS, the Contract involves engineering services for the following project: Update of Water Master Plan WHEREAS, it has become necessary to execute Amendment No. 2 to said Contract to include an increased scope of work and revised maximum fee; NOW THEREFORE, City and Engineer, acting herein by and through their duly authorized representatives, enter into the following agreement which amends the Contract: 1. Article I of the Contract is amended to include the additional engineering services specified in the attached Exhibits Al, B, B2 132A, and B3A which are incorporated herein. The cost to City for the additional services to be performed by Engineer total $150,000.00. 2. Article II of the Contract is amended to provide for an increase in the fee to be paid to Engineer for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall not exceed $1,360,386.00. 3. All other provisions of the contract, which are not expressly amended herein, shall remain in full force and effect. Work under this attachment includes engineering services for water system improvements for the following: Preparation of an Individual Distribution System Evaluation (IDSE) Monitoring/Sampling Plan SECTION 1 - DESCRIPTION OF PROTECT,AMENDMENT AND SCHEDULE This Project consists of conducting an Individual Distribution System Evaluation to fulfill requirements of the Stage 2 Disinfectants and Disinfection By-Products Rule. The Individual Distribution System Evaluation (IDSE) will be completed in two phases with a regulatory review period in between the phases. Phase I includes preparation of an IDSE Monitoring/Sampling Plan in accordance with the requirements of the Stage 2 Disinfectant/Disinfection By-Products rule. This plan will be submitted to the Texas Commission on Environmental Quality (TCEQ) for a mandatory review. In addition,Task C of Phase I is for a Pipeline NET model update. Following the review and comments received back from the TCEQ on all of Phase I Tasks except Task C,Phase II will commence. Phase 11 will include preparation of an IDSE report including incorporation of the TCEQ's comments on the initial monitoring plan. SECTION 2 - BASIC SERVICES This section describes the services FNI will provide as basic services. Phase I Task A. Historical Data Review Al. Review historical data on TTHM, HAAS, HPC, chloramine residual, and temperature to be provided to Freese and Nichols (FNI) by the City of Fort Worth to identify "controlling month" for IDSE monitoring. Historical data shall include but not be limited to Stage 1 Disinfection By-products TTHM and HAAS data. A2. Compile historical data provided by the City of Fort Worth into report submission format. EXHIBIT A-1 Pacye 1 of 6 Task B. Upgrade Water Model to Stage 2 Disinfection By-Products Individual Distribution System Evaluations Standards B 1. Expand water distribution model to include all required water lines for IDSE including the following as outlined in the July 2003 Draft Proposal Guidance Manual for the Stage 2 Disinfection Byproducts Individual Distribution System Evaluation: • At least 50% of total pipe length in the distribution system • At least 75% of the pipe volume in the distribution system • All 12-inch diameter and larger pipes • All 8-inch and larger pipes connecting each pressure zone B2. Conduct up to (3) three extended period model runs to identify water residence times and mixing zones within the distribution system. 133. Prepare water quality mapping results showing residence times and mixing zones within distribution system for modeling results for up to four(4)conditions including the following: • Near Entry Point Sites • High Total Tri-Halo Methane Formation Sites • High Haloacetic Acid Formation Sites • Average Residence Time Sites B4. Analyze modeling and mapping results to recommend preliminary compliance monitoring sites for one round of field monitoring. B5. Attend one (1) meeting with City to discuss recommendations of sites to conduct one round of field monitoring. The City of Fort Worth shall be responsible for analysis costs associated with this one round of field monitoring. Sampling costs shall be covered by the State of Texas as is currently the policy for Stage 1 sampling. B6. Finalize and prepare seven(7)copies of the IDSE Monitoring/Sampling Plan for submission to the Texas Commission on Environmental Quality(TCEQ) and City of Fort Worth. Task C. PipelineNET Model Update Cl. Conduct up to two (2) meetings with Production to determine operating procedures in the system including minimum and maximum tank levels, minimum and maximum pressures at pump stations,typical transfer rates,pumping schedule,etc. Enhance operational controls in H2OMap Water model to represent field operations by adding complex, rule based operational controls for pumps and valves. C2. Determine new or modified lines in H2OMap Water model that need to be included in the existing PipelineNET model. C3. Export new and modified lines from H2OMap Water model in a shapefile format and import in to PipelineNET model. Check connectivity of PipelineNET model. EXHIBIT A-1 Page 2 of 6 C4. Review SCADA data for critical time periods to evaluate system controls being utilized at each pumping facility. C5. Meet with Fort Worth Production Group to discuss recommended pump controls for inclusion in extended period model and PipelineNET model. C6. Incorporate pump controls into H2OMap and PipelineNET models. Deliver updated PipelineNET model to City. Prepare a memorandum summarizing changes to the model and operational controls in model. Phase 2 Task A. TCEQ Review Comment Incorporation A1. Based on TCEQ comments, analyze modeling and mapping results to recommend preliminary compliance monitoring sites for one round of field monitoring. Task B. Review Data Collected by City and Finalize Stage 2 Monitoring Site Selection B1. Review one round of field site monitoring results conducted by Cityor TCEQ in the "controlling month"(month with the highest disinfection by-product or temperature results). City shall provide this data to FNI. B2. Finalize selection of Stage 2 compliance monitoring sites using field testing results and modeling results. B3. Prepare seven(7)copies draft IDSE report summarizing water quality modeling,field testing, and recommended Stage 2 compliance monitoring sites for submission to the TCEQ and the City of Fort Worth. B4. Attend one (1) meeting with City to discuss draft report. Attend one (1) meeting with the TCEQ to discuss draft report. Task C. Prepare Final IDSE Report C 1. Prepare(7)copies of the final IDSE report summarizing water quality modeling,field testing, and recommended Stage 2 compliance monitoring sites for submission to the TCEQ and the City of Fort Worth. C2. Attend one (1) meeting with City to submit final report. Task D. Quality Control/Quality Assurance D1. Conduct QA/QC Review on model results. D2. Conduct QA/QC Review on draft IDSE report. SECTION 3 -ADDITIONAL SERVICES ADDITIONAL SERVICES: Additional Services to be performed by FNI, if authorized by OWNER, which are not included in the above described basic services, are described as follows: A. Water quality sampling and analysis cost. B. Any other services not called for under the Scope of Services above. C. GIS mapping services or assistance with these services. D. Providing services to investigate existing conditions or facilities, or to make measured drawings thereof, or to verify the accuracy of drawings or other information furnished by OWNER. E. Preparing applications and supporting documents for government grants, loans,or planning advances and providing data for detailed applications. F. Assisting OWNER in the defense or prosecution of litigation in connection with or in addition to those services contemplated by this AMENDMENT. Such services, if any, shall be furnished by FNI on a fee basis negotiated by the respective parties outside of and in addition to this AMENDMENT. G. Design, contract modifications, studies, or analysis required to comply with local, State, Federal, or other regulatory agencies that become effective after the date of this AMENDMENT. H. Preparing statements for invoicing or other documentation for billing other than for the standard invoice for services attached to this Amendment. I. Preparing data and reports for assistance to OWNER in preparation for hearings before regulatory agencies,courts, arbitration panels or any mediator,giving testimony,personally or by deposition, and preparations therefore before any regulatory agency,court, arbitration panel or mediator. SECTION 4—TIME OF COMPLETION TIME OF COMPLETION: FNI is authorized to commence work on the Phase I of the Project upon execution of this AMENDMENT and agrees to complete the services within 555 days from the notice to proceed. If FNI's services are delayed through no fault of FNI, FNI shall be entitled to adjust contract schedule consistent with the number of days of delay. These delays may include but are not limited to delays in OWNER or regulatory reviews,delays on the flow of information to be provided to FNI, governmental approvals,etc. These delays may result in an adjustment to compensation as outlined on the face of this AMENDMENT and in Attachment CO. 1� I , EXHIBIT A-1 Page 4 of 6 SECTION 5—RESPONSIBILITIES OF OWNER RESPONSIBILITIES OF OWNER: OWNER shall perform the following in a timely manner so as not to delay the services of FNI: A. Designate in writing a person to act as OWNER's representative with respect to the services to be rendered under this AMENDMENT. Such person shall have contract authority to transmit instructions,receive information, interpret, and define OWNER's policies and decisions with respect to FNI's services for the Project. B. Provide all criteria and full information as to OWNER's requirements for the Project,including design objectives and constraints,space,capacity and performance requirements,flexibility and expandability,and any budgetary limitations;and furnish copies of all design and construction standards which OWNER will require to be included in the drawings and specifications. C. Assist FNI by placing at FNI's disposal all available information pertinent to the Project including previous reports and any other data relative to design or construction of the Project. D. Arrange for access to and make all provisions for FNI to enter upon public and private property as required for FNI to perform services under this AMENDMENT. E. Examine all studies,reports,sketches,drawings,specifications,proposals and other documents presented by FNI, obtain advice of an attorney, insurance counselor and other consultants as OWNER deems appropriate for such examination and render in writing decisions pertaining thereto within a reasonable time so as not to delay the services of FNI. F. Furnish approvals and permits from all governmental authorities having jurisdiction over the Project and such approvals and consents from others as may be necessary for completion of the Project. G. OWNER shall make or arrange to have made all subsurface investigations, including but not limited to borings, test pits, soil resistivity surveys, and other subsurface explorations. OWNER shall also make or arrange to have made the interpretations of data and reports resulting from such investigations. All costs associated with such investigations shall be paid by OWNER. H. Provide such accounting, independent cost estimating and insurance counseling services as may be required for the Project, such legal services as OWNER may require or FNI may reasonably request with regard to legal issues pertaining to the Project including any that may be raised by Contractor(s), such auditing service as OWNER may require to ascertain how or for what purpose any Contractor has used the moneys paid under the construction contract,and such inspection services as OWNER may require to ascertain that Contractor(s)are complying with any law, rule, regulation, ordinance, code or order applicable to their furnishing and performing the work. Give prompt written notice to FNI whenever OWNER observes or otherwise becomes aware of any development that affects the scope or timing of FNI's services, or any defect or nonconformance of the work of any Contractor. J. Furnish,or direct FNI to provide,Additional Services as stipulated in Attachment SC,Article H of this AMENDMENT or other services as required. K. Bear all costs incident to compliance with the requirements of this Article IV. The ENGINEER shall be compensated at a cost plus with a maximum fee of $1,360,386 for Basic Services as summarized on Exhibits "B-3" and "B-4" in the original contract and"B-2"and"B-3A"in this Amendment. The original engineering agreement scope of services included analyzing and updating the existing water distribution system hydraulic model and developing various scenarios to evaluate and recommend water system improvements to serve undeveloped and unincorporated areas within the Fort Worth Certificate of Convenience and Necessity boundary. Also, as a part of the original study, Freese & Nichols, Inc. developed a water system capital improvements plan with cost estimates and implementation schedule, and identified relevant issues associated with additional water treatment capacity/plant requirements, including permitting, schedule, cost, probable location, raw water sources, raw water rights, raw water lines, raw water pump stations, and capacity. On July 13, 2004, (M&C C-20151), the City Council approved Amendment No. 1. The Amendment No. 1 scope of services included: i) analyzing and presenting three additional issues (Wholesale Customer Policy, Water Extension Policy Outside City Limits and System Vulnerability) to the Master Planning Advisory Committee; ii) preparing a second newsletter on the City's planning efforts; iii) upgrading software; iv) attending meetings with City of Aledo to discuss future wholesale water service and preparing a report; v) creating a public education display for the National Drinking Water Week; and vi) performing optimization of 10 year capital improvement plan. The Amendment No. 2 scope of service will include preparation of an Individual Distribution System Evaluation (IDSE) Monitoring/Sampling Plan in accordance with the requirements of the Environmental Protection Agency (EPA) Stage 2 Disinfectant/Disinfection By-Product rule. Included in the plan is historical data review of Total Tri-Halo Methane (TTHM), Haloacetic Acid (HAA5), Heterotrophic Plate Count (HPC), chloramine residual, and temperature; upgrading the water model to Stage 2 Disinfection By-Products Individual Distribution System .Evaluations Standards; and IDSE monitoring/sampling plan development. The water model upgrade also includes the expansion of the PipelineNET modeling software being used for ongoing system security assessments. Freese& Nichols, Inc. is in compliance with the City's M/WBE ordinance by committing to an additional 10% M/ BE participation on this amendment.
