NOW THEREFORE, CITY and ENGINEER, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the CONTRACT: 1. Article I of the CONTRACT is amended to include the additional engineering services specified in a proposal January 12, 2017 a copy of which is attached hereto and incorporated herein. The cost to City for the additional design services to be performed by Engineer totals $700,000. 00. 2 . (City Project No. CO2273) DISCUSSION: On April 22, 2014, Mayor and Council Communication M&C (C-26779) the City Council authorized the execution of a an Engineering Agreement with Carollo Engineers, Inc. for Phase 1-Basis of Design for Enclosure of Gaseous Chlorine and Sulfur Dioxide Storage Facilities at Village Creek Water Reclamation Facility to evaluate the possible alternatives for modifications, addition, or replacements of the chlorine system in the Chlorine building as well as storage tank for chlorine and sulfur dioxide. The Water Department currently uses bulk gaseous chlorine and sulfur dioxide at the Village Creek Water Reclamation Facility. The tanks for these systems are currently located outside and exposed thereby impacting the Risk Management Plan. Water treatment facilities have all their chlorination equipment and storage tanks located inside buildings equipped with scrubbers to protect against any potential accidents which may result in inadvertent leaks. The department is moving towards standardization of risk and safety for all facilities. This project consists of the design of modifications, additions, or replacements of the chlorine system in the chlorine building, the chlorine storage tanks, and sulfur dioxide storage tanks to improve safety and Logname: 60ENCLOSURE OF CHLORINE AND SULFUR DIOXIDE Page 1 of 3 reduce risk. The Engineer will develop a concept plan based on the recommended and approved alternative which will be the basis for the planned design phase. In addition to the contract cost, $95,000.00 is required for Staff and project management . This project is anticipated to be included in a future revenue bond issue for the Water and Sewer Fund. Available cash within the Water and Sewer portfolio and the City's portfolio along with the appropriation authority authorized under the Direct Purchase Note (DPN) Program will be used to provide interim financing for this project until debt is issued. To the extent resources other than the Water and Sewer portfolio are used to provide interim financing, the Water and Sewer Fund will be charged interest that is equivalent to the overall rate of return being earned by the City portfolio (currently approximately one- percent annually). Should the City's portfolio not support the liquidity needed to provide an interim short- term financing source, another funding source will be required, which could mean issuance of securities under the DPN Program or earlier issuance of Water and Sewer revenue bonds than is currently planned. Once debt associated with this project is sold, bond proceeds will be used to reimburse the Water and Sewer portfolio and the City's portfolio in accordance with the attached Reimbursement Resolution. The City Council adopted the Water Department's Fiscal Year 2016-2020 Five-Year Capital Improvement Plan on February 2, 2016 (M&C G-18662). This City Council adopted plan includes this specific project, with funding identified through the DPN Program to be reimbursed with future revenue bonds. In accordance with the provisions of the Financial Management Policy Statements, Staff anticipates presenting revenue-supported debt issuances to the City Council for consideration within the next three years. This debt must be issued within approximately three years to provide reimbursement for these expenses. If that does not occur, the costs will no longer be reimbursable by issuing tax-exempt debt and the funding source will have to be made whole through other budgetary methods. Adoption of this resolution does not obligate the City to sell bonds, but preserves the ability to reimburse the City from tax- exempt bond proceeds. This project will have no impact on Water Department's operating budget. Design for this project is estimated to be complete by February, 2018. Construction is scheduled to start by July, 2018 and be completed by October, 2019. The total cost for this project is estimated to be $4,257,000.00. M/WBE Office - Carollo Engineers, Inc., is in compliance with the City's BDE Ordinance by committing to 23 percent SBE participation. The City's SBE goal on this project is 23 percent. This project is located in COUNCIL DISTRICT 5, the Village Creek Water Reclamation Facility serves ALL COUNCIL DISTRICTS, Mapsco 68. Improvements to the Sulfur Dioxide facilities are not included in this scope of work. The Project will be organized in accordance with the City of Fort Worth Water Department's (FWWD) requirements final design and bidding assistance This Scope of Services identifies the professional services to be provided for preliminary design, final design, & bidding assistance. The project addresses the modifications, addition, or replacement of components generally associated with the following Project Elements. 1. Chlorine Building: a. Replace piping and equipment inside the chlorine evaporator room. b. Removal of the existing ceiling in the Evaporator Room to provide additional head clearance in the room and in order to accommodate new evaporator equipment. c. New evaporators will be of the same number and similar size and capacity as existing evaporators. A total of eight (8) evaporators at 10,000 ppd capacity is assumed. d. Replace deteriorated building roof 2. New Chlorine Storage Area: a. New enclosed chlorine storage facility b. Three (3) new 25-ton chlorine storage tanks similar in size to existing tanks. c. Enclosure of storage tanks and containment area. d. Include hoist or bridge crane to facilitate removal of tank access manholes during periodic inspection activities e. The building is assumed to consist of an at-grade structure with deep foundations and have overall plan dimensions of approximately 40' by 45'. f. The replacement tanks include two (2) 25-ton sulfur dioxide tanks used for dechlorination c. Improvements to the sulfur dioxide storage area will be shown as alternate bid items in the construction contract document d. No improvements to sulfur dioxide feed equipment or appurtenances inside the building are assumed 6. Chlorine Feed Piping Modifications a. Evaluate alternatives for mitigating the impact of differential settlement between the chlorine building and the pipe rack and slab west of the building. b. Design the improvements or modifications for repairing piping and mitigating the differential settlement like adding flexible coupling to the chlorine feed piping leaving the existing chlorine building. 7. Redundant Transformer: a. Redundant transformers with automatic transfer switch to provide power from either A or B service to the chlorine facilities for added reliability. b. Service to Chlorine Facility ASSUMPTIONS New chlorine storage facility will be adjacent to the existing storage facility and will house three chlorine storage tanks and associated appurtenances of similar size and capacity as the existing system. January 11, 2017 Page 2 of 8 1. New chlorine scrubber facility will be located adjacent to the existing chlorine storage area and will house all equipment associated with the scrubber system. Consideration will also be given to locating the chlorine area scrubber at the site of the existing chlorine storage area. 2. Chlorine evaporators will be replaced in kind with new equipment of similar capacity. 3. No work is assumed for chlorine room which houses the chlorinators, equipment or chlorine feed application points. 4. Improvements to the sulfur dioxide facility, except for tank replacement, are not included in this scope of work. PROJECT SCHEDULE The anticipated project schedule for the design is 9 month following notice to proceed. Bidding and contract award will generally take an additional 3 months. TASK SERIES 100 PROJECT&QUALITY MANAGEMENT Task 101 Project Plan Prepare a Project Plan, including quality management plan, staffing plan, and project delivery plan, project schedule, deliverables, and delivery plan. Identify information needed to complete the work and establish the contact information and procedures for the project. Monthly Project Summary Reports and Invoices Prepare a Project Summary Report during the preliminary and final design phases and monthly invoice throughout the project. The reports will summarize the project progress to date, work anticipated for the upcoming month, outstanding project issues, issues impacting project scope, issues impacting project schedule, issues impacting project cost(design and construction), earned value summary, decision, action, and change logs. Invoices will be prepared in approved FWWD format based on the project progress. Task 102 Monthly Status Meetings ENGINEER will meet regularly with FWWD selected staff to review Project Status Report and discuss how the project is proceeding.Whenever possible, monthly status meetings will be scheduled in conjunction with other project meetings and workshops. The agenda for each monthly status meeting will be the Project Summary Report. Minutes for each meeting will be included in the next monthly Project Summary Report. A total of five (5) progress meetings are budgeted. These meetings are in addition to other review workshops scheduled under the design phase. January 11, 2017 Page 3 of 8 Task 103 Manage Subconsultants Manage and coordinate the work efforts of the subconsultants participating in the project to achieve the goal of the City of Fort Worth's for minority participation. Prepare and review monthly billing as part of Monthly Summary Reports. Task 104 Quality Management ENGINEER will manage the quality of the deliverables throughout the development of the project. Specific activities the ENGINEER will employ include: 1. Internal peer review of concepts by senior staff not directly involved with the Project. 2. Quality check of deliverables performed by a team of qualified senior staff. 3. Constructability review. Task 105 Deliverables 1. Project Plan, 3 hard copies 2. Meeting minutes, 1 copy to each attendee of each meeting, distributed by email in Portable Document Format (PDF) 3. Project Summary Reports (monthly), Portable Document Format (PDF). 4. Invoices (monthly), 1 hard copy TASK SERIES 200 FINAL DESIGN Plans and Specifications will be prepared for one bid package for the improvements identified in the Project Elements. The final design will be will be submitted to the CITY at the 50% and 90% completion levels for OWNER review and comments and at 100%for bid advertisement. All work will comply with applicable local, state, and federal regulations in effect at the time Final Design begins: Task 201 Preliminary Design Report(10% Design) A Preliminary Design Report (PDR) will be prepared to delineate the improvements, sizing, locations, summarize applicable codes and standards and develop design criteria for the improvements. Five (5) copies of the draft report will be submitted for review and comment along with an updated opinion of probable construction cost. Task 202 Preliminary Design Review Workshop A preliminary Design Review Workshop (10% Design)will be conducted approximately two weeks after the delivery of the Draft Preliminary Design Report FWWD comments to the design report and opinion of probable construction costs will be received and discussed in a workshop January 11, 2017 Page 4 of 8 format. ENGINEER will present a summary of the project status, outstanding issues, changes, decisions required, and schedule. Task 203 Fifty Percent Submittal ENGINEER will incorporate the FWWD review comments and ENGINEER's internal review comments and finalize the Preliminary Design Report. In addition, the plans and specifications will be completed to the 50% level under this task. Five (5) copies of the plans (11x17 format) and specifications will be submitted for review and comment along with an updated opinion of probable construction cost. Task 204 Fifty Percent Design Review Workshop A 50% Design Review Workshop will be conducted two to three weeks after the delivery of the 50% Plans and Specifications. FWWD comments to the plans, specifications, and opinion of probable construction costs will be received and discussed in a workshop format. ENGINEER will present a summary of the project status, outstanding issues, changes, decisions required, and schedule. Task 205 Ninety Percent Submittal ENGINEER will incorporate the FWWD review comments and ENGINEER's internal review. The plans and specifications will be completed to the 90% level under this task. Five (5) copies of the plans(11x17 format) and specifications will be submitted for review and comment along with an updated opinion of probable construction cost. Task 206 Ninety Percent Design Review Workshop The 90% Design Review Workshop will be conducted two to three weeks after the delivery of the 90% Plans and Specifications. FWWD comments to the plans, specifications, and opinion of probable construction costs will be received and discussed in a workshop format. ENGINEER will present a summary of the project status, outstanding issues, changes, decisions required, and schedule. Task 207 100% (Bid Ready) Documents ENGINEER will incorporate FWWD review comments and ENGINEER's internal quality review comments to produce sealed and signed plans and specifications (Bid Ready Contract Documents). Task 208 Cost Estimates The ENGINEER will prepare an opinion of probable construction cost that will be updated at the 50%, 90%, and 900% documents. Cost estimate will be prepared in the ENGINEER'S standard cost estimating format. In providing opinions of cost and schedules for projects, ENGINEER has no control over cost or price of labor and material; unknown or latent conditions of existing equipment or structures that may affect operation and maintenance costs; competitive bidding January 11, 2017 Page 5 of 8 procedures and market conditions; time or quality of performance of third parties; quality, type, management, or direction of operating personnel; and other economic and operational factors that may materially affect the ultimate project cost or schedule. Therefore, ENGINEER makes no warranty that the CITY's actual project costs, financial aspects, economic feasibility, or schedules will not vary from ENGINEER's opinions, analyses, projections, or estimates. Task 209 Survey and Geotechnical Investigations ENGINEER will retain the services of a surveyor to locate and establish elevations of proposed Chlorine Scrubber and Chlorine Storage Areas. The extent of the survey will be limited to that needed for design of the new facilities. In addition, ENGINEER will procure geotechnical services to verify subsurface conditions under proposed improvements. A total of up to four(4) geotechnical borings are assumed for this task. Task 2010 Coordination with Fort Worth Fire Department(FWFD) This task includes coordination with the fire department for review and approval of the improvements. A total of one (1)face to face meeting with the FWWD is assumed for this task. Task 211 TCEQ Coordination This task includes preparation of summary transmittal letters to TCEQ to comply with TCEQ Chapter 217 requirements. Bid ready contract documents will be submitted to TCEQ if required to complete TCEQ review. Deliverables 1. Meeting and Workshop Agendas and Minutes, 1 copy for each attendee distributed electronically in Portable Document Format(PDF). Agendas will also be distributed in hardcopy at the beginning of each meeting and workshop. 2. January 11, 2017 Page 6 of 8 TASK SERIES 300 BIDDING ASSISTANCE This task series covers services during bidding phase of the project. A bid through award period of up to three months is assumed for this project. Task 301 Distribution of Contract Documents ENGINEER will provide a copy of the notice to bidders for CITY to use in notifying construction news publications and publishing appropriate legal notice.The cost of publications shall be paid by CITY. ENGINEER will print Bid Documents and distribute to up to five selected plan rooms. ENGINEER will make plans and specification available to prospective bidders and act as administrator in selling Contract Documents to prospective bidders. ENGINEER will determine the sale price of the Bid Documents to recover cost of printing and mailing and will use the revenue from their sale as reimbursement for printing, mailing, and handling costs. ENGINEER will maintain information on entities that have been issued a set of bid documents and distribute information to plan holders. Task 302 Pre-Bid Conference ENGINEER will conduct the pre-bid conference for the contract documents, including preparation of meeting agenda and minutes for distribution to potential bidders. Task 303 Potential Bidder Questions ENGINEER will log in questions and provide interpretation of intent of plans and specifications to plan holders. If required, interpretations will be included in the addendum. Task 304 Addenda ENGINEER will prepare administrative and technical clarification addenda for the contract documents. Sketches, drawings, and other addenda information will be delivered to CITY. Addenda will be sealed by the responsible engineer and provided in either Portable Document Format(PDF) (by e-mail) or hard copy to each of the plan holders. January 11, 2017 Page 8 of 8 ATTACHMENT B COMPENSATION Design Services for Enclosure of Chlorine and Sulfur Dioxide City Project No. 02273 Time and Materials with Multiplier Project I. Compensation A. The ENGINEER shall be compensated for personnel time, non-labor expenses, and subcontract expenses in performing services enumerated in Attachment A as follows: i. Personnel Time. Personnel time shall be compensated based upon hours worked directly in performing the PROJECT multiplied by Direct Salaries multiplied by a factor of 3.35. Direct Salaries are the amount of wages or salaries paid ENGINEER's employees for work directly performed on the PROJECT, exclusive of all payroll- related taxes, payments, premiums, and benefits. ii. Non-Labor Expenses. Non-labor expenses shall be reimbursed as Direct Expenses at invoice or internal office cost. Direct Expenses (non-labor) include, but are not limited to, mileage, travel and lodging expenses, mail, supplies, printing and reproduction services, other direct expenses associated with delivery of the work; plus applicable sales, use, value added, business transfer, gross receipts, or other similar taxes. A flat PECE charge rate of $ 11.70 per hour of staff member will be invoiced to cover project equipment and communication expenses. iii. Subcontract Expenses. Subcontract expenses and outside services shall be reimbursed at cost to ENGINEER plus a markup of ten percent (10%). iv. Budgets. ENGINEER will make reasonable efforts to complete the work within the budget and will keep the City informed of progress toward that end so that the budget or work effort can be adjusted if found necessary. ENGINEER is not obligated to incur costs beyond the indicated budgets, as may be adjusted, nor is the City obligated to pay ENGINEER beyond these limits. If ENGINEER projects, in the course of providing the necessary services, that the PROJECT cost presented in Article 2 of this Agreement will be exceeded, whether by change in scope of the project, increased costs or other conditions, the ENGINEER shall immediately report such fact to the City and, if so instructed by the City, shall suspend all work hereunder. B. The ENGINEER shall be paid monthly payments as described in Section II - Method of Payment. II. Method of Payment A. The ENGINEER shall be paid by the City based upon an invoice created on the basis of statements prepared from the books and records of account of the ENGINEER, based on the actual hours and costs expended by the ENGINEER in performing the work. B. Each invoice shall be verified as to its accuracy and compliance with the terms of this Agreement by an officer of the ENGINEER. C. ENGINEER shall prepare and submit invoices in the format and including content as presented in Exhibit B-1. D. Payment of invoices will be subject to certification by the City that such work has been performed. III. Progress Reports A. The ENGINEER shall prepare and submit to the designated representative of the Water Department monthly progress reports and schedules in the format required by the City.
