This AGREEMENT is between the City of Fort Worth (the "CITY'') end TranSystems

Scope, of Service's
A. The Scope of Services is set forth �n Attachment A

A. The FNGINEER's compensation is set forth in Attachment B.
Article III
Terms of Payment
Payments to xio ENGINEER will be made as follows:.
A. Invoice area Pay,-nent
(1) The Engineer shall provide the City sa.affacient documentation to reasonably
substantiate the invoices.
(2) The ENGINEER will issue monthly involcos for all work performed Under '.l,is
AGREEMENT. Invoices are due and payable within 30 days of eceipt.
(3) Upon completion of sprvic s enumerated in Article I, the final payment of any
ba!ancc will be due kfvN* 30 days of receipt of the first invoice-
(4) In the event of a disputed or cc),tested `Iling, only that portion so contested twill
be withhold from payment, and the ondis,puted portion will be paid. The CITY
will exerlise reasonableness ra cnratp-�;ting any Mild or portion thereof. No
interest will accrue on a,7y co--tes,cld Igor-ion of the billing until mutually
resolved.
(5) If the CITY fails to make payment in full to ENGINEER for billingscontested in
good faith within 60 days of the amoUnt due, the ENGINEER may, after giving 7
days' vv-.4en notice to CITY, suspend services under this AGREEMENT until
pard ire h.,11, including interest. In the event of suspension of services, the

(2) Except to the extent of specific site visits expressly detailed and set forth in
Attachmf;nt A, the ENGINEER nr its personnel shall have no obligation or
responsibility to visit the construction site to becorne familiar with the progress or
quality cf the completed v�ork on the PROJECT or to determine. in general, if

G. Construction Progress Payments
Recommendations by the ENGINEER to the CITY for periodic construction
progress payments to the construction contractor will be based on the
ENGINEER's knowledge. information, anti belief from selective sampling and
cbserva-ion that the work has progre=std to the paint indicated_ Such

perform, at no cost to the EN, (NEER, such tests Of egk.lipment, machinery,
pipelines, and other cmponents of the CITY's facilities as may be required in
connecticn v,,ith the ENGINEER's services. The CITY will be resacnsible fcir all
acts of the _:ITY's perscnr-el.

I. CIT"Y's Insurance
(1) The CITY may maintain property ins.irance on ce!-a,n prp-pyistirg structures
associated with the PR03ECT
(2) The CITY will ensure that Builders Risk/lInstal'lation insurance is maintained at
the replacement coast value of the PROJECT. The CITY may provide
ENGINLER a col.-'y of the policy or documentation of such on a certificate of
insurance.

J. Litigation assistance
The Scope of Serv•ces does not include cr,,sts of the ENGINEER for required or

digatic°-, urdertaken or defenced by the CITY. In the event CITY requests such

K. Changels

The proposed scope of services includes the following-
