PROFESSIONAL SERVICES AGREEMENT

This Amendment is entered into by and between the City of Fort Worth (hereafter
"City"), a home rule municipal corporation situated in portions of Tarrant, Denton and Wise
Counties, Texas, with its principal place of business at 200 Texas Street, Fort Worth, Texas, and
Hazen and Sawyer (hereafter "Consultant"), a New York corporation acting by and through
Chamindra Dassanayke, PhD and PE, its duly authorized Vice President.
WHEREAS, the parties have previously entered into City of Fort Worth City Secretary
Contract No. 48029 (the "Contract") to prepare a business performance plan for the Water
Department, which was executed on July 27, 2016; and
WHEREAS, the original term of the Contract expired on June 20, 2017; and
WHEREAS, the City and Consultant, Inc. now wish to amend the original Contract to
provide for the 2018 business performance plan update and to extend the term of the Contract for
a year.
NOW, THEREFORE, City and Consultant, acting herein by the through their duly
authorized representatives, enter into the following agreement to amend the contract:
1.
Section 1, Scope of Work. The Scope of Work Exhibit in the original Contract shall be
amended to include Exhibit A to this Amendment.
2.
Section 2, Term. The term of the Contract is hereby amended to extend the term to
expire June 20, 2018, unless terminated earlier in accordance with the Contract.
3.
Section 3, Compensation. The compensation of the original contract shall be increased
by $57,600, to compensate the Consultant for the additional and amended Scope of Work
included in Exhibit A to this Amendment.
4.
All other provisions of the Contract which are not expressly amended herein shall remain
in full force and effect.

Dear Kara:
Thank you for the opportunity to present this amendment for professional services for the Business
Performance Plan Update.All services are in accordance with the terms,and conditions of the Professional
Services Agreement between City of Fort Worth and Hazen and Sawyer(Hazen)with effective date of May
22, 2016.
Project Understanding
In 2016,Hazen assisted the City of Fort Worth's Water Department(FWWD) in updating the Fiscal Year
2017 (FY17)Business Performance Plan.Hazen conducted a cultural scan with internal and external
stakeholders. Hazen also facilitated an executive retreat where the Effective Utility Management(EUM)
self-assessment was performed and FY17 EUM goals and initiatives were updated.
FWWD would like Hazen to continue to facilitate the development and implementation of work plans for
the FY17 priority initiatives, as well as,facilitate the Fiscal Year 2018 update of the Business
Performance Plan and development of the priority initiative work plans.
Scope of Work
Hazen will perform the following scope of services under this amendment:
1.; FY17&FY 18 Priority Initiative Work Plan Meeting Facilitation—Hazen will facilitate a two-
day workshop where Hazen will review the Business Performance Plan(BPP) and provide
guidance and facilitation on developing work plans for accomplishing the priority initiatives
outlined in the BPP.

+► Hazen will conduct two separate Priority Initiative Meetings. One for FY17 in February
2017 and one for FYI in September/October 2017.
• The Priority Initiative Meetings will be facilitated by up to two Hazen personnel and all
pertinent FWWD initiative team members.
