HomeMy WebLinkAboutContract 32955-R5 CITY SECRETARY CONTRACT NO. 9 -RS FIFTH RENEWAL OF CITY SECRETARY CONTRACT NUMBER 32955, AGREEMENT WITH FORT WORTH NATURE CENTER AND REFUGE CONSERVANCY, INC. STATE OF TEXAS COUNTY OF TARRANT This Fifth Renewal of City Secretary Contract 32955 is made and entered into by and between the City of Fort Worth ("City"), a home-rule municipal corporation of the State of Texas, acting by and through its duly authorized Assistant City Manager, and the Fort Worth Nature Center and Refuge Conservancy, Inc. ("Conservancy" or "FWNCRC"), a Texas non-profit corporation, acting by and through its duly authorized President. WHEREAS, on December 20, 2005, the City and the Conservancy entered into an Agreement for operation and maintenance of an access gate at the Fort Worth Nature Center and Refuge for the primary purpose of collecting entry fees, the same being City Secretary Contract Number 32955 (the "Agreement"); and WHEREAS, the primary term of the Agreement began on December 1, 2005 and ended on November 30, 2006; and WHEREAS, the Agreement provides for the possibility of fourteen (14) one-year renewals; and WHEREAS, the City and the Conservancy wish to renew and extend the Agreement for a one-year period under the same terms and conditions. NOW, THEREFORE, City and the Conservancy agree to renew and extend the Agreement as follows: OFFICIAL RECORD CITY SECRETARY FT.WORTH,TX 1. All terms and provisions of the original Agreement between the City and the FWNCRC shall remain in full force and effect except as specifically amended herein. 2. Section 3, "TERM", is hereby amended to read as follows: The term of this Agreement shall commence on the 1st day of December 2005, and end on the 30th day of November 2011. This Agreement may be renewed by mutual agreement between the FWNCRC and the City for an additional nine (9) successive one-year periods under the same terms and conditions. FWNCRC must advise the City in writing of its intent to renew the Agreement no later than sixty(60) days prior to the end of each term. DISCUSSION: The FWNC&RC is a tax-exempt organization established in 2004 for the purpose of assisting the Parks and Community Services Department (PACSD) with implementing recommendations made in the FWNC&R Strategic Master Plan (Plan). The FWNC&RC wishes to enter into a contract with the PACSD to maintain a special fund for the purpose of funding entry gate staff and minor capital improvements. On November 15, 2005, the Parks and Community Advisory Board endorsed recommendation that the City Council authorize execution of a contract for the Fort Worth Nature Center and Refuge with the Fort Worth Nature Center and Refuge Conservancy. The Nature Center and Refuge is located in COUNCIL DISTRICT 7 and serves all Council Districts. FISCAL INFORMATION/CERTIFICATION: The Finance Director certifies that the Fort Worth Nature Center and Refuge Conservancy is responsible for collection and deposit of user fees. This action will have no financial impact on City funds.
