HomeMy WebLinkAboutContract 33259 COMMUNITY FACILITIES AGREEMENT THE STATE OF TEXAS § City Secretary Zq- WHEREAS, COUNTY OF TARRANT § Contract No.AIDWOne S.R., L.P. a Texas Limited Partnership by Centamtar Terras, L.L.C., its General Partner, hereinafter called `Developed; desires to make certain improvements to Sendera Ranch Phase 1, Section 3B, an addition to the City of Fort Worth, Texas; and WHEREAS,the said Developer has requested the City of Fort Worth, a municipal corporation of Tarrant and Denton Counties, Texas, hereinafter called"Citi;to do certain work in connection with said improvements. NOW,THEREFORE,KNOW ALL BY THESE PRESENTS: That said Developer, acting herein by and through_Mehrdad Moad, its duly authorized Manager, and the City, acting herein by and through Marc Ott, its duly authorized Assistant City Manager, for and in consideration of the covenants and conditions contained herein, do hereby agree as follows: I. General Requirements A. The Policy for the Installation of Community Facilities (?olicy) dated March 2001, approved by the City Council of the City of Fort Worth, is hereby incorporated into this Community Facilities Contract as if copy herein verbatim. Developer agrees to comply with all provisions of said Policy in the performance of its duties and obligations hereunder. B. The requirements of the Policy shall govern this Community Facilities Agreement,provided, however,that any conflict.between the terms of this Community Facilities Agreement and the Policy shall be resolved in favor of this Agreement. C. Developer shall provide financial security in conformance with paragraph 6, Section II, of the Policy. D. The Developer shall award all contracts for the construction of community facilities in accordance with Section II,paragraph 7 of the Policy. E. The contracts for the construction of the public infrastructure shall be administered in conformance with paragraph 8, Section II,of the Policy. The Developer further covenants and agrees to, and by these presents does hereby, fully indemnify, hold harmless and defend the City, its officers, agents and employees from all suits, actions or claims of any character, whether real or asserted, brought for or on account of any injuries or damages sustained by any persons (including death) or to any property, resulting from or in connection with the construction, design, performance or completion of any work to be performed by said Developer, his contractors, subcontractors, officers, agents or employees, or in consequence of any failure to properly safeguard the work, or on account of any act, intentional or otherwise, neglect or misconduct of said DEVELOPER, his contractors, sub-contractors, officers, agents or employees, whether or not such injuries, death or damages are caused, in whole or in part, by the alleged nezUkence of the City of Fort Worth, its officers, servants, or employees G. Developer shall install or adjust all of the required utilities to serve the development or to construct the improvements required herein. H. In the event that City participation exceeds $25,000, Developer agrees that no street construction or storm drainage will begin prior to City Council approval of this Community Facilities Agreement. (Article 104.100, Ordinance 7234). I. Developer agrees that no lot shall be occupied under a certificate of occupancy until the improvements required herein have been constructed (Article 104.100, Ordinance 7234). J. Developer hereby releases and agrees to indemnify and hold the City harmless for any inadequacies in the preliminary plans, specifications and cost estimates supplied by the Developer for this contract. K. Developer agrees to provide, at its expense, all necessary rights of way and easements across property owned by Developer required to construct current and future improvements provided for in this agreement. L. Developer agrees to construct proposed improvements as shown on the exhibits attached hereto. II. Street and Storm Drain Facilities A. The Developer(s) agree to install or to cause to have installed, the street, storm drainage, street lighting, street name sign and other community facilities improvements shown as"current improvements'on the attached Exhibits B,B1, and C. B. As shown below in the"Summary of Cost for Street and Storm Drain Facilities; the Developer shall fund its share of "current improvements" and shall pay to the City for its share of the cost of street, storm drainage, street lighting, street name signs as shown on the attached Exhibits B, 131, and C. The estimated total cost of current improvements and related support services specified in this agreement, including design, construction and inspection is estimated to $1,282,133.84. After acceptance of this Proposal, the undersigned will execute the formal contract and will deliver an approved Surety Bond and such other bonds as required by the Contract Documents, for the faithful performance of the Contract. The attached bid security, if required is to become the property of the Developer. If this access is limited,Lary will pass along theadditional costs to pour byother means. This proposal excludes the following items: - Inspection fee's - Staking - Testing - Inlet tops and variable height curb&gutter at inlets - Conduit or irrigation sleeves - Relocate and replace fence - Seeding/sodding(temporary or permanent) - Removals not specifically quoted - Landscaping - Brick pavers - Under cutting or replacement of unsuitable material - Tree protection fencing - Erosion Control Devices(installation) - Excavation or grade to drain 2. This proposal is based on owner providing grades at+/-0.1'tolerance prior to our mobilization. 3. This proposal excludes undercutting of pavement subgrade in rock and replacing it with select material. 4. This proposal is based on Lacy being provided a clear, acceptable area approximately 2 acres in size for the purpose of erecting and operating a portable concrete batch plant onsite. 5. Lacy is to be paid for all actual measured quantities of work completed. 6. This bid is based on one(1)subgrade material application and one(1)final mix. If additional mixing is required above and beyond this,Lacy will be paid additional mixing cost on a unit price basis. 7. Lacy is not responsible for any extra work due to sulfate conditions in the subgrade. Any additional cost to correct sulfate issues will be passed along to the owner. 8. Adjustments, in excess of six inches to manholes,water valves and cleanouts constructed by others will be constructed for our cost plus 10 percent. Items located outside the paved area are not part of our scope. 9. All backfill material for our curbs will be with available, adjacent material only. Our prices are based on owner&Lacy agreeing on quantities prior to executing contracts. Lacy's final pay estimate will be based on"as built"quantities of work completed. Our initial take-off indicates a higher amount of lime square yards than what engineer provided. 11. Our prices for items 13 thru 21 are based on street signs and pavement markings as called out for on plan sheets 17, 18,46&47 of the plans from Carter&Burgess dated June 2005 and stamped by Jill Rankin 8/11/2005. Our price excludes vertical panels, street signs and street name blades/hardward, stop bars and lane markers other than bid in item 21,pavement marldngs associated with Detail`B"on plan page 18 and and removal of existing pavement markings or striping. Lacy is to be paid for all actual pavement markings installed at the unit prices bid. Additional pavement markings and/or street signage will be bid and paid at that unit price. 12. Concerning Willow Springs Road,our bid is based on the road being excavated and ready for lime "by others"prior to our mobilization,including cutting of all bar ditches necessary. Our price for item#4. 6"Asphalt Pavement is based on not using recycled asphalt material for the first 2"of base course as this product may not be available at the time of construction at a cost that is feasible. Instead,we have priced the 6"HMAC as 4 %Z"of HMAC base course with a 1 %" HMAC surface course over lime stabilized subgrade.
