FIRST AMENDMENT TO LEASE BETWEEN
THE CITY OF FORT WORTH,TEXAS,AND
ARCHIVAL HOLDINGS, INC.
WHEREAS, the City of Fort Worth, a Texas home rule municipal corporation
("Landlord") entered into a lease agreement ("Lease") (City Secretary Contract No. 33275) dated
February 8, 2006 with Archival Holdings, Inc., a Texas non-profit corporation ("Tenant") for
leased premises located between the Fort Worth Community Arts Center and the Fort Worth
Museum of Science and History, more particularly described in the Lease ("Leased Premises");
and
WHEREAS, Landlord and Tenant wish to amend the Lease to revise the Leased Premises
and to extend the construction deadline.
NOW THEREFORE, in consideration of the rentals set forth in the Lease and the
conditions and agreements set forth below, the parties agree as follows:
1. Article 1.01 of the Lease is hereby amended and replaced in its entirety as
follows:
"1.01 Leased Premises. In consideration of the mutual
covenants and agreements of this Lease, and other good and valuable
consideration, Landlord demises and leases to Tenant, and Tenant leases
from Landlord, the premises situated in Fort Worth, Tarrant County,
Texas, legally described on Exhibit A attached to this Lease, and made a
part of this Lease for all purposes (collectively referred to as "the
Premises" or the "Leases Premises" in this Lease). Tenant agrees that
within 180 days of the execution of this Amendment Tenant shall provide
to Landlord at Tenant's sole cost and expense a survey of the Leased
Premises consisting of field notes describing the Leased Premises,
prepared pursuant to a current on-the-ground staked survey performed by
a registered public surveyor or engineer satisfactory to Landlord and
Tenant. The Survey shall (i) be certified to Landlord, its successors and
assigns, (ii) reflect the actual dimensions of and the total number of square
feet within the Leased Premises, (iii) identify any rights-of-way,
easements, or other encumbrances by reference to applicable recording
data, and (iv) include the Surveyor's registered number and seal and the
date of the survey. The description of the Leased Premises prepared as a
part of the survey will be used in all documents that require a legal
description of the Leased Premises."
2. Article 5.03 of the Lease is hereby amended and replaced in its entirety as
follows:

"5.03 Be2innin Construction. Tenant will be required to begin
construction 60 months from the date of this Lease. Landlord may grant
Tenant one 12-month extension, in its sole discretion, if Lease document
and design documents are in process."
3. All other terms and conditions of the Lease, as amended, remain unchanged and
in full force and effect.
