HomeMy WebLinkAboutContract 33313 CITY CONTRACT NO a536 STAUBACH SERVICES AGREEMENT THIS ST UBACH SERVICES AGREEMENT (the "Agreement") is entered into as of the;k ay of 2006 (the "Effective Date") between the City of Ft. Worth, Texas ("Client") and The Staubach Company— Southwest, Inc. ("Staubach"). Client and Staubach may sometimes each be referred to individually in this Agreement as a"Party" and collectively as the "Parties". Recitals Staubach provides a variety of real estate consulting and advisory services. Client desires to retain Staubach to provide the real estate services as set forth in this Agreement and Staubach has agreed to provide those services. In consideration of the mutual covenants and agreements set forth below, Client and Staubach agree as follows: 1. ENGAGEMENT. 1.1 Services. Client hereby engages Staubach to provide Client with strategic advisory and consulting services in the determination of a strategic real estate plan for the City including, but not limited to, a new city hall (the "Project") for Client (Phase I) and for further advisory and consulting services necessary to assess and define the City's top priority facility needs (Phase II) and, if it is deemed beneficial and City Council approval is obtained, implementation services (Phases III and IV) relating to the Project. In connection with such engagements, Staubach agrees to perform the services outlined in Exhibit A, "Scope of Services", attached hereto and expressly made a part hereof (the "Services"). Phases I and II Services are sometimes hereinafter referred to collectively as the "Consulting Services". Phases III and IV Services are sometimes hereinafter referred to collectively as the "Implementation Services". 1.2 Client Objectives. Staubach recognizes that the Client's general objectives for this assignment are reflected in sections I and II of the City's Request for Qualifications document dated August 04, 2005, which is made a part of this agreement as Exhibit V. 1.3 Submittal of Inquiries. If Client authorizes Staubach to provide the Implementation Services, Client agrees that it will refer to Staubach any and all offerings, inquiries, proposals and/or solicitations received by Client from brokers, tenants, landlords or any other party concerning or relating to any of Client's locations for which Staubach is providing the Services. 1.4 Staubach Responsibility and Authority. Staubach agrees to performt Services in a manner reasonably believed to be in the best interests of C lie a Staubach Services Agreement—Strategic Planning&Implementation City of Ft.Worth Doc.No.093005 ORIGINAL I and with such care as a reasonably prudent provider of similar services would use under similar circumstances. If Client authorizes Staubach to provide the Implementation Services, Staubach recognizes that all negotiated arrangements relating to a real estate transaction with Client as principal are at all times subject to Client's approval. Staubach shall have no authority to bind Client in any manner. 2. ENGAGEMENT TEAM. Staubach will commit a core service team of professionals including, but not limited to, Michael McShea, George Duncan, Dennis Sewell and Jon Vidauri. Other individuals may be called upon to provide additional expertise as deemed necessary by Staubach. Client's primary contact shall be Greg Simmons. Client acknowledges that Staubach requires the services of an Architectural & Engineering ("A&E") partner in the performance of its duties hereunder. The Client shall contract with the A&E partner separately at no cost to Staubach and shall facilitate cooperation between the A&E partner and Staubach, such that Staubach can perform the Services contemplated by this Agreement in a timely manner. 3. COMPENSATION. Subject to the Guarantee of Value as set forth in Section 4 below, Client agrees that Staubach shall be compensated for its efforts in providing the Services in accordance with the provisions of Exhibit B (the"Fees'). 4. GUARANTEE OF VALUE. 4.1 Guarantee. If, in the sole opinion of Client, Staubach has not provided value, in terms of time, money, and qualitative issues, in excess of the cost of the Services, Staubach will waive all or part of the Fees it is to receive pursuant to this Agreement. Such Fee reduction is at the discretion of the Client,provided that Client gives written notice of such determination to Staubach within one week of either (i) Client's receipt of an invoice for such Fees to be paid by Client or (ii) if Client authorizes Staubach to provide the Implementation Services, full execution of the transaction documents by the parties when the Fees for that transaction are to be paid by the other party to the transaction. Such reduction shall not be applicable to any portion of the compensation payable to any broker representing the other party in a disposition transaction. If Client elects to exercise this right to reduce Staubach's Fee, Client agrees to provide Staubach with a written summary of Client's reasons for such Fee reduction. Client will also provide Staubach with an additional opportunity to meet with Client executives so that Staubach may understand and address any service issues that may have caused Client to exercise this right. 4.2 Staubach's Role. For the DCCS Services, if and when authorized by Client to provide Phase IV Services, Staubach's role is as a Project Management Consultant to Client and this Agreement shall not in any way constitute a warranty or guaranty of any type beyond provision of the DCCS Services described herein. In all cases, the architect/designer, engineer, general contractor, subcontractors, material suppliers, and other contractors or vendors Staubach Services Agreement—Strategic Planning&Implementation City of Ft.Worth Febmary 20,2006 Doc.No.093005 2 to Client shall retain responsibility for the quality and scheduling of their work and for preparing and/or adhering to the plans, specifications, codes and/or ordinances applicable thereto. Staubach will use is best reasonable efforts to ensure performance from all such contractors and vendors to Client, but will not be liable for the failure or inability of any such contractor or vendor to meet its contractual obligations to Client. Further, this Agreement shall not in any way reduce the responsibility of Client to fulfill any obligations it may have as the contracting party. 5. CONFLICT OF INTEREST. 5.1 Duty to Client. Staubach recognizes that it has a fiduciary responsibility to Client and that it shall act solely on behalf of Client in all matters related to this Agreement. Staubach shall, however, be free to engage in work similar to the Services provided to Client for other parties during the Term of this Agreement provided such other work does not materially and adversely interfere with the performance of the Services. 5.2 Resolution of Conflicts. Client acknowledges that Staubach is part of a large national company and that it or one of its affiliates may represent other parties in regard to a proposed transaction by Client (e.g., prospective sellers or lessors of facilities that are candidates for the Project, collectively "Prospective Parties"). Staubach shall notify Client of the representation by Staubach or one of its affiliates of any such Prospective Party as soon as such circumstances become known to Staubach. Upon receipt of such notice from Staubach, Client may (i) consent to such dual representation or(ii) request that Staubach or, if applicable, its affiliate, withdraw from representation of such Prospective Party. In the event that Client shall consent to such dual representation, Staubach will take necessary steps to ensure that there is no inappropriate sharing of information between the Staubach agents representing Client and the Staubach agents representing such Prospective Party(ies)so that Client's interests are protected. 6. CONFIDENTIAL INFORMATION. Staubach recognizes that during the course of this engagement it may receive or be granted access to information regarding Client not generally known to the public, whether of a technical, business or other nature (the "Confidential Information"). Staubach recognizes that the Confidential Information shall remain the exclusive property of Client notwithstanding such disclosure and any right of access or use granted to Staubach. Staubach agrees to protect such Confidential Information from disclosure to others, using the same degree of care used to protect its own confidential or proprietary information of like importance, but in any case using no less than a reasonable degree of care. Staubach further agrees to use the Confidential Information for the sole and limited purpose of carrying out its duties under the Agreement. Except as may be required by applicable law or by any governmental authority having jurisdiction over the undersigned, Staubach agrees not to disclose, in whole or in part, any of the Confidential Information to any person outside of Staubach and its parent, subsidiaries, affiliates, agents, representatives, Staubach Services Agreement—Strategic Planning&Implementation City of Ft.Worth February 20,2006 Doc.No.093005 3 accountants, legal counsel, and subcontractors (including an application service provider or hosting service), without the prior written consent of Client. Staubach further agrees to limit dissemination of the Confidential Information to only those employees of Staubach who have a need to know such information for the limited purposes set forth in this Section. Staubach agrees to promptly return to Client all Confidential Information upon Client's request. 7. DELIVERABLES. Client shall have the right to use for its own internal business purposes only all reports, data, information and other documents that may constitute Staubach's deliverables as a result of the provision of the Services (the "Deliverables"). Staubach and/or any third party providers to Staubach, as applicable, shall have and retain full title and all rights in and to (including the sole right to obtain patents and register copyrights on) the methodology, appearance, organization and format of the Deliverables, any inventions, ideas, methods, processes, designs, and/or means used to perform the Services and create, assemble and deliver the Deliverables. 8. INSURANCE. 8.1 Required Insurance. Staubach shall maintain a policy or policies of insurance in at least the following amounts: (a) Commercial General Liability $1,000,000 per claim $2,000,000 aggregate limit (b) Workers Compensation Coverage A: Statutory limits Coverage B: Employers Liability $100,000 Each Accident/Each Occurrence $100,000 Disease per employee $500,000 Bodily Injury/Disease—policy limit (c) Automobile Liability $1,000,000 each accident on a combined single limit OR $250,000 Property Damage $500,000 Bodily Injury per person per occurrence (d) Professional Liability $1,000,000 per claim $2,000,000 aggregate 8.2 General Insurance Requirements. (a) Staubach shall furnish Client with a certificate or certificates of insurance verifying the above coverages. Such certificate(s) shall contain a provision that such insurance cannot be canceled without 30 days prior written notice to Client. Notices shall be sent to: Facilities Manager, Transportation and Public Works Department, 1000 Throckmorton,Fort Worth, TX 76102. (b) Client shall be named an additional insured under the Commercial General Liability insurance, to include Client's employees, officers, officials, and volunteers. (c) Insurers for all policies must be authorized to do business in the State of Texas and shall have an A.M. Best's Insurance Rating of A- and VII or better. (d) Any failure on part of Client to request required insurance documentation shall not constitute a waiver of the insurance requirements. (e) Client shall not be responsible for the direct payment of any insurance premiums required by this Agreement. The preceding to the contrary notwithstanding, Client reserves the right to revise insurance requirements specified in this Agreement according to the best interests of Client and Client shall reimburse Staubach to the extent any revision to the insurance requirements specified in this Agreement result in increased costs to Staubach. 8.3 Implementation Services. If Client authorizes Staubach to provide the Implementation Services, Client shall require its General Contractor to include Staubach as an additional insured on its general liability insurance. 9. TERMINATION. 9.1 Termination for Convenience. Client may terminate this Agreement for its convenience at any time by giving at least thirty days notice in writing to Staubach. In the event of termination pursuant to this paragraph, Staubach shall be entitled to receive payment for all work completed or in progress, and for costs reasonably incurred to close out its services. Compensation is to include fees, expenses, and liabilities to subconsultants or other third parties. Staubach will make reasonable attempts to cancel all such liabilities in order to mitigate the cost to Client. If this Agreement is terminated due to the fault of Staubach,Article 9.3 hereof relative to termination shall apply. 9.2 Fiscal Funding Limitation. This Agreement may be terminated by the Client if all or part of applicable funding becomes unavailable to Client. If applicable funding is reduced, Client may either cancel this Agreement or offer a Staubach Services Agreement—Strategic Planning&Implementation City of Ft.Worth February 20,2006 Doc.No.093005 5 contract amendment reflecting the reduced funding. If this Agreement is cancelled, Client agrees to reimburse Staubach for all expenditures made in good faith that are unpaid at the time of termination, including all work products completed or in-process, and for the time required to discontinue onsite activities in an orderly manner, not to exceed the maximum amount payable under this Agreement. 9.3 Termination for Default. Either party shall have the right to terminate this Agreement if the other party is in default of any obligation hereunder and such default is not cured within thirty (30) days of receipt of a written notice specifying such default. In the event of such a termination, Client shall reimburse Staubach for all work completed to such termination. 10. LIMITATION OF LIABILITY. Staubach agrees to indemnify and defend Client from any loss, cost, or expense claimed by third parties for property damage and bodily injury, including death, caused solely by the negligence or willful misconduct of Staubach, its employees, officers, and subcontractors in connection with this Agreement. If the negligence or willful misconduct of both Staubach and Client (or a person identified above for whom each is liable) is a cause of such damage or injury, the loss, cost, or expense shall be shared between Staubach and Client in proportion to their relative degrees of negligence or willful misconduct as determined pursuant to T.C.P. & R. Code, section 33.011(4) (Vernon Supplement 1996). In any event, Staubach's liability to Client pursuant to this Article 10 shall not exceed five (5) times the total fee paid to Staubach under this Agreement. 11.MISCELLANEOUS. 11.1 Property Suitability Issues. In connection with any purchase or lease acquisition of real estate by Client, Client agrees that it shall be Client's obligation to investigate the property and to determine its suitability for Client's purposes, including (i) the property's present and future zoning, (ii) environmental matters affecting the property (including, but not limited to, the presence of asbestos, other toxic, hazardous or contaminated materials, and underground storage tanks in, on or about the property), and(iii) the condition of the property (including but not limited to structural, mechanical and soils conditions). Staubach will cooperate with Client in such investigation and will convey to Client any information regarding these issues that may come into Staubach's possession. 11.2 Media Release. If Client authorizes Staubach to provide the Implementation Services, upon execution of the transaction documents by Client, Staubach is hereby authorized to release the following information for each project implemented as a result of this engagement: Client name, building name, building address and square footage acquired or disposed. Release of any additional information will require written approval by Client. This Agreement constitutes the entire and sole agreement between the Parties with respect to the subject matter hereof and supersedes any prior agreements, negotiations, understandings or other matters, whether oral or written, with respect to the subject matter hereof. 11.4 Notices. Any notice, demand or communication required or permitted under this Agreement shall be in writing and shall be sent by an independent, regionally or nationally recognized courier service which provides written proof of such delivery or shall be mailed by registered or certified mail, postage prepaid,return receipt requested, addressed in either such event to the following addresses, or to such other address as either party hereafter may designate by written notice: If to Client, addressed to: City of Fort Worth Facilities Management, 319 W. 10`h St Fort Worth, TX 76102 Attention:,Greg Simmons If to Staubach, addressed to: The Staubach Company—Southwest, Inc. 201 Main Street, Suite 1810 Fort Worth, Texas 76102 Attention: Mr. George Duncan, Senior Vice President With a copy to: The Staubach Company 575 7th Street,NW, Suite 400 Washington, D.C. 20004 Attention: Michael B. McShea, Senior Vice President 11.5 Assignment. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns, but neither this Agreement nor any of the rights, interests, or obligations hereunder shall be assigned by either of the Parties without the prior written consent of the other Party. 11.6 Severability. If any of the provisions contained in this Agreement are held for any reason to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability will not affect any other provision, and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein. If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas — Fort Worth Division. This Agreement shall be construed in accordance with the laws of the State of Texas. 11.8 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original,but all of which together shall constitute one and the same instrument. 11.9 Minority and Woman Business Enterprise (M/WBE). In accord with City of Fort Worth Ordinance No. 15530, the City has goals for the participation of minority business enterprises and woman business enterprises in City contracts. Staubach acknowledges the M/WBE goal of 5% established for this contract and its commitment to meet that goal. Any misrepresentation of facts (other than a negligent misrepresentation) and/or the commission of fraud by Staubach may result in the termination of this agreement and debarment from participating in City contracts for a period of time of not less than three (3) years. 11.10 Right to Audit. Staubach agrees that Client shall, until the expiration of three (3)years after final payment under this contract, have access to and the right to examine and photocopy any directly pertinent books, documents, papers and records of Staubach involving transactions relating to this Agreement. Staubach agrees that Client shall have access during normal working hours to all necessary facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. Client shall give Staubach reasonable advance notice of intended audits. Staubach further agrees to include in all its subconsultant agreements hereunder a provision to the effect that the subconsultant agrees that Client shall, until the expiration of three (3) years after final payment under the subcontract, have access to and the right to examine and photocopy any directly pertinent books, documents, papers and records of such subconsultant, involving transactions to the subcontract, and further, that Client shall have access during normal working hours to all subconsultant facilities, and shall be provided adequate and appropriate work space, in order to conduct audits in compliance with the provisions of this Agreement. Client shall give subconsultant reasonable advance notice of intended audits. Staubach and subconsultant agree to photocopy such documents as may be requested by Client. Client agrees to reimburse Staubach for the cost of copies at the rate published in the Texas Administrative Code in effect as of the time copying is performed. Identify costs, overall rental rates and concession packages, grossed up for accurate comparison 4. Identify viable alternatives 5. The Project Management consultant will help to design and manage Phase II of the process (further described in Section 2 of this document)that will entail a study the City's short, medium, and long term facility needs and a detailed evaluation of various facility alternatives for enhancing the effectiveness of the City Hall operation. Recognizing the wide variety of factors that must be evaluated and accounted for to effectively execute the full facility master plan/City Hall evaluation, the City desires to engage an experienced and highly qualified consultant to work with City staff and a Community Advisory Committee to design and manage the overall process, to include soliciting for, selecting, and managing the consultant team that will perform the detailed and technical tasks involved in the scope of work for Phase II, as described in Section 2 of this document. The consultant team that the Project Management consultant will help select and manage will directly accomplish the tasks described below as Phase II of the overall process: Facility master planning • Assess and prioritize the short, medium, and long term facility needs/opportunities of City departments based on: o Current and projected staff size o Adequacy of existing buildings based on space needs, facility condition, effectiveness of configuration, degree of compliance with current codes and standards, etc.... o Adjacency requirements within and between departments o City population and demographic trends o Departmental business plan objectives o Strategic economic and community development opportunities o Legal requirements for service provision o Opportunities for co-locating multiple services in a single facility or complex • Develop a broad facility construction/acquisition and associated land acquisition plan to inform future capital improvement programs. Providers are required to attend in order to submit a Statement of Qualifications. Providers may ask questions about the scope of the services contemplated or other issues regarding the Request for Qualifications at the meeting. A written request for an interpretation of the Request for Qualifications may be made to the City of Fort Worth, by letter or fax received by the City up to 7 calendar days prior to the time of the opening of the submittals. The person submitting the request for interpretation will be responsible for its prompt delivery. No oral request for interpretation will be answered. DISCUSSION: In August 2005, the City issued a Request for Qualifications to firms/joint ventures interested in providing project management services for a Facilities Master Plan/City Hall evaluation. On September 1, 2005 four firms/joint ventures submitted qualifications packages. A consultant selection committee comprised of City staff and members of the Facilities Master Plan Citizen Advisory Committee identified The Staubach Company - Southwest, Inc., as the top ranked offeror. Staff and The Staubach Company - Southwest, Inc agreed that the project scope should be divided into two phases. The scope of Phase One of the consultant agreement will include: leading the development and execution of a selection process to engage the consultant team that will provide the various technical and professional services to conduct the Facility Master Plan/City Hall evaluation; and coordination/facilitation of interviews with all City departments to identify priorities for the in-depth needs assessment that will be the backbone of the Facilities Master Plan/City Hall evaluation. The agreed upon lump sum fee for Phase One of the agreement with The Staubach Company - Southwest, Inc., is $50,000. The agreement also provides for the reimbursement to The Staubach Company - Southwest, Inc,. of authorized, project-related miscellaneous expenses, not to exceed $15,000 for both phases combined. The appropriations recommended by this M&C include an additional $5,000 to cover any other miscellaneous project-related expenses (e.g. expenses related to the solicitation for/selection of the Phase Two consultant team).
