FIRST AMENDMENT AND RENEWAL TO CITY SECRETARY
CONTRACT NO. 31078
THIS FIRST AMENDMENT AND RENEWAL to City Secretary Contract No. 31078
(hereinafter "Amendment and Renewal") is entered into by and between the City of Fort Worth
("City"), a home-rule municipality in the State of Texas, acting through Libby Watson, its duly
authorized Assistant City Manager, and Clean Harbor Environmental Services, Inc. ("Contractor"),
by and through e44"...*a.-•, its duly authorized President/Vice-President.
WHEREAS, the City and Clean Harbor Environmental Services, Inc. have entered into that certain
agreement identified as City Secretary Contract No. 31078 (also the "Contract") commencing on
December 22, 2004 and ending December 31, 2005 with two one-year extensions, and
WHEREAS, the City wishes to exercise it first renewal option;
WHEREAS, it is the mutual desire of the parties to amend said City Secretary Contract No. 31078
to reflect certain agreements to Contractor's cost estimate as shown in Section 2.5 of the
Contractor's Response to the City's Request for Proposal DEM04-06:HAZ which is fully
incorporated as Attachment A to the Contract,
WHEREAS, the parties agree that all other conditions, terms and pricing besides those specifically
mention herein shall remain the same as stated in City Secretary Contract No. 31078.
NOW,THEREFORE, for and in consideration of the mutual covenants contained herein,and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged and
confessed, the parties hereto agree as follows:
1. Renewal of Contract Term.Pursuant to Section 1 of City Secretary Contract No. 31078
both parties agree to exercise their first option to renew the term of this Contract for one(1)year to
commence on January 1, 2006 and end December 31, 2006,
2. Revisions to Cost Estimate. The following amendments shall be made to the Pricing
Conditions, Section 2.5 of the Contractor's Response to the City's Request for Proposal DEM04-
06:HAZ:
a. Paragraph 9 Demurrage Charges shall be deleted in its entirety and shall not be assessed
against the City for the services rendered for this Contract.

b. Paragraph 11 Recovery Fee shall be deleted in its entirety and shall not be assessed
against the City for the services rendered for this Contract.
c. Paragraph 13 shall be amended to now read:
"Payment terns are net thirty (30) days from date of invoice. Interest will be charged at
the rate of 1.5% per month, or the maximum amount allowed by law, on all amounts
outstanding more than thirty (30) days. Customers shall be responsible for all costs
(including costs incurred in any bankruptcy or insolvency proceeding)incurred by Clean
Harbors to collect any payments due under this Agreement, including reasonable
attorneys' fees."
d. Attachment A to this Amendment and Renewal, entitled"Turn-Key Cost Adjustments"
shall be adopted and incorporated into City Secretary Contract No. 31078, Pricing
Conditions, Section 2.5. If there is any conflict between the pricing terms of the original
City Secretary Contract No. 31078 and this Amendment and Renewal, than the terms of
this Amendment and Renewal shall prevail over the terms of the Contract. This
Amendment and Renewal shall not increase or decrease the not to exceed amount of
$150,000 as stated in Section 5.A of the Contract.
3. Miscellaneous. Nothing contained herein shall be deemed to amend or modify the
Contract, except as expressly set forth herein. Any defined term used herein,but not defined herein,
shall have that meaning set forth in the Contract.

Award of Contract to Clean Harbors Environmental Services, Inc. for Hazardous Waste Disposal
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the City Manager to enter into a contract with Clean Harbors Environmental Services, Inc.
for the packaging, transportation and disposal of hazardous waste; and
2. Authorize this contract to begin November 1, 2004 and expire October 31, 2005, with two annual
renewal options with a total cost not to exceed $150,000 per year.
DISCUSSION:
Various City departments utilize and/or generate products that cannot be disposed of by traditional solid
waste methods. In order to comply with federal and state requirements regarding such disposal, the
Environmental Management Department requires the professional services of a hazardous waste disposal
contractor. Materials for disposal under this contract include, but are not limited to, solvents, thinners,
paints, pesticides, contaminated automotive fluids, acids/bases, printer/copier chemicals and soil or
absorbent materials contaminated with spilled chemicals.
A Request for Proposals (RFP) was issued on July 29, 2004, for a contractor to package, transport and
dispose of hazardous waste generated by the City. Proposals were received on August 19, 2004, from the
following companies:
Clean Harbors Environmental Services, Inc.
Onyx Environmental Services
PSC/Chemical Reclamation Services
Rineco Chemical Services, Inc.
Safety-Kleen Systems, Inc.
Teris NA, LLC
Proposals were evaluated based on a predetermined combination of qualitative and quantitative (point)
measures to determine the recommendation for award of contract. These measures included evaluation of
such factors as legal record, experience, qualifications, performance records, cost and references. Based
on the total point distribution of those measures and a site audit, City staff recommends award of contract to
Clean Harbors Environmental, Inc. In addition, its proposal contained the lowest overall costs to be
incurred by the City under this contract. The final contract price will be determined by the actual quantity of
materials sent for disposal to the contractor based on the unit prices in the proposal. Because of the
variability in the amount and type of waste, a not to exceed amount has been set at $150,000 per year.
Renewal of the contract may be effected by notice in writing by the City Manager or his designated
representative to the contractor within sixty days prior to the expiration of the term. Contract renewal will

not require specific City Council approval, provided the City Council has appropriated sufficient funds to
satisfy the City's obligations during the renewal term.
A waiver of the M/WBE requirements was requested by the department and approved by the M/WBE office
because the purchase of services is from sources where subcontracting or supplier opportunities are
negligible.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that funds are available in the current operating budget, as appropriated, of
the Environmental Management Fund.
