AMENDMENT No.2 iia " CIN OF F�CpETAR" N �. clNs TO CITY SECRETARY CONTRACT No. 46286-A2 110169 EAS, the City of Fort Worth (CITY) and Freese and Nichols, Inc. , NEER) made and entered into City Secretary Contract No. 46286, (the CONTRACT) which was authorized by M&C C-27099 on the 2nd day of December, 2014 in the amount of $ 1, 300, 000 . 00 and Amendment No. 1 which was authorized by M&C C-27805 on the 281r day of June, 2016 in the amount of $449, 559 . 00; and WHEREAS, the CONTRACT involves engineering services for the following project : Montgomery Street from Camp Bowie Boulevard to IH -30, Project No. 02432; WHEREAS, it has become necessary to execute Amendment No. 2 to the CONTRACT to include an increased scope of work and revised fee. NOW THEREFORE, CITY and ENGINEER, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the CONTRACT: 1 . Article I of the CONTRACT is amended to include the additional engineering services specified in a proposal dated April 11, 2017, a copy of which is attached hereto and incorporated herein. The cost to City for the additional design management and construction phase coordination to be performed by Engineer totals $73, 680. 00. (See Attached Funding Breakdown Sheet, Attachment B) 2 . Article II of the CONTRACT is amended to provide for an increase in the fee to be paid to Engineer for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall be an amount of $1, 823,239. 00. 3 . All other provisions of the Contract, which are not expressly amended herein, shall remain in full force and effect. It is our understanding that the City of Fort Worth will be providing full time construction inspection and performing materials testing. FNI will provide project management services during construction in support of the Transportation and Public Works Department. FNI proposes a contract lump sum fee of $128,412.00. Obiective The objective of this Task Order is to authorize and direct ENGINEER to proceed with the work specified in the Scope of Services of this Task Order, in accordance with the provisions of Article I of the Standard Agreement of Engineering Related Design Services between the parties hereto dated the 23rd day of December 2014 (CS No. 46286) (the "AGREEMENT") 2. Scope of Services — See Task Order No. 4 —Attachment A 3. Compensation — See Task Order No. 4—Attachment B 4. Notice to Proceed This Task Order shall become effective immediately upon its execution by both parties and shall constitute a NOTICE TO PROCEED. 5. Assistant Director, Principal Transportation and Public Works ATTACHMENT "A" DESIGN SERVICES Task Order No. 4 Montgomery Street Improvements from 1-30 to Camp Bowie Boulevard Project No. 02432 Scope for Engineering Design Related Services for Construction Coordination The scope set forth herein defines the work to be performed by the ENGINEER in completing the project. Both the CITY and ENGINEER have attempted to clearly define the work to be performed and address the needs of the Project. OBJECTIVE The objective of the project is to provide project management support during construction for the Montgomery Street Improvements project(I-30 to Camp Bowie Boulevard) and provide regular updates to the Transportation and Public Works Department. WORK TO BE PERFORMED TASK 1. FINAL DESIGN TASK 2. PROJECT MANAGEMENT SUPPORT DURING CONSTRUCTION TASK 3. ADDITIONAL SERVICES TASK 1. FINAL DESIGN. Preliminary plans and specifications shall be submitted to CITY per the approved Project Schedule. ENGINEER will develop the final design of the infrastructure as follows. 1.1 Temporary Traffic Signal Design at Trail Drive and Harley Avenue • The ENGINEER will prepare construction plans, including layout and details • The ENGINEER will provide quantities of improvements 1.2 Underground Franchise Utility Infrastructure • The ENGINEER will prepare construction plans for the underground infrastructure required for AT&T, Charter, Zayo, and Alpheus to transfer from above ground to underground, including layout and details • The ENGINEER will provide quantities of improvements • The ENGINEER will conduct one on-site meeting and one meeting at the City of Fort Worth offices with the franchise utility owners to review to proposed relocations City of Fort Worth,Texas Attachment A PMO Release Date:07.23.2012 Page 1 of 4 1.3 Pedestrian Access and Utility Easements • The ENGINEER will prepare (up to four) pedestrian access and utility easements between Montgomery Street and the multi-purpose arena site DELIVERABLES A. ENGINEER will support the construction phase of the project as follows. 2.1 Project Management Support • The ENGINEER will prepare one project summary memorandum • The ENGINEER will prepare and conduct weekly progress meetings (up to 48) • The ENGINEER shall attend up to 30 construction coordination meetings (in addition to the 18 outlined in Task Order#3) and document the meeting with meeting minutes • The ENGINEER will prepare up to 6 monthly progress memorandums (in addition to the 18 outlined in Task Order#3) with project photos and description of progress and any current construction issues or delays. ASSUMPTIONS • 24-month construction schedule • Bi-monthly construction coordination meetings for duration of project 2.2 Traffic Signal Timing Signal timing plans and analysis of will be developed for the following signal controlled intersections: • Temporary signals: o Montgomery Street @ Trail Drive and o Montgomery Street @ Harley Avenue • Permanent signals: o Montgomery Street @ IH-30 EBSR and IH-30 WBSR o Montgomery Street @ Trail Drive o Montgomery Street @ Harley Avenue o Montgomery Street @ Camp Bowie Boulevard Timing plans will be developed for the following time periods: City of Fort Worth,Texas Attachment A PMO Release Date:07.23.2012 Page 2 of 4 • Weekday AM peak; • Weekday PM peak; • Weekday midday; • Weekday/weekend off-peak; • Post event (permanent signals). Signal timing parameters to be provided include: cycle length, offset, min green, max green, yellow clearance, and all-red settings for each time period. Task A. Data Collection • The timing plans for the permanent signals and the temporary signals will be developed using the traffic data that was gathered by FNI in 2015 for the assessment of design alternatives for Montgomery Street, prior to the initiation of construction on Montgomery Street improvements and the new arena. That data consists of weekday AM and PM peak our turning movement counts compiled by FNI and some special event traffic data for Saturdays compiled by Dunaway for the study of the Stock Show and Rodeo. Projections were also provided by Dunaway for post-event traffic at the proposed arena. FNI will review these data sources and assemble and factor the intersection traffic volumes needed for development of the signal timing plans. • Traffic during the ongoing construction will likely be less than counted in 2015. But rather than take new traffic counts to develop the signal timing plans for the temporary signals, the 2015 traffic volumes will be utilized with scrutiny. Task B. Temporary Traffic Signal Timing FNI will utilize Synchro, Version 10, to develop traffic signal timing plans for the configuration and capabilities of the two temporary signals on Montgomery Street at Trail Drive and at Harley Avenue for each of up to four construction phases/lane configurations. Timing for the two temporary signals will be coordinated with the signals on Montgomery Street at IH-30 and at Camp Bowie Boulevard. Task C. Permanent Traffic Signal Timing FNI will utilize Synchro, Version 10, to develop coordinated traffic signal timing plans for the configuration and capabilities of the permanent traffic signals on Montgomery Street at IH-30 WBSR and EBSR, Trail Drive/EI Campo, Harley Avenue, and Camp Bowie Boulevard. Task D. Meetings and Coordination FNI will initially meet with City staff to discuss the approach and desired outcome of the traffic signal timing plan efforts. City staff will provide the current traffic signal timings to FNI and indicate which timing settings would be standard settings and which would be modified for each intersection. FNI will collaborate with city staff as needed throughout the development of the timing plans to discuss progress, issues and options to attain city staff direction or concurrence. Documentation FNI will prepare a memorandum describing the data used, analyses performed in development of the signal timings, and the timing plan for each temporary and permanent signal during each of the prescribed time periods. Memorandum to document traffic signal timing TASK 3. ADDITIONAL SERVICES. ADDITIONAL SERVICES NOT INCLUDED IN THE EXISTING SCOPE OF SERVICES Additional Services not included in the existing Scope of Services — CITY and ENGINEER agree that the following services are beyond the Scope of Services described in the tasks above. However, ENGINEER can provide these services, if needed, upon the CITY's written request. Any additional amounts paid to the ENGINEER as a result of any material change to the Scope of the Project shall be agreed upon in writing by both parties before the services are performed. These additional services include the following: • Construction management and inspection services • Construction surveying and staking • Performance of materials testing or specialty testing services. • As-built survey • Services necessary due to the default of the Contractor. • Services related to damages caused by fire, flood, earthquake or other acts of God. • Services related to warranty claims, enforcement and inspection after final completion. • Services to support, prepare, document, bring, defend, or assist in litigation undertaken or defended by the CITY. • Performance of miscellaneous and supplemental services related to the project as requested by the CITY. Compensation A. The ENGINEER shall be compensated for personnel time, non-labor expenses, and subcontract expenses in performing services for Task Order No. 4 a lump sum fee of $128,412.00, as summarized in Exhibit B-1 — Engineer Invoice and Section IV — Summary of Total Project Fees. The total fee shall be considered full compensation for the services described in Attachment A, including all labor materials, supplies, and equipment necessary to deliver the services. B. The ENGINEER shall be paid monthly payments as described in Section II - Method of Payment. II. Method of Payment A. Partial payment shall be made to the ENGINEER monthly upon City's approval of an invoice prepared and submitted by the ENGINEER in the format and including content as presented in Exhibit B-1, Progress Reports as required in item III. of this Attachment B, and Schedule as required in Attachment D to this Agreement. B. The estimated current physical percent complete as required on the invoice shall be calculated from the progress schedule as required in Attachment D to this Standard Agreement and according to the current version of the City of Fort Worth's Schedule Guidance Document. C. The cumulative sum of such monthly partial fee payments shall not exceed the total current project budget including all approved Amendments. D. Each invoice shall be verified as to its accuracy and compliance with the terms of this Agreement by an officer of the ENGINEER. III. Progress Reports A. The ENGINEER shall prepare and submit to the designated representative of the Transportation and Public Works Department monthly progress reports and schedules in the format required by the City.
