I FY2017/18 INTERLOCAL COOPERATION AGREEMENT MHMR of Tarrant County Mental Health First Aid Training This INTERLOCAL COOPERATION AGREEMENT ("Agreement") is entered into and by and between the agencies shown as "Contracting Parties", pursuant to the authority granted and in compliance with the provisions of "The Interlocal Cooperation Act," Texas Government Code, Chapter 791 (the "Act"). WHEREAS, the Act provides the authority to political subdivisions to contract with each other to facilitate the governmental functions and services of the governmental entities under the terms of the Act; WHEREAS, City is a Texas home rule municipal corporation organized and operating under the laws of the State of Texas; WHEREAS, MHMR is a unit of local government under Chapter 534 of the Texas Health and Safety Code; WHEREAS, this Agreement has been authorized by the governing bodies of each party; WHEREAS, the parties are entering into this Agreement for the purpose of MHMR to provide mental health training to City's employees;and WHEREAS, City will pay for these services from current revenues available, and the parties agree that payments under this Agreement fairly compensates MHMR for the services performed under this Agreement; NOW THEREFORE, in consideration of the foregoing and on the terms and conditions hereinafter set forth, the parties agree as follows: 11 12 AM I. CONTRACTING PARTIES: ro ° The Receiving Agency: City of Fort Worth(City) The Performing Agency: MHMR of Tarrant County (MHMR) Ch F II. STATEMENT OF SERVICES TO BE PERFORMED: d ZI 4%. Training Services: MHMR will provide an eight(8) hour training course in Mental Health First Aid. Up to 500 City employees will participate. Mental Health First Aid is an in-person training that teaches attendees how to help people developing a mental illness or in a crisis. In the Mental Health First Aid course, attendees learn risk factors and warning signs for mental health and addiction concerns, strategies for how to help someone in both crisis and non- crisis situations, and where to turn for help. Attendees will learn about: --1-of 5 MHMR and CFW Training Interlocal Agreement 7 R17050 FY2017/18 a. Depression and mood disorders b. Anxiety disorders c. Trauma d. Psychosis e. Substance Use disorders f. How to implement the ALGEE Action Plan: i. Assess for risk of suicide or harm ii. Listen non judgmentally iii. Give reassurance and information iv. Encourage appropriate professional help v. Encourage self---help and other support strategies Mental Health First Aid teaches about recovery and resiliency—the belief that individuals experiencing these challenges can and do get better, and use their strengths to stay well. Training Services will be provided at a location and time mutually agreed upon by both parties. 111. COSTS: Mental Health First Aid Onsite Training Training Fees: Training fees are all inclusive and include, if applicable, articles, materials,and documentation.The cost for Mental Health First Aid onsite training is $50 per person.The City will enroll up to 500 employees at$50 per person, but in no way does the City guarantee the attendance of 500 employees. Refund and Cancellation: City will not be charged, provided that the cancellation notice is received by MHMR on or before 30 calendar days prior to the scheduled training. If cancellation notice is received between 29 and 15 calendar days before the scheduled training, MHMR will charge the City 50% of the training fee. If cancellation is received on or less than 14 calendar days prior to the scheduled training, the City will be charged 100% of the training fee. However, when the City reschedules the training, any amounts paid for the cancelled training will be credited towards the cost of the rescheduled training. Rescheduling: No fee will be charged for rescheduling training if request is received by MHMR on or before 30 calendar days of the scheduled training. If the request is received on or less than 29 calendar days before the scheduled training a fee equal to 10%of the total cost of the training will be charged and rescheduling will be granted on a space availability basis. MHMR will invoice the City monthly for services that were provided in the preceding month. 2of5 MHMR and CFW Training Interlocal Agreement 5/22/17 R 17050 FY2017/18 IV. CONTRACT AMOUNT: The total amount of this Agreement will not exceed$25,000 V. PAYMENT OF SERVICES: Payment for services performed shall be made payable to MHMR. An invoice will be emailed to City following the month services were provided. City agrees to remit payment to MHMR within 30 days of receipt of invoice. VII. REQUIREMENTS OF CONTRACT: A) Requirements of MHMR: MHMR will provide training in accordance with the terms of this Agreement terms, which may be amended from time to time through a written amendment signed by both parties. B) Requirements of City: City is responsible for assessing the suitability of the Training Services for its attendees for enrollment. City's attendee's must meet MHMR's standards for appropriate behavior and follow dress code policy for each training course description. MHMR reserves the right to dismiss (without a refund) an attendee from any instance of the training in order to maintain a productive classroom environment VIII. TERM OF CONTRACT: 3 of 5 MHMR and CFW Training Interlocal Agreement 5/22/17 R17050 FY20 t 7/18 This agreement is to begin May 8, 2017 and will terminate on May 31, 2018 unless sooner terminated under this Agreement. City shall have the option, in its sole discretion, to renew this Agreement under the same terms and conditions, for up to three (3) one-year renewal options. IX. TERMINATION OF CONTRACT: A) Immediate Termination: MHMR and City may terminate this Agreement immediately if MHMR or City does not receive the funding to pay for designated services under this Agreement; B) Termination by Consent: This Agreement may be terminated by the parties' mutual consent or by either party without cause and without penalty upon a minimum sixty (60) days prior notification in writing to the other party. C) Refund upon Termination: Upon termination of this Agreement, MHMR will refund City for any Training Services paid for by City and not provided by MHMR. X. Miscellaneous: A) The parties agree that the services specified in this Agreement are necessary and essential for activities that are properly within the statutory functions and programs of the effected agencies, and the proposed arrangements serve the interest of efficient and economical administration B) Nothing in the performance of this Agreement shall impose nor is it intended to create any liability for claims against any party hereto other than claims for which the Texas Tort Claims Act may impose liability. Further, nothing in the entering into this agreement nor in its performance shall waive or is intended to waive the parties' governmental immunity or any of the protections from liability or suit associated therewith. C) Right to Audit: MHMR agrees that City shall have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records of MHMR involving transactions relating to this Agreement.
