J 1'7-13 r CQYOFFORTWORTH TO CITY SECRETARY CONTRACT No. 45717 O� CITY SECRETARY 6' 9 l the City of Fort Worth (CITY) and McCarthy Building Compani Inc. , (CMAR) made and entered into City Secretary Contract No. 45717, (the CONTRACT) which was authorized by M&C C-26514 on the 22nd day of October, 2013 in the amount of $60, 000 . 00 and which was amended concurrently herewith by Amendment No. 1 (M&C C-27638) in the amount of $57, 164 . 00 and subsequently amended by Amendment No. 2 (M&C C-27638) in the amount of $335, 000 . 00 for additional preconstruction services; and WHEREAS, the CONTRACT calls for construction services for the following project: HEMPHILL STREET EXTENSION from Lancaster Avenue to Vickery Boulevard (City Project Number 00141) ; and WHEREAS, it has become necessary to execute Amendment No. 3 to the CONTRACT to establish the Guaranteed Maximum Price (GMP) for the construction phase of the Project; NOW THEREFORE, CITY and CMAR, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the CONTRACT: 1. The Guaranteed Maximum Price for the Project shall be the amount not to exceed $37, 477, 446. 00as specified in a proposal dated May 31, 2017, a copy of which is attached hereto and incorporated herein for all purposes into the original CONTRACT, as amended. The GMP is within the project budget, as amended, and Staff finds that the fees and costs are fair and reasonable for the work proposed. 2 . All other provisions of the CONTRACT, which are not expressly amended herein, shall remain in full force and effect. Our price proposal is inclusive of the work included within the following documents as well as the subsequent clarifications contained within this proposal; McCarthy Front End Documents Advertised 04/06/2017 Contract Drawings: "GMP 2"from TranSystems dated 03/28/2017 i McCarthy's total not to exceed proposal for GMP#2 is$35,408,258. This price proposal is predicated upon utilizing all subcontractors and suppliers as recommended by McCarthy, including the use of McCarthy as a self-perform subcontractor on multiple work packages. Please reference our Proposal Pricing Sheet for the subcontractors recommended by McCarthy to complete each work package. Attached for your review is a detailed breakdown of the costs associated with GMP#2, detailed project clarifications concerning our pricing proposal, bid evaluation ratings, a detailed staffing chart, and a project schedule. This proposal is based on a GMP 42 work package scope of work published within the McCarthy Front Ends advertised on April 6,2017. The project duration will be 30 months,with an assumed June 30,2017 Notice to Proceed,and a Final Completion date of December 28,2019. 2. Bids received on May 10,2017 are valid for only 120 days from that date. We anticipate a June 20,2017 council approval which allows subcontracts to be issued within the 120-day bid period. We have not included any measures for rebidding or for cost increases if the 120-day bid period is exceeded prior to Owner authorization. 3. We have assumed a maximum four-week(28 calendar days)turnaround for critical path submittals from UPRR. 4. We have assumed a maximum two-week(14 calendar days)turnaround for critical path submittals from the City. 5. We assume electronic versions of the contract plans/documents will be made available to assist in building the project. 6. This proposal is based on expedited turn-around times of all RFI's. 7. GMP#2 is mutually exclusive of GMP#1,which was submitted under a separate GMP submission and was completed in 2015. 8. Management and disposal of contaminated soils is based on the contract documents that were provided at the time of bid. Specifically,these documents include Enercon's Test Report dated September 26,2016, Accutest Laboratories Technical Report dated May 7,2014,and TranSystems Contract Drawings dated March 28,2017. Removal of all soil,subballast,and ballast is assumed to be TCEQ Class 1 Waste for purposes of excavation,haul off,and disposal,and associated costs have been included in the proposal. Removal of all rock excavation materials in the project area is assumed to be free of contaminants and hazardous materials. Costs of mitigating such conditions are excluded from this proposal. Any change in conditions and/or characterization of the contaminated soils from what was shown in the bid documents, shall be considered as an extra to GMP#2. 9. Subcontractor pricing is for the advertised work packages as detailed within the front end documents. Deductive bid items must be agreed to prior to contract execution. Any deductions from the scope after the contract is executed is subject to re-evaluation and pricing due to the fact that the subcontractor may have locked in pricing for materials based upon specific quantities,or may have released permanent materials for production. 10. Scope/Price and/or time related deductions within subcontracted work packages or project contingencies shall be transferred to alternate applicable contingency line items with 50%shared savings to McCarthy. 11. Subcontractor cost per day or hour for downtimes due to Railroad delays are specified as first tier subcontractor only delay costs,and do not include third tier subcontractor/supplier delay costs. Specific subcontractors on site actually included within the work will be dealt with on a case by case basis as delays occur. 12. Installation of the Artwork structural steel and foundations are per the McCarthy front end documents and have been included. Any additional modifications to materials,additional support for the Artwork subcontractor,or design changes shall be funded from the Additional Artwork Support Allowance. 13. Allowances included for additional work are not binding upon either party. The allowance funds are the property of the Owner and will not be expended without prior written notice from the Owner. Any unused allowance funds at the end of the contract will remain with the owner,and there is to be no shared savings to the contractor for any unspent allowances. 14. Given that there are no established work windows with UPRR,McCarthy as the CMAR and our subcontractors have assumed 45 hours of production and 5 hours of lost time per week relative to train interference and potential unknowns to be identified within the UPRR Right of Row. UPRR has verbally indicated that work windows will be given in order to allow for uninterrupted durations of work,however, given that there is no definitive work schedule at this time,we have stated our assumptions as such. McCarthy has included within this proposal our best estimate for suggested allowances to help mitigate such delays to construction due to potential delays within this scope of work. 15. McCarthy has included a contingency for coating the exterior exposed surfaces of the Railroad Bridge and handrail only. Coating system is assumed as TxDOT specifications for coating of steel bridges. 16. McCarthy has included a contingency for painting of the concrete and block walls with color(to be determined later)to provide consistency and an anti-graffiti coating meeting TxDOT specifications. 17. McCarthy has included a contingency for Work Category#3 Electrical&Lighting due to receiving no bids on the work package. This contingency covers the existing scope as advertised in the McCarthy Front End Documents. Any changes to the scope shall be considered as an extra to GMP#2. 18. A Landscaping Contingency has been included for hydromulch and temp irrigation of the CMAR Yard and ROW only. No provisions for curbs,signage,pedestrian amenities,or other beautification have been contemplated at this time. 19. McCarthy has included a contingency for relocating/reconfiguring the Chesapeake Well Pad gate and extending the driveway to meet it. The scope includes the necessary fence work,fabric, and flex base driveway as discussed during pre-construction and were previously approved by Chesapeake Energy. No funds have been included for relocation of Well Pad electrical panel or emergency switches. 20. McCarthy has included a contingency for sandblasting and coating the underside of the IH-30 Bridge due to the previous fire under the bridge. Coating system is predicated upon aesthetics only. Structural repairs of the bridge are not included within this contract,though McCarthy will assist the City with all coordination efforts with TxDOT as they are the owner of the IH30 Bridge. 21. Utilities—McCarthy has included allowance within this proposal to help identify,locate,remove,relocate, and/or demolish existing utilities within the right of way,as well as compensate the CMAR and associated subcontractors with delays associated with utilities in conflict with the project. These allowances are not intended to be construed as a"not to exceed"amount should a utility conflict be identified. Furthermore, McCarthy has not included any scope within this GMP to mitigate any utilities that may conflict with the final work to be installed for this project. Any utility work that exceeds the allowance budgets shall be considered as an extra to GMP#2. Any unused allowance funds at the end of the contract will remain with the owner,and there is to be no shared savings to the contractor for any unspent allowances. Inclusions: The following items have been included in our Guaranteed Maximum Price: 1. Direct construction costs as listed in the attached GMP Proposal 2. Indirect Costs 3. Establishing control and providing construction layout are included 4. As-builts are included 5. General Liability Insurance 6. Pollution Insurance 7. Builder's Risk Insurance 8. Railroad Protective Insurance 9. Cost of McCarthy Performance and Payment Bonds,as well as a two(2)year Maintenance Bond 10, Project Warranty and Two(2)Year performance guarantee shall start at the substantial completion of the project Exclusions: The following items have been excluded from our Guaranteed Maximum Price: 1. Licensing Fee for Union Pacific Railroad or design&construction efforts to accommodate UPRR Guidelines 2. Permits and Fees(beyond the Railroad Right of Entry Fee and construction trailer permit fees). 3. Governmental agency inspectors 4. Third Party Inspection,IE testing of dirt,compaction densities,concrete,CSL testing on the drilled shafts, weld inspections,etc.McCarthy will coordinate testing but all costs of testing are to be borne by the City. 5. Architect/Engineer contingencies 6. Owner contingencies outside of what has been shown within our GMP Proposal 7. Architect,Engineer,and Consultant fees 8. Financing costs and associated legal fees 9. Land costs 10. Removal and/or relocation of any unforeseen underground obstructions and utilities not noted on the GMP #2 drawings 11.
