FIRST AMENDMENT TO THE INTERLOCAL AGREEMENT BETWEEN THE FORT WORTH TRANSPORTATION AUTHORITY AND THE CITY OF FORT WORTH FOR THE ACQUISITION, DESIGN,AND CONSTRUCTION OF A TRANSIT PLAZA AND RELATED IMPROVEMENTS AT HYDE PARK WHEREAS, on April 14, 2004, the Fort Worth Transportation Authority ("The T") and the City of Fort Worth ("City"), executed an Interlocal Cooperative Agreement Between the Fort Worth Transportation Authority and the City of Fort Worth for the Acquisition, Design, and Construction of a Transit Plaza and Related Improvements at Hyde Park (the "ILA") (City Secretary Contract Number 29793); and WHEREAS,the ILA defines the roles and responsibilities related to the funding and management of the Hyde Park Transit Plaza Project; and WHEREAS, on October 13, 2005, the North Central Texas Council of Governments' Regional Transportation Council approved an amendment to the Transportation Improvement Program (TIP) to shift $1.2 million in federal Surface Transportation Program for Metropolitan Mobility (STP-MM) funds to the T for certain acquisition expenses and the construction of intersection improvements at the Hyde Park Transit Plaza; and WHEREAS, the STP-MM grant requires a 20 percent, or $300,000, local match, which the City and the T agreed to share equally as specified in the ILA, and, accordingly, the City Council included its $150,000 share in the 2005-2006 budget, and the T's capital budget forecast includes $150,000 for the required local match for the Hyde Park Transit Plaza STP-MM grant. WHEREAS, under the current ILA, the City has the responsibility to manage and administer the Hyde Park Transit Plaza Project; and WHEREAS, because this is a joint project, the City and the T desires to amend the agreement to provide that the management and administration of the Project will be shared. NOW, THEREFORE, the ILA shall be amended to reflect the current responsibilities of the parties by replacing Subparagraph 3. Services Provided by City and the T Under the terms of this agreement,the City and the T will be responsible for completing the following tasks and submitting related products to the other party. D. Executive Conmiftee Acfion Subject: Hyde Park Transit Plaza-ILA Amendment BACKGROUND The Hyde Park Transit Plaza at the intersection of Ninth and Throckmorton Streets is a collaborative effort by the Fort Worth Transportation Authority (The T), the City of Fort Worth (City), the U.S. General Services Administration(GSA), and Downtown Fort Worth, Inc (DFWI). The design phase of the project is nearing completion. As the project nears the construction phase, it is necessary to amend the Interlocal Agreement with the City to further define construction management roles and to update the project budget for the Hyde Park Transit Plaza. CONSTRUCTION MANANAGMENT ROLE CHANGES: On November 26, 2002, The T entered into an Interlocal Agreement (ILA) with the City outlining funding and other responsibilities for the Hyde Park Transit Plaza project. The agreement allowed the partners to initiate the design process and proceed with activities related to property acquisition. The agreement also outlined construction management responsibilities, but the assignment of these responsibilities was tentative at such an early stage. In general, the existing ILA specifies that the City shall manage the design, engineering, and construction phases of the project, and The T shall manage property acquisition. The T's staff is more qualified to oversee the construction of passenger facilities and other transit elements within the Hyde Park Transit Plaza. Similarly, City staff is more qualified to oversee the construction of streets and improvements to public spaces. The proposed amendment would simply clarify that the City and The T will jointly manage the construction and inspection of Hyde Park. This proposed arrangement will facilitate coordination between the project partners throughout the project's construction, and requires a minor ILA amendment to specify the roles, responsibilities, and process for construction management. The City and The T propose to enter into a joint contract with a private firm to oversee the construction and inspection of the Hyde Park Transit Plaza. Staff will solicit bids and will request Board of Directors approval of an appropriate construction management contract at the same time as the award of the construction contract. DISCUSSION: The proposed Hyde Park Transit Plaza at the intersection of Ninth and Throckmorton Streets is a collaborative effort by the City, the Fort Worth Transportation Authority (FTA), the U.S. General Services Administration (GSA) and Downtown Fort Worth, Inc. The Hyde Park and Ninth Street Advisory Committee, chaired by Councilmember Wendy Davis, oversees the project. On November 26, 2002, (M&C C-19364) City Council authorized the City Manager to enter into an Interlocal Agreement (ILA) with the T outlining funding and project management responsibilities for the Hyde Park Transit Plaza project. The agreement allowed the partners to initiate the design process and proceed with activities related to property acquisition. The agreement outlined construction management responsibilities, but the assignment of these responsibilities was tentative at such an early stage. In general, the existing ILA specifies that the City shall manage the design, engineering and construction phases of the project and the T shall manage property acquisition. The proposed amendment would simply clarify that the City and the T will jointly manage the construction and inspection of Hyde Park. The Federal Transportation Administration administers the federal grant funds to be used for construction and the T is the grant recipient. FTA officials have indicated that they expect the T, as grant recipient, to manage construction and inspection of all grant-funded projects. Furthermore, T staff are more qualified to oversee the construction of passenger facilities and other transit elements within the transit plaza. Similarly, City staff are most qualified to oversee the construction of streets and improvements to public spaces. For the Hyde Park Transit Plaza, which is a collaborative project in which the City and the T are sharing local expenses, FTA has authorized this partnership arrangement through which the T and the City would share construction management responsibilities. This proposed arrangement will facilitate coordination between the project partners throughout the project's construction and requires a minor ILA amendment to specify the roles, responsibilities and process for construction management. The City and the T propose to enter into a joint contract with a private firm to oversee the construction and inspection of the Hyde Park Transit Plaza. City staff will solicit bids and will request City Council approval of an appropriate construction management contract. The timing of Council authorization for the construction management contract will be coordinated with the authorization of the construction contract. The STP-MM grant will fund the Hyde Park Transit Plaza intersection improvements at Ninth and Throckmorton Streets and certain property acquisition expenses. After a thorough analysis of the proposed Miller Road project, City staff concluded that the intersection improvements were not warranted. If the grant money is not used for another City project, the funds will revert back to NCTCOG and may not be allocated back to the City. The STP-MM grant requires a 20 percent, or $300,000, local match which the City and the T have agreed to share equally as stipulated in the ILA. The City's $150,000 share was included in the approved 2005-2006 budget. City staff will update the ILA to reflect the revised project budget upon approval of the TIP amendment. Hyde Park was originally conceptualized during the 1999 study of the Intermodal Transportation Center. The study recommended dispersing bus transfer activity throughout Downtown and identified Hyde Park at the intersection of Ninth and Throckmorton Streets as the most promising location for a transit plaza. Since 1999, the City, the T, GSA and Downtown Fort Worth, Inc., have worked together to secure funding and to design the proposed transit plaza. This project is located in COUNCIL DISTRICT 9.
