NEGOTIATED SETTLEMENT AGREEMENT
This agreement ("Agreement" or "Settlement Agreement") is made between the City of
Fort Worth ("City"), by its authorized Assistant City Manager, Properties 4BKE, LLC
("4BKE"), American Track Generations, LLC ("ATG"), and Brent and Keri Bush (collectively
the"Bushes"),
WHEREAS, the City is a home rule municipality of the State of Texas; and
WHEREAS, the City, 4BKE, ATG, and the Bushes are sometimes individually referred
to as a"Party"and collectively as the"Parties"; and
WHEREAS, in 2015, the City contended, and ATG disputed, that ATG caused or
contributed to storm water flooding at the intersection of Golden Heights Road, Golden Triangle

Boulevard, and Harmon Road that resulted in the installation, by the City, of two 18" reinforced
concrete pipes and other improvements to avoid and prevent additional storm water flooding at
said intersection (the"Drainage Dispute"); and
WHEREAS, the Bushes contend, and the City disputes that in 2015 the City caused or
contributed to the trespass on the Bushes' property by the City's contractor (the "Trespass
Dispute"); and
WHEREAS, the City filed a condemnation suit against 4BKE in Cause Number 2017-
001772-1 pending in County Court at Law No. 1 of Tarrant County, Texas (the "Condemnation
Case"), to condemn and acquire a permanent water facility easement described in the City's
petition; and
WHEREAS, three special commissioners were subsequently appointed to preside over
and to hear the parties in the Condemnation Case to determine the fair market value of the land
to be taken and the damages, if any,to the remainder; and
WHEREAS, the City, 4BKE, ATG, and the Bushes agree that bona fide disputes and
controversies exist between them; and
WHEREAS, the City acknowledges the need for additional land for future public
projects located on property owned by 4BKE and the Bushes, and after further negotiations, the
Parties agree that it is in their best interests for the City to acquire three parcels of land: 1) a
.074-acre tract owned by the Bushes; 2) a .119-acre tract owned by 4BKE; and 3) a .284-acre
tract owned by the Bushes, which are more specifically defined herein and collectively referred
to as the"Property."
WHEREAS,the Parties desire(with or without the necessity of a special commissioner's
hearing)to compromise and settle any and all claims and/or causes of between the Parties;and

WHEREAS, this Agreement supersedes any previous agreements and contracts, and any
such previously executed agreements or contracts,whether or not executed, are null and void.
NOW, THEREFORE, in consideration of the recitals set forth above, the mutual
promises and agreements made herein, and other valuable consideration, the receipt and
sufficiency of which is acknowledged,the City,413KE, ATG,and the Bushes agree as follows:
Recitals. The recitals contained in this Agreement: (a) are true and correct as of its
effective date; (b)form the basis upon which the Parties negotiated and entered into this
Agreement; and (c) reflect the final intent of the Patties with regard to the subject matter of this
Agreement. In the event it becomes necessary to interpret any provision of this Agreement, the
intent of the Parties, as evidenced by the recitals, shall be taken into consideration and, to the
maximum extent possible, given frill effect. The Parties have relied upon the recitals as part of
the consideration for entering into this Agreement.
Release. For and in consideration of the recitals set forth above and the actions to be
taken under the terms of this Settlement Agreement as described below, the City, 413KE, ATG,
and the Bushes do hereby RELEASE, ACQUIT, and FOREVER DISCHARGE each other and
their respective agents, servants, employees, representatives, managers, members, successors,
executors, heirs, and assigns, and all persons, natural or corporate, in privity with them from any
and all claims, demands, causes of action, and damages of any kind whatsoever, at common law,
statutory,or otherwise, which they have now,known or unknown, existing, directly or indirectly,
against each other, including but not limited to those relating to the Drainage Dispute, the
Condemnation Case, and the Trespass Dispute it being intended by the Settlement Agreement to
RELEASE, ACQUIT, and FOREVER DISCHARGE all claims, demands, causes of action, and
damages of any kind whatsoever that the City, 413KE, ATG and the Bushes might have against

each other, whether previously asserted or not. Each Party releases the other of and from any
and all attorneys' fees and expenses under Chapter 21 of the Texas Property Code or otherwise.
However, nothing herein shall prohibit the City from seeking property from the Parties for any
public projects.
Dismissal of Case. The City and 4BKE agree that an agreed motion to dismiss the
Condemnation Case (in the form of the attached Exhibit A) will be presented to the Court,
dismissing all causes of action asserted by the City in the Condemnation Case and
acknowledging that 4BKE is relinquishing any and all claims and/or causes of action that 4BKE
might assert against the City because of the Condemnation Case. Further, the City and 4BKE
agree that an order of dismissal (in the form of the attached Exhibit B) will be presented to the
Court to dismiss the Condemnation Case, taxing court costs against the City. The motion and
order will be executed contemporaneously with the execution of this agreement and will be
submitted to the court for rendition.
Consideration. For and in consideration of the recitals and releases set forth above and
other provisions set forth below, to fully and finally settle the Condemnation Case, the Drainage
Dispute, and the Trespass Dispute and to obtain the Property in fee simple title, free and clear of
any liens or encumbrances, and described in the documents attached as Exhibits 1, 2, and 3, all
exhibits attached and incorporated in this Agreement,the City agrees:
(1)to pay 4BKE and the Bushes the total amount of$30,300.00;
(2) at its sole expense, to replace the two asphalt driveways (the "Driveways")providing
access to the improvements and ATG's business located on the real property legally described as
Lot 1, Block 1, Properties 4BKE Addition, an Addition to the City of Fort Worth, Tarrant
County, Texas according to the plat filed for registration on November 4, 2013 under Instrument
Negotiated Settlement Agreement Page 14
No. D213284460 in the Official Public Records of Tarrant County, Texas (the "413KE Lot")
using Detail 32 01 17-13250 on Sheet 62 of 117 of the Northside II 48-inch Water Main, Phase I
Part 2 Drawings sealed by Donald P. Lange of Brown & Gay Engineers, Inc. and dated
November 2014(the"Plans");
(3) at all times during the construction of any improvements on the Property, that at least
one of the Driveways must remain open and provide for commercial tractor trailer access to the
improvements and business operating on the 413KE Lot;
(4)to cause to be abandoned, by written instrument filed in the Official Public Records of
Tarrant County, Texas (in the form of the attached Exhibit D) that portion of the called Right-of-
Way Easement for Channel recorded under Volume 4130, Page 684 of the Official Records of
Tarrant County, Texas lying within the boundaries of the remainder of the Bushes' tract legally
described in the Warranty Deed filed under Instrument No. D213257850 of the Official Records
of Tarrant County, Texas not conveyed to the City as depicted in Exhibit 2. The Bushes agree to
pay to the City a fee of $300.00 for the abandonment of the above-described Right-of-Way
Easement for Channel. The Parties agree the fee will be deducted from the settlement amount,
making the total payment by the City to 413KE and the Bushes $30,000.00;
(5) to hereby approve and accept, without any further applications, permits, or fees, the
Driveways;
(6) at its sole expense,to install topsoil and hydro seeding in all areas designated to have
6"of Flexible Base,Type A GR-1 (Section 321123) on sheet 81 of 117 of the Plans;
(7) in any future storm drain system along Golden Triangle Boulevard, the City, at its
sole expense, will install stub outs extending to the boundary line of the Bushes' property to

permit the Bushes, their successors or designees to connect drop drains to said stub outs to drain
the grassed area between the Driveways;
(8) to repair, at its sole expense, any existing or future damage to the sprinklers on the
Bushes' property or the front yard of the 413KE Lot occurring during construction
Deeds to be Delivered. 413KE and the Bushes, at the signing of this Agreement, will
execute and deliver to the City deeds in the form of Exhibit C conveying three parcels of land
described in Exhibits 1 2, and 3. The deeds include exhibits, surveys and metes and bounds
descriptions for the parcels that 413KE and the Bushes are conveying the City.
Attorney's Fees. The Parties shall bear all attorney's fees and costs arising from the
actions of its own counsel in connection with the City's case, this Settlement Agreement, and all
matters and documents referred to herein.
Parties Bound. This Agreement shall be binding upon and inure to the benefit of the
Parties to this Agreement and their heirs, executors, administrators, legal representatives,
successors, and assignees.
Prior Agreements Superseded. This Agreement constitutes the only agreement of the
Parties for settlement of any and all claims arising from the Condemnation Case, the Drainage

Dispute, and the Trespass Dispute; and it supersedes any prior understandings and written or oral
agreements between the Parties respecting the settlement of this case.
Texas Law to Apply. This Agreement shall be construed under, and in accordance with,
the laws of the State of Texas, and all obligations of the Parties created by this Agreement are
performable in Tarrant County,Texas.
Legal Construction. If any of the provisions contained in this Agreement shall for any
reason be held to be invalid, illegal, or unenforceable, the invalidity, illegality, or

unenforceability shall not affect any other provision of this Agreement, and this Agreement shall
be construed as if the invalid, illegal, or unenforceable provision had not been included in the
Agreement.
Amendment. No amendment, modification, or alteration of the terms of this Agreement
shall be binding unless it is in writing, dated subsequent to the date of this Agreement, and duly
executed by the City, 4BKE, the Bushes, and ATG.

MOTION TO DISMISS
The City of Fort Worth, Petitioner, moves the Court for an order dismissing the case
against all defendants in this lawsuit with prejudice. The City asserts that all matters at
controversy have been fully and finally agreed upon and settled. The CITY and
PROPERTIES 413KE, LLC (hereinafter "413KE") have entered into a negotiated settlement
agreement. As part of the settlement of this case, 413KE is relinquishing any and all claims
and/or causes of action that it might assert against the City because of this condemnation
action.
Therefore,petitioner and defendants request the Court to render an order dismissing
Petitioner's suit at Petitioner's costs.

§ KNOW ALL BY THESE PRESENTS
COUNTY OF TARRANT §
WHEREAS, according to the deed recorded in the Deed Records of Tarrant
County as Instrument No. D213284460,Brent Bush and Keri Bush are the owners of a
certain property situated in the William McCowens Survey, Abstract No. 99, an addition
to the City of Fort Worth,Tarrant County,Texas. ("Property"); and
WHEREAS, a previous owner-in-title conveyed to the public a Right of Way
Easement for Channel, across the Property as evidenced in Volume 4310, Page 684 of
the Deed Records, Tarrant County, Texas.
WHEREAS, owners have requested that the City of Fort Worth abandon and
release a Portion of a Right of Way Easement for Channel lying within the boundaries
of the tract legally described in the Warranty Deed filed under Instrument No.
D213257580 of the Deed Records, Tarrant County, Texas, save and except for that
portion lying in the boundaries of the tract more frilly described on the attached Exhibits
"A" and "B."
NOW, THEREFORE, the City of Fort Worth in consideration of $10.00 and
other good and valuable consideration does hereby abandon, release and discharge all of
its rights, title and interests in, to, and under the Portion of a Right of Way Easement
for Channel.
