l 1* HEREAS, Fort Worth South, Inc., (a/k/a Near Southside, Inc.) ("Community
E Ol 6 ner") and the City of Fort Worth, a Texas municipal corporation ("City"), each desire
to make certain improvements to Fire Station Park in the City of Fort Worth, including
the master planning of park improvements (the "Project"); and
WHEREAS, Community Partner is a 501(c)(4) corporation, and is willing to
advance the Project on an earlier schedule than it might otherwise have been
implemented at no additional cost to the City; and
WHEREAS, Community Partner serves as Administrator of Tax Increment
Finance (TIF) District #4 through a contract with the City, and in that capacity secured
funding through TIF #4 for the City to acquire 1616 Hemphill for use as a public park;
and
WHEREAS, Community Partner funded and engaged task-based services of
Project for Public Spaces ("Consultant")to facilitate the process of gathering public input
for future park improvements of Fire Station Park, identified as Task One on the
agreement between Community Partner and Consultant ("Agreement") attached hereto
and incorporated herein as Attachment A; and
WHEREAS, additional tasks are identified in the Agreement which contemplate
City financial participation, specifically, the preparation of a final park master plan
(Tasks Two and Three); and
WHEREAS, City has agreed to pay for the costs of Tasks Two and Three for the
Fire Station Park Master Plan on a pass-through basis in an amount not to exceed
$23,000; and
WHEREAS, Staff has reviewed the scope, fee, terms and schedule for Tasks Two
and Three and find them to be fair and reasonable;
NOW, THEREFORE, for and in consideration of the covenants and conditions
contained herein, the City and Community Partner do hereby agree as follows:
I. General Requirements
A. The Project will generally consist of preparing a schematic design plan for
The Fire Station Park as shown on Attachment B. The current estimate of
the design services is $20,500 plus reimbursable expenses as shown on
Attachment A.
B. Community Partner will retain Project for Public Spa s as the Designer fo

the Project pursuant to a written agreement between them (the "Agreement")
which has been reviewed by the City (Attachment A).
C. City agrees to reimburse Community Partner, on an invoice-basis, for
Designer's work upon presentation, via Community Partner, of a regular
invoices for the tasks described in Attachment A. Reimbursement shall be
in an amount not to exceed $20,500 plus expenses, up to a maximum of
$23,000. Upon final payment, all designs, drawings, reports, documents, and
other work product, whether in hard copy or in electronic form, shall become
the property of the City.
D. The Community Partner covenants and agrees to, and by these presents
does hereby, indemnify and hold the City, its officers, agents and
employees harmless against any and all suits, actions or claims of any
character, including, but not limited to, those for property damage or
loss and/or personal injury including death, that may relate to, arise out
of or be occasioned by (i) Community Partner's breach of any of the
terms of this agreement or (ii) any act or omission of Community
Partner or any of its affiliates, their officers, agents, associates,
employees, contractors or subcontractors, related to the project, except
that the indemnity provided for in this paragraph shall not apply to any
liability resulting from the sole negligence of the City its officers, agents,
employees, or separate contractors, and in the event of joint and
concurrent negligence of both Community Partner and the City,
responsibility, if any, shall be apportioned comparatively in accordance
with the laws of the state of Texas.
E. Community Partner agrees to require Designer to, pursuant to Texas Local
Government Code Section 271.904, indemnify and hold harmless the City
against liability for any damage caused by or resulting from an act of negligence,
intentional tort, intellectual property infringement, or failure to pay a
subcontractor or supplier committed by the Designer or Designer's agent,
consultant under contract, or another entity over which the Designer exercises
control.

F. Community Partner agrees that the City is an express intended third party
beneficiary of the Agreement and the City has the right to enforce such terms
and conditions as are related to those tasks being performed pursuant to the
City's funding.
ACCORDINGLY, the City, through its Assistant City Manager, and Community
Partner, through its President, have each caused this instrument to be executed in multiple
counterparts to be effective as of the date subscribed by the Assistant City Manager.

The goal of the visioning process for 1616 Hemphill Street in Fort Worth is to engage the
community and produce a placemaking concept design and programming plan.PPS can help
to ensure that the new public space will be well-used,attractive,comfortable,and integrated
into the fabric of the community,all while creating an exciting new destination in the Near
Southside and Fort Worth. The 1616 Hemphill site is immediately adjacent to the existing Fire
Station Park and Community Center,and this visioning and conceptual planning effort will
encompass the combined properties.
The Placemaking Approach
The placemaking approach moves away from a traditional,expensive,"project-based"
planning approach to one that is community-led and"place-based,"with the express intent of
improving the quality of life. We believe that this approach inevitably leads to a more livable
city,with enormous positive impacts on private investment,long-term competitiveness,and
fiscal stability,as well as improvements in crime,education, local economies,and the health
and well-being of citizens.
Unlike the usual consultant-led approach that leaves little capacity in place,we aim to catalyze
and enable local institutions to carry out some of the improvements recommended in the
visioning process.We seek to work with and train communities who are willing to try
placemaking on many levels, in projects around their city.
How PPS Can Help
PPS can help to ensure that new public spaces—plazas,squares,parks and streets--are well-
used,attractive and comfortable,and are integrated into the fabric of the community,bringing
life to all aspects of the development. We can also analyze existing public spaces that may not
be operating up to their full potential and suggest programming and improvements to revitalize
those spaces. With our expertise in parks,transportation,public markets and public space
management,we will bring a holistic approach to the public spaces and the downtown.
SCOPE OF WORK
Task 1.COMMUNITY ENGAGEMENT PROCESS(completed)
The PPS Team conducted their first trip to Ft. Worth in coincidence with the Hemphill Street
as Places Workshops led by Gary Toth. This task was undertaken by PPS to obtain
community and stakeholder input regarding the current conditions and uses of the Fire Station
Park and Community Center,and the 1616 Hemphill Street Park,as well as to engage the
community in building a vision that will serve as the foundation for the public space concept
plan and report.
This agreement will contract PPS with Near Southside Inc. (NSI) for Tasks 2, "Program
Development" and Task 3, "Conceptual Design and Recommendations" It will be funded by the City
of Fort Worth Park and Recreation Department. The City may request additional documentation
regarding PPS qualifications prior to proceeding with Tasks 2&3 or at any other point during the
agreement. The proposed terms for Tasks 2 and 3,following the completion of Task 1,are as follows:
Task 2. PROGRAM DEVELOPMENT
We firmly believe that the success of public spaces can largely be attributed to the activities, events,and
recreational uses,and social gatherings that take place there,whether planned or spontaneous,and not to
a fixed design. With the community,we will develop a vision of how the place will come alive with
events and most importantly,daily uses. In this phase PPS will develop a program matrix of activities
and uses that will activate the existing and new public spaces in the study area, and we will diagram the
location of the activities.
Task 2.1 Prepare Draft Program. PPS will prepare a program of activities for the public spaces,
including potential activities that could be experimented with in 2016-17. The program will include:
• A program matrix that lists proposed uses and activities,and when they would occur
during the day,week and year;
• A"bubble"diagram that illustrates the layout of the program on thesites;
• A discussion of the management implications of the proposed program;
• A list of potential programming partners.

Deliverable: Memorandum and matrix describing program, and diagrams illustrating layout or
program.
Task 2.2:Presentation and Review of Draft Program
PPS will present the draft program to the Client for discussion and provide the draft program for review
and comment.

Task 2.3:Develop Final Program Document
After receiving comments from the Client,PPS will prepare a final program document to be
incorporated into the Concept Plan and Report.

uses. Memo outlining programming options.
Task 3. CONCEPTUAL DESIGN AND RECOMMENDATIONS
We will prepare a conceptual schematic design and visuals for the 1616 Hemphill Street Public
space and then collaborate with local Architects or Landscape architects to ensure that the
Placemaking vision is sustained throughout the design process.
Our approach to design ensures:
• form follows function
• sensitivity to the neighborhood context
• flexibility for an ever-evolving program
• access for all and by multiple modes
• comfortable amenities
• "Lighter,Quicker,Cheaper"interventions that will start to activate the space right away
Task.3.1: Develop Draft Concept Plan and Report
Using the recommendations from the stakeholder and community engagement,and the final program
document,concept plans and a report will be developed. The concept plan will be presented in graphic
form as an annotated conceptual plan.
Issues the plan will address include:
• How the site can accommodate a variety of activities and uses at different times of day and
year,(e.g.markets,performances, festivals,etc.);
• Integration with existing Community Center and the residential neighborhood—
particularly ground floor uses;
• Amenities such as seating,picnic areas,lighting and playground,a skate park,public art; focal
points,and their locations;
• Coordinate improvements to streets,sidewalks,bike trails and pedestrian routes with the
current street initiative taking place in the neighborhood;
• Connections to adjacent areas;
• an

Task.3.2:Presentation and Review of Concept Plan and Report(Trip)
PPS will present the draft plan to the Client and the public for discussion and provide the draft report for
review and comment.

Task.3.3: Final Report and Presentation
PPS will finalize the report and plan based on the Client's comments and revise the drawings and
presentation materials for use by the Client.
PROPOSED FEES FOR TASKS 2 &3
The cost for this scope of work for Tasks 2 and 3 is$$20,500
Expenses for Task 2-3: $2,500 estimated that will cover expenses such as travel,printing and copying.
Any other services,meetings or hours that are not covered in this project scope may be agreed upon
beforehand,in writing,and will be reimbursed on an hourly basis.
The fee breakdown per phase would be as follows:
Task 2: $4,500
Task 3: $16,000
Total Phases 2-3: $20,500

Project Director:$170
Project Designer: $119
Any task(s) beyond Task 2 and 3 as described above that will be subject to later agreement if
necessary.
Potential next phases-additional services:
Task 4.LQC Plan
PPS will develop an implementation plan for short term improvements at Fire
Station Park based on the community vision. We will include a selection of
sources for proposed amenities and design layout options. We will also provide a
cost estimate.
Task 5. Management& Implementation
PPS will assist the team in developing an effective implementation and public
space management strategy. We have learned from our 40 years of experience
that management contributes as much as 80%to the success of a public space.
Indeed, it is more impoItant than design in ensuring that a space is safe,
comfortable,and well-used.
Task 6.Design Review
In order to ensure the final product meets the objectives defined in the previous
tasks and preserves the placemaking vision,PPS will continue to work with the
designers who will be preparing the design and construction document, in an
advisory capacity during design development and construction. We will bill this
on an hourly basis to attend design meetings and to review design drawings.
Hourly rates
Project Director:$170
Project Designer: $119
CLIENT RESPONSIBILITY
The Client will be responsible for providing accurate base plans,surveys or
detailed,high-resolution aerial photographs of the project site. Creation of base
plans by PPS would be at additional cost.
Client is also responsible for convening workshop and focus groups, including the following
tasks:
• finding and securing venues
• inviting participants
• community outreach and promotion of meetings to ensure good public participation
• providing refreshments at workshop and focus groups
Pursuant to Texas Local Government Code Section 271.904,PPS indemnifies and hold harmless
the City of Fort Worth against liability for any damage caused by or resulting from an act of
negligence,intentional tort,intellectual property infringement,or failure to pay a subcontractor or
supplier committed by PPS or PPS's agent,consultant under contract,or another entity over which
PPS exercises control.
THIS AGREEMENT AUTHORIZES THE PARTICIPANTS TO PROCEED WITH TASK 2
