This agreement made and entered into this the /9 day
of &d4 A.D. , 1989, by and between the CITY OF FORT
WORTH, a municipal corporation of Tarrant County, Texas, organized and
existing under and by virtue of a special charter adopted by the qualified
voters within said City on the 11th day of December, A.D. 1924, under the
authority vested in said voters by the "Home Rule" provision of the
Constitution of Texas, and in accordance with a resolution duly passed at a
regular meeting of the City Council of said city, and the City of Fort
Worth being hereafter termed Owner, and

hereinafter called Contractor.
WITNESSETH: That said parties have agreed as follows :

That for and in consideration of the payments and agreements
hereinafter mentioned to be made and performed by the Owner, and under the
conditions expressed in the performance and payment bonds delivered
^` herewith, the said Contractor as an independent contractor agrees with the
said Owner to commence and complete the construction of certain
improvements described as follows:

That the work herein contemplated shall consist of furnishing as an
independent contractor all labor, tools, appliances and materials necessary
for the construction and completion of said project in accordance with the
Plans and Specifications and Contract Documents adopted by the City Council
of the City of Fort Worth, which Plans and Specifications and Contract
- Documents are hereto attached and made a part of this contract the same as
if written herein.
3.
The Contractor hereby agrees and binds himself to commence the
construction of said work within ten (10) days after being notified in
writing to do so by the Transportation and Public Works Director of the
City of Fort Worth.

The Contractor hereby agrees to prosecute said work with reasonable
diligence after the commencement thereof and to fully complete and finish
the same ready for the inspection and approval of the Transportation and
Public Works Director of the City of Fort Worth within a period of „3
calendar days.
If the Contractor should fail to complete the work as set forth in the
Plans and Specifications and Contract Documents within the time so
stipulated, plus any additional time allowed as provided in the General
Conditions, there shall be deducted from any monies due or which may
thereafter become due him, the sum of $ 420. co per calendar day, not
as a penalty but as liquidated damages. Should the amount otherwise due
the Contractor be less than the amount of such ascertained and liquidated
damages, the Contractor and his Surety shall be liable to the Owner for
such deficiency.
Should the Contractor fail to begin the work herein provided for
within the time herein fixed or to carry on and complete the same according
to the true meaning of the intent and terms of said Plans, Specifications
and Contract Documents, then the Owner shall have the right to take charge
of and complete the work in such a manner as it may deem proper, and if, in
the completion thereof, the cost to the said Owner shall exceed the -
contract price or prices set forth in the said Plans and Specifications and
Ask Contract Documents made a part hereof, the Contractor shall pay said owner
on demand in writing, setting forth and specifying an itemized statement of
the total cost thereof, said excess cost . W'

Contractor covenants and agrees to, and does hereby indemnify, hold
harmless and defend owner, its officers, agents, servants and employees ,
from and against any and all claims or suits for property damage or loss
and/or personal injury, Including death, to any and all persons, of
whatsoever kind or character, whether real or asserted, arising out of
or in conjunction with, directly or indirectly, the work and services to be
performed hereunder by Contractor, its officers, agents, employees,
contractors, subcontractors, licensees or invitees, whether or not caused,
in whole or in part, by alleged negligence on the part of officers, agents,
servants, employees, contractors, subcontractors, licensees and invitees of
the Owner ; and said Contractor does hereby covenant and agree to assume all
liability and responsibility of owner, its officers, agents, servants and
employees for property damage or loss, and/or personal injuries, including
death, to any and all persons of whatsoever kind or character, whether real
or asserted, arising out of or in connection with, directly or indirectly,
the work and services to be performed hereunder by Contractor, its
officers, agents, employees, contractors, licensees and invitees whether or
not caused, in whole or in part, by alleged negligence of officers, agents,
servants, employee contractors, subcontractors, licensees or invitees of
.�. the Owner. Contractor likewise covenants and agrees to, and does hereby, _..

indemnify and hold harmless Owner from and against any and all injuries,
loss or damages to property of the Owner during the performance of any of
the terms and conditions of this Contract , whether arising out of or in
connection with or resulting from, in whole or in part, any and all alleged
acts or omissions of officers, agents, servants, employees, contractors,
subcontractors, licenses, or invitees of the Owner.
In the event a written claim for damages against the Contractor or its
subcontractors remains unsettled at the time all work on the project has
been completed to the satisfaction of the Director of the Transportation
and Public Works Department , as evidenced by a final inspection, final
payment to the Contractor shall not be recommended by the Director of the
Transportation and Public Works Department for a period of 30 days after
the date of such final inspection, unless the Contractor shall submit
written evidence satisfactory to the Director that the claim has been
settled and a release has been obtained from the claimant involved.
Although the claim concerned remains unsettled at the expiration of the
above 30-day period, the Contractor may be deemed to be entitled to a
semi-final payment for work completed, such semi-final payment to be in an
amount equal to the total dollar amount then due less the dollar value of
any written claims pending against the Contractor arising out of the
performance of such work, and such semi-final payment may then be
recommended by the Director.
The Director shall not recommend final payment to a Contractor against whom
such a claim for damages is outstanding for a period of six months
following the date of the acceptance of the work performed unless the
Contractor submits evidence in writing satisfactory to the Director that :
( 1) The claim has been settled and a release has been obtained from
the claimant involved, or
(2) Good faith efforts have been made to settle such outstanding
claims, and such good faith efforts have failed.
If condition (1) above is met at any time within the six month period , the
Director shall recommend that the final payment to the Contractor be made.
If condition (2) above is met at any time within the six month period, the
Director may recommend that the final payment to the Contractor be made. At
the expiration of .the six month veriod the Director may recommend that
final payment be made if all other work has been performed and all other
obligations of the Contractor have been met to the satisfaction of the
Director.
The Director may, if he deems it appropriate, refuse to accept bids on
other Transportation and Public Works Department Contract work from a
Contractor against whom a claim for damages is outstanding as a result of
work performed under a City contract .

The Contractor shall procure and shall maintain during the life of
this contract Worker's Compensation Insurance in the statutory amount, and
Comprehensive General Liability Insurance (Public Liability and Property
Damage I urance) in an amount not less than $500,000 covering each occur-
rence on ccount of bodily injury, including death, in an amount not less
than $250, 00 covering each person on account of bodily injury of death,
and in an am unt not less than $300,000 covering each occurrenceo account
of Property D mage. The contractor agrees to furnish City a cert�icate of
insurance as p of that such insurance has been obtained and pa' for.

The Contracto agrees, on the execution of this Cont ct, and before
beginning work, to ake, execute and deliver to said Ci y of Fort Worth
good and sufficient rety bonds for the faithful perfo ance of the terms
and stipulations of th Contract and for the payment all claimants for
labor and/or materials rnished in the prosecution o the work, such bonds
being as provided and re ired in Article 516 0
of te Revised Civil Stat-
utes of Texas, as amended, in the form included i the Contract Documents,
and such bonds shall be 10 percent of the tota contract price, and the
said surety shall be a sure y company duly a legally authorized to do
business in the State of Texa and acceptabl to the City Council of the
City of Fort Worth. -�

Said City agrees and binds i self to pay, and the said Contractor
agrees to receive, for all of the o esaid work, and for all additions
thereto or deductions therefrom, the ice shown on the proposal submitted
by the successful bidder hereto att ch d and made a part hereof. Payment
will be made in monthly installment upo actual work completed by contrac-
tor and accepted by the Owner an receipt of invoice from the Contractor.

whole or in part, shal not be sublet or assigned to anyone else by said

all labor as t same is classified, promulgated and set ou by the City of
Fort Worth, T xas, a copy of which is attached hereto and ma e a part here-

It is mutually agreed and understood that this agreement is made and
entered into by the parties hereto with reference to the existing Charter
and Ordinances of the City of Fort Worth and the laws of the State of Texas
with reference to and governing all matters affecting this Contract, and
the Contractor agrees to fully comply with all the provisions of the same.

6.
The Contractor shall procure and shall maintain during the life of

The Contractor agrees, on the execution of this Contract, and before
beginning work, to make, execute and deliver to said City of Fort Worth
good and sufficient surety bonds for the faithful performance of the terms
and stipulations of the Contract and for the payment to all claimants for
labor and/or materials furnished in the prosecution of the work, such bonds
being as provided and required in Article 5160 of the Revised Civil Stat-
utes of Texas, as amended, in the form included in the Contract Documents,
and such bonds shall be 100 percent of the total contract price, and the
said surety shall be a surety company duly and legally authorized to do
business in the State of Texas, and acceptable to the City Council of the
City of Fort Worth.

Said City agrees and binds itself to pay, and the said Contractor
agrees to receive, for all of the aforesaid work, and for all additions
thereto or deductions therefrom, the price shown on the proposal submitted
by the successful bidder hereto attached and made a part hereof. Payment
will be made in monthly installments, upon actual work completed by contrac-
tor and accepted by the Owner and receipt of invoice from the Contractor.

It is further agreed that the performance of this Contract, either in
whole or in part, shall not be sublet or assigned to anyone else by said
Contractor without the written consent of the Transportation and Public
Works Director of said City of Fort Worth.

perform the work in accordance with the plans, specifications, and contract
documents during the original term thereof, and any extensions thereof
which may be granted by the Owner, with or without notice to the Surety,
and if he shall satisfy all claims and demands incurred under such
contract , and shall fully indemnify and save harmless the Owner from all
costs and damages which it may suffer by reason of failure to do so, and
shall reimburse and repay the Owner all outlay and expense which the Owner
may incur in making good any default , then this obligation shall be void;

NOW, THEREFORE, the condition of this obligation is such that , if the
Principal shall promptly make payment to all claimants as defined in
Article 5160 of the Revised Civil Statutes of Texas, supplying labor and
materials in the prosecution of the work provided for in said Contract ,
then this obligation shall be null and void, otherwise it shall remain in
full force and effect.
THIS BOND IS ?FADE AND ENTERED into solely for the protection of all
claimants supplying labor and material in the prosecution of the work
provided for in said Contract, as claimants are defined in said Article
5160, and all such claimants shall have a direct right of action under the

RECOMMENDATION
It is recommended that the City Council authorize the City Manager to:
1. execute the following transfer of funds:

2. execute a contract with Architectural Utilities Inc., in the amount of
$1,666,803.00 for the construction and installation of Cat and Bear
Exhibits in the Fort Worth Zoo, to include the base bid and alternate
unit No. 1, (elevated walkway) for general construction only;
3. Reject bids received for the Exhibitry and authorize the Fort Worth
Zoological Association to finance this portion of the project; and
4. authorize the City Manager to execute an amendment to City Secretary
Contract No. 16138 to reduce the percentage of gross concession sales
to be paid to the City from the Zoological Association.
BACKGROUND
City Council approved M&C C-10707 on December 22, 1987 authorizing Harvey
Youngblood Architects Inc., to design new exhibits for tigers and asian
bears, known as the Cat and Bear Exhibit. On September 27, 1988, the City
Council received I .R. No. 7322 informing the Council that, based on the
latest estimates by the architect, the construction costs of the exhibit
exceeded the budget. The recommendation in the report was that the k
advertisement and bidding for the exhibit proceed and when bid prices for
the exhibit became available, staff would then make a recommendation to the
City Council .
Bids for the project were identified in two parts, the first being general
construction. The second part of the bids included construction of the r
finished exhibitry. I
Details of events since bid opening were pr,.:3vided to the City Council in
I .R. No. 7374, April 18, 1989. Several alternatives for action were
outlined in that I.R. Further negotiations with the Zoological Association
have occurred, and details of its offer are now available.

WORTH ZOO
Bids for general construction and exhibitry exceed the funds available to
construct the project. It is recommended that the City utilize existin
bond funds and $346,000 from Capital Projects Reserve Fund to provide: 1}�
base bid general construction ($1,366,948); 2) elevated walkway; ($299,855)
and 3) administration, testing inspection (of the entire work, not just the
City-funded portion), and acontingency ($239,306) .
The Fort Worth Zoological Association has committed fund to assist in the
construction of this project. The Association has agreed to contribute
$150,000 toward the cost of the elevated walkway. This amount would be
paid to the City upon request after January 1, 1990. Further, the funds
needed for the Exhibitry and Rock Finish part of the exhibit (approximately
$557,600) would be provided by the Association. Both of these amounts
($150,000 and $557,600) would be deducted from the amount due the City per
City Secretary Contract No. 16138 upon City Council approval . Bids for
exhibitry were submitted by five companies with the low bid submitted by
Cost of Wisconsin, Inc. broken down as follows:

This bid will be rejected as that work will not be a part of this contract
award, and will be funded by the Fort Worth Zoological Association, upon
approval by the City Council . Alternate No. 2 is not planned to be
constructed at this time.
SCOPE OF WORK
Work included in the general construction contract is primarily site
preparation and general construction of the Cat and Bear Exhibits. Specific
work items include concrete piers for earth stabilization, excavation,
holding pens for animals, sanitary sewer and water line extensions,
plumbing for pens and exhibit water features, related electrical work,
sidewalks, pedestrian bridge, and elevated walkways for handicap access to
exhibit viewing areas, and some animal restraint features as part of the
general construction. The City will provide inspection and administration
for the exhibitry work authorized and financed initially by the Zoological
Association.
SUBMISSION OF BIDS
On March 2, 1989, bids for the General Construction were received following
advertisement on February 2, and February 9, 1989. The bid tabulation is as

1.05 SYSTEM DESCRIPTION:
,.� Install to provide coverage for lawn and planting areas within limits
shown on Drawings. Furnish and install an operating system with
electrical controls, main lines, lateral lines, sprinkler heads,
control valves, wires, and accessories.
It is the intent of the drawings and specifications that the irrigation
system constitute a totally complete and functional system serving all
areas indicated. In the event of omission or if cause for doubt arises
in connection with the description, the inclusion or exclusion of any
required item or items, request'•clarification from the Architect to
establish understanding of the requirements. Submission of bid is
construed as, evidence that-Contractor understands clearly and fully the
requirements of the work.
1.06 SUBMITTALS:
.01 Product Data: Manufacturer's literature in triplicate,
neatly bound with cover titled with name and address of pro-
ject, date of submission, name and address of Landscape
Architect, and name and address of Contractor.
.02 Project Record. Documents:
.01 Maintain at site, one copy of drawings, specifications,
addenda, opproved change orders, and other modifica-
tions, in good order and mark to record changes made
during construction.
.02 Locate by written dimension, routing of irrigation main,
remote control valves and quick coupling valves.
.03 When work is complete, transpose changes to mylar repro-
ducible tracing. Tracing may be obtained from Landscape
Architect.
.04 Submit completed tracing prior to final acceptance.

1.07 PROJECT/SITE CONDITIONS:

PART 3 - EXECUTION
^ 3.01 INSPECTION:
.01 Examine areas and conditions under which system is to be
installed.
.02 Notify Landscape Architect in writing of conditions detrimental
to proper and timely completion of work.
.03 Do not proceed until conditions are satisfactory.
3.02 PREPARATION:
.01 Coordinate work which is embedded in concrete or masonry and
routed under paved areas.
.02 Provide timely delivery and installation at job site.
.03 Protect adjacent structures, surfaces and finishes. Do not move
equipment over structures without written approval from
Landscape Architect. Provide necessary protection such as
board-roading, drop clothes, etc., as required.
3.03 INSTALLATION:
.01 GENERAL:
.01 Staking: Before installation is started, place a stake where
each sprinkler is to be located in accordance with Drawings.
Receive written approval from Landscape Architect before pro-
ceeding.
.02 Excavation: Unclassified and includes earth, loose rock,
rock or any combination thereof, in wet or dry state.
.03 Backfill : Use excavated material except where pipe manufac-
turer's specifications require otherwise. Use select fill
dirt or sand if existing soil is rocky or contains clods over
one inch in diameter. Flood all ditch lines and hand tamp to
prevent aftersettling. Hand rake trenches and adjoining
areas to leave grades as proposed.
.04 Pipe Layout: Diagrammatic, route around trees and shrubs in
such manner as to avoid damage to root system. Do not dig
within root balls of newly planted trees or shrubs. Do not
move or damage trees and shrubs.

.02 PIPE INSTALLATION:
.01 Irrigation Mains: Install in 4-inch wide (minimum) trench
with a minimum of 16 inches of cover.
.02 Lateral Piping: Install in a 4-inch wide (minimum) trench
with a minimum of 12 inches of cover.
.03 Trenching: Remove lumber, rubbish, and rocks greater than
one inch in diameter from trenches. Provide a firm, uni-
form bearing for entire length of pipe to prevent uneven
settlement. Pad trenches with dirt or sand if soil is
rocky. Do not edge nor block pipe. Snake pipe from
side to side of trench bottom to allow for expansion and
contraction. Remove foreign matter or dirt from inside
of pipe before welding and keep inside of pipe clean
during installation.
.03 PVC PIPE AND FITTINGS ASSEMBLY:
.01 Solvent: Use type and procedures recommended by manufac-
turer to make solvent-welded joints. Thoroughly clean
.. pipe and fittings of dirt, dust, and moisture before
applying solvent.
.02 PVC-to-Metal Connections: Work metal connections first.
Use a nonhardening pipe dope such as Permatex No. 2 on
threaded PVC-to-metal joints. Use only light wrench
^ pressure.
.03 Threaded PVC Connections: Where required, use threaded
PVC adapters into which pipe may be welded.
.04 COPPER TUBING AND FITTING ASSEMBLY:
.01 Clean pipe and fittings thoroughly and buff connections
with sand paper to remove residue from pipe.
.02 Flux pipe and fitting and solder connection using 50-50
soft solid core solder.
.05 SPRINKLERS:
.01 General : Supply in accordance with equipment list and
size according to Drawings. Revise nozzle degree and tra-
jectory as required by wind condition affecting coverage.

.0 2 Pop-up Spray Heads: Install with top side of head flush
to one-quarter inch above finish grade. Attach to
lateral piping with a flexible polyvinyl nipple not less
than 3 inches in length. No polyethylene nipples will
be allowed.
.03 Pop-up Rotary Heads: Install with top side of head flush
to one-quarter inch above finish grade. Attach to lateral
piping with swing joint as detailed. Tamp soil adjacent
to head to provide solid support for unit and insure a
perpendicular position to -grade.
.06 ELECTRIC SOLENOID VALVES:
.01 Supply in accordance with Equipment List and size
according to Drawings.
.02 Install in � level position deep enough so that there will
be at ieasc lu nches of cover over valve and in accor-
dance with manufacturer' s specification.
.03, Install a valve box over each valve and fill with gravel
as detailed.
.a7 WIRING:
.01 Supply from irrigation controller to solenoid valve. A
separate wire is required from controller to each valve.
A common neutral wire with white insulation is required
from controller running to each valve. Valve "hot" leads
are to have red insulation. Color coding is for Iden-
tification purposes only.
.02 Lay wire in trenches provided for piping and tape in a
bundle to pipe every ten feet.
.03 No conduit is required for OF wire except under paved
areas.
.04 Make wire connections with waterproofing connections
according to manufacturer's recommendation.

.08 AUTOMATIC IRRIGATION CONTROLLER:
''WN%, .01 Install according to manufacturer's recommendations.
.02 Install at location shown on Drawings.
.03 Connect to power supply in PUC conduit with water tight
fitting and fasten conduit securely to wall .in an approved
manner.
3.04 TESTING:
.01 Perform required testing under observation of Landscape
Architect. Give twenty-four hours notice that test are to be
conducted.
.02 Irrigation Main: Test for a period of twelve (12) to fourteen
(14) hours under normal water pressure. If leaks occur, correct
defect and repeat test.
.03 Complete tests prior to backfilling. Sufficient backfill may be
placed in trenches between fittings to insure stability of line
under pressure. In each case, leave fittings and couplings open
to visual inspection for full period of test.
3.05 FINAL ADJUSTMENT:
.01 After system has been installed, make final adjustments prepara-
tory to inspection by Landscape Architect.
.02 Completely flush system to remove debris from pipes prior to
setting heads. Set heads and nozzles and check operation of
system, section by section, to determine that there is no debris
in the heads or nozzles to obstruct proper operation. If any
heads do not now operate properly, repeat operation by removing
nozzles of heads not operating properly and reflushing. Filter
screens will be in place on all heads.
.03 Check sprinklers for proper operation and proper alignment for
direction of throw.
.04 Check each section of heads for operating pressure and balance
to other sections by use of flow adjustment on top of each
,.� valve and nozzle.

.05 Check nozzling for proper coverage. Prevailing wind conditions
or slopes may indicate that arc of angle or trajectory of spray
should be other than as shown on Drawings. Change nozzles to
provide correct coverage.
.06 Prior to the final inspection by the Landscape Architect,
operate and fine tune the system for maximum performance.
3.06 CLEANUP:
During work, keep premises neat and orderly. Remove trash and debris
from site daily as work progresses.

SECTION 10605 - WIRE MESH PARTITIONS
1.01 QUALITY ASSURANCE:
A. Field Measurements: Take field measurements prior to preparation of
shop drawings and fabrication, where possible, to ensure proper fitting of
work. However, allow for adjustments and fitting wherever taking of field
measurements before fabrication might delay work .
B. Impact Resistance: Design, fabricate, reinforce, and install wire
mesh partitions, swinging and sliding doors to safely resist an impact of 700
lbs. traveling at 30 mph.
1 .02 SUBMITTALS:
A. Product Data: Submit in accordance with General Conditions . Include
installation instructions.
B. Certification: Submit written certification prepared and signed by a
professional engineer, registered to practice in the State of Texas, verifying
that wire mesh partition design meets indicated impact resistance loading.
PART 2 - PRODUCTS
2.01 ACCEPTABLE MANUFACTURERS:
A. Provide wire mesh partitions as manufactured by one of the following:

1 . Vertical Members and Horizontal Members: Sized by manufacturer
as required to meet impact resistance, but not less than 1�" x 3/4" coldroll-
ed steel C-Section channels with 3/8" bolt holes approximately 18" o.c.
2. Horizontal Reinforcing Members: Sized by manufacturer as requir-
ed to meet impact resistance, but not less than 1�" x 3/4" cold-rolled steel
channel with wire woven through. Provide number of horizontal reinforcing
members to suit panel height as recommended by partition manufacturer for
impact resistance.
C. Top Capping Bars: Sized by manufacturer as required to meet impact
resistance , but not less than 3" x 4 . 1 lb. cold-rolled steel channels, secured
to top framing channel with U-bolts spaced as required to meet impact resis-
tance.

D. Floor Shoes: Cast iron, sized to suit vertical framing and to pro-
vide approximately 3" clear space between finished floor and bottom horizontal
-amok frame members. Furnish units with set screw for leveling adjustment .
E. Hinged Doors: Door frame sized by manufacturer as required to meet
impact resistance, but not less than of 1�" x 3/41° channel with 1�" x 1/8"
flat bar cover plate on 3 sides , and matching 1/8" thick angle strike bar and
cover on lock side. Provide butt hinges of the quantity required to meet
impact resistance welded to door and frame. Align bottom of door with bottom
of adjacent panels.
F. Sliding Door: Door frame sized by manufacturer as required to meet
impact resistance, but not less than of 1�" x 3/4" x 1/8" channel with 1 " x
1/8" flat bar cover plate on all 4 sides. Provide door with quantity of 4-
wheel roller bearing carriers required to meet impact resistance, box track,
and bottom guide channel. Align bottom of door with bottom of adjacent
panels.
G. Finish: Hot-dip galvanized.
H. Provide bolts, hardware, and accessories for complete installation.
PART 3 - EXECUTION
3.01 INSTALLATION:
A. Erect partitions plumb , rigid , properly aligned , and securely
fastened in place , complying with manufacturer's instructions and recommenda-
tions to meet impact resistance loading.
3.02 ADJUST AND CLEAN:
A. Adjust moving components for smooth operation without binding.
B. Touch-up damaged finish after completion of installation using field-
applied paint to match color of shop-applied finish.

3.01 GENERAL

concrete and use Molly Par.-abond (or equal) epoxy capsule anchors (M12-12) to
set #4 x 2!-0" dowels at 12"o.c. each side of pier.
B. Details 1,2,5 and 6: The sleeve assembly shown for rock anchors may
be emitted from pier pour if, and only if, the rock anchor contractor can drill
through pier without damage to pier reinforcing. Also, the contractor must
submit an alternate anchorage detail. along with calculations proving suitability.

NOTICE TO BIDDERS
1. Sealed proposals for the Fort Worth Zoo, Cats and Bears Exhibit (Asian
Diorama) for the City of Fort Worth, Texas, 'addressed to Mr. Douglas
Harman, City Manager of the City of Fort Worth, Texas, will be received
at the office of the Purchasing Manager until 1:30 P.M. , March 2, 1989
and then publicly opened and read aloud at 2:00 P.M. in the Council Chambers
on that date.
2. Contract Documents, Drawings, Specifications and Bid Documents for this
project may be obtained at the office of the Architect at:

3. A One Hundred and Fifty Dollar ($150.00) deposit is required for each set
of plans and specifications which will be refunded when plans and speci-
fications are returned in good condition. A maximum of three (3) sets
may be obtained in this manner. Any sets over the maximum may be purchased
from the Architect at the standard cost for printing.
4. The City of Fort Worth has goals for the participation of minority and
women owned business enterprises in City contracts. In order for a bid
to be considered to be responsive, the compliance statement, Attachment
"lA" and Attachments 111B" & 111C11, contained in the proposal must be com-
pleted and enclosed with your bid at the time of bid opening.
"FAILURE TO DO SO SHALL RESULT IN THE PROPOSAL BEING NON-RESPONSIVE."
5. All bidders will be required to comply with Provision 51594. of "Vernon's
Annotated Civil Statutes" of the State of Texas with respect to the payment
of the prevailing wage rates, the City Ordinance No. 7278, as amended by
City Ordinance No. 740Q (Fort Worth City Cade, Sections 13-A-21 through
13-A-29) prohibiting discrimination in employment practices.
6. The Scope of Work consists of furnishing all labor, materials, equipment
- and services to construct an outdoor naturalistic exhibit and holding pens
for the Cat and Bear Exhibit. Work includes excavation and fill. drilled
piers, shotcrete, , tilt-up panels, artificial rockwork, pool/water circ-
ulation system and footbridges.
7. A Pre-Bid Conference will be held at 10:00 A.M. , February 13, 1989 at the
Fort'.Worth Zoo Conference Room.
8. The City reserves the right to reject any and/or all bids and waive any
and/or all formalities. No bid may be withdrawn until the expiration of
forty-nine (49) days from the date bids are opened.

SPECIAL
INSTRUCTIONS TO BIDDERS
1. BID SECURITY: Cashier's check or an acceptable bidder's bond payable
to the City of Fort Worth, in an amount of not less than five (5) per
cent of the largest possible total of the bid submitted must accompany
the bid, and is subject to forfeit in the event the successful bidder
fails to execute the contract documents within ten (10) days after the
contract has been awarded. Failure to submit the Bid Security will
result in the proposal not being considered for this project.
2. PAYMENT BOND AND PERFORMANCE BOND: The Contractor will be required to
make a payment bond and a performance bond of not less than one
hundred (100%) per cent of the contract price, conditioned upon the
faithful performance of the contract and upon payment of all persons
supplying the labor or furnishing the materials used on this project.
3. BOND SURETY: No sureties will be accepted by the Owner which are at
the time in default or delinquent on any bonds or which are interested
in any litigation against the owner. All bonds shall be made on the
forms furnished by the Owner and shall be executed by an approved
surety company doing business in the City of Fort Worth, Texas, and
which is acceptable to the owner. In order to be acceptable, the name
of the surety shall be included on the current U.S. Treasury list of
acceptable sureties, and the amount of the bond written by any one
acceptable company shall not exceed the amount shown on the Treasury
list for that company. Each bond shall be properly executed by both
the Contractor and Surety Company.
4. PRE—BID SITE INVESTIGATION: Prior to filing a bid, the bidder shall
examine the site of the work and the details of the requirements set
out in these specifications to satisfy himself as to the conditions
which will be encountered relating to the character, quality, and
quantity of the work to be performed and materials and equipment
required. The filing of a bid by the bidder shall be considered
evidence that he has complied with these requirements.
5. AMBIGUITY: In case of ambiguity or lack of clearness in stating
prices in the proposal, the City reserves the right to adopt the most
advantageous construction thereof to the City or to reject the
proposal.
6. WAGE RATES: Not less than the prevailing wage rates established by
the City of Fort Worth, Texas, and set forth in Contract Documents
must be paid on this project.
7. FINANCIAL STATEMENT: A current certified financial statement may be
required by the Transportation and Public Works Director if required
for use by the CITY OF FORT WORTH in determining the successful
bidder. This statement, if required, is to be prepared by an
Independent Certified Public Accountant or Independent Public
— Accountant holding a valid permit issued by an appropriate State
Licensing Agency.

8. EXPERIENCE RECORD: Following opening of bids and determination of the
apparent low bid, the successful low bidder may be required to submit
a current experience record to the Transportation and Public Works
Director in order to determine bidder qualifications for performing
specified work.
9. DISCREPANCIES AND ADDENDA: Should a bidder find any discrepancies in
the drawings and specifications, or should he be in doubt as to their
meaning, he shall notify the City at once, who will then send a
written addendum to all Bidders concerned. Oral instructions or
decisions, unless confirmed by addenda will not be considered valid,
legal or binding. No extras will be authorized because of failure of
the contractor to include work called for in the addenda on his bid.
10. LIQUIDATED DAMAGES: The deduction for liquidated damages shall be set
according to the latest revision to the City of Fort Worth Standard
Specifications for Construction, Specification Item 8.6 as shown below
and will be reflected on page C-2 of these contract documents when
this contract is executed.

11. LIST OF PROPOSED SUBCONTRACTORS: The bidder shall complete the form
marked "LIST OF PROPOSED SUBCONTRACTORS" and submit it with his bid
proposal to permit the City of Fort Worth to more fully evaluate bid
proposals prior to awarding the contract. Failure to include the LIST
OF PROPOSED SUBCONTRACTORS in the bid proposal package may result in
disqualification of the submitted bid.
12. LIST OF PROPOSED EQUIPMENT ITEMS: If the project plans and
specifications include a requirement for new or replacement equipment,
the bidder shall complete the form marked "LIST OF PROPOSED EQUIPMENT `
ITEMS" and submit it with his bid proposal. Equipment items listed
will be evaluated as to their qualification as an "or equal" item to
the specified equipment items prior to awarding the contract. Failure
to include the required LIST OF PROPOSED EQUIPMENT ITEMS in the bid
proposal package may result in disqualification of the submitted bid.
13. CONTRACT BROKERING - It is the intent of the City of Fort Worth to
award a contract for the construction services required under the
terms of these contract documents to a contractor who employs skilled
craftsmen and laborers for a substantial portion of the specified
work. Therefore as part of the bid review process, the City of Fort

Worth reserves the right to request the bidders to submit data which
will substantiate that at least 25% of the work specified in the
contract documents will be performed directly by the bidder's
employees and not by subcontract. Failure of the bidder to meet this
requirement may result in rejection of his bid, without prejudice,
regardless of order of bid.
14. MINORITY/WOMEN BUSINESS ENTERPRISE POLICY: The City will consider the
contractor's performance regarding its MBE program in the evaluation
of bids. Failure to comply with the City's MBE program, or to
demonstrate a "good faith effort", may result in a bid being
considered non-responsive to specifications. The lowest responsive
bidder meeting the MBE/WBE requirements and bid specifications will be
awarded the bid.
15. RIGHT TO AUDIT:
(A) Contractor agrees that the City shall, until the expiration of
three (3) years after final payment under this contract, have access
to and the right to examine any directly pertinent books , documents ,
papers and records of the contractor involving transactions relating
to this contract.
(B) Contractor further agrees to include in all his subcontracts
hereunder a provision to the effect that the subcontractor agrees that
the City shall, until the expiration of three (3) years after final
payment under the subcontract, have access to and the right to examine
any directly pertinent books , documents, papers and records of such
subcontractor, involving transactions to the subcontract. The term
"subcontract" as used herein includes purchase orders.

A. Soil investigation report has been prepared by Southwestern Labora-
tories, referred to as the soil engineer.
B. A copy of the locations and log of borings is bound herein. A copy
of the complete report may be inspected at the office of the Architect.
C. This report was obtained only for use by Architect/Engineer in design
and is not a part of the contract documents.
D. Report and log of borings are made available for Contractor's infor-
mation, but are not a warranty of subsurface conditions.
E. Additional Investigation: Contractor should visit the site and
acquaint himself with the site conditions.

BID SPECIFICATIONS
SECTION 1:
I. POLICY STATEMENT
It is the policy of the City of Fort Worth to involve Minority Business
Enterprises (MBEs) and Women Business Enterprises (WBEs) in all phases
of its procurement practices and to provide them equal opportunities to
compete for contracts for construction, professional services, purchase:
of equipment and supplies, and provision of other services required by the
City.
The City will provide assistance, when requested, to MBEs by providing
information on bid specifications, compliance with procurement policy.
fulfillment of general bid requirements, job performance requirements.
procurement opportunities and prerequisites for bidding City contracts.
The City encourages joint ventures among MBEs and WBEs and between majority
and minority firms bidding for City contracts.
2. MBE AND WEE GOALS
The City' s goals are 12% of the dollar value of contracts for MBEs and 3%
for WBEs. On City contracts of $25,000 or more bidders are required to
meet the established minimum goals, or upon failure to meet either the MBE
` and/or WEE goals, provide documentation of their "Good Faith Efforts". if
the contract amount is less than $25,000. the bidder is not required to
meet the MBE and WEE goals..
If the total dollar value of the contract is $25,000 but less than
$1 ,000,000, MBE and WBE compliance documentation must be submitted with the
bid at the time of bid openine. If the total dollar value of the
contract is $1 ,000,000 or ■ore, MBE and WBE compliance documentation must
be submitted no later than 5:00 o'clock two (2) business days after the bid
opening date. FAILURE TO SUBMIT MBE AND WBE DOCUMENTATION AS REQUIRED WILL
RESULT IN THE BID BEING CONSIDERED NON-RESP014SIVE TO SPECIFICATIONS.
Unless otherwise specified in writing, only the first tie: or
subcontractors/suppliers paid directly by the prime will be counted toward
meeting the City' s MBE and WEE goals.
3. DEFINITION OF MBE AND WBE
A minority business enterprise (MBE) means a business concern which is (a)
at least fifty-one percent owned by one or more minority individuals(s) and
(b) whose management and daily business operations are controlled by one or
more of the minority individual (s) who own it. Minority individuals means
those individuals who are citizens of the U.S. or legal residents and are
members of one of the following groups: Black Americans, Hispanic
Americans, American Indians, Asian-Pacific Americans, and Asian-Indian-
Americans. Women business enterprise (WBE) means a business concern
which follows the same guidelines as a "minority business", but is woman
owned.

SECTION ll :
1. COMPLIANCE WITH THE CITY'S MBE AND WBE PROGRAM
The City will consider the bidders performance regarding its MBE and WEE
participation in evaluation of bids. Failure to comply with the City' s MEE
and WBE requirements or to demonstrate a "Good Faith Effort", will :esu,-
in a bid being considered non-responsive to specifications. The lew:s-
respcnsive bidder meeting the MBE and WBE requirements and tid
specifications will be awarded the bid.
Bidders can comply with the program in one of three ways. Find the DnE
that applies to you and follow its instructions.
1 . ENTIRE CONTRACT SUPPLIED BY MBE OR WBE
If you are certified by the City of Fort Worth, a MBE (WSEr =
must meet the City's WBE (MSE) goal or provide "Good Faith
Effort" documentation if WBE (MBE) participation is less
than the stated goal . You must then complete the Compliance �.
Statement (Attachment IA), Attachment 113 and/or Attachment
IC, if appropriate and return them as required pursuant to
para¢raph 2 of Section 1 hereof.
If you are not certified by the City of Fort Worth, please
contact the City's MBE/WBE Office at (817) 870-6104 to
obtain a Certification Form (Schedule A).
2. CONTRACT IS SUPPLIED WITH MBE AND WBE PARTICIPATION
If you will joint venture with a MBE and/or WBE, complete a
Joint Venture Form B) and Attachment IB, sign the
Compliance Statement (Attachment IA) and return them as
required pursuant to paragraph 2 of Section 1 hereof. _.
If your MBE and WBE participation is in an amount that
equals to our surpasses the City's goals of 12% for MBEs and —
3% or WBEs, complete Attachment IA, and Attachment 113 and
return them as required pursuant to paratraph 2 of Section
1 hereof. F
If either the MSE or WEE participation percentage is less
than the City' s stated goals, you must complete Attachment
1C to show the "Good Faith Efforts" you made to meet the
City's goals. You should complete Attachment IB to show the
MBE and WBE participation you will have, sign the Compliance
Statement (Attachment IA) and return them as required
pursuant to paragraph 2 of Section i hereof.
Note: All -MBEs and WBEs must be certified or in process of being
certified by the City of Fort Worth at the time of bid opening.
A MBE and WBE not already certified may contact the City's MBE/WBE
Office at (817) 870-6104 to obtain a Certification Form (Schedule A. )

3. CONTRACT SUPPLIED WITHOUT MBE AND WBE PARTICIPATION
A bidder that has failed to include any MBE or WBE
participation may be awarded the contract upon the City's
determination that the efforts the bidder made to meet the
goals were "Good Faith Efforts". The City must determine
that the bidder's efforts were those that, given all
relevant circumstance, a bidder actively seeking to meet the
goals would make.
Sign the Compliance Statement (Attachment 1A). complete
Attachment IC and provide any additional documentation that
will substantiate Your "Good Faith Efforts". Return all
forms and information as required pursuant to paragraph 2 of
Section 1 hereof.

MBE AND WBE ASSISTANCE ORGANIZATIONS
A list of MBE and WBE businesses that have been certified by the City of
Fort Worth will be provided to you upon request. Additionally, if there
are any questions regarding the interpretation of the City's MBE and WBE
