PROFESSIONAL SERVICES AGREEMENT
This PROFESSIONAL SERVICES AGREEMENT ("Agreement") is made and entered into
by and between the CITY OF FORT WORTH (the "City"), a home rule municipal corporation,
acting by and through Valerie R. Washington, its duly authorized Assistant City Manager, and
ORANGE COMPASS, LLC. by and through STEVIE DAWN INSPIRES, LLC, acting by and
through its duly authorized Owner.
RECITALS
WHEREAS, the City has a desire to further train City law enforcement personnel in Strategic
Management and Agile Leadership and to provide pre-promotion training to City law enforcement
personnel;
WHEREAS, Contractor provides Embracing Strategic Management and Becoming an Agile Leader
Training as well as other required pre-promotion training courses for law enforcement personnel through
her work as the Owner of Orange Compass,LLC.; and
WHEREAS, Contractor's Embracing Strategic Management Training is designed to help the City
familiarize police lieutenants with developing project management skills and plans for performance
improvement, identifying leadership gray areas and accountability strategies and other learning
objectives;and
WHEREAS, Contractor's Becoming an Agile Leader Training is designed to help the City familiarize
police sergeants with strategic agility,understanding multiple perspectives, effective work delegation and
other learning objectives;and
WHEREAS, Contractor's pre-promotion training is designed to prepare and train promotion candidates
during scheduled promotion periods.
NOW, THEREFORE, in consideration of the mutual covenants herein expressed, the parties agree as
follows:
1. SCOPE OF SERVICES
Contractor agrees to conduct "Embracing Strategic Management," ("ESM") "Becoming an Agile
Leader"("BAL")and pre-premotion training for law enforcement personnel("Services"). ESM training is to
begin on November 13,2017 and end on December 11, 2017. ESM Training will be conducted on Mondays
for five(5)consecutive weeks. Each day, Contractor shall provide ESM training from 1:00 pm to 4:00 pm,
Central Standard Time. BAL training is to begin in Spring 2018. Pre-promotion training will occur on an as-
needed basis. The City shall have the sole discretion to determine the schedule of the BAL and pre-
premotion training within the agreement term outlined below. Services shall be performed at the Bob Bolen
Public Safety Training Complex located at 511 W.Felix Street,Fort Worth,Texas 76115("Premises")
Specifcially, Contractor will perform all duties outlined and described in the "Course Overview,"
which is attached hereto as Exhibit A,and all duties required for pre-promotion courses.
2. TERM
This Agreement shall begin on October 1,2017("Effective Date")and shall expire on September 30,

2018("Expiration Date"),unless terminated earlier in accordance with this Agreement("Initial Term"). City
shall have the option,in its sole discretion,to renew this Agreement under the same terms and conditions,for
up to two(2)one-year renewal options,at City's sole discretion.
3. COMPENSATION
The maximum amount to be paid to Contractor for all services performed and expenses incurred
hereunder shall not exceed $25,000.00 (Twenty Five Thousand and 00/100) dollars. Such rate shall
include all fees and expenses associated with this agreement.
Payment for Services shall be due within thirty (30) days of uncontested performance of the
particular services so ordered and receipt by the City of Contractor's invoice for payment.
4. TERMINATION
City or Contractor may terminate this Agreement at any time up to ten(10)working days prior to the
scheduled event for any reason by notice in writing to the other party. Upon such termination, neither party
shall be obligated to the other to perform under this Agreement. If Contractor terminates less than 10 working
days prior to the scheduled event,then Contractor shall be liable for any costs or losses the City may incur for
replacing Contractor at the scheduled event. If the City terminates less than 10 working days prior to the
scheduled event,then the City shall pay contractor any amounts due at the time of termination.
In no event shall Contractor be entitled to lost or anticipated profits nor shall the City be otherwise
liable for indirect, special, or consequential damages should the City choose to exercise its option to
terminate.
5. DUTIES AND OBLIGATIONS OF THE PARTIES
The City shall be responsible for providing the classroom facilities and audio/visual equipment
needed by Contractor.The City shall not be required to purchase any new audio/visual equipment.Contractor
agrees to provide the City a list of necessary audio/visual equipment needed at least two(2)weeks prior to the
start of Services. The City agrees to notify contractor of any equipment that is not available within two days
of receiving the Contractor's list of necessary equipment. Contractor also agrees to provide the City with
information regarding the classroom size necessary to conduct the training at least two(2)weeks prior to the
start of Services.
The minimum enrollment for Services is 15 (fifteen) law enforcement professionals. If, the
enrollment minimum is not met, the parties agree to confer in good faith regarding whether to reschedule
or cancel the Services.
Contractor will provide at least one (1) qualified instructor ("Instructor") for the training program
who will facilitate the Services.
Contractor agrees to provide each registered course participant with course materials and supplies
pertinent to the subject areas to be covered.
Contractor will provide course registration, administration, and certificates of completion, if
appropriate.
The City shall provide TCOLE reporting for each participant in the course.

Contractor will provide marketing efforts to promote the Services.
6. OWNERSHIP OF PRESENTATION MATERIALS
Contractor hereby warrants that Contractor is the sole and exclusive owner and copyright holder of
the presentation materials and/or has the right to use, copy, display, sell, distribute and reproduce the
presentation materials. Contractor shall retain ownership rights of all presentation materials and may use
them for the presentation in any manner not inconsistent with any applicable laws, ordinances, rules, and
regulations. Presentation materials shall include the presentation, handouts, slides, displays, props, graphics,
charts, diagrams, and any other materials Contractor utilizes for the actual presentation or to promote
Contractor's products, brands or services (collectively "presentation materials'). Contractor hereby grants
the City an unrestricted, irrevocable, non-exclusive right to use Contractor's name and to reproduce,
display, market and use Contractor's presentation materials for the sole purpose of performing the City's
responsibilities under this Agreement and for promoting the scheduled event. The City is specifically
prohibited from marketing and/or selling the presentation materials for a profit and such prohibition shall
survive any termination or expiration of this Agreement.
7. ACCESS
The access granted to Contractor pursuant to this Agreement shall be limited to the property defined
as Premises in Section 1 of this Agreement. Contractor shall be escorted by a City employee at all times
while on Premises. The City employee escorting Contractor must be authorized to access Criminal Justice
Information Services ("CJIS") protected data. The parties acknowledge and understand that the Premises
contains one or more areas where CJIS protected data is viewed,modified,and used.Furthermore,the parties
acknowledge that Federal and State law set forth the access requirements for CJIS protected data.The parties
agree to comply with all Federal and State law requirements regarding access to CJIS protected data.
Contractor shall sign in and out at the front desk of Premises upon entry. Contractor shall cant' a
valid photo ID while on Premises.
8. INDEMNIFICATION; LIABILITY
CONTRACTOR SHALL INDEMNIFY AND HOLD THE CITY AND ITS OFFICERS,
AGENTS AND EMPLOYEES HARMLESS FROM ANY CLAIM THAT THE PRESENTATION
MATERIALS INFRINGE ON ANY THIRD PARTY COPYRIGHT OR OTHER INTELLECTUAL
PROPERTY RIGHT. CONTRACTOR SHALL FURTHER INDEMNIFY AND HOLD THE CITY
AND ITS OFFICERS, AGENTS, AND EMPLOYEES HARMLESS FROM ANY CLAIM FOR
LOSS, DAMAGE, LIABILITY OR EXPENSE FOR DAMAGE TO PROPERTY AND INJURIES,
INCLUDING DEATH, TO ANY PERSON, INCLUDING BUT NOT LIMITED TO OFFICERS,
AGENTS OR EMPLOYEES OF CONTRACTOR OR SUBCONTRACTORS,WHICH MAY ARISE
OUT OF ANY NEGLIGENT ACT, ERROR OR OMISSION IN THE PERFORMANCE OF THIS
AGREEMENT. CONTRACTOR SHALL DEFEND AT HIS OWN EXPENSE ANY SUITS OR
OTHER PROCEEDINGS BROUGHT AGAINST THE CITY, ITS OFFICERS, AGENTS AND
EMPLOYEES, OR ANY OF THEM,RESULTING FROM SUCH NEGLIGENT ACT,ERROR OR
OMISSION; AND SHALL PAY ALL EXPENSES AND SATISFY ALL JUDGMENTS WHICH
MAY BE INCURRED BY OR RENDERED AGAINST THEM OR ANY OF THEM IN
CONNECTION THEREWITH RESULTING FROM SUCH NEGLIGENT ACT, ERROR OR
OMISSION.

Section 8 shall survive the termination or expiration of this Agreement
9. INDEPENDENT CONTRACTOR
Contractor shall perform all work and services hereunder as an independent contractor and not as an
officer, agent or employee of the City. Contractor shall have exclusive control of, and the exclusive right to
control, the details of the work performed hereunder and all persons performing same and shall be solely
responsible for the acts and omissions of his agents, employees and subcontractors. Nothing herein shall be
construed as creating a partnership or joint venture between the City and the Contractor,its agents,employees
and subcontractors;and the doctrine of respondent superior shall have no application as between the City and
the Contractor.
10. INSURANCE
Contractor shall provide and deliver to the City a certificate of insurance documenting policies in the
the following coverage at minimum limits that are to be in effect prior to commencement of work under this
Agreement:

$1,000,000 each occurrence
$1,000,000 aggregate
11. PROHIBITION OF ASSIGNMENT
Neither party hereto shall assign, sublet or transfer its interest herein. Any attempted assignment,
sublease or transfer of all or any part hereof shall be null and void.
12. RIGHT TO AUDIT
Contractor agrees that the City shall,until the expiration of three(3)years after final payment under
this Agreement, have access to and the right to examine at reasonable rimes any directly pertinent books,
documents, papers and records of Contractor involving transactions relating to this Agreement at no
additional cost of the City. Contractor agrees that the City shall have access during normal working hours to
all necessary Contractor facilities and shall be provided adequate and appropriate work space in order to
conduct audits in compliance with the provisions of this section. The City shall give Contractor reasonable
advance notice of intended audits.
13. CHOICE OF LAW; VENUE
This Agreement shall be governed by and construed in accordance with the laws of the State of
Texas. Should any action, at law or in equity, arise out of the terms of this Agreement, exclusive venue for
said action shall be in Tan-ant County,Texas.
14. NOTICES
Any notices required to be given hereunder shall be given by certified mail, return receipt to the

15. SEVERABILITY.
If any provision of this Agreement is held to be invalid, illegal or unenforceable, the validity,
legality and enforceability of the remaining provisions shall not in any way be affected or impaired.
16. FORCE MAJEURE.
The City and Contractor shall exercise their best efforts to meet their respective duties and
obligations as set forth in this Agreement, but shall not be held liable for any delay or omission in
performance due to force majeure or other causes beyond their reasonable control (force majeure),
including,but not limited to,compliance with any government law, ordinance or regulation, acts of God,
acts of the public enemy, fires, strikes, lockouts, natural disasters, wars, riots, material or labor
restrictions by any governmental authority,transportation problems and/or any other similar causes.
17. IMMIGRATION NATIONALITY ACT.
City actively supports the Immigration & Nationality Act (INA) which includes provisions
addressing employment eligibility, employment verification, and nondiscrimination. Contractor shall
verify the identity and employment eligibility of all employees who perform work under this Agreement.
Contractor shall complete the Employment Eligibility Verification Form(I-9),maintain photocopies of all
supporting employment eligibility and identity documentation for all employees, and upon request,
provide City with copies of all I-9 forms and supporting eligibility documentation for each employee who
performs work under this Agreement. Contractor shall establish appropriate procedures and controls so
that no services will be performed by any employee who is not legally eligible to perform such services.
Contractor shall provide City with a certification letter that it has complied with the verification
requirements required by this Agreement. Contractor shall indemnify City from any penalties or liabilities

due to violations of this provision. City shall have the right to immediately terminate this Agreement for
violations of this provision by Contractor.
18. HEADINGS NOT CONTROLLING.
Headings and titles used in this Agreement are for reference purposes only and shall not be
deemed a part of this Agreement.
19. AMENDMENTS.
No amendment of this Agreement shall be binding upon a party hereto unless such amendment is
set forth in a written instrument,which is executed by an authorized representative of each party.
20. ENTIRETY OF AGREEMENT.
This Agreement contains the entire understanding and agreement between the City and
Contractor, their assigns and successors in interest, as to the matters contained herein. Any prior or
contemporaneous oral or written agreement is hereby declared null and void to the extent in conflict
with any provision of this Agreement.
21. ADDITIONAL CERTIFICATIONS
Contractor acknowledges that in accordance with Chapter 2270 of the Texas Government Code,
the City is prohibited from entering into a contract with a company for goods or services unless the
contract contains a written verification from the company that it: (1)does not boycott Israel; and(2)will
not boycott Israel during the term of the contract. The terms"boycott Israel"and"company"shall have
the meanings ascribed to those terms in Section 808.001 of the Texas Government Code. By signing this
contract, Contractor certifies that Contractor's signature provides written verification to the City that
Contractor.(1)does not boycott Israel;and(2) will not boycott Israel during the term of the contract.

Course Overview
Embracing Strategic Management
Lieutenant Leadership Course
At this level of leadership, it is imperative that you are more strategic in your
thinking. You have to balance your employees' AND the department's goals.
Being able to see the big picture, conduct stakeholder analysis and create
innovative solutions to problems are mandatory skills. During this program, you
will learn to think strategically to manage projects and people.
Learning Objectives:
1. Identify leadership "blind spots" and develop a plan for performance
improvement
2. Implement continuous process improvement to ensure value for all
stakeholders
3. Develop project management skills to increase efficiency and effectiveness
within the department
4. Explore accountability strategies to be used with colleagues, subordinates,
and self
5. Craft a leadership brand statement to create a lasting legacy in the
department
6. Apply strategic thinking to current departmental issues
7. Examine effective communication strategies and styles
4 Leadership Workshops (3 hours each/12 hours total)
Each leadership workshop will engage participants with new content presented in a
dynamic format including lecture, discussion, activities, and real-life examples.
Prior to each workshop, participants will be asked to read a relevant article to kick-
start conversation in the class.
1. Effective Communication: This workshop will focus on the different styles
and strategies for effective communication. During the workshop,
participants will discuss current communication obstacles within the
department and innovative solutions. Strategies that will be discussed

include communication style, emotional intelligence, chain of command,
political savvy, and boundary setting.
2. Strategic Thinking: This workshop will be an in-depth discussion of what it
takes to be a strategic manager/leader. Participants will discuss the obstacles
that exist in taking a more strategic view of problems and work to develop
their own strategic vision. We will also discuss the importance of"legacy
building" and leaving a footprint within the department.
3. Process Improvement: In this workshop, participants will be learn the
elements of continuous process improvement and how to implement these
techniques within their team. In addition to identifying the techniques,
participants will conduct a detailed stakeholder analysis and use a strategic
vision to create a continuous process improvement plan for their team.
4. Project Accountability: Part of being a leader, is being able to hold yourself
and others accountable for work. In this workshop, we will dissect project
management and discuss best practices for including accountability in your
project management plan. Participants will also be able to discuss real-life
ways to implement effective accountability and to have "accountable"
conversations.
Speed Mentoring (2 hours)
Mentoring is an important component to leadership as it allows a leader to ask
questions of more experienced leaders. This is a chance to ask questions with no
penalty and to gain a deeper understanding of how leadership changes at different
levels. We will conduct a speed mentoring session, where each participant will
have the opportunity to connect with 3 mentors for 20 minutes each. This will be
done in a round table setting and allow for great questions and conversation.
Participants will be encouraged to seek out more informal mentoring opportunities
after the session.
Online Modules (3 Modules/3 hours total)
While the most impactful learning happens through experiences and in-class
discussions, a lot of skill building can be done through online video modules. This
program will include the completion of 3 online modules to assist Lieutenants in
developing specific management and leadership skills.
Leadership Style: Becoming a leader is a lifestyle choice. You have to be
comfortable being the boss and leading by example. While there are best

practices when it comes to leadership, every leader is different. In this topic,
participants uncover their own leadership style and how to become the best
leaders they can be.
• Coach Approach: By taking a talent development approach to supervision,
leaders can empower subordinates to accomplish great things. This topic
includes videos, examples, and web resources to help leaders better understand
this supervisory tool.
• Team Dynamics: The importance of team cohesion and understanding is
imperative to creating an effective organization. This topic allows participants
to investigate their own place within a team and better understand all team
members through videos, examples, and resources.
Assessments
In order to assess the leadership and management skills, participants will be asked
to complete several. assessments during the program. Participants will complete a
leadership assessment, emotional intelligence survey, and 360 leadership review.
The 360 leadership review will be used to determine leadership "blind spots" and
help participants identify areas for improvement and development. These
assessments will be used as the foundation for executive coaching sessions.
Executive Coaching Sessions
A key component to leadership development is the ability to discuss personal
leadership qualities and techniques with a trusted advisor. Every participant will be
assigned an Executive Coach who serves to assist the Lieutenant in developing
awareness around leadership "blind spots", supervision strategies, and other
management techniques. This Executive Coach can provide a different perspective
as an objective outsider to the organization. This coaching will take place after the
"in-class" workshops have been completed and will be focused on pushing the
Lieutenant forward in regards to his/her Leadership Development Plan.

Becoming an Agile Leader
Sergeant Leadership Course
An intensive 8-week program incorporating interactive workshops, mentoring,
executive coaching, and online learning to provide leadership training to Sergeants.
Core Competencies:
1. Understanding Multiple Perspectives: Evaluate ideas of leadership and
communication
2. Delegation: Explore the Employee Development Cycle and how to delegate
work effectively
3. Strategic Agility: Define and understand the importance of agile leadership
4. Self-Awareness: Develop self-reflection strategies for daily accountability
5. Interpersonal Savvy: Connect presentation and communication styles to
effectiveness
6. Innovation Management: Explore innovation and intention as elements of
effective leadership
7. Motivating Others: Discuss how personal leadership impacts organizational
culture
Program Elements:
6-weeks of Interactive Workshops (3 hours each): These sessions will include
discussions and group activities based on topics within the program. Participants
will engage with other Sergeants to debrief leadership and management situations,
conversations, and activities. These sessions will be facilitated and directed around
content, but also allow for organic discussions around "hot topic" issues. Topics
include:
• Emotional Intelligence (EI): The learned ability to understand, identify, express,
and experience emotions in healthy and productive ways. We focus on 3 main
components of EI: awareness, understanding, and influence. Increased
Emotional Intelligence allows supervisors to communicate more effectively
with colleagues, supervisors, and other stakeholders.

• Communication Strategies: An in-depth discussion of multiple communication
strategies that allow for a healthy and happy workplace.
• Self-Awareness: The most difficult aspect of Emotional Intelligence is the
ability to be self-aware. To be effective communicators, we must be aware of
our internal prejudices and our external appearance.
• Agile Leadership: Many organizations and teams struggle at some point in time
with the concept of agility. Leaders do not believe in continuing the status quo.
The goal of leadership is to view the big picture and make decisions that are
best for the organization and the individuals involved.
• Innovation and Intention: Leaders must be able to assess and react quickly.
Creativity and innovation are traits that are often found in highly successful
leaders. These are accompanied by the ability to be intentional with every
interaction. Learning how to combine innovation and intention will allow
leaders to expand and compound their effectiveness with employees,
colleagues, and supervisors.
Online Modules: These online video tutorials will provide content that can be
covered in-between interactive workshops. Each module will contain an
Accountability Assignment at the end for participants to demonstrate knowledge
and completion of the video tutorial. These videos along with handouts and
templates will give participants access to tools that they can refer to for 6 months
after program completion. The topics for online modules include:
• Leadership Values: Every leader must take time to assess and analyze their
personal values. These values not only direct how we live our lives every day,
but also impact our communication and team dynamics at work. In this set of
videos, participants will be able to assess their own values and start to craft a
leadership brand statement to guide their future workplace behaviors.
• Communication Styles: Everyone has a preferred communication style. By
understanding the different styles and preferences, leaders can communicate
more effectively with those around them. This module will include an
assessment, cheat sheet, and strategy guide for dealing with the different
communication styles.
• Leader vs. Manager. Often times people confuse the word leader and
manager. They are not the same thing. While many managers can be leaders,
leadership is not given by a title. It is a lifestyle choice the one must make. In

this module we will discuss the differences between managers and leaders, as
well as the tools all leaders need regardless of title.
2-weeks Inter-Departmental Mentoring (3 hours per week): Mentoring is one
of the most impactful ways to see growth in emerging leaders. It allows for a
discussion of real-life, organization specific situations, where Sergeants can gain
valuable insight into organizational vision, leadership styles, and management
techniques. Mentors will be nominated by peers and colleagues. In addition to the
mandatory mentoring meetings, all participants will be asked to complete 3
additional mentoring activities during this 2-week time period.
Assessments and Resources: Throughout the interactive workshops and online
modules there will be various assessments and resources for the participants to use.
The assessments will begin with an Emotional Intelligence Inventory and a
Leadership Assessment. These tools provide insight and help participants to gain
self-awareness regarding their personal strengths in terms of leadership and
management. Throughout the program there will also be a Personality Assessment
and Learning Style Assessment which are imperative tools for supervisors. Finally,
at the end of the program, participants will complete a final Leadership
Assessment, which will allow them to see the growth they have had through the
program.
Executive Coaching: A key component to leadership development is the ability to
discuss personal leadership qualities and techniques with a trusted advisor. Every
participant will be assigned an Executive Coach who serves to assist the Sergeant
in developing awareness around leadership "blind spots", Emotional Intelligence,
and communication techniques. This Executive Coach can provide a unique
perspective as an objective outsider to the organization. This coaching will take
place after the "in-class" workshops have been completed and will be focused on
pushing the Sergeant forward in regard to his/her Leadership Development Plan.
Mentoring
To provide mentoring in an effective manner, we have organized two mentoring
events for all participants to attend.
Speed Mentoring: This is a chance for the Sergeants to meet and have
conversations with at least 3 mentors. Every 20 minutes participants will move to a

new mentor and have the opportunity to not only network, but ask specific
questions regarding leadership, communication, and supervision strategies.
Mentor Panel: This is the opportunity for Sergeants to ask supervisors questions
related to leadership and the department. This an open session for all questions and
a great discussion about the future of leadership at the Fort Worth Police
Department.
In addition to these mandatory mentoring sessions, every Sergeant will be assigned
a personal mentor. The requirement is for each mentor/mentee to meet at least once
per week during the mentoring period. A list of approved mentoring activities and
a log for participants to complete will be given during the program.

Pre-Promotion Workshop
A pre-promotion class is required for all promotional candidates. The class will
provide important information necessary to assist in integrating the candidate into
his or her new position of authority.
