HomeMy WebLinkAboutResolution 2236CITY COUNCIL OF THE CITY OF FORT~W7O~R H, TEXAS y~ RESOLUTION NO,~~,~s~ ~ n ~`N N 8 COMMISSIONERS COURT OF TARRANT COUNTY, TEXAS RESOLUTION NO BOARD OF MANAGERS OF TARRANT COUNTY HOSPITAL DISTRICT RESOLUTION • A RESOLUTION PASSED CONCURRENTLY BY THE CI'T'Y COUNCIL OF THE CITY OF FORT WORTH, TEXAS THE COMMISSIONERS COURT OF TARRANT COUNTY TEXAS AND THE BOARD OF MANAGERS OF THE TARRANT COUNTY HOSPITAL DISTRICT AUTHORIZING THE FILING OF A PETITION IN THE MATTER OF THAT CERTAIN CHARITABLE TRUST BENEFITING JOHN PETER SMITH HOSPITAL OF FORT WORTH, TEXAS APPROVING AND CONSENTING TO AN ORDER PERTAINING TO SUCH MATTER, AND RESOLVING OTHER MATTERS INCIDENT AND RELATING TO THE SUBJECT AND PURPOSE HEREOF WHEREAS legal title to five acres of the land (the Property') upon which the John Peter Smith Hospital (the 'Hospital) is erected rests in the City of Fort Worth, Texas (the City) and Tarrant County Texas (the County') with the Fort Worth City Council and Tarrant County Commissioners Court acting as co-trustees for the Property (the Trustees) and WHEREAS the Constitution and laws and of the State of Texas mandate that such title properly rests in the Tarrant County Hospital District (the District) created by popular vote of the citizens of the County in 1959 and WHEREAS the Property is the subject of a charitable trust created by an 1877 deed of the Property from John Peter Smith (the Trust) which provides that the Property be used for a hospital for the poor of the City and County and WHEREAS the Constitution and laws of the State of Texas require the District to assume full responsibility for providing medical and hospital care to needy residents of the County and WHEREAS the City the County and the District desire (i) to provide for the appointment of the members of the Board of Managers and their successors in office as the successor co-trustees for the Trust (the Successor Co-Trustees) and (ii) to cause the Property to be conveyed to the Successor Co-Trustees NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF FORT WORTH TEXAS • NOW THEREFORE, BE IT RESOLVED BY THE COMMISSIONERS TARRANT COUNTY TEXAS NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF MANAGERS TARRANT COUNTY HOSPITAL DISTRICT Section 1 All of the declarations and findings contained in the preambles of this Resolution are made a part hereof and shall be fully effective as a part of the subject matter of this Resolution. Section 2 There is hereby authorized to be filed a petition in the matter of the Trust requesting among other relief that the Court (a) grant the Trustees permission to resign as the current Trustees for the Trust; (b) discharge each of the Trustees from any further obligations or responsibilities with respect to the Trust other than to convey the Property to the Successor Co-Trustees for the Trust; (c) appoint the members of the Board of Managers of the District, and their successors in office as the Successor Co-Trustees for the Trust; and (d) order the Trustees to convey the Property to the Successor Co-Trustees for the Trust. Section 3 That any settlement or order of the Court providing the relief sought is hereby approved, and the Trustees and Successor Co-Trustees are authorized to execute any such order or settlement. Section 4 That the Trustees and Successor Co-Trustees and the Mayor City Attorney and City Secretary of the City and the County Judge and County Clerk of the County and the Chairman of the Board of Managers and all other officers of the District be and each hereby is authorized to execute and deliver any and all orders consents, agreements, deeds and other documents necessary or incidental to the filing of the Petition and to complete the actions approved or decreed by the Order • Section S That this Resolution may be executed in multiple counterparts and when duly passed by the Ciry Council of the City of Fort Worth, Texas the Commissioners Court of Tarrant County Texas and the Board of Managers of the Tarrant County Hospital District and separate counterparts are duly executed by each of the City the County and the District, the Resolution shall be in full force and effect.
