COUNTY OF TARRANT §
WHEREAS, the City of Fort Worth (City) and Freese and Nichols, Inc.,
(Engineer) made and entered into City Secretary Contract No. 25699 (the Contract)
which was authorized by the City Council by M&C C-17849 on the 8`h day of February,
2000; and
WHEREAS, the Contract involves engineering services for the following project:
Engineering Contract for the North Holly Water Treatment Plant
Improvements -Design Phase, Project Number PW77-060770500120.
WHEREAS, it has become necessary to execute Amendment No. 1 to said
Contract to include an increased scope of work and revised maximum fee;
NOW THEREFORE, City and Engineer, acting herein by and through their duly
authorized representatives, enter into the following agreement which amends the
Contract:

Article I of the Contract is amended to include the following additional
engineering services:
Modify Attachment "A-1" to include the attached additional pages Al-7 through
Al-10.
2.
Article II, Attachment `B" of the Contract is amended to provide for an increase
in the maximum fee to be paid to the Engineer for all work and services performed under
the Contract, as amended, so that the total fee paid by the City for all work and services
shall not exceed the sum of$2,765,588.
The cost to City for these additional services to be performed by Engineer total
four hundred seventy-three thousand six hundred seventy-six dollars ($473,676.)
The attached "Amendment No. 1: Exhibit "B-3A"" replaces Exhibit "B-3" in the
original agreement. The attached "Amendment No. 1: Exhibit "B-4A"" supplements
Exhibit "B-4" in the original agreement.

Task 200—Design Phase (Continued)
Task 227 —Additional Construction Items—Contract A
This task includes design services necessary for the following additional proposed
facilities for Phase 1 (Contract A) of the North Holly Water Treatment Plant
Improvements:
1. Replacement electrical switchgear and motors for storm drain and emergency storm
drain pumps.
2. Replacement of electrical feeders to the South Holly Water Treatment Plant.
Task 228 —Additional Construction Items—Contract B
This task includes design services necessary for the following additional proposed
facilities for Phase 2 (Contract B) of the North Holly Water Treatment Plant
Improvements:
1. Additional remodeling of existing buildings to provide accessible office space and
meeting facilities.
2. Structural modification of existing filter structures to accommodate parking between
Filter Wings 2 and 3.
3. Remodeling of portion of existing Chemical Building to provide laboratory space.
Task 229 —TXU Electric Substation/Service Upgrade
Meet with representatives of TXU Electric to determine modifications required to the
North Holly and/or Middle Holly Substations to provide required electric power supply
for the proposed plant improvements. Advise City of recommended improvements and
evaluate options for providing satisfactory power service to the facility.

Task 400—General Representation—Phase 1
Upon completion of the bid phase services, Engineer will proceed with the performance
of construction phase services as described below. Engineer will endeavor to protect the
City in providing these services however, it is understood that Engineer does not
guarantee the Contractor's performance, nor is Engineer responsible for supervision of
the Contractor's operation and employees. Engineer shall not be responsible for the
means, methods, techniques, sequences or procedures of construction selected by the
Contractor, or any safety precautions and programs relating in any way to the condition
of the premises, the work of the Contractor or any Subcontractor. Engineer shall not be
responsible for the acts or omissions of any person (except its own employees or agents)
at the Project site or otherwise performing any of the work of the Project.
This scope of services is based on Engineer providing on-site construction administration
and observation services in accordance with a separate agreement between the City and
Engineer.
Task 401 —Conformed Documents
Engineer will assist City in the preparation of Construction Contract Documents for
construction contracts. Provide ten sets of Construction Contract Documents which
include information from the apparent low bidder's bid documents, legal documents, and
addenda bound in the documents for execution by the City and construction contractor.
Distribute five copies of these documents to the contractor with a notice of award that
includes directions for the execution of these documents by the construction contractor.
Provide City with the remaining five copies of these documents for use during
construction. Additional sets of documents can be provided as an additional service.
Furnish contractor copies of the drawings and specifications for construction pursuant to
the General Conditions of the Construction Contract.
Task 402—Pre-Construction Conference and Monthly Meetings
Attend pre-construction conference with the City and Contractor, and attend monthly
project review meetings at the project site. A total of twenty meetings are included in the
basic services.
Task 403 —Review Project Submittals
Review contractor's submittals, including, requests for information, modification
requests, shop drawings, schedules, and other submittals in accordance with the
requirements of the construction contract documents for the projects.

Task 404—Site Visits
Make 24 visits to the site (as distinguished from the continuous services of a Resident
Project Representative) to observe the progress and the quality of work and to attempt to
determine in general if the work is proceeding in accordance with the Construction
Contract Documents. In this effort Engineer will endeavor to protect the City against
defects and deficiencies in the work of Contractor and will report any observed
deficiencies to the City. Visits to the site in excess of the specified number are an
additional service.
Task 405 —Document Interpretation
Engineer will interpret the drawings and specifications for the City and Contractor.
Investigations, analyses, and studies requested by the Contractor and approved by City,
for substitutions of equipment and/or materials or deviations from the drawings and
specifications is an additional service.
Task 406—Contract Modifications
Engineer will provide technical review of proposed changes to the construction contracts
and assist the Resident Engineer in negotiating with the contractor on behalf of the City
to determine the cost and time impacts of these changes. Prepare change order
documentation for approved changes for execution by the City and Contractor.
Investigations, analyses, studies or design for substitutions of equipment or materials,
corrections of defective or deficient work of the contractor or other deviations from the
construction contract documents requested by the contractor and approved by the City are
an additional service. Substitutions of materials or equipment or design modifications
requested by the City are an additional service.
Prepare documentation for contract modifications required to implement modifications in
the design of the project. Assist the Resident Engineer in evaluating notices of contractor
claims and make recommendations to the City on the merit and value of the claim on the
basis of information submitted by the contractor or available in project documentation.
Providing these services to review or evaluate construction contractor claims, supported
by causes not within the control of Engineer are an additional service.
Task 407 —Final Review
Conduct, in company with Resident Engineer and City's representative, a final review of
the Project for conformance with the design concept of the Project and general
compliance with the Construction Contract Documents. Prepare a list of deficiencies to
be corrected by the contractor before recommendation of final payment. Review and
comment on the certificate of completion and the recommendation for final payment to
the Contractor. Visiting the site to review completed work in excess of two trips are an
additional service.

Task 409—Motor Witness Testing
Provide up to 48 hours engineering and expenses to witness testing of the replacement
motors for the North Holly high service pumps.
Task 410—SCADA System Coordination
Provide up to 300 hours additional engineering to coordinate the proper operation,
appearance, reporting and documentation of the Supervisory Control and Data
Acquisition system with the facility improvements at the North Holly Water Treatment
Plant.

NICHOLS, INC. FOR DESIGN OF THE NORTH HOLLY WATER TREATMENT PLANT
IMPROVEMENTS
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute Amendment No.1 to the
engineering agreement with Freese & Nichols, Inc. (City Secretary Contract No. 25699) for design of
the North Holly Water Treatment Improvements project, increasing the total contract by $473,676 from
$2,291,912 to $2,765,588.
DISCUSSION:
On February 15, 2000 (M&C C-17849), the City Council authorized the execution of an engineering agreement
with Freese & Nichols, Inc. for design of the North Holly Water Treatment Plant Improvements.
Proposed Amendment No. 1 is for Freese & Nichols, Inc. to provide general representative services
during the construction phases. The project construction phasing had not been determined when the
original contract was negotiated.
The engineer will also design the replacement of the electrical switchgear and electric motors for the
storm drain pumps to improve reliability, a new plant laboratory in the Chemical Building, and will
design the replacement of the main back-up electrical power feed for the South Holly Water Treatment
Plant as part of the upgrade of the Texas Utilities substation. Freese & Nichols, Inc. has proposed to
do this work for a fee not to exceed $473,676.
Freese & Nichols, Inc. is in compliance with the City's MIWBE Ordinance by committing to an additional
9% M/WBE participation on this amendment No. 1.
FISCAL INFORMATION/CERTIFICATION:
The Finance Director certifies that funds are available in the current capital budget, as appropriated, of
the Capital Project Water Fund.
