AIRCRAFT MAINTENANCE HANGAR FACILITY AGREEMENT
This AMENDMENT NO. 2 TO CITY SECRETARY CONTRACT NO. 22134,
AIRCRAFT MAINTENANCE HANGAR FACILITY AGREEMENT ("Amendment") is
entered into by and between the CITY OF FORT WORTH, TEXAS (the"City"), a home rule
municipal corporation organized under the laws of the State of Texas and acting by and through
Mike Groomer, its duly authorized Assistant City Manager, and IAS AVIATION SERVICES,
L.L.C. ("Lessee"), a Delaware limited liability company acting by and through Ritchie G.
Studer, the Chief Operating Officer and Manager of Kingwood Aviation, L.L.C., Lessee's
Authorized Representative.
The following introductory provisions are true and correct and form the basis of this
Amendment.
A. On or about August 30, 1996, the City and International Aviation Services, Ltd.
("IAS") entered into an Aircraft Maintenance Hangar Facility Agreement ("Agreement") for
the lease and use of Hangar 39-N and certain other property and facilities ("Premises") located
at Fort Worth Meacham International Airport ("Airport") and specifically identified in the
Agreement. The Agreement is a public document on file in the City Secretary's Office and
identified as City Secretary Contract No. 22134. The Agreement was assigned a contract
number by the City Secretary on September 18, 1996, but pursuant to Section 2.A of the
Agreement, the Agreement became effective on August 30, 1996, which is the date on which the
City and IAS executed the Agreement.
B. On or about August 31, 1998 the City consented to (i) an amendment of the
Agreement and the assignment of the amended Agreement by IAS to Investment Recovery,
L.L.C. and (ii) the subsequent assignment of the amended Agreement by Investment Recovery,
L.L.C. to Lessee, as reflected in City Secretary Contract Nos. 24299 and 24300,respectively.
C. Under the Agreement Lessee had rights of first refusal to lease the tracts of land
identified as Tract 2, Tract 3, Tract 4 and Tract 5, as shown on the survey map of Exhibit "A"
and described,in the field notes of Exhibit `B" of the Agreement, on the condition that Lessee
pay the City $100.00 per year per tract. On or about June 1, 1999 Lessee lost its rights of first
refusal to lease these tracts of land due to Lessee's failure to pay the consideration for such rights
of first refusal as required by the Agreement. The City subsequently leased Tract 4 to a third

D. Lessee currently owes the City a total of $75,762.48 in past due rent for the
Premises.
E. The City wishes to transfer title to and responsibility for the entire fire
suppression system serving Hangar 39-N, including the fire suppression pump house, water tanks
and all underground lines, to Lessee. Lessee is willing to take title to and responsibility for the
fire suppression system in return for (i) the City's forbearance in terminating the Agreement for

non-payment of rent; (ii) the City's consent to allow Lessee to pay its past due rent in
installments; and (iii) the City's reinstatement to Lessee of rights of first refusal to lease Tract 2,
Tract,3 and Tract 5. In addition, the City and Lessee wish to adjust the location of the Premises
so that (i) the City may take back certain property from the Premises for the extension of
Meacham Boulevard and (ii) property on which the fire suppression pump house and water tanks
are located may be added to the Premises. Accordingly, the City and Lessee mutually desire to
amend the Agreement as set forth in this Amendment in order to clarify this arrangement and
their various rights and obligations under the Agreement.
NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of
which are hereby acknowledged, the City and Lessee agree as follows:
1. Exhibit "A" of the Agreement shall be replaced and superseded by Exhibit `11", which
shall be attached hereto and hereby made a part of the Agreement for all purposes following
completion of a survey of the Premises by the City. Exhibit "1" subtracts approximately 3,597
square feet of improved land from Tract 1, which the City will use in order to extend Meacham
Boulevard, and adds approximately 17,983 square feet of improved land to Tract 1, which
includes the fire suppression pump house, two water tanks and associated underground lines
comprising a portion of the fire suppression system that serves Hangar 39N. The entire system,
including the fire suppression pump house, water tanks and associated underground lines, shall
hereafter be referred to as the "Fire Suppression System" and is further depicted in Exhibit
11211, attached hereto and hereby made a part of this Amendment and the Agreement for all
purposes. With this addition, the Fire Suppression System shall be a part of the Premises and
Lessee shall have full title to and sole control over the Fire Suppression System.
2. Section LB (Additional Premises) of the Agreement is hereby deleted in its entirety and
replaced with the following:
B. Additional Premises.
(1) Rights of First Refusal.
From March 1, 2001 until September 30, 2001, Lessee shall
have rights of first refusal to lease individually the tracts of land at
the Airport identified as Tract 2, Tract 3 and Tract 5 on the survey
map of Exhibit "A" of the Agreement and described in the field
notes of Exhibit `B" of the Agreement (each a "Tract" and
collectively the "Additional Premises") on terms and conditions
prescribed by the City at the time. As consideration for Lessee's
right of first refusal to lease each Tract during such time, Lessee
has paid the City a sum equal to One Cent ($0.01) for each square
foot comprising each Tract on an annual basis, prorated as
appropriate. Subject to any Tract that may already have been
leased to Lessee or a third party in accordance with Section 1.B(2)
of this Agreement, Lessee may renew its rights of first refusal to
lease each Tract on an annual basis, commencing on October 1 of a

given year and expiring September 30 of the following year, by (i)
notifying the City in writing not less than thirty (30) days nor more
than one hundred twenty (120) days prior to the expiration of the
current rights of first refusal that Lessee wishes to renew its annual
rights of first refusal (except that for the period between October 1,
2001 and September 30, 2002, Lessee's notification may be made
at any time prior to October 1, 2001) and(ii) paying the City a sum
equal to One Cent ($0.01) for each square foot comprising each
Tract.
(2) Prerequisites for Exercise of Rights of First Refusal.
Lessee's right of first refusal to lease any Tract is subject to
(i) the successful negotiation of a lease between the City and
Lessee for the Tract; (ii) the City's advance written approval of
written plans and specifications submitted by Lessee for
development of the Tract, which must be reasonably acceptable to
the City and shall meet or exceed any proposed development for
the Tract by a third party, as reasonably determined in good faith
by the City in its sole discretion; and (iii) Lessee's reasonable
assurance to the City that Lessee will commence construction of
any approved development within twelve (12) months of the
effective date of the lease between the City and Lessee for the
Tract. If(i) the City and Lessee are unable to negotiate a mutually
acceptable lease for the Tract; (ii) the City reasonably denies
Lessee's written plans and specifications for development of the
Tract; or (iii) Lessee does not give Lessor reasonable assurance
that Lessee will commence construction of any approved
development within twelve (12) months of the lease for the Tract,
then Lessor shall be under no obligation to lease the Tract to
Lessee.
(3) Procedures Regarding Third Party Proposals.
If a third party submits a proposal to the City for
development of a Tract, the City shall notify Lessee in writing as
soon as practicable and shall give Lessee at least ninety (90)
calendar days to submit its own proposal for development of the
Tract. If Lessee has diligently undertaken efforts to finalize a
proposal for the City within ninety (00) days, but reasonably needs
additional time, the City, at its option, may grant Lessee an
extension to submit its proposal. If (i) Lessee fails to submit a
proposal for development of the Tract in accordance with the
City's instructions or (ii) Lessee's proposal for development of the
Tract does not meet or exceed any proposed development by a
third party, as reasonably determined in good faith by the City in

its sole discretion, then Lessor shall be free to lease the Tract to a
third party and Lessee shall no longer have any rights in or to the
Tract.
(4) Effect of Leases for Additional Premises.
In the event that any provision in a subsequently executed
lease for a Tract between the City and Lessee directly conflicts
with a provision in this Agreement relating to the Additional
Premises, other than this Section LB, the provision in the
subsequently executed lease shall control.
3. Section 2.0 (Right of First Refusal as to Additional Premises [Term of Agreement]) of
the Agreement is hereby deleted in its entirety.
4. Section 3.0 (Rent for Additional Premises) of the Agreement is hereby deleted in its
entirety.
5. Section 6.F (Fire Suppression Pump House) of the Agreement is hereby deleted in its
entirety and replaced with the following:
F. Fire Suppression System.
Lessee, at Lessee's sole cost and expense, shall be responsible for
all maintenance of and repairs to the Fire Suppression System, including,
but not limited to, performance of the maintenance responsibilities set
forth in Exhibit `B" of the Agreement. The City shall have the right to
inspect the Fire Suppression System at any time during Lessee's regular
business hours to ensure that Lessee has properly maintained the System
and kept it in good repair.
6. Section 8 (Damage or Destruction to Premises or Additional Premises) is hereby deleted
in its entirety and replaced with the following:
8. DAMAGE OR DESTRUCTION TO PREMISES.
A. In the event a fire or other casualty damages or destroys all or any
part of the Premises, Lessee, at Lessee's sole cost and expense, will begin
diligently to rebuild the affected portion of the Premises substantially to as
good or better condition that that which existed immediately prior to such
damage or destruction within one hundred eighty (18 0) days following the
date of damage or destruction.
B. In the event a fire or other casualty damages or destroys all or any
part of the Premises, this Agreement shall continue in effect without any
rent abatement whatsoever. If such damage or destruction render

affected Premises untenable, the expiration date of the term then in effect
shall be extended for the amount of time equal to the period between the
date of damage or destruction and the date that a certificate of occupancy
is issued by the City for the affected Premises or, if no certificate of
occupancy is required, the date that repairs or reconstruction rendered the
affected Premises tenable.
7. Lessee acknowledges that it owes the City a total of$75,762.48 in past due rent for the
Premises. This past due rent shall be paid in full by the earlier of(i) September 30, 2001 or (ii)
within ten (10) calendar days of closing a sale to a third party purchaser ("Purchaser") of
Lessee's assets on the Premises, with the understanding that prior to or contemporaneously with
such closing (a) Lessor's City Council will have to approve an assignment to Purchaser of
Lessee's leasehold interest in the Premises and (b) Lessor, Lessee and Purchaser will have to
execute a written agreement under which Lessor consents to that assignment and the terms and
conditions of that assignment are set forth.
8. As part of the consideration under this Amendment, Lessee shall reimburse the City for
past repairs to the Fire Suppression System in the amount of $37,870.56 by the earlier of (i)
September -30, 2001 or (ii) within ten (10) calendar days of closing a sale to Purchaser of
Lessee's assets on the Premises, with the understanding that prior to or contemporaneously with
such closing (a) Lessor's City Council will have to approve an assignment to Purchaser of
Lessee's leasehold interest in the Premises and (b) Lessor, Lessee and Purchaser will have to
execute a written agreement under which Lessor consents to that assignment and the terms and
conditions of that assignment are set forth. Any parts or components associated with the Fire
Suppression System,whether new,used or rebuilt, that are in the City's possession shall be given
to Lessee, at Lessee's option, free of charge.
9. As part of the consideration under the Agreement and this Amendment, Lessee accepts
the Fire Suppression System in its current state without reliance on any representation made by
the City or any third party as to the condition, operation or capabilities of the Fire Suppression
System or the maintenance or repair schedules or obligations relating to the Fire Suppression
System. LESSEE UNDERSTANDS AND AGREES THAT THE CITY DOES NOT MAKE
ANY EXPRESS OR IMPLIED WARRANTIES OF ANY KIND WITH RESPECT TO THE
FIRE SUPPRESSION SYSTEM, INCLUDING WITHOUT LIMITATION, THOSE OF
MERCHANTABILITY OR FITNESS FOR PURPOSE OR USE, OF CONDITION,
PERFORMANCE, SUITABILITY OR DESIGN, OR CONFORMITY TO ANYLAW, RULE,
REGULATION,AGREEMENT OR SPECIFICATION.
10. As part of the consideration under the Agreement and this Amendment, LESSEE
HEREB Y RELEASES THE CITY IN FULL AND UNDERSTANDS AND A GREES THA T
THE CITY SHALL HA VE NO LIABILITY EITHER TO LESSEE OR ANY OTHER PARTY
FOR ANY LOSS, CLAIM OR DAMAGE OF ANY NATURE, WHETHER FOR PERSONAL
INJURY, INCLUDING DEATH, OR PROPERTY DAMAGE OR OTHERWISE, AND
WHETHER OCCURRING ON, BEFORE OR AFTER THE EXECUTION DATE OF THIS
AMENDMENT, THAT IS CAUSED OR ALLEGED TO BE CAUSED DIRECTLY,
INDIRECTLY, INCIDENTALLY OR CONSEQUENTIALLY BY OR ON ACC — -----

THE FIRE SUPPRESSION SYSTEM, ANY INADEQUACY THEREOF, DEFICIENCY OR
DEFECT THEREIN (WHETHER KNOWN OR KIVOWABLE BY THE CITY), BY ANY
INCIDENT WHATSOEVER ARISING IN CONNECTION THEREWITH, WHETHER IN
STRICT LIABILITY OR OTHERWISE, OR IN ANY WAY RELATED TO OR ARISING
OUT OF THE AGREEMENT OR THIS AMENDMENT.
11. All terms in this Amendment that are capitalized but not defined shall have the meanings
assigned to them in the Agreement.
12. This Amendment contains the final written expression of the City and Lessee with
respect to the subject matter hereof. This Amendment shall be effective upon execution by all
parties and may be executed in multiples.

It is recommended that the City Council authorize the City Manager to execute Amendment No. 2 to
City Secretary Contract No. 22134, Aircraft Maintenance Hangar Facility Agreement with International
Aviation Services, Ltd., reinstating rights of first refusal to Tracts 2, 3, and 5 and transferring title to, and
responsibility for, the entire fire suppression system serving Hangar 39N at Meacham International
Airport, as well as taking back 3,597 square feet of land from the leased premises in order to
accommodate the extension of Meacham Boulevard, as previously approved by the City Council on
September 19, 2000 (M&C C-18235).
DISCUSSION:
On August 30, 1996, a lease agreement was executed with International Aviation Services, Ltd. (IAS)
for Hangar 39N and surrounding premises including parking and ramp area. The agreement expires
May 31, 2021, and has 2 five-year options for renewal. The lease allowed for first rights of refusal on
four tracts of property, referred to as the Additional Premises, that are adjacent to the original leased
premises. Under the terms of the original agreement, the tenant could maintain the rights of first refusal
on the Additional Premises by paying $100.00 per year for each tract of land. The payment that was
due June 1, 1999 was not made, therefore, the rights have been lost. This amendment will reinstate
the rights on Tracts 2, 3, and 5. Tract 4 has been leased to a third party.
IAS is also currently $75,762.48 behind in rent and late fees. This amendment will allow IAS to repay
the City in eight monthly payments, with the last payment due September 1, 2001.
The original lease stipulated that the tenant was responsible for routine maintenance of the fire
suppression pumphouse while the City, at its sole cost and expense, was responsible for any material
repairs needed at the pumphouse. In exchange for the City's not demanding full and immediate
repayment of the back rent and termination of the lease, IAS has agreed to accept title to, and
responsibility for, the fire suppression system. The fire suppression system includes, but is not limited
to, the two water tanks, the pump house, and the underground water and foam lines.
In May 2000, it became known to the City that IAS was not performing its duties as to the routine
maintenance of the fire suppression pumphouse. According to the original lease, the City has the right
to initiate those necessary repairs and then to invoice the tenant accordingly. The Aviation Department
has spent $37,870.56 on necessary repairs. The tenant has agreed to repay this amount in 7 equal
monthly installments, with the last payment due September 1, 2001.
