HomeMy WebLinkAboutContract 45635-AD1 ;�1G V, CITY SECRUARY + I CONTRACT N0. ® ADDENDUM TO FORT WORTH CITY SECRETARY CONTRACT NO. 45635 o r1` This Addendum is made between the City of Fort Worth ("Customer" or "City"), a municipal m" corporation, acting herein by and through Jay Chapa, its duly authorized Assistant City Manager and Superion, LLC, formerly SunGard Public Sector Inc. ("Superion" or "Contractor"), and acting herein through their duly authorized representatives. WHEREAS, City and Contractor entered into an Agreement for maintenance and support services which is identified as Fort Worth City Secretary Contract No. 45635 with a term beginning October 1, 2013 and ending September 30, 2014 as well as an Agreement for licensing of software which is identified as Fort Worth City Agreement for Licensed Programs that was executed by the parties on October 19, 1993 (collectively,the "Agreement"); and WHEREAS,the Agreement pertaining to maintenance and support services was renewed for a term beginning October 1, 2014, and ending September 30, 2015, and had renewal options; and WHEREAS, the Agreement pertaining to maintenance and support services was renewed for a term beginning September 25, 2015, and ending September 30, 2016;and WHEREAS, the Agreement pertaining to maintenance and support services was renewed for a term beginning December 5, 2017, and ending September 30, 2018; and WHEREAS, it is the collective desire of both City and Contractor to execute this Addendum to the Agreement to allow Contractor to remotely upgrade and test the NaviLine C2G Test and Production environments, as well as provide certain Professional Services; NOW THEREFORE,KNOWN ALL BY THESE PRESENT: This Addendum is hereby incorporated into the Agreement as follows: The following additional Professional Services are hereby included under the Agreement for the upgrade of the Production and Test environments,and the Project Management Services: 1. NaviLine C2G Upgrade/Installation—Professional Services: Remote Production Environment Upgrade/Weekend Uplift: Quantity of 8hrs, $2800.00; 2. NaviLine C2G Upgrade/Installation-Professional Services—Remote Test Environment Upgrade— Week Day: Quantity of 8 hours, $1400.00; 3. Project Management Fees in the amount of$320.00. Total Professional Services in the amount of$4,520.00 The Upgrade/Installation/Test services pertaining to Click2Gov as well as related Project management services are provided in the Superion Add-On Quote Q- 00003507 with a presented date of 2/12/2018 ("Exhibit A") which is attached hereto and is incorporated herein. 4. Payment terms: License Fees and Project Management Fees are due upon execution of this Addendum. Support: Superiors Application Annual Support: Customer is committed to the initial term of Maintenance and Support Services for which the support fee is included in the License fee(s) and begins upon execution of this Addendum and extends through September 30,2018. Subsequent terms of support will be for twelve (12) month periods, commencing at the end of the prior support period.Maintenance fees shown are for the second term of support for which Superion is committed and which shall be due prior to the start of that term and will be invoiced pro-rata to coincide with Customers Annual Renewal Date. Fees for subsequent terms of support will be due prior to the start of each term at the then-prevailing rate. Subsequent terms will renew automatically until such time Superion receives written notice from the Customer thirty(30)days prior to the expiration of the then current term.Notification of non-renewal is required prior to the start of the renewal term. Customer will be invoiced, and payment is due, upon renewal.Notwithstanding anything to the contrary herein, Superion is committed to providing not less than 2 (two)years of support of the Licensed Program which is provided hereunder. 7. Additional Terms: Any interfaces listed above are interfaces only. Customer shall be responsible for obtaining the applicable software,hardware and system software from the appropriate third party vendor. The Licensed Program identified above may be used in machine-readable object code form only. Applicable taxes are not included, and, if applicable,will be added to the amount in the payment of invoice(s)being sent separately. The date of delivery is the date on which Superion delivers,F.O.B. Superion's place of shipment,the Licensed Program to Customer. The Superiors application software warranty shall be for a period of one(1)year after delivery. There is no Testing and Acceptance period. Preprinted conditions and all other terms not included in this Addendum or in the Agreement but that are stated on any purchase order or other document submitted hereafter by Customer are of no force or effect, and the terms and conditions of the Agreement and any amendments or addendums thereto shall control unless expressly accepted in writing by Superion to Customer. Pricing for professional services provided under this quote is a good faith estimate based on the information available to Superion at the time of execution of this Quote.The total amount that Customer will pay for these services will vary based on the actual number of hours of services required to complete the services.If required,additional services will be provided on a time and materials basis at hourly rates equal to Superion's then-current rates for the services at issue. For training and on-site project management sessions which are cancelled at the request of Customer within fourteen(14)days of the scheduled start date,Customer is responsible for entire price of the training or on-site project management plus incurred expenses. All other terms, provisions, conditions, covenants and recitals of said Agreement not expressly amended herein shall remain in full force and effect.
