Approve the transfer of $400,000 from the Environmental Management Operating Fund undesignated to undesignated engineering within the Environmental Project Fund; and 2. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the Environmental Management Project Fund in the amount of$400,000 from available funds; and 3. Authorize the City Manager to execute a contract with the IT Corporation for environmental and engineering consulting services for miscellaneous projects on an as-needed basis for a period of one year, with two one-year options to renew. DISCUSSION: The City's compliance with state and federal environmental regulations for the Clean Air Act, hazardous waste issues, National Pollutant Discharge Elimination System, Storm Water permit issues, the City's storage tank remediation program and other environmental issues requires various projects to be completed in a timely manner. To facilitate the City's compliance, the services of a consulting engineering firm (with experience in environmental issues) are required. The City has contracted for environmental engineering services since 1989. Through 1997, some $1,959,565 was spent on various remediations and replacing of City-owned underground storage tanks with above ground storage tanks to bring the City into compliance with state and federal regulations. In the past three years, $443,760 was spent for groundwater monitoring at previously contaminated sites, site assessments, corrective action plans, and reviews of various structural storm water management devices. Projects planned for the next year include monitoring activities at previously contaminated sites, site assessments, Spill Prevention Control and Countermeasure Plan review and certification, remediation system designs, corrective action plans, air modeling, air sampling, development of air quality attainment strategies at airports, coordination with the state to develop clean-up strategies and requirements, and reviews of various structural flood control devices. The request for qualifications was advertised for bid on February 8 and 15, 2001. On March 1, 2001, responses were received from the following five firms: • Carter Burgess, Inc. • Environmental Managers, Inc. • IT Corporation • Law Gibb Group • OES Environmental, Inc. City of Fort Worth, Texas "agar And coun"'I communicalflon DATE REFERENCE NUMBER LOG NAME PAGE 4/24/01 C-18572 52AWARD 2 of 2 SUBJECT AWARD OF ENVIRONMENTAL ENGINEERING SERVICES CONTRACT TO THE IT CORPORATION The qualifications packages were evaluated based on a pre-determined combination of qualitative and quantitative (point) measures. These measures included, but were not limited to, experience, qualifications, and legal history. Based on the total point distribution of the measures and fair pricing rates, staff recommends the contract be awarded to the IT Corporation. IT Corporation has broad environmental experience that includes the strongest in-house air-related staff. Their key local staff has 12 to 18 years of air-related work history, and nationwide they have even more experience. IT Corporation has two local offices and numerous nationwide offices that may be relied upon for additional expertise as necessary. Experience with air issues is of vital importance to the City because of the air issues associated with the State Implementation Plan. In addition, IT Corporation's prior work history with the City was exemplary as they complied with all contract requirements, met deadlines, were cost effective, and were responsive to service requests. RENEWAL OPTIONS - This contract may be renewed for up to two successive one-year terms at the City's option. Renewal may be effected by notice in writing by the City Manager or his designated representative to the contractor within 30 days of the expiration of the prior term. This action does not require specific City Council approval, provided that the City Council has appropriated sufficient funds to satisfy the City's obligations during the renewal term. A waiver of the goal for M/WBE subcontracting requirements was requested by the department and approved by the M/WBE Office because the highly technical nature of the services is from sources where subcontracting and supply opportunities are negligible. FISCAL INFORMATION/CERTIFICATION: The Finance Director certifies that upon approval of the above recommendations, and adoption of the attached appropriation ordinance, funds will be available in the current budget, as appropriated, of the Environmental Project Fund. STATE OF TEXAS § COUNTIES OF TARRANT § AND DENTON § PROFESSIONAL SERVICES CONTRACT FOR ENVIRONMENTAL ENGINEERING CONSULTANT SERVICES - This Contract is entered into by and between the City of Fort Worth, a home-rule municipality located within Tarrant County, Texas, acting through Charles Boswell, its duly authorized assistant city manager ("City") and IT CORPORATION, a corporation registered in Texas, acting through Q-s+ern "V its duly authorized ("contractor„). - WITNESSETH: NOW,THEREFORE, in consideration of the mutual promises and benefits of this Contract, the City and the Contractor agree as follows: ARTICLE 1. DEFINITIONS In this contract,the following words and phrases shall be defined as follows: Cm's Representative means the Director of Environmental Management or his designee. T Contract Documents means the Qualifications Documents, Project Drawings, Specifications,Task Orders, and this contract. Deliverable Document means a report,photograph, or an invoice that shows the completion of one of the work tasks and/or subtasks. Copies, Software, and Media for deliverable documents: (1) If the Provider elects to submit DRAFT copies of reports and/or drawings, three printed copies are sufficient. No floppy disks are required and ANY software may be used; (2) For FINAL reports and drawings, three printed copies are required. Each report shall be spiral bound with clear plastic covers. Each set of drawings shall be staple bound or equivalent; (3) Each FINAL REPORT shall be submitted on a separate floppy disk coded in Microsoft Word; and (4) Each FINAL DRAWING shall be submitted on a separate floppy disk coded in Autocad. Damages for personal injury and death, or injury to property or natural resources; b. Fees incurred for the services of attorneys, consultants, contractors, experts, laboratories and investigation or remediation of the monitoring wells resulting from any violation of environmental requirements including, but not limited to, the preparation of any feasibility studies or reports of the performance of any cleanup, remediation, removal, response, abatement, containment, closure, restoration or monitoring work required by any federal, state or local governmental agency or political subdivision, or otherwise expended in connection with the existence of such monitoring wells or violations or environmental requirements, and including without limitation any attorney's fees, costs and expenses incurred in enforcing this contract or collecting any sums due hereunder; and C. Liability to any third person or governmental agency to indemnify such person or agency for costs expended in connection with the items referenced in subparagraph(b) herein. Environmental requirements shall mean all applicable present and future statutes, regulations, rules, plans, authorizations, concessions, franchises, and similar items, of all governmental agencies, departments, commissions, boards, bureaus, or instrumentalities of the United States, states, and political subdivisions thereof and all applicable judicial, administrative, and regulatory decrees,judgments, and orders relating to the protection of human health or the environment, including without limitation: a. All requirements, including, but not limited to, those pertaining to reporting, licensing, emissions, discharges, releases, or threatened releases of hazardous materials, pollutants, contaminants or hazardous or toxic substances, materials, or wastes whether solid, liquid, or gaseous in nature, into the air, surface water, groundwater, storm water, or land, or relating to the manufacture, processing, distribution, use, treatment, storage, disposal, transport, or handling of pollutants, contaminants, or hazardous or toxic substances, materials, or wastes, whether solid, liquid, or gaseous in nature; and y b. It also authorizes future invoices to be paid. Qualifications Documents means Part 3 of the Request For Qualifications and all ancillary documents required to be submitted with the Qualifications. Subcontract means a contract between the Contractor for this project and another person or company for any complete task defined in the scope of work. A purchase order is also considered a subcontract. Task Order means a document issued by the City describing the scope of Contractor services, scope of City services,project schedule, specifications, and drawings&data. ARTICLE 2. SCOPE OF CONTRACTOR'S SERVICES A. Contractor shall provide professional services for environmental consultant services on an annual contract agreement. Individual projects will be released on a Task Order basis when the City elects to proceed with each project. There shall be no minimum guarantee of work under this agreement. The types of work that Contractor shall provide may include but are k ,„ not limited to the following: 1. Consulting services for underground storage tank sites, to include oversight and management of soil borings and/or monitor well installation, groundwater sampling, soil sampling, pump tests, remediation pilot tests, plume delineation, groundwater flow and contaminant cleanup modeling, and report preparation. This work may also include design, installation and operation of remediation systems, as well as completion of work on underground storage tank sites, and achievement of site closure. 2. Oversight of underground storage tanks removal, soil and groundwater sampling, and report preparation to achieve site closure, etc. 3. The design of structures, systems and components intended to prevent pollutants in storm water from reaching the waters of the United States(e.g., Trinity River). 4. Storm water pollutant concentration modeling in City waterways, sewers, and storm drains. 5. The design, installation and monitoring of systems capable of preventing intrusion of pollutants from refineries, chemical plants, and bulk handling facilities from reaching City properties via groundwater flow. Air pollution modeling and report preparation to assist the City in developing programs to reach applicable air quality standards. 7. Aid in the management of facilities used to collect, store and process household hazardous waste. 8. Brownfield Economic Redevelopment Program service and support to Phase I and Phase lI environmental site assessments. B. All of the tasks and/or subtasks required to complete individual projects will be shown on a Task Order or Task Orders, agreed to separately by the parties. C. Contractor agrees to perform the work in accordance with the Final Specifications, Project Schedules, and Task Orders, and further agrees to provide the City with an update of each Project Schedule each month showing the planned work and work accomplished to date. D. Contractor certifies that it has and will maintain during the term of this contract, current and appropriate federal, state, and local licenses and permits to allow Contractor to perform the scope of services required by the contract. E. All contract documents, including Requests for Qualifications, are hereby incorporated into and made a part of this contract. ARTICLE 3. SCOPE OF CITY SERVICES The City agrees to perform the following services: A. Designate a City representative to provide timely direction to the Contractor and render City decisions; B. Coordinate with facilities,City departments, and any tenants for access to any project sites; and C. Specify the analytical laboratory where Contractor is to send water, soil air or other samples for analysis. Laboratory analysis shall be at the City's expense. ARTICLE 4. TERM OF CONTRACT; TIME TO START AND TO COMPLETE TASK ORDERS A. This contract shall be for a term of one year beginning on May 1, 2001, and ending on April 30,2002. City reserves the right to extend the term of the contract past the expiration date to allow task orders which were begun prior to the expiration of the contract to be completed. City shall have the right to extend this contract for up to two (2) consecutive one-year renewal terms, provided City and Contractor agree in writing at least thirty (30) days' prior to the end of the initial or renewal term. All renewals shall have the same terms, conditions and fees as set forth herein, unless agreed to otherwise in writing by both parties in an amendment to this contract. B. Contractor agrees to begin work on each Task Order within thirty(30) days from the date of --= the Notice to Proceed, and to complete all phases of the work within the time specified in the Task Order. ARTICLE 5. INDEPENDENT CONTRACTOR The City agrees to hire Contractor as an independent contractor, and not as an officer, servant, or employee of the City. Contractor shall have the exclusive right to control the details of the work performed hereunder, and all persons performing same, and shall be solely responsible for the negligent acts and omissions of its officers, agents, employees, and subcontractors. Nothing herewith shall be construed as creating a partnership or joint venture between the City and Contractor, its officers, agents, employees, and subcontractors; and the doctrine of respondent superior has no application as between the City and Contractor. ARTICLE 6. COMPENSATION A. In consideration for the work performed by Contractor under this contract, City shall pay Contractor a total sum not to exceed $400,000.00, as agreed upon by both parties. City and Contractor have agreed to unit prices, employee labor rates, and cost estimates for technology methods. These are attached hereto as Exhibit "A" and incorporated into this contract as if set forth herein. The City agrees to pay Contractor within thirty(30)days after receipt of correct invoices,updated Schedules of Payment and the Deliverable Document(s), for each task completed,for all uncontested or undisputed bills. In the event of a disputed or contested billing, only that portion so contested will be withheld from payment, and the undisputed portion will be paid. The City will exercise reasonableness in contesting any bill e:-z or portion thereof. No interest will accrue on any contested portion of the billing until mutually resolved. e� B. The City will not be liable for any Contractor costs in excess of the Not-to-Exceed amount unless the City has signed and issued a formal modification to the contract. .. C. Contractor will provide the City with monthly updates of the Schedule of Payments showing the costs incurred for each task and the amount remaining in the contract account. "Costs incurred for each task" shall include unit and total prices for labor, equipment, material, utilities, and purchased services. D. City will make Progress Payments to Contractor only after completion of those tasks and/or subtasks identified on the Project Schedule. E. Progress Payments will be made during the project no less often than once per month. F. The City agrees to pay Contractor within thirty (30) days after receipt of correct invoices, updated Schedules of Payment and the Deliverable Document for each task completed. G. At the end of each month that this contract is in effect, Contractor shall provide City a written report detailing the total amount paid to date, any retainage held by the City, and an itemized list of work in progress in order that the City can assess the need to amend this contract to provide for an increase in the maximum fee allowable. H. Contractor shall receive no compensation for delays or hindrances to the work, except when direct and unavoidable extra cost to Contractor is caused by City's failure to provide information, if any, which it is required to provide under this agreement. When extra compensation is claimed, a written itemized statement detailing any and all justifications for delays incurred shall be presented to the City. ARTICLE 7. INSURANCE REQUIREMENTS Contractor certifies that it has and will maintain during the term of this contract, the below listed insurance covering the services to be performed, at a minimum. Prior to commencing work, the Contractor shall deliver to Fort Worth certificates verifying this coverage. At City's option, City may elect to have Contractor submit its entire policy for inspection. "A. Commercial General Liability Insurance-$2,000,000 each occurrence and$5,000,000 aggregate. "B. Professional Liability Insurance: (i.e. Errors and Ommissions Liability Insurance) $2,000,000 each ocurrence. "C. Automobile Liability Insurance— 1. Environmental Impairment Liability =) and/or Pollution Liability - $2,000,000 per occurrence. EIL coverage(s)must be included in policies listed in items A and B above; or, such insurance shall be provided under separate policy(s). Liability for damage occurring while loading,unloading and transporting materials collected under the contract project shall be included under the Automobile Liability insurance or other policy(s). NOTE: BETWEEN A AND E ABOVE, ANY POLLUTION EXPOSURE, INCLUDING ENVIRONMENTAL IMPAIRMENT LIABILITY, ASSOCIATED WITH THE SERVICES AND OPERATIONS PERFORMED UNDER THIS CONTRACT SHALL BE COVERED; IN ADDITION TO SUDDEN AND ACCIDENTAL CONTAMINATION OR POLLUTION LIABILITY FOR GRADUAL EMISSIONS AND CLEAN-UP COSTS SHALL BE COVERED. "F. The following shall pertain to, and be annotated upon, all applicable policies of insurance listed above: 64 1. Additional Insured Clause. Each insurance policy required by this Contract, except for Workers Compensation insurance and professional liability insurance policies shall be endorsed to include that the City of Fort Worth, its officers, agents, employees, representatives, and volunteers as additional insured as respects operations and activities of, or on behalf of the named insured, performed under contract with the City of Fort Worth. 462. Subcontractors shall be covered under the Contractor's insurance policies or they shall provide their own insurance coverage; and, in the latter case, documentation of coverage shall be submitted to Contractor prior to the commencement of work and Contractor shall deliver such to the City. Prior to commencing work under the contract, Contractor shall deliver to the City of Fort Worth insurance certificate(s) documenting the insurance required and terms and clauses required. 664. Each insurance policy required by this contract shall contain the following clause or reasonably equivalent terms: a. This insurance shall not be canceled, limited in scope or coverage, or non- renewed until after thirty(30)days prior written notice has been given to the Director of Environmental Management. The insurers for all policies must be approved to do business in the State of Texas and be currently rated in terms of financial strength and solvency to the satisfaction of the Director of Risk Management for the City of Fort Worth. "6. The deductible or self-insured retention (SIR) affecting the coverage required shall be acceptable to the Risk Manager of the City of Fort Worth; and, in lieu of traditional insurance, alternative coverage maintained through insurance pools or risk retention groups must be also approved." ARTICLE 8. PROFESSIONAL RESPONSIBILITY AND WARRANTY IT CORPORATION as Contractor shall perform services consistent with skill and care ordinarily exercised by other professional consultants under similar circumstances at the time services are performed, subject to any limitations established by City as to degree of care, time or expense to be incurred or other limitations of this agreement. Contractor warrants that it understands the currently known hazards and suspected hazards which are presented to persons, property and the environment by petroleum storage tanks testing and repair. Contractor further warrants that it will perform all services under this agreement in a safe, efficient and lawful manner using industry accepted practices, and in full compliance with all applicable state and federal laws governing its activities and is under no restraint or order which would prohibit performance of services under this Contract. ARTICLE 9 LICENSES AND PERMITS A. Contractor certifies that on the day work is to commence under this contract and during the duration of the contract,it shall have and maintain current valid and appropriate federal and �. state licenses and permits necessary for the provision of services under this contract. B. Contractor also certifies that if it uses any subcontractor in the performance of this �. agreement, that such subcontractor shall have and maintain current valid and appropriate PROFESSIONAL SERVICES CONTRACTFOR Page 8 ENVIRONMENTAL ENGINEERING CONSULTANT SERVICES r� federal and state licenses and permits necessary for the provision of services under this contract. ARTICLE 10. INDEMNIFICATION A. Professional Services Indemnification. CONTRACTOR SHALL RELEASE, INDEMNIFY, REIMBURSE, DEFEND, AND HOLD HARMLESS, CITY, ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, FROM AND AGAINST ANY AND ALL CLAIMS OR SUITS FOR PROPERTY DAMAGE OR LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS, ARISING OUT OF THE WORK AND SERVICES TO BE PERFORMED HEREUNDER BY CONTRACTOR, ITS OFFICERS, AGENTS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, LICENSEES, OR INVITEES, INCLUDING DAMAGES, LOSS, INJURY OR DEATH TO THE EXTENT CAUSED BY ANY NEGLIGENT ERROR, OMISSION, DEFECT, OR DEFICIENCY IN THE PERFORMANCE OF CONTRACTOR'S PROFESSIONAL SERVICES OR IN THE PREPARATION OF ENVIRONMENTAL CONSULTANT SERVICES DOCUMENTS IN ACCORDANCE WITH THIS CONTRACT. CONTRACTOR SHALL NOT BE REQUIRED TO INDEMNIFY OR HOLD HARMLESS THE CITY, ITS OFFICERS, AGENTS, SERVANTS, AND EMPLOYEES FROM LOSS, DAMAGE, INJURY, OR DEATH ARISING FROM DEFECTS OR DEFICIENCIES IN ENGINEERING CRITERIA AND INFORMATION FURNISHED TO CONTRACTOR BY CITY, WHICH CONTRACTOR COULD NOT DISCOVER BY THE EXERCISE OF REASONABLE DILIGENCE. B. General Indemnification. CONTRACTOR DOES HEREBY RELEASE,INDEMNIFY, REIMBURSE, DEFEND, AND HOLD HARMLESS THE CITY, ITS OFFICERS, AGENTS, SERVANTS, AND EMPLOYEES FROM AND AGAINST ANY AND ALL LIABILITY, CLAIMS, SUITS, DEMANDS, OR CAUSES OF ACTION WHICH MAY ARISE DUE TO ANY LOSS OR DAMAGE TO PERSONAL PROPERTY, OR PERSONAL INJURY, AND/OR DEATH OCCURRING AS A CONSEQUENCE OF THE PERFORMANCE OF THIS CONTRACT, WHEN SUCH INJURIES, DEATH, OR DAMAGES ARE CAUSED BY THE SOLE NEGLIGENCE OF CONTRACTOR,ITS OFFICERS,AGENTS,OR EMPLOYEES, OR SUBCONTRACTORS, OR THE JOINT NEGLIGENCE OF CONTRACTOR, ITS AGENTS, OR EMPLOYEES, OR SUBCONTRACTORS, AND ANY OTHER PERSON OR ENTITY, EXCLUDING ALL PARTIES INDEMNIFIED HEREUNDER. ANY AND ALL ENVIRONMENTAL DAMAGES AND THE VIOLATION OF ANY AND ALL ENVIRONMENTAL REQUIREMENTS RESULTING FROM THE HANDLING, COLLECTION, TRANSPORTATION, STORAGE, DISPOSAL, TREATMENT, RECOVERY, AND/OR REUSE, BY ANY PERSON, OF PETROLEUM PRODUCTS OR HAZARDOUS WASTE UNDER THIS CONTRACT, TO THE EXTENT SAID ENVIRONMENTAL DAMAGES OR THE VIOLATION OF SAID ENVIRONMENTAL REQUIREMENTS WERE THE RESULT OF ANY ACT OR OMISSION OF CONTRACTOR, ITS OFFICERS, AGENTS, EMPLOYEES, OR SUBCONTRACTORS, OR THE JOINT ACT OR OMISSION OF CONTRACTOR, ITS OFFICERS, AGENTS, EMPLOYEES, OR SUBCONTRACTORS AND ANY OTHER PERSON OR ENTITY EXCLUDING ALL PARTIES INDEMNIFIED HEREUNDER. D. The obligations of the Contractor under this section shall include, but not be limited to, the burden and expense of defending all claims, suits, and administrative proceedings (with counsel reasonably approved by the indemnified parties), even if such claims, suits or proceedings are groundless, false, or fraudulent, and in conducting all negotiations of any description, and paying and discharging, when and as the same become due, any and all judgments,penalties or other sums due against such indemnified persons. E. Upon learning of a claim, lawsuit, or other liability which Contractor is required hereunder to indemnify,the City shall provide Contractor with reasonably timely notice of same. F. The obligations of the Contractor under this section shall survive the expiration of this contract and the discharge of all other obligations owed by the parties to each other hereunder. G. In all of its contracts with subcontractors for the performance of any work under this contract, Contractor shall require the subcontractors to indemnify the City in a manner consistent with this section. H. In the event that a written claim for damages against Contractor or any of its subcontractors remains unsettled at the time all work on the project has been completed to the satisfaction of the City Manager, as evidenced by a final inspection, final payment to Contractor shall not be recommended by the City Manager for a period of thirty (30) days after the date of such final inspection, unless the Contractor submits written evidence satisfactory to the City Manager that the claim has been settled and a release has been obtained from the claimant involved. 1. The City Manager shall not recommend final payment to Contractor if a claim for damages is outstanding for a period of six months following the date of the acceptance of the work performed unless the Contractor submits evidence in writing, satisfactory to the City Manager,that: a. The claim has been settled and a release has been obtained from the claimant involved; or b. Good faith efforts have been made to settle such outstanding claims, and such good faith efforts have failed. 3. If condition (a) above is met at any time within the six-month period, the City Manager shall recommend that the final payment to Contractor be made. If condition (b) above is met at any time within the six-month period, the City Manager may recommend that final payment to Contractor be made. At the expiration of the six-month period, the City Manager may recommend that final payment be made if all other work has been performed and all other obligations of the Contractor have been met to the satisfaction of the City Manager. ARTICLE 11. DEFAULT A. Contractor shall not be deemed to be in default because of any failure to perform under this contract, if the failure arises from causes beyond the control and without the fault or negligence of Contractor. Such causes shall include acts of God, acts of the public enemy, acts of Government, in either its sovereign or contractual capacity, fires, flood, epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe weather. B. If Contractor fails to begin work herein provided for within the time specified above, or to complete such work within the time specified above, within the true meaning of this contract, City shall have the right to take charge of and complete the work in such a manner as it may deem appropriate. If City exceeds the costs detailed in the attached documents, City may deliver to Contractor a written itemized statement of the total excess costs, and Contractor shall reimburse City for such excess costs without delay. C. If, at any time during the term of this contract, the work of Contractor fails to meet the s specifications of the contract documents, City may notify Contractor of the deficiency in writing. Failure of Contractor to address such deficiency as required under this contract to the satisfaction of City and submit task completion schedule within ten days after written notification shall constitute default, and shall result in termination of this contract. D. The remedies provided for herein are in addition to any other remedies available to City elsewhere in this contract. ARTICLE 12. TERMINATION A. City may terminate this contract without cause by giving 30 days written notice to Contractor, provided that such termination shall be without prejudice to any other remedy the City may have. In the event of termination, any work in progress will continue to completion unless specified otherwise in the notice of termination. B. If the City terminates this contract under Subparagraph A of this Article, City shall pay contractor for all services performed prior to the termination notice. C. All completed or partially completed original documents prepared under this contract shall become the property of the City when the contract is terminated, and may be used by the City in any manner it desires; provided, however, that the Contractor shall not be liable for the use of such documents for any purpose other than as described when requested. D. In the event either party defaults in the performance of any of its obligations under this contract, misrepresents to the other a material fact, or fails to notify the other party of any material fact which would affect the party's performance of its obligations hereunder, the non-defaulting party shall have a right to terminate this contract upon giving the defaulting party written notice describing the breach or omission in reasonable detail. The defaulting party shall have a thirty-(30) day period commencing upon the date of notice of default in which to affect a cure. If the defaulting party fails to affect a cure within the aforesaid thirty (30) day period, or if the default cannot be cured, the contract shall terminate as of the date provided in the notice of default. ARTICLE 13. MODIFICATION y No modification of this contract shall be binding on Contractor or the City unless set out in writing and signed by both parties. Modifications shall be in the same format as the final specification showing the change or addition of a task, project schedule, deliverable document(s), and schedule of payments. Contractor agrees that the City shall, until the expiration of three (3) years after final payment under this contract, have access to and the right to examine and photocopy any directly pertinent books, documents, papers and records of the Contractor involving transactions relating to this contract. Contractor agrees that the City shall have access during normal working hours to all necessary Contractor facilities and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this Article. The City shall give Contractor reasonable advance notice of intended audits. B. Contractor further agrees to include in all its subcontractor agreements hereunder a provision to the effect that the subcontractor agrees that the City shall,until the expiration of three (3) years after final payment under the subcontract, have access to and the right to examine and photocopy any directly pertinent books, documents,papers and records of such subcontractor, involving transactions to the subcontract, and further, that the City shall have access during normal working hours to all subcontractor facilities, and shall be provided adequate and appropriate work space, in order to conduct audits in compliance with the provisions of this Article. City shall give subcontractor reasonable advance notice of - intended audits. The term"subcontract" as used herein includes purchase orders. C. Contractor and subcontractor agree to photocopy such documents as may be requested by the City. The City agrees to reimburse Contractor and/or subcontractor for the cost of copies at the rate published in the Texas Administrative Code in effect as of the time copying is performed. ARTICLE 15. NON-DISCRIMINATION A. During the performance of this contract, Contractor agrees not to discriminate against any employee or applicant for employment because of race, religion, color, sex or national origin, except where religion, sex or national origin is a bona fide occupational qualification reasonably necessary to the normal operation of the Contractor. Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of the non-discrimination clause. B. Contractor also agrees that in all solicitations or advertisements for employees placed by or on behalf of this contract,that Contractor is an equal opportunity employer. C. Notices, advertisements, and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this section. GOVERNING LAW The City and Contractor agree that the laws of the State of Texas shall govern the validity and construction of this contract, except where preempted by federal law. ARTICLE 17. SEVERABILITY The provisions of this contract are severable; and if for any reason any one or more of the provisions contained herein are held to be invalid, illegal or unenforceable in any respect, the invalidity, illegality or unenforceability shall not affect any other provision of this contract, and this contract shall remain in effect and be construed as if the invalid, illegal or unenforceable provision had never been contained in the contract. ARTICLE 18. RIGHTS AND REMEDIES NOT WAIVED In no event shall the making by the City of any payment to Contractor constitute or be construed as a waiver by the City of any breach of covenant, or any default which may then exist, on the part of Contractor, and the making of any such payment by the City while any such breach or default exists shall in no way impair or prejudice any right or remedy available to the City with respect to such breach or default. Any waiver by either party of any provision or condition of the contract shall not be construed or decreed to be a waiver of any other provision or condition of this contract,nor a waiver of a subsequent breach of the same provision or condition,unless such waiver be expressed in writing by the party to be bound. Individual projects will be released on a Task Order basis when the City elects to proceed with each effort. Providers are being asked to present the qualifications and experience of their company and their personnel for this work. THERE IS NO GUARANTEE OF ANY WORK UNDER THIS CONTRACT, however the _ types of work for which the successful Provider must be qualified include the following; • Consulting services for underground storage tank sites. This work may include oversight and management of soil borings and/or monitor well installation, groundwater sampling, soil sampling, pump tests, remediation pilot tests, plume delineation, groundwater flow and contaminant cleanup modeling, and report preparation. This work may also include design, installation and operation of remediation systems. • Oversight of underground storage tanks removal, soil and groundwater sampling, and report preparation to achieve site closure, etc. • Design of structures, systems and components intended to prevent pollutants in storm �. water from reaching the waters of the United States (Trinity River). • Storm water pollutant concentration modeling in City waterways, sewers, and storm drains. • Design, installation and monitoring of systems capable of preventing intrusion of pollutants from refineries, chemical plants, and bulk handling facilities from reaching City properties via groundwater flow. • Air pollution modeling and preparation of reports to assist the City in developing programs to reach national air quality standards. • Design and construction management for facilities used to collect, store and process household hazardous waste. • Design and construction management of structures, systems, and components intended to collect environmental pollutants from reaching City storm drain systems. Each Provider must submit their qualifications for each type of work above or the entire submittal may be rejected. A separate component to this Contract will be work associated with the City's Brownfields Redevelopment Program. Task Orders associated with the Brownfields Redevelopment Program must meet the following requirements: 1-1 • The Provider must have the following qualifications or certifications: o Certified Environmental Inspector; o Certified Environmental Specialist; and o 40 Hour OSHA Training and annual renewal. • In addition, the Provider must have a working knowledge of: o Comprehensive Environmental Response, Compensation and Liability Act (CERCLA); o Resource Compensation and Recovery Act (RCRA); o Clean Water Act; o Clean Air Act; o Texas Natural Resource Conservation Commission Voluntary Cleanup Program; -- o American Society for Testing and Materials Environmental Site Assessment Process; o Quality Management Plans; o Quality Assurance Project Plans; o Data Quality Objectives; and o Wetlands Delineation Determination Process. Scope of services under Fort Worth Brownfields Economic Redevelopment Program: • Phase I environmental site assessments • Phase II environmental site assessments The City anticipates that the majority of the Phase I environmental site assessment work under the Fort Worth Brownfields Economic Redevelopment Program (FWBERP) will be performed in-house by City staff. However, the Provider may be requested to perform some of this work. Provider will perform Phase 11 environmental site assessments under the FWBERP. Phase I Environmental Site Assessments are to be accomplished in strict compliance with ASTM E-1527, Phase 1 Environmental Site Assessment Process. Provider will develop Quality Assurance Project Plans (QAPPs) for all Phase II environmental site assessments. The QAPPs specify detailed procedures to assure quality data for each site assessment, related fieldwork or goods required. For environmental site assessment activities that require the development of a QAPP, the FWBERP will adhere to the Data Quality Objective (DQO) process, as described by the EPA QA document entitled Guidance for the Data Quality Objectives Process, EPA QA/G-4. All Brownfields site assessment data collection shall adhere to the EPA's Guidance for Data Usability in Site Assessment document. 1-2 1.2 GENERAL REQUIREMENTS: All Providers will be required to comply with provision 5159(a) of'Vernon's Annotated Civil Statutes of the State of Texas" with respect to the payment of prevailing wage rates. All Providers must comply with City Ordinance 7278 as amended by City Ordinance 7400 (Fort Worth City Code Sections 17-66 to 17-67) prohibiting discrimination in employment practices. 1.3 INTERPRETATION OF REQUEST FOR QUALIFICATIONS DOCUMENTS: No pre-Qualifications meeting is scheduled for this project. All requests for an interpretation of the Request for Qualifications must be made in writing and submitted to the Department of Environmental Management, by either fax or mail, at any time up to seven (7) calendar days prior to the time of the opening of Qualifications. Efforts have included soil borings,groundwater monitoring,aerial photograph review,soil vapor survey,risk assessment,natural attenuation assessment monitoring,and considerable interaction with the TNRCC to establish the various petroleum and chlorinated solvent plumes on-site. Plans for remediation/closure of the multiple plumes are being developed. IT conducted a waste paint recycling assessment under grant with the North Central Texas Council of Governments. This cutting-edge evaluation was intended to determine the options and viability for developing recycling markets for the high volume of waste paint being generated at the City of Fort Worth's household hazardous waste collection facility. This waste stream makes up 2/3 of the waste volume.A number of marketing opportunities were identified and presented,along with recommendations for future actions to the City and the NCTCOG. " As part of the City's EPA-approved stormwater management program,they were required to evaluate 10 stormwater control structures across the city.IT conducted field visits and performed modeling and engineering analyses to determine the potential for modifications/improvements that could be made to each structure to improve sediment removal in the city's stormwater runoff. Each structure option was quantified by additional sediment removal and construction cost. Recommendations for improvements were presented to the city and ultimately to the EPA. IT is initiating a project to conduct air emissions inventory(AEI)and monitoring at the Fort Worth Meacham International Airport. Three full- service fixed base operators provide services to aircraft. This two-year grant from the EPA is concentrated on two low-income cities within the County,where a model approach is being developed that can be used for other communities throughout the County. Project Description#4 Dallas/Fort Worth International Airport,Dallas/Fort Worth,Texas Program Management Services Client Contact: Rick Reeter (972)574-4466 In 1987,IT was awarded the Dallas/Fort Worth(DFW)International Airport's Asbestos Management Services contract to perform comprehensive asbestos abatement services. Then in 1989,IT was awarded DFW International Airport's Professional Environmental Management Services contract to provide comprehensive environmental services. Under this contract,IT continued to manage the successful asbestos abatement program,develop and implement an above-ground/underground storage tank management program,provide various environmental services such as hazardous/solid waste management,air and water quality management,emergency response for environmental concerns, and regulatory compliance support. IT also reviewed all construction and maintenance activities for environmental impact. After the environmental services contract ended in 1992,IT has continued to provide the DFW Board with environmental services,particularly in air quality services. Water Quality. IT provided various water quality services,including preparation of Part 1 of a group stormwater permit,spill response,and water quality studies. IT maintained an emergency response system to respond to spills. For callout of a sheen on water,IT provided materials to control or abate the spill,identified the source,and provided information to report the spill.IT conducted extensive water quality measurements of Trigg Lake and its inlets, including measurements for dissolved oxygen conditions,fecal coliform concentrations,and toxicology studies. IT reviewed drawings and conducted field testing for confined space entry to verify connections of stormwater, r sanitary and pretreatment lines. IT also conducted a study of annual TWC Water Usage Reports,including sampling,dye studies,and surveys of tenant practices. Air Quality Services. Per Clean Air Act Amendment(CAAA)requirements,IT conducted a survey of all Central Utilities Plant activities and equipment and made recommendations. Stack testing was conducted on a waste incinerator and several boilers to estimate actual emissions at various loading levels. An .. ambient air survey was conducted at ticket tollbooths and a radon survey was conducted at the GSA building. To assist DFW in obtaining required TNRCC _ authorizations for construction/operation of air emission sources for proposed fumigation facilities,IT provided public relations assistance,negotiated with TNRCC concerning permitting,evaluated emission control options,and prepared several TNRCC Permit-by-Rule applications which resulted in successfully obtaining required authorizations. IT prepared and submitted- several ubmittedseveral TNRCC El reports for CCA over the past eight years. IT performed testing on the vents from the processing area to develop plant-specific emission rates. All emission calculations were automated in spreadsheets to make subsequent submittals more efficient. Tenant Alteration Review. IT reviewed over 6500 tenant construction activities and all DFW construction and maintenance activities for environmental impact. IT had on-line access to the DFW work order database to provide immediate response. IT reviewed specifications and plans,made site visits,and conducted aggressive sampling to respond in a timely manner. IT - maintained a log of all tenant alterations reviewed and any follow-up environmental actions that occurred. IT also participated in tenant design review meetings to advise on potential environmental problems during the _ design phase. Spill Response. IT sampled a PCB spill from a runway light ballast. Since the - spill occurred in an indoor garage,stringent cleanup standards had to be met. IT cleaned the floor to less than 1 part per million(ppm)as verified with wipe samples. IT managed the disposal of the PCB-contaminated cleanup materials and ballast. IT responded to other spills or findings of unknown substances such as confiscated unknown materials from customs and a hydrochloric acid spill at the Central Utilities Plant. Waste/Chemical Management IT sampled and compiled information on 81 chemicals for the Tier 11 compliance reporting. IT designed a hazardous waste storage area and completed the annual waste summary. IT sampled,evaluated, and characterized waste streams;obtained TNRCC waste codes;and managed handling,transportation,and disposal of wastes to an approved disposal site. USTVSampling and Testing/Permit Preparation. IT identified and field verified 171 tanks at DFW. The DFW Board operated 38 of these tanks. IT oversaw tank testing and prepared specifications to upgrade tanks to bring them into compliance. IT managed the upgrade work and new tank installations and also provided oversight for the removal and remediation of tenant USTs as the DFW Board's representative. Asbestos Management IT developed an overall asbestos abatement management plan to address critical abatement needs.Under IT's management, 800,000 square feet or 85%of the program was completed. IT conducted surveys,prepared over 20 abatement specifications and cost estimates for each asbestos project,provided industrial hygiene monitoring technicians,collected bulk and air samples for laboratory analysis, and provided construction management of all abatement activities. IT evaluated the effects of the abatement on airport operations,interfaced with tenants and abatement a contractors,and provided emergency response for suspected asbestos releases. IT maintained its on-site asbestos NVLAP laboratory and read about 10,000 air and bulk samples per year.An O&M Plan was also drafted by IT to manage the asbestos left in place. Other Investigations. IT conducted Phase I and Phase II audits. IT also investigated several fuel leaks near the jet fuel system. IT installed and monitored 20 monitoring wells and collected and analyzed more than 1100 samples. IT also reviewed and provided recommendations for the tank farm inventory control procedures. Releases to land,air and water were identified,quantified and ,r. reported per regulatory guidelines. As part of the TRI support services,IT participated and provided specific information to the EPA during a plant visit/audit. The EPA was impressed with IT's level of detail regarding the back- up information and knowledge of the facility. IT prepared several TNRCC air permit renewals and amendments for CCA.As part of the project,IT performed annual and maximum hourly emission calculations and performed Best Achievable Control Technology(BACT) analysis on the control equipment.Air dispersion modeling was per-formed on the emissions to ensure no adverse health affects would result. IT developed a Spill Prevention Control and Countermeasures(SPCC)/ Contingency plan which identified all potential oil and chemical spill materials, along with best management practices for handling these materials in order to minimize the potential for spills. Procedures were developed and clean-up MN supplies identified to facilitate the rapid response to any potential spills. IT prepared a source reduction and waste minimization(SRWM)plan for CCA to comply with 31 TAC 335.473,Subchapter Q,to provide a safer workplace and environment,and to achieve economic benefits. Since the base year, 1995, they have reduced the amount of hazardous waste and/or TRI releases by over 100 tons through management practices and recycling activities.Annual progress reports were also submitted as part of the project. IT developed a stormwater pollution prevention(SWPP)plan to address stormwater run-off issues.An assessment of potential sources of stormwater pollution was conducted and best management practices were developed to reduce or eliminate the potential for stormwater contamination. IT assisted CCA with the submittal of their Section 313 Tier II reports for several years. This entailed the completion of an on-site storage threshold analysis and the form preparation for each affected chemical.Any releases were compared to corresponding chemical-specific reportable quantities(RQs). The work included UST removal/closures,UST assessment/remediation,UST r compliance audits,hazardous and solid waste management,ESAs, environmental training,and asbestos inspections. IT performed work on 30 UST project sites in Texas,New Mexico, Oklahoma, Colorado, and Arizona.UST compliance audits were completed at each facility, including a review of record-keeping,leak detection,inventory control, and tank construction. This work was in response to an EPA Region VI facility inspection and in conformance with an Agreed Order. It was the first SEP conducted dealing with USTs and the EPA in the United States. IT completed UST removal/closures and/or assessment/remediation of the following sites within Texas. • Lubbock Terminal • Midland Terminal • Houston Terminal • Brownsville Terminal • Big Spring Terminal • Beeville Terminal • Victoria Terminal We worked closely with the TNRCC in conductance of this work,which involved bringing the sites to expedited closure through UST closure sampling, Plan A Risk Assessment,Plan B Risk Assessments,and the new Exit Y Assessments.All work was done in a fashion that was fully reimbursable by the state of Texas Petroleum Storage Tank Reimbursement Fund.
