Custom Development Statement of Work _, ..j..
This Statement of Work(this "SOW") is made and entered into as of Wednesday,January 17, 2018,
(the "Effective Date") by and between:
Pethealth Services (USA) Inc., City of Fort Worth
3315 Algonquin Road,Suite 450 -and- Animal Care and Control
Rolling Meadows, IL 60008 4900 Martin Street
("Pethealth") Fort Worth,TX 76119
(the"Client")
This SOW governs the relationship between Pethealth and the Client and is entered into for
Pethealth to provide the Client with a mutually agreed upon description of work to be performed,
deliverables and timelines for the project.This document will also clearly outline any expectations,
restrictions or requirements needed by both parties.
In consideration of the mutual covenants contained herein and other good and valuable
consideration,the receipt and adequacy of which are hereby acknowledged, both Parties agree as
follows:
1. Definitions
1.1. Development:The process of building,testing and launching the application changes and/or
report changes in PetPoint.
1.2. Go-Live Date:The date the new functionality is available for use in the production System.
1.3. Live System:This is the PetPoint application that is available to all users.
1.4. PetPoint:The animal management application in a hosted environment provided by Pethealth.
1.5. Specification:Written Document that describes in detail the Custom Development required by
Client.
1.6. Test System:This is a copy of the PetPoint application set aside for the purpose of reviewing
and testing new functionality without impacting the Live System.
1.7. UAT: User Acceptance Testing is the act of non-technical people,the users,to review and
assess the functionality to insure that it meets the intended purpose.
2. Scope of Work
2.1. The Client would like to see an integration of their new Motorola CRM with PetPoint. As
specific information is captured in the CRM, it will be passed to PetPoint as defined by the
scope(Attachment A).
2.2. Pethealth retains full ownership of all code and data structure created for this Custom
Development project.The client understands that, although this Custom Development is being
created specifically for them, it may be made available to all users of the PetPoint application.
2.3. Pethealth and Client will set an approximate Go-Live Date at the execution of this agreement,
with the actual Go-Live Date being set after approval of the final UAT.
2.4. As the owner of the code, Pethealth will insure the long-term maintenance of the Custom
Development for the annual maintenance fees for as long as they are paid by the Client.

2.5. Any future changes to the Custom Development, the Client's requests will be priority over
other users. Other users requests need to be reviewed with Client to insure there will be no
negative impact on Client's use of that functionality.
2.6. Requests for changes to the Custom Development may be made by the Client through a Change
Request to be considered, and will be completed at an additional cost to the client, dependent
on the impact to all users. Any changes may delay the completion of the project.
3. Out of Scope
3.1. Any work outside of what is detailed in the above Scope of Work.
4. Pethealth's Responsibilities
4.1. Pethealth will provide included items within the time frame specified.
4.2. Pethealth will deploy changes based on a pre-scheduled deployment schedule.
4.3. Pethealth will notify the client of the completion of these items within 5 business days of their
completion.
5. Client Responsibilities
5.1. Client understands that any changes after this Statement of work is approved may incur time
delays and/or additional cost.
5.2. Client understands that if their response time to Pethealth's questions goes beyond a
reasonable time frame,the completion of included items may be delayed beyond the original
timeframe.
6. Price
6.1. The cost of custom development for this project will not exceed $24,000.
6.1.1. This price includes the first year of annual maintenance.
6.1.1.1. Annual maintenance at$6,000 will be required one(1)year after the launch of the
custom development and then each consecutive year for the lifetime of the custom
development usage.
6.2. Payment terms are as follows:

7. Change Requests
7.1. At any time during the project,change requests can be completed and agreed to by both the
Client and Pethealth as needed,and will act as an addendum to this SOW,and will include any
possible financial requirements.
7.2. If,at the time of the specification creation,additional requirements are found,this may
increase the cost of the custom development project. In this event the Client will be notified
with a Change Request.Approval will be required by the Client in order to proceed.
7.2.1.ln the event that the Client determines they no longer wish to proceed with the project, it
will be cancelled, less time and material expenses incurred by Pethealth. The Client will be
provided the Specification for the Custom Development at the time of cancellation.
8. Amendments
In consideration of the Parties agreeing to amend their obligation in the existing Agreement and other good and valuable
consideration,the receipt and adequacy of which are hereby acknowledged,both parties agree as follows:

9. No Other Change
Except as provided in this Amending Agreement,all of the terms and conditions of the SaaS Agreement
remain unchanged and in full force and effect and will be read with this Amending Agreement.
10. Terminology
Capitalized terms not defined in this Amending Agreement shall have the meaning as described in the
Agreement.

Attachment A
Scope
Motorola will send PetPoint the information created at the call center along with CRM number to be
added as the case ref number in PetPoint. PetPoint will use this information to create a case record.
PetPoint will send back the PetPoint case number so that the CRM can add it as a reference number to
their record. PetPoint will send back the information to CRM in the event that specific case information
has been changed such as the case has been closed.This process will accommodate both scenarios
below:
Scenario 1:
Call Originates in CRM ->Interface creates basic case in PetPoint including the Case
Reference#(CRM #)->Dispatch activity auto creates to single jurisdiction (Central
District) ->ACC dispatch handles call and then ACO works case in PetPoint ->Case closes
in PetPoint->Interface places the case status update,Case Reference#, and verbiage
from resolution for pickup by Motorola->Motorola picks up from FTP and posts to SR#
(Case Reference#) as an activity(PetPoint Update).
Scenario 2:
Call Originates in PetPoint-> Basic call details are placed in FTP for Motorola to pick up
and create service request(address, citizen, and details) ->Motorola creates service
request (SR#) ->Interface places confirmation of case receipt (CRM SR#)on FTP ->ACO
works case in PetPoint->Case closes in PetPoint->Interface places the case status
update, Case Reference#,and verbiage from resolution in FTP for pickup by Motorola ->
Motorola picks up from FTP and posts to SR#(Case Reference#) as an activity(PetPoint
Update).
The Information in PetPoint is going to be updated every 5 minutes. PetPoint will send information back
to Motorola only in the event that a Case record was not created in PetPoint.
