Agreement for Specialized Training
The University of Texas Arlington, Division for Enterprise Development(UTA/DED) agrees to provide
ELC452 Electric Arc Flash and NFPA 70E Awareness training to the City of Fort Worth("the Client").
Course and Description: ELC452 Electric Arc Flash and NFPA 70-E Awareness
This 8 hour course is designed to introduce the participants to the basic components of an electrical
circuit,the potential hazards, and how to recognize and avoid such hazards. This course will introduce
various portions of NFPA, Vol. 70E covering electrical hazards and personal protective equipment(PPE).
The course will enhance the knowledge of those individuals who install,maintain, inspect and/or
supervise the repairs,tests,diagnostics,and other work on or near electrically energized equipment.
Program Provisions:
UTA/DED will select qualified instructors and provide related course materials. Upon completion of the
courses, UTA/DED will provide program completion certificates for the students.
Class Dates: March 27, 2018 and March 28, 2018
Facility: City of Fort Worth, 5001 James Avenue, Fort Worth,TX 76115
Time: 8:OOAM-5:OOPM
Total number of participants: Maximum of 25 in both classes added together(additional participants over
the 25 combined can be added at$200.00 each)
Total In-Session hours: 8 hour per class
Program Fee:
$5848.00 for both days (This fee covers up to 25 participants total in both classes combined. So if you
have 15 in the first class, and 10 in the second class,that would be your 25 total. If you have more than 25
participants total,those additional participants will be $200.00 each.),plus travel expenses for the
instructor.
Total course fee for 25 participants=$5848.00 plus travel expenses for the instructor.
Instructor travel expenses are not included in the course fee and will be billed at actual cost.
If you have 30 participants total,add$200.00 each for participants 26-30 ($200.00 x 5 =$1000.00).
Total course fee for 30 participants=$6848.00 plus travel expenses for the instructor.
Financial Arrangement:
UTA/DED will invoice the Client at the conclusion of each training course for the amount indicated in the
Program Provisions of this Agreement. All invoices will be due and payable to UTA/DED by Client
upon receipt.
Term of the Agreement:
The agreement shall be deemed effective as of the date signed by both parties and shall continue in effect
through the final program session as listed in the Program Provisions of this Agreement.

Q E1 Ty may terminate this agreement at any time upon a 30 day written notice to the other party. In
the eve termination or cancellation, UTA/DED will invoice the Client for all work that was

Use of Name and Logo:
The Client agrees that they will not use the UTA or UTA/DED name,logo, or seal of the University or its
employees in any advertisement,press release or publicity with reference to this Agreement or any
product or service resulting from this Agreement without prior written approval of UTA/DED.
The Client's Warranty:
TO THE EXTENT PERMITTED BY LAW,THE CLIENT WILL INDEMNIFY,AND HOLD
HARMLESS THE UNIVERSITY, THE UNIVERSITY OF TEXAS SYSTEM, ITS REGENTS,
OFFICIERS, EMPLOYEES AND AGENTS HARMLESS FORM ANY AND ALL MANNER OF
SUITS, CLAIMS, OR DEMANDS (1)ARISING OUT OF CLIENT'S NEGLEGENT ACTS ARISING
UNDER THE AGREEMENT("INDEMNIFYING ACTS"). THIS PROVISION SHALL SURVIVE
ANY TERMINATION OF THIS AGREEMENT.
Assignment:
Neither party may assign this Agreement,in whole or in part,without the prior written consent of the
other party.
Entire Aereement; Modifications:
This Agreement, with Attachments, constitutes the entire agreement between the parties with respect to
the subject matter and no prior or contemporaneous agreement,written or oral, will be effective to vary
the terms of this Agreement. The Agreement and each of its provisions shall be binding upon the parties
and may not be waived,modified, amended or altered unless reduced to writing and signed by an
authorized representative of each party.
Dispute Resolution:
The dispute resolution process provided for in Chapter 2260 of the Texas Government Code shall be used
by UTA and Contracting Party to attempt to resolve any claim for breach of contract made by Contracting
Party,to the extent it is applicable to the agreement and not preempted by other law. Except as otherwise
provided by law,nothing herein is a waiver by UTA of the right to seek redress in a court of law.
Non-Waiver:
No covenant or condition of the Agreement may be waived except by written consent of the waiving
party. Forbearance or indulgence by one party in any regard whatsoever shall not constitute a waiver of
the covenant or condition to be performed by the other party.
Venue; Governinp-Law:
Tarrant County, Texas, shall be the proper place of venue for suit on or in respect of this Agreement. The
Agreement and all of the rights and obligations of the parties hereto and all of the terms and conditions
hereof shall be construed, interpreted and applied in accordance with and governed by and enforced under
the Constitution and Laws of the State of Texas.
