COUNTY OF TARRANT § AGREEMENT TO SHARE COST OF STUDY FOR EMERGENCY CONNECTION This Agreement to share the cost of a study for an emergency connection between the City of Fort Worth, Texas, a municipal corporation ("Fort Worth") located in Tarrant County, Texas and the Trinity River Authority of Texas ("TRA") located in Tarrant County, Texas ("Agreement") is made and entered by the duly authorized Assistant City Manager Jesus "Jay" Chapa, and through J. Kevin Ward, its duly authorized General Manager and hereinafter collectively referred to as the "Parties". WITNESSETH : WHEREAS, Fort Worth and TRA independently own and operate facilities for the provision of water and wastewater to it customers; WHEREAS, both parties wish to evaluate improvements that could increase the ability to transfer treated water between the two systems in the event of an emergency; WHEREAS, the parties wish to engage Freese and Nichols as a consultant to perform a study to accomplish that purpose and to equally share the cost of performing such a study. NOW THEREFORE, for and in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged and confessed,the Parties hereto agree as follows: 1. Purpose The purpose of this Agreement is to set scope of services to be included in a study to be performed by a third party consultant, Freese and Nichols, for the mutual benefit of the parties and at a cost which is equally shared. Scope of Work for the Agreement with the Third Party Consultant, Freese and Nichols Both parties agree that the scope of work included in the agreement to engage Freese and Nichols shall be as follows: a. Utilize the TRA and Fort Worth hydraulic models to evaluate the potential interconnection and transfer capacities for average day and max day demand conditions. b. Identify the location of the proposed transfer will be in close proximity to the TRA Tarrant County Water Treatment Plant, and focus on a connection between the Fort Worth 36-inch water line south of Mosier Valley Road and the 60-inch TRA main located along Trinity Boulevard. c. Consider both scenarios: 1) scenario assuming TRA has lost treatment capability from the Tarrant County Water Plant; 2) scenario involving a major main break or interruption within the Eastside II pressure plane. d. The scenarios will be evaluated under several operating conditions, including with and without the Fleetwood Pump Station in service, and using different wholesale customer demand assumptions. e. Coordinate and determine with TCEQ the backflow prevention requirements for the proposed interconnection. f. Develop an operating plan for TRA and FWWD in the event the interconnection is needed in an emergency. g. Prepare a technical memorandum that summarizes the baseline conditions, modeling assumptions, modeling results, and path forward recommendations. 3. Obligation of each Party a. Both parties agree to cooperate in the timely execution of the third party agreement with Freese and Nichols to perform the study. b. Both parties agree to share the estimated cost of$38,380, ($19,190 each) to pay for the cost of the study to be performed by Freese and Nichols. Both parties agree to pay the final bill no later than March 31, 2018. c. If the cost of the study exceed $38,380 both parties must mutually consent and execute an amendment to this Agreement. 4. Venue This Agreement shall be construed under and in accordance with the laws of the State of Texas, and the venue for any litigation arising from this MOU shall be in Tarrant County, Texas. 5. Authorization The undersigned officers and/or agents of the Parties hereto are properly authorized officials and have the necessary authority to execute this MOU on behalf of the Parties hereto, and each party hereby certifies to the other that any necessary actions extending such authority have been duly passed and are now in full force and effect. 6.
