RECITALS The following provisions are true and correct and form the basis of this Amendment: WHEREAS,on or about January 30,2007,the parties entered into a System Purchase Agreement ("Agreement") for an integrated Computer Systems consisting of a Computer Aided Dispatch ("CAD")System,Mobile Data System("MDS"),additional software and services under the terms and conditions set forth in the Agreement. The Agreement is a public document on file in the City's Secretary Office and referenced as City Secretary Contract No. 34842; and WHEREAS, on or about November 12, 2015, the parties subsequently amended the Agreement via CSC No.34842-A1,to incorporate CJIS regulations and a separately executed Addendum;and WHEREAS, on or about December 19, 2016, the parties subsequently amended the Agreement via CSC No. 34842-A2, to purchase additional TriTech Software licenses and services for Inform RMS, Inform FBR,TriTech.com IQ and TriTech.com analytics; and WHEREAS, on or about September 29, 2017, the parties subsequently amended the Agreement via CSC No. 34842-A3 to include additional training, adding Inform IQ Search, IQ CrimeView Advanced Reporting and remove the Inform RMS Accident Module. WHEREAS, on or about October 20, 2017,the parties subsequently amended the Agreement via CSC No. 34842-A4 to include Inform Mobile Base, Inform Mobile Mapping, Inform Mobile Mapping Upgrade, and Inform Mobile Mapping Upgrade Annual Support increasing the cost of the Agreement in the amount$343,664.00. WHEREAS,on or about December 3,2017,the parties subsequently amended the Agreement via CSC No. 34842-A5 to include the e-files from Tiburon into the Inform RMS for the data conversion deliverable and associated Project Management and Integrated Solutions Services for a one-time cost of$8,925.00. The Agreement is modified to remove "Estimated Travel Expenses" from the Project Related Fees contained on page 6 of Exhibit B of CSC No. 34842-A2. The removal of the "Estimated Travel Expenses"will be reflected in the Payment Milestones on page 8 of CSC No. 34842-A2 by reducing the milestone payment of$97,881.66 "RMS Go Live" in the amount of $60,025.00 to $37,856.66. Travel expenses will be invoiced as incurred and the total cost of CSC 34842-A2 remains at$978,816.58. 2. The changes reflected in this Amendment are itemized in the Attachment to this amendment and set forth the complete understanding of the parties. The Attachment is hereby incorporated into this Amendment as if copied in full. If there is any conflict between this Amendment and any other provisions of the Agreement,this Amendment shall control. 3.
