HomeMy WebLinkAboutContract 47525-R2 CITY SECRETARY CONTRACT N0. )Z� CITY OF FORT WORTH SECOND RENEWAL AND AMENDMENT OF AGREEMENT WHEREAS, this SECOND RENEWAL AND AMENDMENT OF AGREEMENT is between the City of Fort Worth, ("CITY"), and Shield Engineering Group, PLLC ("CONSULTANT"), which renews and amends the ORIGINAL AGREEMENT (City Secretary #47525, M&C C-27617), as renewed (CS# 47525 R-1, M&C C-28200), said SECOND RENEWAL being authorized by M&C C-28723,June 12,2018,for the PROJECT generally described as: Staff Extension Services in Managing Transportation and Public Works and Water Department Capital Projects; and WHEREAS, Staff has determined it is necessary to renew for the second time and amend the ORIGINAL AGREEMENT; and WHEREAS, Consultant is assisting City staff by managing approximately 17 projects; NOW, THEREFORE, it is agreed by the CITY and CONSULTANT as follows: Article I The Scope of Services as set forth in the ORIGINAL AGREEMENT has not changed except as modified by CONSULTANT'S proposal dated May 2, 2018 attached hereto and incorporated herein. Article II The CONSULTANT's compensation for this RENEWAL shall be an amount not to exceed $594,030,which staff deems fair and reasonable for this renewal and additional scope of services. Upon request by City, CONSULTANT shall provide City with copies of all I-9 forms and supporting eligibility documentation for each employee who performs work under this Agreement. CONSULTANT shall adhere to all Federal and State laws as well as establish appropriate procedures and controls so that no services will be performed by any CONSULTANT employee who is not legally eligible to perform such services. CONSULTANT SHALL INDEMNIFY CITY AND HOLD CITY HARMLESS FROM ANY PENALTIES, LIABILITIES, OR LOSSES DUE TO VIOLATIONS OF THIS PARAGRAPH BY CONSULTANT, CONSULTANT'S EMPLOYEES, SUBCONTRACTORS, AGENTS, OR LICENSEES. City, upon written notice to CONSULTANT, shall have the right to immediately terminate this Agreement for violations of this provision by CONSULTANT. Article V The Agreement is hereby amended to include the following language: Prohibition on Contracts with Companies Boycotting Israel CONSULTANT acknowledges that in accordance with Chapter 2270 of the Texas Government Code, the City is prohibited from entering into a contract with a company for goods or services unless the contract contains a written verification from the company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of the contract. The terms "boycott Israel" and "company" shall have the meanings ascribed to those terms in Section 808.001 of the Texas Government Code. By signing this contract, CONSULTANT certifies that CONSULTANT's signature provides written verification to the City that CONSULTANT.(1)does not boycott Israel;and(2) will not boycott Israel during the term of the contract. Article VI All other provisions of the Original Agreement not expressly amended herein, shall remain in full force and effect. Article VII The Agreement is hereby renewed for an additional term. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the Sewer Capital Fund Legacy in the amount of$13,143.00; and 2. Authorize the execution of the second renewal and amendment of City Secretary Contract No. 47525, the Professional Services Agreement with Shield Engineering Group, PLLC, in an amount not to exceed $594,030.00 for staff extension services in managing Transportation and Public Works and Water Department Capital Projects. DISCUSSION: On February 9, 2016, (M&C C-27617)the City Council approved a Professional Services Agreement with Shield Engineering Group, PLLC (Shield), in an amount not to exceed $291,200.00 for staff extension services in managing Transportation and Public Works (TPW) Capital Projects. The contract allowed for additional renewal periods, contingent upon City Council approval. On May 2, 2017, the City Council approved the first renewal of this contract (M&C C-28200)for an amount not to exceed $337,220.00 due to increased project management staffing needs. This Mayor and Council Communication will authorize the second renewal of the contract and add additional staff for project management services on 15-20 projects. Shield proposes to provide these services in an amount not to exceed $594,030.00. The total contract amount after this renewal will be $1,222,450.00. The Stormwater Capital Projects Fund will be used for these projects. Sewer Capital Projects Fund Legacy and 2007 Critical Capital Projects Funds will be used in addition to the Stormwater Capital Projects Fund for a project with associated sewer and street improvements. In addition to these three funds, other capital funds may also be used as service needs are identified for additional projects. MWWBE Office -A waiver of the goal for MBE/SBE subcontracting requirements was requested by the Department and approved by the M/WBE Office, in accordance with the MWBE or BDE Ordinance, because the purchase of goods or services is from sources where subcontracting or supplier opportunities are negligible. The project is located in ALL COUNCIL DISTRICTS. The Fiscal Year 2018 Water Operating Budget includes appropriations of $29,022,689.00 for the purpose of providing pay-as-you-go funding for sewer capital projects. After this transfer for Fiscal Year 2018, the balance will be $7,598,827.00. These projects were budgeted in the Fiscal Years 2017 and 2018 Stormwater Utility Capital Fund and are included in the Fiscal Years 2017 and 2018 Stormwater Capital Improvement Program; and Funds will be available in various projects, on a project by project basis and the Department has the responsibility to validate the availability of funds.
