HomeMy WebLinkAboutContract 45846-A3 C"'ECR'TgRy CONTRACT N0._ S$�(� AMENDMENT No. 2 pFFp EP TO CITY SECRETARY CONTRACT No. 45846 WHEREAS, the City of Fort Worth (CITY) and Half Associates, Inc. , (ENGINEER) made and entered into City Secretary Contract No. 45846, (the CONTRACT) which was authorized by M&C C-26834 on the 10th day of June, 2014 in the amount of $850, 000 . 00; and WHEREAS, the CONTRACT was subsequently revised by: Amendment Number 1 in the amount of $110, 000 . 00 which was authorized by M&C C-27925 on the 20th day of September, 2016; and WHEREAS, the CONTRACT involves engineering services for the following project: City Project No. 2239 Design of Risinger Road from Crowley Road to McCart Avenue; and WHEREAS, it has become necessary to execute Amendment No. 2 to the CONTRACT to include an increased scope of work and revised fee. NOW THEREFORE, CITY and ENGINEER, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the CONTRACT: 1 . Article I of the CONTRACT is amended to include the additional engineering services specified in a proposal dated June 4, 2018, a copy of which is attached hereto and incorporated herein. The cost to City for the additional design services to be performed by Engineer totals $29, 600 . 00 (See Attached Funding Breakdown Sheet, Page -3-) 2 . Article II of the CONTRACT is amended to provide for an increase in the fee to be paid to Engineer for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall be an amount of $986, 600 . 00 . 3 . All other provisions of the Contract, which are not expressly amended herein, shall remain in full force and effect. Attachments ATTACHMENT "A" Scope for Engineering Design Related Services for Street Improvements The scope set forth herein defines the work to be performed by the ENGINEER in completing the project. Both the CITY and ENGINEER have attempted to clearly define the work to be performed and address the needs of the Project. OBJECTIVE The objective of this project is to prepare schematic landscape plans, contract documents and specifications for the medians along proposed Risinger Road from east of McCart Avenue to Crowley Road. The project also includes preparing a detailed construction phasing plan and construction contract time determination. The landscape design and construction phasing shall be incorporated into the Risinger Road project currently in design. WORK TO BE PERFORMED Task 1. Design Management Task 2. Conceptual Design Task 3. Final Design Task 4. Construction Manager Services TASK 1. DESIGN MANAGEMENT. ENGINEER will manage the work outlined in this scope to ensure efficient and effective use of ENGINEER's and CITY's time and resources. ENGINEER will manage change, communicate effectively, coordinate internally and externally as needed, and proactively address issues with the CITY's Project Manager and others as necessary to make progress on the work. 1.1. Managing the Team • Lead, manage and direct design team activities • Ensure quality control is practiced in performance of the work • Communicate internally among team members • Task and allocate team resources 1.2. Communications and Reporting • Attend a pre-design project kickoff/chartering meeting with CITY staff to confirm and clarify scope, understand CITY objectives, and ensure economical and functional designs that meet CITY requirements • Conduct one (1) design review meetings with the CITY • Prepare invoices, in accordance with Attachment B to this Standard Agreement and submit monthly in the format requested by the CITY. • Prepare and submit monthly progress reports in the format provided by the respective CITY Department. • Prepare and submit baseline Project Schedule initially, and Project Schedule updates with a schedule narrative monthly, as required in Attachment D to this City of Fort Worth,Texas Attachment A PMO Release Date:07.23.2012 Page 1 of 5 Standard Agreement and according to the City of Fort Worth's Schedule Guidance Document. • Complete Monthly M/WBE Report Form and Final Summary Payment Report Form at the end of the project • Coordinate with other agencies and entities as necessary for the design of the proposed infrastructure, and provide and obtain information needed to prepare the design • With respect to coordination with permitting authorities, ENGINEER shall communicate with permitting authorities such that their regulatory requirements are appropriately reflected in the designs. ENGINEER shall work with regulatory authorities to obtain approval of the designs, and make changes necessary to meet their requirements, as part of the design scope. • Personnel and Vehicle Identification: When conducting site visits to the project location, the ENGINEER or any of its sub-consultants shall carry readily visible information identifying the name of the company and the company representative. Monthly schedule updates with schedule narrative describing any current or anticipated schedule changes F. Monthly M/WBE Report Form and Final Summary Payment Report Form TASK 2. CONCEPTUAL DESIGN (30 PERCENT). The Conceptual Design shall be submitted to CITY per the approved Project Schedule. The purpose of the conceptual design is for the ENGINEER to identify, develop, communicate through the defined deliverables, and recommend the design concept that successfully addresses the design problem, and to obtain the CITY's endorsement of this concept. ENGINEER will develop the conceptual design of the infrastructure as follows. 2.1. Site Investigation • ENGINEER shall initiate and coordinate one (01) site investigation study related to the site; ingress/egress; available r.o.w.; topography; soils composition and analysis; utilities; and vegetation areas. 2.3. The Conceptual Design Package shall include the following: • Based upon the site inventory, site analysis, and the project kick-off meeting, ENGINEER shall prepare up to two (2) Concept Plan options showing planting plan layouts to help communicate the design intent and vision of the project. City of Fort Worth,Texas Attachment A PMO Release Date:02.06.2015 Page 2 of 5 • ENGINEER shall conduct one (1) concept plan review meeting with the City to present and review the preliminary concept plans. • Based up on comments received from City staff, ENGINEER shall refine the concept master plan and develop one (1) preferred alternative. The preferred alternative shall be the basis for the development of the schematic design. • Based up on the approved concept and comments received from City staff, ENGINEER shall prepare a Schematic Plan in Cadd showing plant material layout, concrete edging, and turf grass areas. Plans shall include planting details, layout and quantities. The Schematic Plan shall be one strip plot schematic (no profile) of roadway realignment and landscape areas to illustrate the potential layout and identify issues and constraints. • ENGINEER shall conduct one (1) schematic plan review meeting with the City for final approval. • Documentation of key design decisions. • Estimates of probable construction cost. ASSUMPTIONS • No irrigation design services are included. • One (1) design schematic and one (1) digital pdf file will be delivered for the 30% design. • ENGINEER shall not proceed with Final Design activities without written approval by the CITY of the Conceptual Design Package. DELIVERABLES A. Conceptual Design Package TASK 3. FINAL DESIGN (90 PERCENT) AND FINAL CONSTRUCTION DOCUMENTS (100 PERCENT). • Based on the approved Schematic Design, ENGINEER shall prepare, for approval by the City, a complete set of construction documents and specifications as defined below. ENGINEER shall prepare and print one (01) draft set and one (1) digital pdf file copy of drawings for review and comment. Drawings and specifications will be incorporated into the roadway documents. ENGINEER shall provide the following drawings for submittal: • ENGINEER shall design the landscape planting plan. The landscape plan will show all plantings, arrangement of plant materials, mow and minimal mow areas, and landscape berms. The quantity, species, size and spacing of all materials will be specified in a material schedule on the plan. Details for the proper installation of plants will also be included. Plans will be sealed by a Licensed Landscape Architect. • The ENGINEER shall submit one preliminary and one final estimate of probable construction cost for items to be included in overall project cost estimates. City of Fort Worth,Texas Attachment A PMO Release Date:02.06.2015 Page 3 of 5 Estimates shall be prepared utilizing standard cost and/or quantity estimate practices. • Construction specifications required for items included in the scope of this proposal will be prepared and provided to the CITY. ASSUMPTIONS • Three (3) sets of half-size (11"x17") drawings and one (1) project manual will be delivered for the 90% Design package. • Three (3) sets of half-size (11"x17") drawings and one (1) project manual will be delivered for the 100% Design package. DELIVERABLES A. 90% construction plans and specifications. B. 100% construction plans and specifications. C. Detailed estimates of probable construction costs including summaries of bid items and quantities using the CITY's standard bid items and format. D. Original cover mylar for the signatures of authorized CITY officials. TASK 4. CONSTRUCTION MANAGER SERVICES. ENGINEER will provide construction manager services for the project as follows: • The ENGINEER shall develop a detailed construction sequencing plan for the project. Plan notes and specifications shall be added/revised to require the contractor to follow the included sequencing plan. • The ENGINEER shall analyze the construction sequencing plan and develop a construction time determination utilizing typical public works production rates for construction. • ENGINEER shall conduct one (1) review meeting with the City to present and review the construction sequencing plan and contract time determination. The ENGINEER shall revise the construction sequencing and contract time based on comments from City staff. ADDITIONAL SERVICES NOT INCLUDED IN THE EXISTING SCOPE OF SERVICES Additional Services not included in the existing Scope of Services — CITY and ENGINEER agree that the following services are beyond the Scope of Services described in the tasks above. However, ENGINEER can provide these services, if needed, upon the CITY's written request. Any additional amounts paid to the ENGINEER as a result of any material change to the Scope of the Project shall be agreed upon in writing by both parties before the services are performed. These additional services include the following: • Irrigation design. • Negotiation of easements or property acquisition. • Services related to development of the CITY's project financing and/or budget. City of Fort Worth,Texas Attachment A PMO Release Date:02.06.2015 Page 4 of 5 • Services related to disputes over pre-qualification, bid protests, bid rejection and re-bidding of the contract for construction. • Construction management and inspection services • Performance of materials testing or specialty testing services. • Services necessary due to the default of the Contractor. • Services related to damages caused by fire, flood, earthquake or other acts of God. • Services related to warranty claims, enforcement and inspection after final completion. • Services to support, prepare, document, bring, defend, or assist in litigation undertaken or defended by the CITY. • Performance of miscellaneous and supplemental services related to the project as requested by the CITY. Compensation a. The ENGINEER shall be compensated for personnel time, non-labor expenses,and subcontract expenses in performing services for Task Orders up to$29,600.00 unless amended. Each Task Order shall be Time and Materials. I. Personnel Time. Personnel time shall be compensated based upon hours worked directly in performing the PROJECT multiplied by the appropriate Labor Category Rate for the ENGINEER's team member performing the work and includes all direct salaries,overhead,and profit. Labor Category Rate as presented in the rate schedule table below is the rate for each labor category performing the work and includes all direct salaries, overhead,and profit. Each labor category rate may include a number of specialties. Labor category specialties are provided below. All rates are subject to annual adjustment which will be submitted to City for review no later than thirty(30) days prior to such escalation becomes effective. II. Non-Labor Expenses. Non-labor expenses shall be reimbursed as Direct Expenses at invoice or internal office cost. Direct Expenses (Non-labor) include, but are not limited to, mileage, travel and lodging, expenses, mail, supplies, printing and reproduction services, other direct expenses associated with delivery of the work; plus applicable sales, use, value added, business transfer,gross receipts, or other similar taxes. III. Subcontract Expenses. Subcontract expenses and outside services shall be reimbursed at cost to ENGINEER plus a markup often percent(10%). IV. Budgets. ENGINEER will make reasonable efforts to complete the work within the budget and will keep the City informed of progress toward that end so that the budget or work effort can be adjusted if found necessary. ENGINEER is not obligated to incur costs beyond the indicated budgets, as may be adjusted, nor is the City obligated to pay ENGINEER beyond these limits. If ENGINEER projects, in the course of providing the necessary services that the PROJECT cost presented in Article 2 of this Agreement will be exceeded, whether by change in scope of the project, increased costs or other conditions, the ENGINEER shall immediately report such fact to the City and, if so instructed by the City, shall suspend all work hereunder. When any budget has been increased, ENGINEER'S excess costs expended prior to such increase will be allowable to the same extent as is such costs had been incurred after the approved increase. The Engineer shall be paid monthly payments as described in Section II — Method of Payment. V. Method of Payment a. The ENGINEER shall be paid by the City based upon an invoice created on the basis of statements prepared from the books and records of account of the ENGINEER, based on the actual hours and costs expended by the ENGINEER in performing the work. b. Each invoice shall be verified as to its accuracy and compliance with the terms of this Agreement by an officer of the ENGINEER. ENGINEER shall prepare and submit invoices in the format and including content as presented in Exhibit B-1. d. Payment of invoices will be subject to certification by the City that such work has been performed. VI. Progress Reports. The ENGINEER shall prepare and submit to the designated representative of the Transportation and Public Works Department monthly progress reports and schedules in the format required by the City.
