PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF FORT WORTH AND
DATA TRANSFER SOLUTIONS, LLC
This Amendment is made between the City of Fort Worth ("City"), a municipal corporation, acting
herein by and through Susan Alanis, its duly authorized Assistant City Manager and DATA TRANSFER
SOLUTIONS, LLC ("Consultant"), acting herein through A.M. 'Trey' Fragala, III, AICP, PMP, its duly
authorized Chief Operating Officer.
WHEREAS, the City and Consultant entered into an Agreement identified as Fort Worth City
Secretary Contract No. 48757 ("Agreement") beginning February 27, 2017 and expiring December 31,
2017;
WHEREAS, the Agreement involves professional consulting services for performance-based asset
management software and support;
WHEREAS, the Agreement is not to exceed $1,396,810.00 for completion of professional
consulting services; and
WHEREAS, on or about September 25, 2017, the parties subsequently amended the Agreement
via CSC No. 48757-A1 to include changes in Property Management Field Data Collection deliverable; and
WHEREAS, on or about January 31, 2018, the parties subsequently amended the Agreement via
CSC No. 48757-A2 to include a Field Data Validation and Condition Assessment deliverable to be
provided by Data Transfer Systems (DTS) at a cost of$274,061.70.
WHEREAS, it is the collective desire of both the City and Consultant to amend the Agreement to
expand the scope of work for TPW Traffic to include 14 additional days and associated travel expenses.
NOW, THEREFORE, the City and Consultant, acting herein by and through their duly authorized
representatives, enter into this Amendment which amends the Agreement as follows:

Section 1 of the Agreement is hereby amended as follows:
Exhibit "A" Statement of Work is amended to include two separate phases for implementation
for TPW Traffic as described in Attachment "A"to this Amendment.

The changes reflected in this Amendment are itemized in the Attachment to this amendment
and set forth the complete understanding of the parties. The Attachment is hereby incorporated into
this Amendment as if copied in full. If there is any conflict between this Amendment and any other
provisions of the Agreement,this Amendment shall control.
3.
All other provisions of the Agreement that are not expressly modified or amended herein shall
remain in full force and effect.

1.0 Overview
1.1 Scope:
This document is Amendment Number 3 to City Secretary Contract number 48757 Professional
Services Agreement with Data Transfer Solutions, LLC (DTS) and describes additional scope
requested by TPW Traffic to include implementing VUEWorks in two separate phases, requiring
additional DTS labor and on-site expenses at a cost of$21,000.
1.2 Out of Scope:
Refer to master SOW.
2.0 Objectives:
Enterprise Asset Management VUEWorks implementation is described in City of Fort Worth
Statement of Work(SOW) approved and dated February 14, 2017 for the following departments:
Phase 1 Transportation Public Works (TPW) Streets
Phase 2 Transportation Public Works (TPW)Traffic
Phase 3 Property Management(PMD)
Phase 4 Park and Recreation (PARD
The SOW included VUEWorks implementation services for TPW Traffic as Phase 2, with project
pricing and scope quoted as a single implementation comprising a 60-day effort at a cost of$93,565.
Due to the diversity in work activities and a personnel base of over 80 staff, TPW has requested DTS
deliver Traffic's VUEWorks implementation as a two-phased approach, allowing smaller, more
segregated deployments; focused group-specific training sessions; and onsite consultation:
TPW Traffic Phase 2A—Traffic Operations
TPW Traffic Phase 2B—Traffic Engineering/Parking/Signals
To meet the requirement for a phased implementation, DTS will need to exceed the number of quoted
onsite days by 14 additional days to include labor and travel costs at$21,000.

4.0 Impact Assessment
4.1 High-Level IT Solutions Division Involvements:
• GIS Publishing of TPW Traffic assets
• Project Management and IT Support as required to implement VUEWorks for TPW Traffic
Operations,and TPW Traffic Engineering/Parking/Signals
• Ongoing VUEWorks system administration
4.2 Other Systems/Services Impact:
Total cost for TPW Traffic VUEWorks implementation will be$116,065,with a project budget
increase of$22,500.
5.0 Assumptions:
• DTS/ITS/TPW resources are available for the duration of TPW Traffic Phase 2A and Phase 2B
implementations
• Project Stakeholders accept a new delivery date for EAM Project completion that is extended to
April,2019
6.0 Risks/Dependencies:
6.1 Organizational Assumptions/Dependencies:
Phased implementation implies that VUEWorks work order management will not be in use for all TPW
Traffic until April,2019
6.2 Application Assumptions/Dependencies:
Estimates are based on current product feature set.Phased implementation will need to consider
scope changes that could result from DTS product enhancements,features,or upgrades delivered prior
to TPW Traffic scheduled launch.

Scope of Services for the City of Fort Worth,TX
DTS is pleased to present the following proposal for splitting the TPW Traffic Department VUEWorks
implementation into two phases:
• Phase 1—Traffic Operations
• Phase 2—Traffic Engineering/Parking/Signals/Advanced Asset Modules
Phase 1 is currently underway with an anticipated go-live date of August 13, 2018 The decision was
made to phase out the Traffic department due to the complexity of the Phase 2 Groups TPW want to
make sure adequate resources are available and have time to gather necessary information prior to
conducting workflow review meetings with each Group
The scope of work accounts for the additional cost that DTS will incur based on the phasing This cost
includes additional travel expenses and additional labor expense Below are the additional travel days
that will be applied as part of the Phase 1 and Phase 2 Implementations
• Phase 1 Production Deployment:1 day on-site
• Phase 2 workflow review sessions:4 days on-site
• Advanced Module Work Session 2 days on-site
this includes discovery sessions for Condition, Risk, Valuation, Budget Forecasting and
Projects for both Phase 1 and Phase 2 Groups
• Phase 2 Groups Administrator and User Training:S days on-site
• Phase 2 Production Deployment:2 days on-site
The scope of work for the Phase 2 Groups will include the following Sprints:
• Sprint 1-GIS Linking for All Assets
• Sprint 2-Service Request,Work Order,Condition and MobileVUE Configuration
• Sprint 3-Risk,Valuation, Budgets, Projects and Reporting
