ADMINISTRATION BUILDING OFFICE LEASE
ANNUAL AGREEMENT
FORT WORTH MEACHAM INTERNATIONAL AIRPORT
This AMENDMENT NO. 1 ("Agreement") is made and entered into by and between the CITY
OF FORT WORTH("Lessor"),a home rule municipal corporation organized under the laws of the State
of Texas, acting by and through Fernando Costa,its duly authorized Assistant City Manager,and Alliant
Techsystems Operations LLC a wholly owned subsidiary of ORBITAL ATK, INC. ("Lessee"), acting
by and through Charles Thornton, its duly authorized Director,Risk Management and Real Estate.
RECITALS
WHEREAS, On or about April 17, 2018, Lessor and Lessee entered into City Secretary Contract
("CSC")No. 50635 ("Lease"), a year-to-year Administration Building Office Lease for the lease and use
of real property known as Suite 110 and any improvements and facilities thereon("Leased Premises") at
Fort Worth Meacham International Airport("Airport").
WHEREAS,the Lease automatically renews for successive renewal terms of one year;
WHEREAS, the Leased Premises included certain real property identified as Suite 110 and
consisting of approximately 1,488 square feet of ground space;
WHEREAS,during the initial term of the Lease, Lessee agreed to pay Lessor as annual rent for
Suite 110 the sum of Twenty-Three Thousand, Eight Hundred Eight and 00/100 Dollars ($23,808.00),
which is based on an office space rate of$16.00 per square foot, payable in equal monthly installments
of One Thousand Nine Hundred Eighty-Four and 00/100 Dollars (1,984.00); and
WHEREAS, Lessor and Lessee wish to update the square footage of the Leased Premises,
originally identified in CSC No. 50635, to reflect a correction to the square footage of the Leased
Premises; and,
WHEREAS, Lessor and Lessee wish to change the Lessee name, originally identified in CSC
No. 50635 as Alliant Techsystems Operations, LLC, a wholly owned subsidiary of Orbital ATK, Inc.,
to Alliant Techsystems Operations, LLC, a wholly owned subsidiary of Northrop Grumman Innovation
Systems, Inc.

AGREEMENT
NOW,THEREFORE,for good and valuable consideration,the receipt and adequacy of which are
hereby acknowledged, Lessor and Lessee hereby agree as follows:
1. The first paragraph of the Agreement shall be amended to be and read as follows:
This ADMINISTRATION BUILDING OFFICE LEASE AGREEMENT ("Lease") is made
and entered into by and between the CITY OF FORT WORTH ("Lessor"), a home rule
municipal corporation under the State of Texas, acting by and through Fernando Costa, its duly
authorized Assistant City Manager, and NORTHROP GRUMMAN INNOVATION
SYSTEMS, INC., acting by and through Chris Voci, its duly authorized Vice President and
Controller.
2. Section 1,entitled"Property Leased" shall be replaced in its entirety with the following:
Lessor demises and leases to Lessee the following real property (hereinafter referred to as
"Premises") in the Administration Building ("Admin Building") at Fort Worth Meacham
International Airport ("Airport") in Fort Worth, Tarrant County, Texas: 1,303 square feet of
office space identified as Suite 110, First Floor, depicted on Exhibit "A", attached hereto and
hereby made a part of this Lease for all purposes.
3. Section 3.1,entitled"Rates and Adjustments"is replaced in its entirety with the following:
Lessee shall commence the payment of rent, in accordance with this Section 3, on the Effective
Date of this Lease. From the Effective Date until the following year, on the first day after the
Effective Date, Lessee shall pay Lessor rent based on a rental rate of$16.00 per square foot
which will be payable in monthly installments of $1,737.33, for an annual rental rate of
$20,848.00. On October 1, 2018, and on October 1st of each year thereafter during both, the
Initial Term, and any Renewal Term, Lessee's rental rate shall be adjusted to comply with the
rates prescribed for the Premises by Lessor's Schedule of Rates and Charges in effect at the
respective time. In no event shall Lessee's monthly rental rate exceed the then-current rates
prescribed by Lessor's published Schedule of Rates and Charges for the type or types of property
at the Airport similar to the type or types of property that comprise the Premises.

4. Section 17, entitled"Notices," is replaced in its entirety with the following:

5. All other provisions and conditions of the Lease that are not expressly amended herein or directly
in conflict with the provisions and conditions of this Amendment shall remain in full force and
effect.

RECOMMENDATION:
It is recommended that the City Council authorize execution of Amendment No. 1 to City Secretary
Contract No. 50635, an Office Space Lease Agreement with Orbital ATK, Inc., to change the Lessee
name from Alliant Techsystems Operations LLC, a wholly owned subsidiary of ORBITAL ATK, INC., to
Alliant Techsystems Operations, LLC, a wholly owned subsidiary of Northrop Grumman Innovation
Systems, Inc., and to modify the office space square footage from 1,488 square feet to 1,303 square feet,
at Fort Worth Meacham International Airport.
DISCUSSION:
On March 27, 2018, Mayor and Council Communication (M&C C-28645), the City Council authorized City
Secretary Contract No. 50635, an Office Space Lease Agreement with Orbital ATK, Inc. (ATK) at Fort
Worth Meacham International Airport, for Suite 110, and consisting of approximately 1,488 square feet of
office space. The Lease is a year-to-year lease that automatically renews for successive renewal terms of
one year.
ATK has requested a Lease name change from Alliant Techsystems Operations LLC, a wholly owned
subsidiary of ORBITAL ATK, INC., to Alliant Techsystems Operations, LLC, a wholly owned subsidiary of
Northrop Grumman Innovation Systems, Inc. All other information, signatory, address and contact
information will remain unchanged.
As a result of the square footage modification, Northrup Grumman will now pay annual rent for the Office
Space, the sum of$20,848.00, at a current rate of$16.00 per square foot, payable in equal monthly
installments of$1,737.33.
All other terms and conditions of the Lease shall remain in full force and effect.
The property is located in COUNCIL DISTRICT 2.
FISCAL INFORMATION /CERTIFICATION:
The Director of Finance certifies that approval of this Agreement will have no immediate material effect on
City funds.
