ASSIGNMENT
OF
ENGINEERING AGREEMENT FOR
PHASE 1 OF THE TRINITY TRAILS EAST FORT WORTH EXTENSION
WHEREAS, the City of Fort Worth, a Texas municipal corporation ("City"), has
long term plans for the continuation of the Trinity Trails East Fort Worth extension
("Trinity Trails East Extension"), which will be designed and constructed in phases; and
WHEREAS, Riverbend Investment, Ltd. ("Riverbend") owns land across which
a portion of the Trinity Trails East Extension is proposed; and
WHEREAS, Riverbend, as part of its development planning, and working in
conjunction with the City's Park and Recreation Department, retained Halff Associates,
Inc. ("Halff') in April, 2016, to prepare engineering, landscape, and environmental
services for Phase I of the Trinity Trails East Extension ("Project"), the agreement
between Riverbend Investments, Ltd. and Halff Associates, Inc., as amended, with a total
value of $409,013.89 ("Agreement") being attached hereto and incorporated herein as
Attachment A; and
WHEREAS, in or around September 2017, Riverbend presented to city staff
documents and materials prepared under the Agreement for the City's use in procuring a
construction contractor. On December 12, 2017 (M&C C-28519), City Council awarded
a construction contract with 2L Construction, LLC, for the construction of Phase 1 of the
Trinity Trails East Fort Worth Project; and
WHEREAS, City, desires to obtain ownership of the design and engineering
project documents and to retain all the functions of Halff Associates for administration of
the Project by compensating Riverbend for its expenditure with Halff pursuant to the
Agreement, an amount of $402,947.73; and
WHEREAS, Staff has reviewed the scope, fee, terms, work product and schedule
for the Agreement and find them to be fair and reasonable;
NOW, THEREFORE, for and in consideration of the above recitals and the
covenants, conditions and agreements contained herein, the City, Riverbend and Halff do
hereby agree as follows:
1. Assignor, Riverbend Investments, Ltd., hereby TRANSFERS, ASSIGNS,
and CONVEYS unto Assignee, City of Fort Worth, all of the right, title, and int_ereaLpf
Riverbend in and to the Agreement.

2. Halff Associates, Inc. hereby AGREES and CONSENTS to the
Assignment.
3. Assignee hereby assumes all liabilities and obligations of Assignor under
the Agreement and agrees to perform all obligations of Assignor under the Agreement
which are to be performed or which become due after the Assignment Date.
4. This Assignment shall be binding upon and inure to the benefit of
Assignor and Assignee and their respective legal representatives, successors and assigns.
5. This Assignment may be executed in multiple counterparts, each of which
will, for all purposes, be deemed an original, but which together will constitute one and
the same instrument.
TO HAVE AND TO HOLD the Agreement, together with any and all documents,
including plans, drawings and specifications, thereto in any wise belonging to Assignor is
hereby assigned and transferred, unto Assignee, its legal representatives, successors, and
assigns forever.
EXECUTED by each party's duly designated and authorized representative to be
effective as of the date subscribed by Assignee. Execution of this Assignment by
Riverbend and Halff shall constitute the written consent to be given by each party
required by the Agreement.

Halff Associates, Inc. is pleased to present the following proposal and fee schedule to provide
civil, landscape and environmental services for Phase 1 of the Trinity Trails East Fort Worth
Extension, a part of the Texas Transportation Alternative Program (TAP).
We propose the following engineering, landscape and environmental services as described in
Attachment A. Attachment B includes items which are not included in this proposal, but can be
provided by Halff Associates, if needed. If this proposal meets with your approval, please sign
and date in the spaces provided in Attachment C and return one copy as your notice to proceed
and approval of the budget.

ATTACHMENT "A"
CIVIL, LANDSCAPE & ENVIRONMENTAL SERVICES for
PHASE 1 of the TRINITY TRAILS EAST FORT WORTH EXTENSION
PURPOSE
Phase 1 of the Trinity Trails East Fort Worth Extension will be the initial piece to design and
construct a trail system which will connect the trailhead at Handley Ederville Road in east Fort
Worth, TX to the proposed trailhead at Greenbelt Road in far east Fort Worth, TX. Phase 1 will
begin at the trailhead at Quanah Parker Park west of Handley Ederville Road and will extend
east to connect to the River Trails Park, located in the River Trails residential development, and
terminate at the proposed River Trails Park trailhead. Phase 1 includes receiving approval of a
schematic design and construction documentation from the City of Fort Worth and the Texas
Department of Transportation (TxDOT), based on the approved TAP submittal.
PROJECT ASSUMPTIONS
The scope of services for this proposal has been prepared using the following assumptions as a
basis for its preparation:
1. Phase 1 of the Trinity Trails East Fort Worth Extension begins at Quanah Parker Park
trailhead and ends at the future trailhead at River Trails Park. Phase 1 will encompass
approximately 3.1 miles of accessible trail located along the north bank of the Trinity
River.
Future Phase 2 is approximately 2.0 miles in length, beginning at River Trails Park and
ending at the future Walker Branch trailhead located at intersection at Precinct Line
Road and Kemp Road.
Future Phase 3 is approximately 2.5 miles in length, beginning at the future Walker
Branch trailhead and ending at the future Greenbelt trailhead located at the northwest
corner of Trammel David Road and Greenbelt Road.
2. The project scope will include pedestrian level lighting at Handley Ederville Road,
Interstate 820 and Precinct Line Road crossings.
3. The project planning area will include trail and railing improvements to meet current
accessibility and building code requirements.

4. Phase 1 of the project will be partially funded by federal funds from a grant awarded
through the Texas Transportation Alternative Program (TAP). An environmental review
is required for the proposed project in accordance with the National Environmental
Policy Act (NEPA) of 1969 and the Council on Environmental Quality (CEQ) Regulations
(40 CFR Parts 1500 - 1508), 23 Code of Federal Regulations (CFR) Part 771, 43 Texas
Administrative Code (TAC) Chapter 2, and Federal Highway Administration (FHWA)
Technical Advisory T6640.8A. The environmental review must also be conducted in
accordance with the Texas Department of Transportation (TxDOT) Environmental Affairs
Division (ENV) Environmental Manual (2004) and applicable TxDOT ENV Standards of
Uniformity (SOUS).
5. Phase 1 Schematic drawings will follow TxDOT CADD and drafting standards.
6. The Schematic Design and Construction Documentation for the proposed scope of work
is based on the approved Transportation Alternative Program (TAP) grant schematic
drawings dated May 28, 2014. Any additional scope of work items not included in the
schematic drawings shall be performed at an additional service to the client.
SCOPE OF SERVICES
TASK 1— DATA COLLECTION AND BASE MAP PREPARATION
Coordination/Project Kick-off Meetina:
The design team and Client will attend one (1) coordination/project kick-off meeting with City of
Fort Worth, United States Army Corps of Engineers (USACE), TxDOT, and other entities to
establish the projects goals and objectives, and identify the parameters for upcoming planning
efforts.
Data Compilation and Proiect Procedures & Protocol:
Establish parameters and procedures to be used when assembling previous studies and existing
data for use during the planning and design efforts, including the number of copies to be
delivered by participants and timeframes for data availability and assembly.
Establish data management protocols and procedures to ensure data collection is consistent and
accurate from different consultants and team members.
Compile existing and proposed data related to the project sites for use during design. Existing
data consists of:

A. Existing Utility Information — Obtain as -built plans for all existing utilities located
within the limits of the project site. Plans shall show all utilities including but not
limited to water, sanitary sewer, storm drain facilities, or any utilities associated with
the project.
B. Proposed Improvements —Obtain available construction documents for the proposed
wetland mitigation areas including drawings and specifications.
C. Environmental Investigations — Obtain available data and information from existing
environmental reports for the project site.
The compiled data will be used to create a base map for use during the planning and design
activities. This base map will illustrate information such as locations of existing streets, existing
wet and dry utilities, and existing topography.
Site Investigation:
Initiate and coordinate one (1) site investigation study/information gathering meeting related to
the topography of the site, soils composition and analysis, utilities, vegetation areas, and plan
impacts. The impacts and opportunities that results from these studies will be documented for
use in the final development plan preparation process.
TASK 2 — PROJECT MANAGEMENT AND MEETINGS
Halff Internal Team Meetinqs:
Halff Associates will conduct internal team meetings as required by the project. The internal
team meetings will include internal coordination of project processes, program items and
schedules.
Agencv Coordination Meetinqs:
Halff Associates will coordinate and facilitate coordination items with the City of Fort Worth,
Tarrant Regional Water District (TRWD), USACE, TxDOT, Chesapeake and other entities as
necessary. Tasks will include design review meetings, submittal document reviews and general
question and answer. The number of meetings will total ten (10).
Desiqn Review Meetinqs:
Halff Associates will conduct a design submittal review meeting with the Client, City of Fort
Worth, and TxDOT staff members to discuss all comments related to the project at each submittal
milestone. All design submittal review meetings will be held at the City of Fort Worth Parks and
Community Services Department. The meeting and submittal milestones shall be as follows:

• 30% Design Development Drawings —Two (2) meetings
• 60% Design Drawings — One (1) meeting

TASK 3 —SCHEMATIC DESIGN
Preliminary Desian:
Based upon the data collection, base map preparation and the site investigation/information
gathering meeting, Halff will prepare one (1) schematic design showing plan layouts and detailed
drawings for both phases that help communicate the design intent and vision of the project.
Schematic plan shall include layout of proposed improvements including the trail, retaining walls,
guardrails and lighting to demonstrate compliance with applicable codes and requirements.
Structural retaining wall assessment and design shall include exploration of potential conflicts
with existing structures and footings, and preliminary assessment of pier depths and wall heights.
Lighting assessment and design shall include exploration and coordination with Oncor in regards
to power supply and review of proposed fixture types and locations.
Preliminary Schematic Desian Workshop:
Halff will conduct one (1) schematic design workshop with the City of Fort Worth and Riverbend
Investment, Ltd. to review and present the preliminary design. The City of Fort Worth staff will
organize the attendees, meeting time and location.
Preliminary Desian Refinement:
Halff will refine the schematic design based on comments received during the Preliminary
Schematic Design Workshop.
Cost Estimate Preparation:
Based on the schematic design layout, a preliminary cost estimate will be prepared and
distributed with the preliminary schematic plans.
Deliverables:
Schematic design plans shall include the layout of the proposed trail improvements including
retaining wall heights and potential impacts, guardrail standards and light fixture standards and
locations.

TASK 4 —CONSTRUCTION DOCUMENTS
Construction Document Preparation:
Based upon TxDOT, City of Fort Worth and Client approved Schematic Design, Halff shall prepare
30%, 90%, 95% and 100% construction documents for approval by City of Fort Worth and/or
TxDOT. Halff shall prepare each submittal for review and comment, and shall be submitted on
the dates established in the approved schedule. Halff will provide the following drawings and
deliverables:
A. Trail Typical Sections — Halff will prepare details describing the unique trail cross -
sections across the proposed project limits. Typical sections will show existing and
proposed ground contour lines, typical trail dimensions and typical slopes.
B. Trail Dimension Control and Site Amenities Layout — Halff will design and provide
horizontal and vertical geometric control which will include coordinate geometry and
typical dimensions of the trail. Details for the trail and associated site amenities
(retaining walls, overlooks, guardrails, kiosks, wayfinding signage, interpretive signage
and bridges) will be provided.
C. Site Grading Plan and Profile — Halff will prepare a trail grading plan and profile that
includes the notes and details required to allow grading of trail improvements. The
trail profile will show existing and proposed ground contour lines, proposed utilities
along with vertical curve data and necessary trail elevations.
D. Demolition Plan — Halff will prepare the demolition plan for existing site features that
will removed for the project in conjunction with the trail layout and grading.
E. Erosion Control Plan — Halff will prepare the erosion control plan in conjunction with
the trail grading and drainage design. This task is for the preparation of design
drawings and associated details only. Utilize most current TCEQ requirements for
design of silt fence, erosion control logs, rock filter dams, and construction entrances
as required.
Landscape Plan — Halff will design the landscape planting plan. The landscape plan
will show all plantings, arrangement of plant materials, mow and minimal mow areas,
and landscape berms. The quantity, species, size and spacing of all materials will be
specified in a material schedule on the plan. Details for the proper installation of
plants will be included.
G. Irrigation Plan — Halff will design and provide details for the irrigation plan. Upon
approval of the landscape plan, an irrigation plan will be prepared that responds to

the proposed landscape, being sensitive to planned prairie grass establishment areas.
The plan will be developed with an emphasis on proper zoning of the system in order
to maximize efficient water management. The system will be designed to permit
separate watering of turfgrass. Details for the proper installation of sprinkler heads,
valves, pipe, service connection, controller and other items will be shown on the plan.
H. Drainage Area Maps — Halff will prepare a drainage area map that shows the area of
drainage within the project limits and all necessary runoff and inlet calculations.
Structural Design — Halff Associates will design proposed retaining walls as approved
during Schematic Design. Drawing will include layout plans, sections and details with
dimension control information as necessary. If submittal of structural design
calculations is required, the calculations will be provided with 100% design submittal
milestone.
J. Electrical Engineering — Halff will provide electrical engineering services for
illuminating the proposed trail at identified crossings. Services shall include
coordination with the appropriate utility company, an illumination photometric
report illustrating the intended foot-candle intensity, and construction documents for
the installation of fixtures.
K. Quantity Summary Sheets — Halff will provide quantity summary sheets providing
TxDOT bid item numbers, item descriptions and associate item quantities per sheet.
The quantity summary sheets shall be submitted at the 30%, 60%, 90% and 100%
submittal milestones.
L. Specifications — Halff will provide specifications following the "Standard Specifications
for Construction and Maintenance of Highways, Streets and Bridges" adopted by
TxDOT on November 1, 2014. Specifications will be submitted at the 60%, 90% and
100% submittal milestones. The provided specifications will include the standard
TxDOT Requirement documents and forms necessary for a City let project.
M. Cost Estimate, Contract Time Estimate Document and Other Required Documentation
— Halff will prepare a cost estimate and time estimate document at each construction
documentation submittal milestone following the required TxDOT format. Other
documentation that will be submitted at each project milestone shall include, but is
not limited to, Form 1002 (PS&E Transmittal Data Form) and Right of Way, Relocation,
Utility and Encroachment Status Forms.

Deliverables:
30%, 90%, 95% and 100% Construction Document Plans shall include an 11"x17" set of
construction documents following the submittal documents required as part of the "TxDOT PS&E
Complete Submittal Development Checklist." Halff shall prepare and print four (4) draft sets of
drawings and cost estimate for review and comment.
TASK 4 — CORRIDOR DEVELOPMENT CERTIFICATE
Data Collection, Coordination and Meetinas:
A. Data Collection — Review all previous information and work done on project site.
Utilize 1 foot LiDAR topography to assist in preparation of CDC application, as needed.
B. Obtain the effective baseline CDC hydraulic computer model of the West Fork Trinity
River.
C. Coordinate and meet (in person or conference call) with Client, City of Fort Worth,
and U.S. Army Corps of Engineers (USACE) throughout CDC application process.
Floodplain and Vallev Storaae Analvses:
A. Execute the effective baseline CDC hydraulic computer model of the West Fork Trinity
River along project reach.
B. Update CDC hydraulic model to develop a "pre -project" hydraulic model of the West
Fork Trinity River along project reach.
C. Develop and execute a proposed conditions CDC hydraulic computer model of the
West Fork Trinity River along project reach.
D. Compare CDC 100-year and SPF water surface elevations for proposed versus "pre -
project" conditions.
E. Utilize grading drawings, prepare 100-year and SPF valley storage calculations, per
CDC requirements.
Documentation:
A. Prepare the appropriate CDC applications/certification forms.
B. Prepare brief letter report describing procedures, assumptions, results, and request
for CDC approval.
C. Submit request for CDC to the City of Fort Worth for transmittal to NCTCOG and
USACE.
D. Assist City of Fort Worth in answering technical questions from USACE. If additional
technical data (beyond the scope of this proposal) is requested by USACE, additional
services beyond the scope of this proposal will be required.
E. Note: Current CDC review fees are $5,750 and are included in the budget for this
scope of work.

TASK 5 — CITY OF FORT WORTH FLOODPLAIN DEVELOPMENT PERMIT
Floodplain Anolvses:
A. Obtain the effective baseline FEMA hydraulic computer model of the West Fork Trinity
River.
B. Utilize hydraulic model analysis from CDC application process and incorporate
findings into FEMA hydraulic model.
C. Verify no rise in 100-year WSE of the West Fork Trinity River.
Coordination and Documentation:
A. Coordinate and meet (in person or conference call) with Client and City of Fort Worth
throughout Floodplain Development Permit application process
B. Prepare and submit the appropriate Floodplain Development Permit application form.
a. Prepare exhibits are necessary for submittal of application.
C. Provide updates to application and/or exhibits per City of Fort Worth comments until
application is approved.
TASK 6 — ENVIRONMENTAL SERVICES
Cateqorical Exclusion (CE) Documentation
It is our understanding that a Transportation Alternatives Program (TAP) Grant would be utilized
to partially fund the proposed project. An environmental review and appropriate documentation
is required for the proposed project in accordance with the National Environmental Policy Act
(NEPA) of 1969 and the Council on Environmental Quality (CEQ) Regulations, 23 Code of Federal
Regulations (CFR) Part 771, and 43 Texas Administrative Code (TAC) Chapter 2, Subchapter C.
This scope of work and fee estimate are based on the assumption that the proposed
improvements would meet the requirements of 23 CFR 771.117, Categorical Exclusions. The
environmental process will follow guidance published as of January 2016 by the Texas
Department of Transportation (TxDOT) regarding Categorical Exclusion (CE) determinations. It
is assumed TxDOT would process the project as a "c-list" CE project based on 23 CFR 771.117(c)(3)
"Construction of bicycle and pedestrian lanes, paths, and facilities."
In the event it is determined that a CE is not the appropriate level of documentation for the
project, Halff will notify the Client and a supplemental scope of work will be prepared to allow
completion of other suitable documentation. The following additional sub -tasks will be
necessary to receive a CE determination from the TxDOT Fort Worth District.
1) Proiect Scooine and Risk Assessment
The purpose of this subtask is to provide scoping documentation to the TxDOT Fort Worth
District to initiate the CE process. Halff will complete the required forms and submit to

the TxDOT Fort Worth District Environmental Coordinator. This task includes one (1)
meeting with the Client and the TxDOT Fort Worth District. The following items will be
submitted to the TxDOT Fort Worth District for review and approval, and revised in
accordance with comments received from TxDOT, as necessary:
a. Preliminary Project Scope Worksheet for CEs
b. Environmental Information Request Form
c. Risk Assessment Forms (or Scope Development Tool) including:

2) Site Visit
A site visit of the project area will be performed to document existing conditions. This
task includes taking on -site photographs of existing conditions. It is assumed the Client
will coordinate with property owners and obtain right -of -entry for the project corridor.
3) Technical Reports
The purpose of this subtask is to prepare resource agency coordination requests and
technical reports for resources that require additional assessment as defined in the risk
assessment phase of the project. These technical reports will be used by TxDOT to initiate
resource/regulatory agency coordination and to obtain feedback/approval from agencies,
as applicable. This project is anticipated to require the following technical reports as
further described in Tasks 3.1) through 3.5).
3.1) Biological Investieations
This task includes an assessment of the project's compliance with the following
federal and state regulatory requirements.
a. Endangered Species Act of 1973
b. Migratory Bird Treaty Act and Golden Eagle Protection Act
c. Fish and Wildlife Coordination Act

f. Executive Memorandum on Environmentally and Economically Beneficial
Landscaping
g. Texas Parks and Wildlife Department (TPWD) Coordination per Memorandum of
Understanding (MOU) (reissued 2013)
An assessment will be conducted for vegetation and protected habitat impacts in
accordance with the 2013 MOU between TxDOT and the TPWD. Associated mapping
and a Biological Evaluation Form will be completed. This task will include a review of
current species lists from the TPWD and the United States Fish and Wildlife Service
(USFWS) for Tarrant County, and a search request from the Texas Natural Diversity
Database (TXNDD). Conclusions will be made, based on general observations from
the visual survey and the literature review and database search, regarding whether
preferred habitat or designated critical habitat for any listed species is present within
the project area, whether any listed species is likely to occur, and whether there is a
potential effect to listed species. This task does not include threatened or endangered
species surveys or Section 7 consultation with the USFWS under the Endangered
Species Act. If necessary, these services can be provided under a supplemental scope
of work.
3.2) Water Resources Investi-aations
This task includes an assessment of the project's compliance with the following
federal and state regulatory requirements.
a. Section 404 of the Clean Water Act: Waters of the United States
b. Section 401 of the Clean Water Act: Water Quality Certification
c. Executive Order 11990, Wetlands
d. Rivers and Harbors Act of 1899, Section 10
e. Section 303(d) of the Clean Water Act

Preconstruction Notification (PCN), mitigation plan or a U.S. Army Corps of Engineers
(USACE) Section 404 Individual Permit Application is not included in this scope of
work.
3.3) Cultural Resources Proiect Coordination Reauests
Cultural resources investigations must be conducted in compliance with the
requirements of Section 106 of the National Historic Preservation Act (NHPA) [16 USC
§ 470(f)] and implementing regulations (36 CFR Part 800). Archeological
investigations must also be performed in compliance with the Antiquities Code of
Texas (13 TAC 26 and Title 9, Chapter 191, Subchapters A-F of the Texas Natural
Resources Code, as amended).
A records review will be conducted to identify recorded archeological or historic sites
within the area of potential effects (APE) for the proposed project. This task includes
preparing Archeological and Historic Structures PCRs. This task does not include
obtaining an Antiquities Permit from the THC, preparation of a research design,
performing a reconnaissance survey or intensive surveys (i.e., on the ground or
archival research for historic structures/districts and shovel testing/deep trenching
for archeological sites), evaluation of National Register of Historic Places (NRHP)
eligibility for any resources, evaluation of effects on NRHP-eligible or -listed sites,
development of mitigation plans, or Section 4(f) evaluations. These services can be
provided under a separate scope of work and cost estimate, if necessary.
3.4) Hazardous Materials Initial Site Assessment Technical Report
A Hazardous Materials ISA will be conducted and a technical report will be
prepared. The ISA will assist in determining the presence or likely presence of any
hazardous substances or petroleum products in the project study area and identify
any conditions that may indicate an existing release, a past release, or a material
threat of a release of any hazardous substances or petroleum products into the
ground, groundwater, or surface water of the project area. The ISA will include
records review, site reconnaissance, evaluation of recorded sites and conditions
observed during the site visit, and report preparation. The scope of work does not
include a Phase I Environmental Site Assessment performed in accordance with
applicable American Society for Testing and Materials (ASTM) standards or any
surveys/investigations involving sampling and laboratory analysis (e.g., hazardous
materials sampling and analysis, asbestos surveys, and lead -based paint surveys). If
required, these additional services would be conducted under a supplemental work
order.
3.5) Community Impacts Assessment Technical Report

4) Preoare CE Determination Form
Halff will prepare and submit a draft CE Determination From for TxDOT's consideration
for approval of the proposed project.
5) EPIC Sheet
An environmental permits, information, and commitments (EPIC) design sheet will be
prepared and submitted to the TxDOT Fort Worth District, and revised in accordance
with comments received from TOOT.
Technical reports for the following items are excluded from this scope of services:

4) Cumulative impacts
5) Public involvement.
No public involvement is included in this scope of work. It is assumed the Client will perform

Civil Enaineerina Construction Services
A. Coordinate with Contract and review and provide written response to contractor
submittals and requests for information (RFIs).
B. Prepare updates to plans as required by site changes and RFIs, after construction
begins.
C. Attend up to two site meetings during the site work of construction to determine if
work is proceeding in general conformance with the construction drawings prepared
under this proposal. In performing these services, the Engineer will endeavor to
protect against defects and deficiencies in the work of the Contractor, but shall not
be responsible for actual supervision of construction operations or for safety
measures that the Contractor takes or should take.
D. Based on one final site visit and Contractor's site markups, prepare record drawings
suite for submittal to the City of Fort Worth. Furnish digital file of "as -built"
construction plans for the City of Grand Prairie.
Landscaae Construction Services
A. This task includes project meetings and site visits during construction of landscape
work (estimate of two total visits), a final "punch list" preparation site visit to outline
items needed for completion or correction, review of Contractor's submittals during
construction, and assistance with questions during construction.

1. SCOPE - Halff Associates, Inc, (hereinafter "Engineer") agrees to perform the
professional services described In the attached Scope of Services which
Incorporates these terms and conditions. Unless modified in writing by the parties
hereto, the duties of Halff shall not be construed to exceed those services
specifically set forth In the Scope of Services. The Scope of Services and these
Genera Terms and onditions whe executed by
(hereinafter "Client"), shall constitute a binding Agreement on both parties.
Engineer shall perform Its obligations under this agreement as an independent
contractor and not as an agent or fiduciary of any other party.
II. COMPENSATION - Client agrees to pay monthly Invoices or their undisputed
portions within 30 days of receipt. It Is understood and agreed by the parties that
Engineers receipt of payment(s) from Client is not contingent upon Client's
receipt of payment, funding, reimbursement or any other remuneration from
others.
Time -related charges will be billed as specified In this Agreement. Unless stated
otherwise in this Agreement, direct expenses, subcontracted services and
direct costs will be billed at actual cost plus a service charge of 30 percent.
Mileage will be billed at current IRS rates.
Ill. RESPONSIBILITY- Engineer Is employed to render a professional service only,
and any payments made by Client are compensation solely for the services
rendered and the recommendations made in carrying out the work. Engineer
agrees to follow the standard practices of the engineering profession to make
findings, provide opinlons, make factual presentations, and provide professional
advice and recommendations. Nothing contained herein shall be argued to have
created any warranty or certification, and Engineer shall not be required to
provide any certlFlcatlon, assignment or warranty of Its work, but upon request
and for a separate fee and at Engineers sole discretion, Engineer may agree to
provide certain written statements regarding Its services. Such statements shall
be in a form acceptable to Engineer and shall be requested with sufficient advance
notice to allow Engineer to review the documents and prepare a suitable
statement.
Engineer's review or supervision of work prepared or performed by other
individuals or firms employed by Client shall not relieve those individuals or
firms of complete responsibility for the adequacy of their work. It is understood
that any resident engineering or Inspection provided by Engineer is for the
purpose of determining compliance with the technical provisions of the project
specifications and does not constitute any form of guarantee or insurance with
respect to the performance of a contractor. Engineer does not assume
responsibility for methods or appliances used by a contractor, for safety of
construction words, or for compliance by contractors with laws and regulations.
IV. SCOPE OF CLIENT SERVICES - Client agrees to provide site access, and to
provide those services described In the attached Scope of Services.
V. OWNERSHIP OF DOCUMENTS - Upon Engineers completion of services and
receipt of payment In full, Engineer grants to Client a non-exclusive license to
possess the drawings and Instruments produced In connection with Engineers
performance of the work under this Agreement, If any. Said drawings and
Instruments may be copied, duplicated, reproduced and used by Client for the
purpose of constructing, operating and maintaining the Improvements. Client
agrees that such documents are not Intended or represented to be suitable for
reuse by Client or others for purposes outside the Scope of Services of this
Agreement. Notwithstanding the foregoing, Client understands and agrees that
any and all computer programs, GIS applIcatlons, proprietary data or processes,
and certain other Items related to the services performable under this
Agreement are and shall remain the sole and exclusive property of Engineer and
may not be used or reused, In any form, by Client without the express written
authorization of Engineer. With regard to all drawings and Instruments, Client
agrees that any reuse by Client, or by those who obtain said Information from
or through Client, without written verification or adaptation by Engineer, will
be at Client's sole risk and without liability or legal exposure to Engineer,
Engineer's subconsultants or Independent associates. Client agrees to
Indemnify Engineer, Engineers subconsultants and Independent associates for
all damages, liability or cost arising from such reuse. Engineer may reuse all
drawings, reports, data and other information developed In performing the
services described by this Agreement In Engineers other activities.
VI. INDEMNIFICATION - Engineer agrees to indemnify and hold Client harmless
from any actual damages, liability or costs, Including reasonable attorney's fees
and expenses, to the extent caused directly by the negligent act or omission or
willful misconduct of Engineer, Engineers subconsultants or those for whom
Engineer Is legally liable, In the performance of the professional services which
are the subject of this Agreement.
In the event that Client is found to be concurrently negligent, Engineer shall not
Indemnify for the proportionate negligence of Client, but shall only Indemnify
for the portion of negligence solely attributable to Engineer, Its agents,
servants, employees, subcontractors of any tier and their agents, servants and
employees.
Neither party shall be liable to the other for Incidental or consequential
damages, whether or not the possibility of such damages has been disclosed or
could have been reasonably foreseen.
The parties agree to Indemnify one another against damages of third parties
recoverable from the Indemnitee to the extent caused by the comparative
negligence of the Ind emnitor. Such negligence shall be measured by standards
In effect at the time services are rendered, not by later standards.
Gient acknowledges that Engineer may perform work at facilities that may
contain hazardous materials or conditions, and that Engineer had no prior role
in the generation, treatment, storage, ordispositlon ofsuch materials. Engineer
shall be Indemnified and defended by Client for any and all claims arising out of
the presence of hazardous materials or conditions except for those claims as
determined by final judgment of a court of competent jurisdiction to arise out
of the sole negligence of Engineer.
VII. INSURANCE - Engineer shall maintain during the life of the Agreement the
following minimum Insurance:
A. Commercial general Ilabllhy Insurance, Including personal Injury liability,
blanket contractual liability, and broad form property damage liability.
The limit shall be not less than $1,000,000.
B, Automobile bodily Injury and property damage liability insurance with a
limit of not less than $1,000,000.
C. Statutory workers' compensation and employers' liability insurance as
required by state law.
D. Professional liability insurance (Errors and Omissions) with a limit of
$1,000,000 per daim/annual aggregate.
Vlll. SUBCONTRACTS - Engineer shall be entitled to subcontract any portion of
the work described In the Scope of Services.
IX. ASSIGNMENT - This Agreement Is binding on the heirs, successors, and
assigns of the parties hereto. Neither this Agreement, nor any dalms, rights,
obligations or duties associated hereto, shall be assigned or assignable by either
Client or Engineer without the prior written consent of the other party.
X. INTEGRATION - These terms and conditions and the letter agreement (Scope
of Services) to which they are attached represent the entire understanding of
Client and Engineer. No prior oral or written understanding shall be of any force

be modified or altered except In writing signed by both parties.
XI. JURISDICTION AND VENUE - This Agreement shall be administered and
Interpreted under the laws of the State Texas, Exclusive venue shall Ile in
Tarrant County, Texas,
XII. SUSPENSION OF SERVICES - If work under this Agreement Is suspended for
more than thirty (30) calendar days In the aggregate, the Engineer shall be
compensated for services performed and charges incurred prior to receipt of
notice to suspend and, upon resumption, an equitable adjustment In fees to
accommodate the resulting demobilization and mobilization costs and there
also shall be an equitable adjustment In the work schedule based on the delay
caused by the suspension. If work under this Agreement is suspended for more
than ninety (90) calendar days in the aggregate, the Engineer may, at Its option,
terminate this Agreement upon giving notice in writing to the Client. Engineer
may request that the work be suspended by notifying Client, In writing, of
circumstances that are Interfering with normal progress of the work. If the
Client falls to make payments when due or otherwise Is In breach of this
Agreement, the Engineer may suspend performance of services upon five (5)
calendar days' notice to the Client. The Engineer shall have no liability
whatsoever to the Client forany costs or damages as a result of such suspension
caused by any breach of this Agreement by the Client.
XIII. TERMINATION OF WORK- Either the Client or the Engineer may terminate
this Agreement at any time with or without cause upon giving the other party
ten (10) calendar days' prior written notice. Client agrees that termination of
Engineer for Client's convenience shall only be utilized in good faith, and shall
not be utilized if the purpose or result Is the performance of all or part of
Engineer's services under this Agreement by Client or by another service
provider. Following such termination and the Client shall, within ten (10)
calendar days receipt of a final invoice, pay the Engineer for all services
rendered and all costs incurred up to the date of Engineers receipt of notice of
termination, in accordance with the compensation provisions of this contract.
XIV. TAXES - The fees and costs stated in this Agreement, unless stated
otherwise, exclude all sales, consumer, use and other taxes. Client agrees to
fully reimburse Engineer and Its subconsuitants for taxes paid or assessed in
association with the work under this Agreement, whether those taxes were in
effect as of the date of this Agreement or were promulgated after the date of
this Agreement. This clause shall not apply to taxes associated with
reimbursable or other project related expenses, which shall be Identified In the
applicable Invoke for reimbursement by Client.
XV. ALTERNATIVE DISPUTE RESOLUTION -Any conflicts or disputes that arise
under or through this Agreement or following the completion thereof shall be
discussed at a meeting of one senior management person from Client and one
from Engineer. This meeting shall be a condition precedent to the Institution
of any legal or equitable proceedings, unless such meeting will infringe upon
schedules defined by applicable statutes of limitation or repose. Should such a
situation arise, the parties agree that such meeting shall still be required, but
the Institution of said proceedings shall not be precluded forfallure to meet this
specific meeting requirement.
XVI. SEVERABILiTY -Should anyone or more of the provisions contained In this
Agreement be determined by a court of competent jurisdiction or by legislative
pronouncement to be void, Invalid, Illegal, or unenforceable in any respect,
such voiding, invalidity, Illegality, or unenforceability shall not affect any other
provision hereof, and this Agreement shall be considered as If the entirety of
such void, invalid, Illegal, or unenforceable provision had never been contained
In this Agreement.
XVII. TIMELINESS OF PERFORMANCE - Engineer shall perform Its professional
services with due and reasonable diligence consistent with sound professional
practices,

RECOMMENDATION:
It is recommended that the City Council authorize execution of an Assi4nYnent Agreement in an amount up
to $402,947.73 with Riverbend Investment, Ltd., for Engineering, Landscape and Environmental Services
to be provided by Halff Associates, Inc., for Phase 1 of the Trinity Trails East Fort Worth Project.
DISCUSSION:
The purpose of this Mayor and Council Communication (M&C) is to authorize execution of an Assignment
Agreement in an amount up to $402,947.73 with Riverbend Investment, Ltd., for Engineering, Landscape
and Environmental Services to be provided by Halff Associates, Inc., for Phase 1 of the Trinity Trails East
Fort Worth Project.
This Agreement amount reflects compensation paid to Halff Associates, Inc., by Riverbend Investment,
Ltd., for services rendered for the design phase of the Trinity Trails East Fort Worth Project. The City
intends to continue the Agreement with Halff Associates, Inc., through its completion. The City may amend
the Agreement to add additional services necessary for the Trinity Trails East Fort Worth project beyond
the original project scope.
The East Fort Worth Trail Extension Project provides an off-street trail connection from Handley Ederville
Road to River Trails Park. The ultimate goal is to continue this trail to the River Legacy trail in the City of
Arlington. Additionally, this connection will create off-street access for numerous neighborhoods in the
area and will also provide access to River Trails Park.
On September 29, 2015, (M&C G-18585) the City Council authorized the City Manager to execute an
Advance Funding Agreement with the Texas Department of Transportation (TxDOT) for the Transportation
Alternatives Program (TAP) - East Fort Worth Trail Extension Project (City Secretary Contract (CSC) No.
47147) in the amount of $2,934,926.00. In addition to the grant funds, this project includes funding from
the 2014 Bond Program in the amount of $914,116.00.
In order to expedite the delivery of Phase 1 of the Trinity Trails East Fort Worth Project, Riverbend
Investments, Ltd., the major landowner through which this portion of the trails are to traverse, contracted
with Halff Associates, Inc., to prepare the engineering, landscape and environmental documentation
required for this project. Upon TxDOT's approval of the environmental documentation and the engineering
plans, the project was advertised by the City for construction.
On December 12, 2017, (M&C C-28519) the City Council authorized the award and execution of a

construction contract with 2L Construction, LLC, for the construction of Phase 1 of the Trinity Trails East
Fort Worth Project.
In order to obtain ownership of the design and engineering project documents and to retain all the
functions of Halff Associates, Inc., for administration of the Project, the Park & Recreation Department
recommends acquiring the Engineering Agreement from Riverbend Investment, Ltd. Staff has reviewed
the scope, fee, terms, work product and schedule for the Agreement and find them to be fair and
reasonable.
Project location is in COUNCIL DISTRICTS 4 and 5.
FISCAL INFORMATION / CERTIFICATION:
The Director of Finance certifies that funds are available in the current capital budget, as appropriated, of
the 2014 Bond Program, East Fort Worth Trail Extension Project. The Park & Recreation Department has
the responsibility to validate the availability of funds prior to an expenditure being incurred.
