CONTRACT BETWEEN THE CITY OF FORT WORTH AND OWENS SERVICE COMPANY FOR ELECTRIC., PLUMBING,AND COMPRESSED AIR SERVICE FOR THE FORT WORTH CONVENTION CENTER This contract is made and entered into by and between the City of Fort Worth, a home-rule municipal corporation of the State of Texas, located within Tarrant, Denton, and Wise Counties, (hereinafter referred to as "City), acting by and through Joe Paniagua, its duly authorized Assistant City Manager, and Owens Service Company, (hereinafter referred to as "Contractor"), acting by and through Ray Owens, its duly authorized General Manager. WITNESSETH: WHEREAS, the Fort Worth Convention Center provides or makes available a multitude of services to meet the needs of both tenants and users of the facility; and WHEREAS, electric, plumbing, and compressed air services are an integral part of the success of the Fort Worth Convention Center. NOW THEREFORE, in consideration for the covenants and agreement hereafter set forth, the parties hereto agree as follows: TERM 1.1 The initial term of this agreement shall be for three years from the date of its execution unless terminated as hereinafter provided. 1.2 In addition to the initial term set forth in Section 1.1, and at the sole discretion of the City, the City and Contractor may renew the contract annually for a one-year renewal period, not to exceed three one-year options. City agrees to provide Contractor written notice of its request to exercise an option period no less than 120 calendar days prior to the end of the then current term. P AIGINA1. II. DESCRIPTION OF SERVICES 2.1 Contractor shall perform the following services, all consistent with City's Request for Proposal dated January 4, 2006, hereinafter referred to as the "RFP," attached hereto as Exhibit "A"; Mayor and Council Communication, reference C-21469, dated May 23, 2006, attached hereto as Exhibit "B'; Contractor's bid response dated February 2, 2006, attached hereto as Exhibit "C"; and the terms of this Contract, collectively referred to as the "Contract Documents." In the event of a conflict between these documents, such conflicts shall be resolved as follows: the RFP takes precedence over the Bid Response and this Contract, the Mayor and Council Communication takes precedence over the Bid Response. The RFP, Mayor and Council Communication, and the Bid Response are incorporated herein and made a part of this agreement for all purposes herein. 2.2 Contractor shall work closely with the Director of the Public Events Department, or his/her designee, hereinafter referred to as "Director"), in the performance of any and all related tasks required by the Director in order to fulfill the intent of this Contract. 2.3 Contractor shall deliver all data, reports and documents which result from its services to the Director in such form as described in Section 5: Scope of Work and the expectations contained in the RFP. 2.4 Contractor represents that all of its employees and subcontractors who perform services under this Contract shall be qualified and competent to perform the services required herein. Contractor agrees to replace any employee or subcontractor that the City, in its reasonable opinion, fords unacceptable. 2.5 At Director's discretion, Director may exclude up to four events annually from this contract. Additional events may be excluded provided that the event executed its contract with the City prior to the execution of this agreement; or the event provides its electric,plumbing, or compressed air services in-house. III. PAYMENT FOR SERVICES 3.1 In consideration of the exclusive nature for electric, plumbing, and compressed air services of this Contract, Contractor agrees to pay the City the payments required to be paid by the Contract Documents, including specific payments as follows: Fifteen percent (15%) of gross receipts for the first $1.00 to $200,000 in fees actually collected Twenty percent (20%) of gross receipts for all other fess actually collected that exceed$200,000 Owens Service Company Page 2 of 10 3.2 Payments shall be made no later than 30 days after the close of each month that this Contract is in effect, including the last payment to be made at either termination or expiration of this Contract. 3.3 Past due payments shall accrue interest at the rate of ten percent(10%)per annum. In the event City is required to initiate litigation to collect any sums due hereunder, Contractor agrees to pay court costs and reasonable attorney fees. IV. INSURANCE REQUIREMENTS 4.1 Contractor shall procure, pay for, and maintain during the term of this Contract, with a company authorized to do business in the State of Texas and acceptable to City, the minimum insurance coverage contained in Attachment `B" to the RFP, and comply with all other requirements of said Attachment `B." V. INDEMNIFICATION 5.1 Contractor does hereby covenant and agree to indemnify, defend, and hold harmless the City, its officers, servants and employees for any and all claims or suits for properly loss or damage and/or personal injury, including death, to any and all persons, of whatsoever kind or character, whether real or asserted, arising out of, the work and services to be performed hereunder by Contractor, its officers, agents, employees, or subcontractors, whether or not caused, in whole or in part, by the alleged negligence of the officers, servants, or employees of the City. Contractor likewise covenants and agrees to, and does hereby, indemnify and hold harmless City from and against any and all injuries, damage, loss or destruction to property of City during the performance of any of the terms and conditions of this Contract, whether arising out of in whole or in part, any and all alleged acts or omissions of officers, or employees of Cites VI. RIGHT OF REVIEW AND AUDIT 6.1 Contractor agrees that City shall, until the expiration of three (3) years after final payment under this contract is made to City, have access to and the right to examine and photocopy any directly pertinent books, documents, papers and records of Contractor involving transactions relating to this contract. Contractor agrees that City shall have access during normal working hours to all necessary Contractor facilities and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the provisions of this section, as well as Article VI. 6.2 Contractor further agrees to include in all its subcontracts hereunder a provision to the effect that the subcontractor agrees that City shall, until the expiration of three (3) years after final payment under the subcontract, have access to and the right to examine any directly pertinent books, documents, papers and shall be provided adequate and appropriate work space, in order to conduct audits in compliance with the provisions of this article Owens Service Company Page 3 of 10 n r CITY Si ':i, ;.r; iii � iii together with Article VI. City shall give the subcontractor reasonable advance notice of intended audits. 6.3 Contractor and subcontractor agree to photocopy such documents as may be requested by City. City agrees to reimburse Contractor and/or subcontractor for the cost of copies at the rates as contained in the Texas Administrative Code at the time payment is made. GIFT TO PUBLIC SERVANT 7.1 City may terminate this Contract immediately if Contractor has offered, conferred, or agreed to confer any benefit upon a City employee or official that the City employee or official is prohibited by law from accepting. 7.2. For purposes of this section, "benefit" means anything reasonably regarded as pecuniary gain or pecuniary advantage, including benefit to any other person in whose welfare the beneficiary has a direct or substantial interest, but does not include a contribution or expenditure made and reported in accordance with law. 7.3. Notwithstanding any other legal remedies, City may require Contractor to remove any of its employees or subcontractors from the Project who has violated the restrictions of this section or any similar state or federal law, and obtain reimbursement for any expenditures made to Contractor as a result of the improper offer, agreement to confer, or conferring of a benefit to a City employee or official. VIII. TERMINATION 8.1 City may terminate this Contract for its own convenience or for cause in the event of a breach of this Contract by Contractor, which breach is not cured within sixty (60) days after written notice thereof to Contractor, with the understanding that all services being performed under this Contract shall cease upon the date specified in such notice. If the City terminates this Contract for convenience pursuant to this Section, the City shall pay Contractor for services actually and satisfactorily performed in accordance herewith prior to such termination, in accordance with a final statement submitted by Contractor documenting the performance of such work. 8.2 Contractor shall not be entitled to lost or anticipated profits in the event this Contract is terminated as provided for herein or in the event that the City, in its sole discretion, decides not to exercise any option period. 8.3 Upon termination or expiration of this Contract, Contractor shall not remove any property or equipment vital to the service provision until: 8.3.1 the ownership of the property is determined; and 8.3.2 the Fort Worth Convention Center has time to replace or purchase the property or equipment to maintain the ability to provide the services contemplated herein. 8.4 Upon meeting the requirements of either 8.1.1 or 8.1.2, Contractor at its sole expense, shall remove from the Fort Worth Convention Center all equipment and material which Contractor owns. r Owens Service Company Pae 5 or 10 B 8.5 Contractor recognizes that the services provided pursuant to this Contract are vital to the City's efforts to provide electric, plumbing, and compressed air services; that continuity thereof must be maintained at a consistently high level without interruption; that upon expiration or earlier termination of this Contract a successor may continue these services; that any successor contractor shall need phase-in training; and that Contractor must cooperate in order to effect an orderly and efficient transition. Contractor shall cooperate with a smooth, seamless transition and have a cooperative approach. There shall be no negative correspondence in Contractor's communications to Licensees or Exhibitors. 8.6 Contractor shall be required to provide phase-out services to its successor contractor for up to thirty (30) days prior to Contract expiration at no charge to the City. Phase-out orientation shall comprise a minimum of 30 working days, 8 hours per day. Orientation may include but not be limited to, system operations procedures, record keeping, reports, and procurement procedures, etc. Contractor shall be totally responsible for providing the services called for by the Contract during its Phase-out period. City agrees to work with Contractor to prevent disclosure of Contractor's trade secrets during the Phase-out period. IX. NONDISCRIMINATION As a condition of this Contract, Contractor covenants that it will take all necessary actions to insure that in connection with any work under this Contract, Contractor, its employees and subcontractors, will not discriminate in the treatment or employment of any individual or groups of individuals on the grounds of race, color, religion, national origin, age, sex, or disability unrelated to job performance, either directly, indirectly or through contractual or other arrangements. Contractor shall also comply with all applicable requirements of the Americans with Disabilities Act, 42 U.S.C.A. §12101- 12213, as amended. In this regard, Contractor shall keep, retain and safeguard all records relating to this Contract or work performed hereunder for a minimum period of three (3) years from final Contract completion, with full access allowed to authorized City representatives, upon request, for purposes of evaluating compliance with this and other provisions of the Contract. X. VENUE/GOVERNING LAW 10.1 The obligations of the parties to this Contract are performable in Tarrant County, Texas, and if legal action is necessary to enforce same, venue for any action arising under the terms and conditions of this agreement shall lie in the state courts located in Tarrant County, Texas or'the United States District Court for the Northern District of Texas, Fort Worth Division. 10.2 This Contract shall be construed under the laws of the state of Texas. This contract has been fully negotiated between the parties and any ambiguity contained herein Owens Service Company Page 6 of 10 shall not be construed adversely to either party based upon which party may have written the Contract. XI. ASSIGNMENTS 11.1 This Contract shall not be assigned, transferred or sublet without, in whole or in part, without the prior written consent of the City and any such attempt to assign, transfer or sublet without the written consent of the City shall be void. This Contract shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, executors, administrators, successors and, except as otherwise provided in this Contract, their assigns. XII. NOTICES All notices, communications, and reports required or permitted under this Contract shall be personally delivered or sent via certified mail to the respective parties by depositing same in the United States-nail,postage prepaid, at the addresses shown below, unless and until either party is otherwise notified in writing by the other party, at the following addresses. Mailed notices shall be deemed communicated as of the date of receipt. Box 689 Kemp, Texas 75143 XIII. INDEPENDENT CONTRACTOR 13.1 Contractor shall perform all work and services hereunder as an independent contractor and not as an officer, agent or employee of the City. Contractor shall have exclusive control of, and the exclusive right to control, the details of the work performed hereunder and all persons performing same and shall be solely responsible for the acts and omissions of its agents, employees and subcontractors. Nothing herein shall be construed as creating a partnership or joint venture between the City and Contractor, its agents, Owens Service Company Page 7 of 10 employees and subcontractors; and the doctrine of respondeat superior shall have no application as between the City and Contractor. XIV. MISCELLANEOUS PROVISIONS 14.1 Severabifit . In case any one or more of the provisions contained in this Contract shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision thereof and this Contract shall be considered as if such invalid, illegal, or unenforceable provision had never been contained in this Contract. 14.2 Multiple Originals, This Contract may be executed in any number of counterparts, each of which shall be deemed an original and constitute one and the same instrument. 14.3 Headings Not Controlling. The headings or captions to the various clauses of this Contract are for informational purposes only and shall not alter the substance of the terms and conditions of this Contract. 14.4 Force Maieure. Timely performance by both parties is essential to this Contract. However, neither party is Iiable for delays or other failures to perform its obligations under this Contract to the extent the delay or failure is caused by Force Majeure. Force Majeure means fires, floods, and other acts of God, explosions, war, terrorist acts, riots, court orders, and, the acts of superior governmental or military authority or other similar incidents outside the control of the parties that renders the performance of this Contract impossible. This relief is not applicable unless the affected party does the following: uses due diligence to remove the effects of the Force Majeure as quickly as practicable; and provides the other party with prompt written notice of the cause and its anticipated effect. The City may perform functions itself or contract them out during periods of Force Majeure. Such performance is not a default or breach of this Contract by the City. If the Force Majeure continues more than sixty (60) days, the Director may terminate this Contract by giving seven (7) days written notice to the Contractor. In the event the City terminates the Contract, pursuant to this section, the City will reimburse the Contractor the balance of any unamortized capital improvements made at the facility by the Contractor, such termination not being based upon a default or breach of this Contract 14.5 Work Stoppage/Strikes. CONTRACTOR WAIVES ANY CLAIM IT MAY HAVE FOR FINANCIAL LOSSES OR OTHER DAMAGES RESULTING FROM THE TERMINATION. Contractor is not relieved from performing its obligations under this Contract due to a strike or work slowdown of its employees. Contractor shall employ only fully trained and qualified personnel during a strike. 14.6 Entirety of Agreement. This Contract, together with the Exhibits incorporated therein, embodies the complete agreement of the parties hereto, superseding Owens Service Company Page 9 of 16 all oral or written previous and contemporary agreements between the parties and relating to matters in this Contract, and except as otherwise provided herein cannot be modified without written agreement of the parties to be attached to and made a part of this Contract. The facility located at 1201 Houston Street in Fort Worth Texas. 1.3 Agleement The legal document executed between the Contractor and the City of Fort Worth to provide exclusive Electric,Plumbing, and Compressed Air services to FWCC clients. Contractor shall provide hookup for said services from City outlets to FWCC clients. 1.4 Contractor The Company selected by the City to provide Electric, Plumbing,and Compressed Air service set forth herein. 1.5 Director Shall refer to the Public Events Director of the Fort Worth Convention Center. 1.6 Adjusted Gross Receipts Refers to the total amount of money received by Contractor or any agent or employee of Contractor for all services rendered at the Convention Center under the terms of this Agreement, excluding sales taxes collected by Contractor or in the event of prepayment of sales taxes, excluding any amounts so prepaid by Contractor. 1.7 Proposal Refers to this RFP and any additional documents related to the proposal or the Agreement. 1.8 Proposer Shall refer to any qualified person or entity submitting a proposal to provide the services as defined by and in accordance with this RFP. 1.9 Request For Proposal Also referred to as "RFP." This document. 2 Section II: Invitation The Fort Worth Convention Center, a City of Fort Worth owned and operated facility,is seeking proposals from prospective contractors to serve as the exclusive provider of all Electric,Plumbing,and Compressed Air services in the Convention Center. Proposals must include Electrical, Plumbing, and Compressed Air to clients of the Fort Worth Convention 3 EXHIBIT "A" CITY OF FORT WORTH REQUEST FOR PROPOSAL 05-0317 FOR ELECTRIC,PLUMBING,AND COMPRESSED AIR SERVICES FORT WORTH CONVENTION CENTER Center. The successful candidate will enter into a written agreement with the Fort Worth Convention Center to provide exclusive Electric, Plumbing, and Compressed Air services for various public events, meetings and trade shows utilizing the facilities. The terms of this Agreement will be for three (3)years,commencing on or about April 17, 2006 and may be terminated by the City at any time without penalty or cause. At the sole discretion of the City, a renewal option of three (3) one (1)year extensions after the initial term will be considered. Options will be exercised no later than 120 days prior to the expiration of the term that is in effect. Respondents must demonstrate capability and experience in providing Electric,Plumbing, and Compressed Air services. 21 One (1) original and three(3) reproducible copies of the sealed proposal, marked "RFP-Electric,Plumbing,and Compressed Air Services-Fort Worth Convention Center" will be accepted until February 2,2006 at 1:30 PM. Responses received after the above date and time will not be considered. It is the Proposers' duty to make sure that the responses are received by the City prior to the stated deadline. Purchasing Office City of Fort Worth 1000 Throckmorton Fort Worth,TX 76102 2.2 A pre-submittal conference will be conducted on January 18,2006 @ 2:00 p.m. in the Executive Board Room,located at the 12th Street entrance on the Mezzanine Level, at the Fort Worth Convention Center to answer questions regarding the proposal requirements. All prospective Proposers are encouraged to attend. Non-attendance on the part of a Proposer shall not relieve the Proposer of any responsibility for adherence to provisions of this proposal package or any addenda thereto. 2.3 Responses must be in 81/2" by 11" format. Any materials that are larger than this size should be folded to fit into the 81/2" by 11" format. Proposals must include at least the requested information. The City reserves the right to request additional information during the RFP review period. 2.4 The outside of the package should be clearly marked with the following: "RFP 05-0317 Response-Electric,Plumbing,and Compressed Air Services Due by 1:30 p.m. February 2,2006". 4 EXHIBIT "A" CITY OF FORT WORTH REQUEST FOR PROPOSAL 05-0317 FOR ELECTRIC,PLUMBING,AND COMPRESSED AIR SERVICES FORT WORTH CONVENTION CENTER 2.5 RESPONSES THAT ARE NOT SUBMITTED IN A SEALED ENVELOPE OR CONTAINER WILL NOT BE CONSIDERED. TELEGRAPHIC OR FACSIMILE RESPONSES WILL NOT BE ACCEPTED. 2.6 Proposers should carefully examine all documents and attachments related to this proposal and follow all instructions for submitting the proposal. Questions regarding the required procedure for the submittal of proposals shall be submitted in writing or by FAX to Ms. Camillia Ryan, 817-392-8440. Responses to questions will be provided in writing to all known participants. Questions should be submitted by January 23,2006 to ensure a timely response. 2.7 All proposals must be signed by individual(s) who are legally authorized to bind the Proposer to the information contained within each proposal. 2.8 All proposals must be typewritten and neatly presented. A qualifying proposal will contain legible and concise information. 3 Section III: BackgKound and Facility Information: 3.1 The Fort Worth Convention Center is a multi-purpose facility whose goal is to enhance economic development of the downtown business district by developing a convention center of appropriate size and characteristic to capture potential market events. 3.2 Included in this Request For Proposal as Attachment"A" are diagrams of the facility. The City of Fort Worth reserves the right to adjust the timetable as required during the course of the RFP Process: ❑ Issue RFP,January 4, 2006 * Pre-Proposal Conference and Site Visit-January 18,2006 @ 2:00 p.m. ❑ Responses due, February 2, 2006 @ 1:30p.m. 5 EXHIBIT "A" CITY OF FORT WORTH REQUEST FOR PROPOSAL 05-0317 FOR ELECTRIC,PLUMBING,AND COMPRESSED AIR SERVICES FORT WORTH CONVENTION CENTER ❑ Oral Presentations/Interviews (if necessary),beginning February 5, 2006 ❑ Final Evaluation&Negotiation,beginning February 15,2006 ❑ Approval of Agreement by the City Council,March 14, 2006 ❑ Contract Execution,April 17,2006 ❑ FWCC Electric, Plumbing,and Compressed Air Services Implemented,April 17,2006 5 Section V: Scope of Services: 5.10 This agreement is for the exclusive rights to provide Electric, Plumbing, and Compressed Air services in the FWCC for FWCC clients. The Contractor will have exclusive rights to all Electric,Plumbing, and Compressed Air points inside the FWCC. However,the Director reserves the right to waive the exclusivity of this agreement for an event of overriding importance to the City or FWCC. 5.11 Contractor's Exclusive Rights: The Contractor shall have exclusive "Electric,Plumbing, and Compressed Air" rights in the Fort Worth Convention Center. Contractor will have exclusive rights to use the Electric, Plumbing, and Compressed Air points that have been established in the FWCC for Electric,Plumbing,and Compressed Air purposes. Contractor shall have the exclusive right to refuse to connect equipment that exceeds the building specifications or that the Contractor deems to be unsafe. 5.12 Terms of Agreement: The terms of this Agreement will be for three (3) years,commencing on or about April 17,2006 and may be terminated by the City at any time without penalty or cause. At the sole discretion of the City, there will be three(3) one (1)year extensions to this Agreement. Options will be exercised no later than 120 days prior to the expiration of the term that is in effect. 5.13 Payments to FWCC 5.13.1 The exclusive Electric, Plumbing, and Compressed Air service Contractor shall pay to FWCC, on a regular monthly basis, a percentage of adjusted gross receipts generated from such Electric, Plumbing, and Compressed Air services. 6 EXHIBIT "A" CITY OF FORT WORTH REQUEST FOR PROPOSAL 05-0317 FOR ELECTRIC,PLUMBING,AND COMPRESSED AIR SERVICES FORT WORTH CONVENTION CENTER 5.13.2 During the term of this agreement, the Electric,Plumbing,and Compressed Air service Contractor shall submit to FWCC on or before the 10th of each month an accounting of operations during the previous calendar month. Along with this accounting,the Contractor shall pay a minimum of 15% of all adjusted gross receipts for the previous calendar month. Gross Receipts is defined as the total amount of money received or to be received by Proposer or by any agent, employee or subcontractor from all sales, whether for cash or credit,whether collected or uncollected,made as a result of the service rights granted under the Agreement. Since this service has not been provided in the past,no historical revenues are available. However,upon request, a list of events will be made available. 5.14 Contractor's Staff/ Employees:The Contractor shall employ and compensate his/her own employees. Contractor's employees shall be neat and clean in appearance and courteous towards the patrons,public and fellow employees. Contractor's employees will have limited access to the building through designated entrances/exits during events. Any such employees observed in the facility at events which they are not working, will be asked to leave at the discretion of the Director or his/her assignees. The Director reserves the right to forbid the employment of any individual considered unsatisfactory or that does not represent themselves in a manner acceptable by the facility. 5.15 Contractor's Responsibilities 5.35.1 The Contractor and his/her assignees shall adhere to all facility regulations established by the Director. 5.15.2 Contractor must,at his/her own expense, obtain and keep in force during the period of the agreement all permits and licenses required by all laws and regulations of the State of Texas, County of Tarrant and the City of Fort Worth. 5.15.3 Contractor shall collect and promptly disperse all taxes required by Federal,State and local authorities and shall pay any applicable taxes relating to operations at the facility. 5.15.4 Contractor shall maintain all records/ invoices etc.regarding operations at the facility. Contractor shall on reasonable demand,make available to Director,all records,books of accounts and statements maintained with respect to operations at the facility. 5.15.5 Contractor shall also permit designated agents of the Director to make periodic inspections of the operations of the Contractor as it relates to work in the facility. 5.15.6 Contractor shall supply all equipment that may be needed to fulfill the scope of services contained herein. 6 Section VI: Proposal Instructions 6.10 Compliance with the RFP. Proposals must be in strict compliance with this Request for Proposals. Failure to comply with all provisions of the RFP shall result in disqualification. 6.11 Acknowledgement of Insurance Requirements. By signing its proposal, Proposer acknowledges that it has read and understands the insurance requirements for the proposal. Proposer also understands that the evidence of required insurance must be submitted within fifteen(15) days following approval of Agreement by the City Council; otherwise, the City of Fort Worth may rescind its acceptance of the Contractor's proposal. The insurance requirements are attached as Attachment"B". 6.12 Evaluation of Proposals. 6.12.1 The City of Fort Worth will examine proposals to eliminate those, which are clearly non-responsive to the stated requirements. Therefore, Contractors should exercise particular care in reviewing the Proposal Format required for this RFP. 6.12.2 The detailed evaluation that follows the initial examination may result in more than one finalist. Any such waiver shall not modify any remaining RFP requirements or excuse the Contractor from full compliance with the RFP specifications and other contract requirements if the Contractor is awarded the Contract. 6.13 Ambiguity, Conflict or Other Errors in the RFP 6.13.1 If a Contractor discovers any ambiguity,conflict, discrepancy, omission or other error in the Request for Proposal,it shall immediately notify the City of Fort Worth of such error in writing and request modification or clarification of the document. The City of Fort Worth will make modifications by issuing a written revision and will give written notice to all parties who have received this RFP from the City of Fort Worth. 6.13.2 The Contractor is responsible for clarifying any ambiguity,conflict, discrepancy, omission or other error in the RFP prior to submitting the proposal or it shall be waived. 6.14 Proposals and Presentation Costs. --The City of Fort Worth will not be liable in any way for any costs incurred by any Proposer in the preparation of its proposal in response to this RFP,nor for the presentation of its proposal and/or participation in any discussions or negotiations. 6.15 Rection of Proposals. --The City of Fort Worth reserves the right to accept or reject in whole or in part any or all proposals submitted. The City of Fort shall reject the proposal of any Contractor that is determined to be non-responsive. The unreasonable failure of a Contractor to promptly supply information in connection with respect to responsibility may be grounds for a determination of non-responsibility. 6.16 Acceptance of Proposals. -- The City of Fort Worth shall accept all proposals that are submitted properly. In an effort to provide a higher level of customer service, an RFP was issued to consolidate all services under one contract. In addition to enhanced customer service, the City's General Fund will receive 15% of all gross receipts paid to Owens Service Company from $1.00 to $200,000. Beyond $200,000, the City will receive 20% of gross revenues. The FWCC estimates additional revenue to exceed $40,000 in FY2006-07. A Request for Proposal was issued on January 4, 2006 to solicit an exclusive provider of Electric, Water and Compressed Air Services. Lone Star Electric Owen Service Company Trade Show Electrical Proposals were evaluated and the top two proposers were interviewed based on a predetermined combination of qualitative and quantitative (point) measures to determine the recommendation for award of contract. Sincerely, f-- Pat Hahn 1 Proposer's Staff and related Electric,Plumbing and Compressed Air Experience: Ray Owens and Owens Service Company Ray Owens began his career in 1976 when he started working for the Stagehands Local #126 in Fort Worth, Texas as an Electrician at the Tarrant County Convention Center Theater in the lighting department. Ray worked as an electrician for many Rock and Roll and Country shows in the area and in addition to his work at the Theater. Ray also worked for Freeman Decorating through the Stagehand Union, setting up electrical services for Exhibitors and Trades Shows in Exhibit Halls at the Fort Worth Convention Center through the time that Freeman Decorating sold its electrical section to MN4&K Electrical and ending in 1987. In 1987 Ray opened Owens Service Company utilizing his Texas Electrician's license. Ray's experience soon had his own company installing electrical cables for Trade Shows, providing hookups for lighting and providing wiring for sound equipment at the many events that utilized area Exhibit Halls, Arenas, Ballrooms and Convention Sites. As of this day, Ray can proudly state that Owens Service Company worked itself into the position where it now takes care of all of the electrical needs for most of the shows in the Fort Worth Convention Center Exhibit Hall and Arena as well as performing needed maintenance for the Convention Center. Maintenance includes regular inspection, repair and replacement of the multitude of floor plugs, adjustments of their cover plates for safety and lubrication of the plates for ease of use. As a result of its continued on site presence, Owens Service Company has readily available 400 amp and 500 amp service outlets in place through out the Arena area and Exhibit Halls, making access to these services prompt and reliable. When the City of Fort Worth purchased the Convention Center, Owens Service Company aided in the smooth transfer of control and authority and welcomed the opportunity to prove itself to the new owners. - Since the sale and purchase Owens Service Company has striven to protect its image as the longest established source of reliable 'and affordable electrical services at the Center. Cliff Owens Cliff has been a part time employee of Owens Service Center since 1987. A journeyman electrician, Cliff has proven his worth at the larger shows such as the Auto Show and AAAA. Deborah Owens' Deborah has been working with Owens Service Company since 1987 as a hard laborer and as the wife of Ray Owens.
