For azid in consideration of the payment by Grantee of cllarges set out belo�v and fhe true and
faithfitl performance of the mutual covenants hel•ein eontained, City liereby brants to Geantee
permission to temporarily encroacfi upon, nses and occupy portion of the space tuicler, on and/or
above the streets, alleys, sidewalks or other public rights-of �vay as follotivs:

2.
All use and occupancy of public street, alleys, sidewalks or otltei• ptiblic rights-af-way under
tl�is a;reement shall be in strict compliance with the Charter, Ordinances and Codes of the City
and in acca•dance with the directions of the Building Offlcial and tlie Director of Transportation
and Pubtic Works of City.

iJpon ex��iration of this agt•eement and the privileges gi�anted hereunder, there shall be no
enct�oachment by Grantee in, under, on or above the surface ofthe pubfic rights-of-�vay involved.

Grantee agrees to pay iu advance an encroachment fee for tlie temporary privilege of
encroaching upon a portion of the public rights-of-wa�r as descri}�ed in E��i6it "B". Said fee is
calculated in the manner and amounts prescribed by the Building Code of the City of Fort Woz�th
fo►� temporary use or occupancy of public property. Tlie estimated tolal amo�.int ot said fee is:

Grantee, at no expense to City, shatl make proper provision for the relocation and/or
insta111tion of any existing or firture traffic conti•ol devises or other improvements affected hy
such encroachment, use and occupaucy, including thF securii�g of apps�oval and consent from the
�ppz�opriate agencies of tlie St1te and its political subdivisions. Iu the eveut thai any installation,
reinstalIation, relocation or repair of any existing or future traffic control device or impro��einent
owned oc constructeci by or o�� behalf of die pub(ic or at public eYpense is made more costly by
virtue of the e�cistence of siich encroachmeut and use, Grantee shall pay to City and additional
amotmt equal to such aclditional cost as detez•mia�ed by City.
6.
The terin of this agt•eement shail be for �� days, from _��0 �� to � � '%
Provided, however, should the need for the encroachn�ents granted hereunder 1t any time cease,
Grantee agrees to immediately uotify Cit�� of such condition; and, upon receipt af such notice by
the Building Ofricial of the Cily of Fort �rVorth, this agreenieirt sl�all terminate.

"B". Tllis agreement shall not be construed as the granting of a permanent easet�lent,
encroachment or license upon City's pui�lic streets, al(eys, sidewalks, or other riglrts-of-way.

City, tJ�rough its duly authorized i•epresentatives, shall have the fiili and i�m�est;�icteci right to
enter upon all public rights-of-way for the purpose of making inspections to determine
compl.iance with the terms, covenants and conditions hea-ein. In the event that any inspection
shottld reveal a breach of any tet•ms, covenants or conditions herein, City shall gi��e Grantee
notice of such breach. Should such breach not 6e corrected by Gr�tntee within twenty-four (24)
hours of receipt of the not�ce, or within such shorter period of time as deemed necessaiy by the
Building Official for the protection of public health or safety, City may tei•ininate and cancel this
agreemetlt.
9.
Upon e:cpiration oa• termination of t}zis agreement for any reason �vl�atsoever, Grantee shall, at
no e:cpense to City, restore the public righis-of-�vay and adjaceut siappot�ting sh�uctures to a
C011CI1�1017 ��ceeptable to the Director of Transpac�tatiou and Publie Woi�cs ar his clrily authorized
representative and in accordance with then eiisting City specificatioi�s, and Grantee shall remove
all barricades, ec�uiprnerit, supplies, maferials or othei� p►�operty from said location. Grantee
fiu�ther covenants and agrees that for a period of one (1) year after ihe termination of this Consenf
Agreement, Grantee will repair all conditions or damages to the sri�eets and sidewall<s or other
i•ights-of-way that have resulted from Grantee's use or occupattcy of the sn•eets and sidewall<s or
ottier rights-of-way, �s determined by the Dii•ector of Ti•ansportation anci Public �VorEcs or his
dcsignee. Grantee agrees to begin such repairs �vithin ttiirty (30) days of receipt of notice from
the Director of Transportation and Public Worlcs or his desiguee. f1ll cepaiis shal( be performed
in an espeditious and workmanlike manner and sliall comply �vitli 111 applicable laws, codes,
ordinances and City specifications.
I�l the event tliat Gi•lntee fails to comply �vith the covenants hez-ein contained with respect to
such reinoval or restoration, the City shall have the right to remove or dispose of any barricades,
equipment, supplies, materials or other property and i•epair any conditiotls which in the opinion of
the City aj•e necessary to bring the public rights-of-`vay to the condition pt•escribed herein, and
City shall not be responsib(e for trespass or any other damage or liability in connection with snch
rernoval or restoration. Grantee shall reimburse City for the cost and e:cpense of such removaf
ancl/or replirs iinmediate(y follo�ving billing for sa�ne Uy City.

Notlling herein shall be construed as a waiver by City to enforce penal sanctions prescribed
6y the Code of the Ciry of Fort Worth and the laws of the State of Texas for Grantee's continued
encroachment upon the pi�blic rights-of-way follotiving termination of this Consent Agreement.

It is fiirther tmdei•stood and agreed bet�veen the parties hereto thai City holds t(le city streets,
alleys, sidewalks and nther public rights-af-way, including the portions of such st��eets used and
eneroached upoti as described herein, as trustee for the public; that City exercises such powers
over tlie streets as have been delegated to it by the Constitution of the State of Texas or by the
Legisllture; avd the City cannot contract away its ciuty and its legislative power to control the
streats for tlie use and benefit of the public, It is accordingly agreed fllat if tlte governing body of
City, to �vit, its City Council, shall at any time during the term (ie►•eof determine in its sole
discretion to use or cluse or permit to be used for any pttblic purpose tl�e said encroached portion
of the sh�eets, then this agreemenl shall be automatically canceled and terminated,

Grantee agrees to comply fiilly with all applicable federal, state and local laws, statutes,
orciinances, codes or regttlations in connection with the constc•uction, operation and maintenance
uf said eiicroachments arid uses.
12.
Grantee agrees to pay promptly �vhen due all fees, taxes or rentals �rovided for hy this
agreement or by any fedei�al, state or local statue, l��v oi• regulation.
13.
Crantee covenants and agrees that it shall eYercise all riglits and privileges granied hereunder
as an independent cont��actor, and uot as an officer, agent, seevant or employee of City; that
Grantee shall have exchisive contro( of and the exclusive right to control the details of its
operations and activities on said described ptib(ic propet-ty alid all persons pei-forming s1me, acid
shall be soiely responsible foi• the �cts and ornissions of its officers, agents, servants, eFnployees,
contractors, subcontractors, licevsees and in��itees; that the doctrine of i•espondeat superior shall
not apply as between City and Grantee, its off'icers, agents, servants, em��loyees; contractors and
subcontractors, and nott�ing het•ein shatl be construed as creating a partnership or joi�lt enterp��ise
bet�veen City and Grantee.

Grantee lgcees to fiu•nish City with a Certificate of Insurance, naming City as certi�cate
holdet•, as proof that it l�as secured and paid for a policy of pubfic liability insnrance covering all
public risks related to the proposed use and occupancy of public property as located and
c(escribed in Exhibit "B", 'I'he amounts of such insurance shall be not less that the following:
Property damage, per occurrence $100,000.00
Bociily injin�y, perpersou $250,000.00
Boclily injm•y or death, per occurrence �500,000.00
With the tmderstanding of and agreement by Grantee that such insur�ncc amounts shail be revised
upward at City's option and that Grantee shall so revise s�ich amount inimediatel_v following
notice to Grantee of such requireme�it. Such insurance policy shall provide ti�at it cannot be
canceled or amended tivithout at least thirty (30) days' prior wrirten notice to the Builciitig Official

Grantee agrees to submit a similar Certificate of Insw•ance annually to City on the anniversary
date ofthe esecution of this agreement.
Grantee, ag►•ees, binds and obligates itself, it successors and assigns, to maintai�i and keep in
force snch public liability ins�u•ance at all times during the term of this agreement and until the
removal of all ena�oachments and the cleaning and restoration of the city streets. A(I i�isur•ance
coverage i•eqtiired herein shall include coverage of all Grantee's contract�rs.
16.
G�•a�ltee coveuants and agrees that it will not assign all or any of its ri�its, privileges or duties
Luider this contract without prior written approval of City, and any attempted assignment without
such prior written approval shall be void.

This a�•eement shall be binding upon the parties hereto, their successors and assigns.
