TJpon expiration nf this a�•eement and the privileges granted hereunder, thet•e shall be no encroachment by Granfee in, under, on or above the surface of the public rights-of-way involved. 4. Grantee agrees to pay in advance an encroachment fee for tlie tempotaiy privilege of encroaching upon a portion of the pt�blic rights-of-way as described in E�iibit "B". Said fee is catculated in the manner and amounts prescribed by the Building Code of the City of Fort Woith for temporary use or occupancy oFpublic properry. The estimated total amount of said fee is: Street: 19.5' X 410' X$.03 X 84 d3ys =$20,1?7.40 Sidewal)t: 14.37' X 492' X$.015 % 84 days =$8,907.36 $29,054.76 total 9. Grantee, at no axpense eo City, shall make proper provision for the relocation audlor iflstallation of any existing or future traffic conn�ol devises or other improvements affected hy such encroachment, use aud occupancy, including the securing of approval and consent frorn the approp�•iate agencies of the State attd its political subdivisions. In the event that any installation, reinstallation, relocation or cepair of any� existing or fut�ire tf•affic controI device or improvement owned or coustructed by or ou behalf of the public or at public expense is made more costly by virtue of the existence of sucl� encroachmeut and ttse, Grantee shall pay to City and additional atnount equat to sucb additional cost as determineci by City. 6. This ag�•eement shall not be constrt�ed as the granting of a permanent easemenf, encroacl�ment or license upon City's public sfreets, a((eys, sidewalks, oi� other rights-of-way. .� City, through its duly authorized representatives, shall have the fi�lt and unrestricted right to enter upon all public rights-of-way far• the prirpose of making inspections to detennine compliance with ti�e terms, covenants and conditions herein. In the event that any inspection should reveal a Ureach of any tei7ns, covenants or conditions herein, City shall gi�,�e Grat�tee notice of such breach. Should such breach not be corrected by Grantee �vithin twenty-four (24) hoetrs of receipt of tl�e notice, or within sucl� sliorter period of �ime as deemed necessaiy by the Building Official for the protection of public health or safety, City may terminate and cancel tlus agreement. 9. Upon expiration or termination of this agreement for any reason wlaatsoever, Grautee shall, at no espense to City, resiore the public rig(�ts-of-way aud ac�jaceut supportiug strtictures to a condition acceptable to the Director of Ti•ansportation and Publie Worl�s or his dt�ly a��thorized representative and in �ccordance with then existing City specifieations, and Graniee shall relnove all barricades, equipment, supplies, materials or other proper[y fi-om said location. Grantee fin-ther covenatits and agrees that for a period of one (1) year after the termination of this Consent Agc•eement, Grantee will eepair all conditions or damages to the streets and sidewalks or other rights-of-way that have resulted from Grantee's use or occupancy of the st��eets and sidewalks or other rights-of-way, 1s determined by the Director of Transportaiion and Public Works or his clesignee. Grantee agrzes to begiu sttch repairs within thirj� (30) days of receipt of uotice from the Director of Tcanspo�tation aiid Public Works or l�is designee. All cepairs shall be performed in an expeditious and workmanli!<e manner and shall comply with all applicable laws, codes, ordinances and City specifications. In the event tliat Grantee fails to comply with the covenauts herein contained with respect to st�ch removaf or restoration, the City shall have the right to rei7iove or dispose of any barricades, equipment, supplies, materials or other property and repair any conditions which in the opinion of the City are necessary to bri��g the public rights-of-�vay to the condition prescribed l�erein, and City shall not be responsible for trespass or any other damage or liability irt connection with sz�cl� removal or restoration. It is fitrther undei•stood and agreed between the parties hereto that City holds tlie city streets, a[leys, sidewalks and nther public rights-of-way, including the portions of such streets used and enci•oached upon as describecf hereu�, as trustee for the public; fhat City exer•cises such powei•s over the streets as have been delegated to it Uy the Constitution of the State of Texas or by the Legislature; and the City cannot contract away its duty and its legislative power to control the streets for die use and benefit of the public. It is accordingly agreed that if the governing body of City, to wit, its City Coimcil, shall at any time dw•ing the term hereof determine in its sole discretion to use or cause or permit to be used for any pubfic purpose tl�e said encroached portion of the streets, then this agreement shall be autorriatically canceled anc! tertt�inated. 11. Grantee agrees to com��ly fu[ly with all applicahle federal, state and local laws, statufes, orciinances, cocles or regt�lations in connection with the consh•uction, operation and maintenance of said eneroachments anct uses. 12. Grantee agrees to pay pramptly �vhen due all fees, ta�ces or rentals pi•ovided for by this agreernent or by any federai, state or local stahie, law or regnlation. 13. Grantee agrees to submit a similar Certificate of Insurance annually to City on the anniversary date ofthe e:cecution ofthis agreement. Grantee, agi•ees, binds and obligates itself, it successors and assigns, to maintain and keep in force such public liability insurance at all times during the term of this agreement and until the removal of all encroachments and the cleaning and restor•ation of the city streets. All irisurance coverage reqti�ired herein shall include coverage of all Grantee's contract�rs. 16. Grantee covenants and agrees tl�at it will not assign all or any of its rights, privileges or duties under this contcact without prior written approval of City, and any atiempted assignment without si�ch prior w�•itten approval shall he void. 17. This agreement shall be binding upon the parties hereto, their successors and assigns. 18.
