HomeMy WebLinkAboutContract 46108-A1 r FIRST AMENDMENT TO 'T`` %7^F"TA r R C 1 g 201 INTERLOCAL COOPERATION AGREEMENTIvJ. b FOR DESIGN SERVICES OF c� cR� WILLOW SPRINGS ROAD AND BLUE MOUND ROAD This First Amendment to Interlocal Cooperation Agreement ("First Amendment") is made by and between the Northwest Independent School District, a Texas independent school district ("District") and the City of Fort Worth, a Texas municipal corporation ("Cfty"). District and City are sometimes referred to collectively as the "parties" or individually as a art WHEREAS, District and City entered into that certain Interlocal Cooperation Agreement dated October 31, 2014 ("Interlocal Cooperation Agreement'), which is incorporated herein by reference for all purposes, whereby the parties agreed to construct certain roadway and street improvements to Willow Springs Road in the City of Fort Worth, Tarrant County, Texas, from the roundabout at the intersection of Willow Springs Road and Eagle Boulevard to the northwest corner of the V.R. Eaton High School tract including paving, drainage, sidewalk and illumination improvements, defined as the"Project"in the Interlocal Cooperation Agreement; and WHEREAS, the parties find it necessary and advisable to enter into this First Amendment with respect to the Project to set forth the duties and responsibilities of the respective parties for the implementation and funding of the Project; and WHEREAS, the parties further find that all applicable laws have been complied with in order to continue undertaking the Project and to enter into this First Amendment. NOW, THEREFORE, in consideration of the foregoing and on the terms and conditions hereinafter set forth, and for other valuable consideration, the receipt and sufficiency of which is hereby acknowledged,the parties agree as follows: 1. Recitals. The recitals contained in this First Amendment: (a) are true and correct as of the Effective Date (hereinafter defined) of this First Amendment; (b) form the basis upon which the parties negotiated and entered into this First Amendment; (c) reflect the intent of the parties with regard to the subject matter of this First Amendment; and are incorporated into the body of this Agreement as if fully set forth herein. If it becomes necessary to interpret any provision of this First Amendment,the intent of the parties, as evidenced by the recitals, shall be given full effect. 2. Amendment to Interlocal Cooperation Agreement, Paragraph 5 of the Recitals. Paragraph 5 of the Recitals of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: i "WHEREAS, City has retained the services of Pacheco Koch Consulting Engineers, Inc. to provide for the design of the Project; and" RETE,.J� SEC� 9 2p1� Cl Com'SECR Tr SF _ _�- r First Amendment to Interlocal Cooperation Agreement Page l of 8 2219286 3. Amendment to Interlocal Cooperation Agreement, Paragraph 6 of the Recitals. Paragraph 6 of the Recitals of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: "WHEREAS, District agrees to reimburse City for a portion of the cost of the Willow Springs Work in an amount not to exceed TWO MILLION AND NO/100 DOLLARS ($2,000,000.00) (the "District Share"), with the remaining cost of the Willow Springs Work and all other portions of the Project to be City's responsibility(the"City Share"); and" 4. Amendment to Interlocal Cooperation Agreement, Paragraph 9 of the Recitals. Paragraph 9 of the Recitals of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: "WHEREAS, construction of the Project will be performed by the City at its cost, and the District shall reimburse the City for a portion thereof, all as set forth herein, subject to availability of funding and based on a public bid process; and" 5. Amendment to Interlocal Cooperation Agreement, Section A of the Agreement. Section A of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: "A. The Project will generally consist of improvements related to the construction of certain portions of Willow Springs Road, from the roundabout at the intersection of Willow Springs Road and Eagle Boulevard to the northwest comer of the V.R. Eaton High School tract, as such improvements are more fully described and/or depicted on the attached and incorporated Attachment A-1 (collectively, the "Improvements")." 6. Amendment to Interlocal Cooperation Agreement, Section B of the Agreement. Section B of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: `B. City has retained Pacheco Koch Consulting Engineers, Inc. as the "Engineer" for the Project pursuant to a City Secretary Number 46322 reviewed and approved by the City (the "Engineering Contract") attached as Attachment C-1." 7. Amendment to Interlocal Cooperation Agreement, Section C of the Agreement. Section C of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: "C. City shall perform at its cost all work related to the planning, engineering, and construction of the Improvements as described on Attachment A-1. District agrees to reimburse City for the District Share. City is and shall remain responsible for the City Share. Estimates of the probable cost of each First Amendment to Interlocal Cooperation Agreement Page 2 of 8 2219286 phase of the Project are attached hereto as Attachment B-1 (the "Engineer's Estimates of Probable Cost")." 8. Amendment to Interlocal Cooperation Agreement, Section D of the Agreement Section D of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: "D. When the design of the Improvements is completed and accepted by all parties hereto, District agrees to deliver the District Share to City. City shall provide District with any and all documentation reasonably requested by District relating to the Project, including monthly statements showing all payments made by or on behalf of City related to the Willow Springs Work." 9. Amendment to Interlocal Cooperation Agreement, Section F of the Agreement. Section F of the Interlocal Cooperation Agreement is hereby deleted in its entirety and replaced with the following: "F. City agrees that the Engineering Contract shall include provisions granting District the right to enforce the terms thereof as an express intended third party beneficiary of such Engineering Contract." 10. Amendment to Attachment "A" of the Agreement. The Agreement is hereby amended by wholly replacing Attachment"A" of the Agreement with Attachment A-1, attached to this First Amendment and incorporated herein by reference. 11. Amendment to Attachment "B" of the Agreement. The Agreement is hereby amended by wholly replacing Attachment "B" of the Agreement with Attachment B-1, attached to this First Amendment and incorporated herein by reference. 12. Amendment to Attachment "C" of the Agreement. The Agreement is hereby amended by wholly replacing Attachment "C" of the Agreement with Attachment C-1, attached to this First Amendment and incorporated herein by reference. 13. Defined Terms. Any capitalized term used but not defined herein shall have the same meaning ascribed to it under the Interlocal Cooperation Agreement. 14. Ratification. City and District hereby ratify and confirm all of the terms, provisions, covenants and conditions of the Interlocal Cooperation Agreement and acknowledge and agree that the Interlocal Cooperation Agreement remains in full force and effect except as amended in this First Amendment. 15. Controlling Agreement. To the extent that any provision contained in this First Amendment conflicts with the Interlocal Cooperation Agreement, the provision contained in this First Amendment shall supersede such conflicting provision contained in the Interlocal Cooperation Agreement. This First Amendment and the Interlocal Cooperation Agreement contain the entire agreement of the parties with respect to the matters contained herein. This First Amendment may not be modified or terminated except upon the provisions hereof or by the mutual written agreement of the parties hereto. 17. Authori1y. Each individual executing this First Amendment hereby represents and warrants to each person so signing(and to each other entity for which another person may be signing) that he or she has been duly authorized to execute and deliver this First Amendment in the capacity of the person or entity set forth for which he or she signs. 18. Sufficient Basis for First Amendment. The consideration stated herein is contractual and not a mere recital. The parties hereto execute and deliver this First Amendment after being fully informed of its terms, content, and effect. The parties executing this First Amendment are not relying upon any representation from any attorney, agent or representative of any other party. The parties are fully informed and have consented to this First Amendment based on their own opinion and the advice of their respective representatives. 19. Binding Effect. This First Amendment shall be binding on and inure to the benefit of the parties hereto and their heirs, personal representatives, successors, and assigns. 20. Governing Law; Venue. The laws of the State of Texas shall govern the interpretation,validity, performance and enforcement of this First Amendment,without regard to conflict of law principles. This First Amendment is performable in Tarrant County, Texas, and the exclusive venue for any action arising out of this First Amendment shall be a court of appropriate jurisdiction in Tarrant County, Texas. 21. Incorporation of Recitals. The representations, covenants and recitations set forth in the foregoing recitals of this First Amendment are true and correct and are hereby incorporated into the body of this First Amendment and adopted as findings of City and District. 22. Miscellaneous Drafting Provisions. This First Amendment shall be deemed drafted equally by the parties. The language of all parts of this First Amendment shall be construed as a whole according to its fair meaning, and any presumption or principle that the language is to be construed against either party shall not apply. Headings in this First Amendment are for the convenience of the parties and are not intended to be used in construing this document. 23. Multiple Counterparts. This First Amendment may be executed in a number of identical counterparts, each of which shall be deemed an original for all purposes. An electronic mail and/or facsimile signature will also be deemed to constitute an original if properly executed and delivered to the other party. Authorize the execution of a construction contract with McClendon Construction Co. Inc. in the amount of$7,215,420.75 for Blue Mound Road and Willow Springs Road; and 2. Authorize the execution of Amendment No. 1 to City Secretary Contract Number 46108 Interlocal Cooperation Agreement to provide that Northwest Independent School District will reimburse the City for costs in the amount not to exceed $2,000,000.00 for the construction of Willow Springs Road and Blue Mound Road; and 3. Adopt the attached Appropriation Ordinance increasing receipts and appropriations in the Intergovernmental Contribution Fund in the amount of$2,000,000.00, receivable from Northwest Independent School District for the construction of Blue Mound and Willow Springs Road. DISCUSSION: The 2018 Bond Program includes funding for roadway capacity improvements along Blue Mound Road and Willow Springs Road. The main purpose of this project is to provide for the increasing traffic volume associated with the new V.R. Eaton High School campus and extensive land development activity to the north and west of the school. The construction contract will be funded by the Street Improvements Fund, Transportation Impact Fee Fund,TPW Community Facility Agreement Fund, 2014 Bond Fund, 2018 Bond Fund(M&C G- 19306)and partially by an existing Interlocal Agreement between the City of Fort Worth and Northwest Independent School District City Secretary Contract No. 46108 (M&C C-27011). This Amendment No.1 provides that Northwest ISD contribute $2,000,000.00 towards the construction of Blue Mound Road and Willow Springs Road. The funds from Northwest ISD will be received by the City after construction of the improvements are completed and accepted by all parties. Funds for this project are included in the 2018 Bond Program. Available resources within the General Fund will be used to provide interim financing until debt is issued. The PARD annual maintenance cost is $4,784.00. Funding for operations and maintenance will be allocated into the Park and Recreation Department's base budget beginning in FY 2020. M/WBE OFFICE— McClendon Construction Co. Inc. is in compliance with the City's BDE Ordinance by committing to 2% MBE participation and documenting good faith effort. McClendon Construction Co., Inc. identified several subcontracting and supplier opportunities. However, the firms contacted in the areas identified did not respond or did not submit the lowest bids.
