COUNTY OF TEXAS § CITY SECRETARY CONTRACT NOZ(a
WHEREAS, the City of Fort Worth ("City") and The Staubach Company Southwest, Inc.
("Consultant") made and entered into City of Fort Worth City Secretary Contract No. 33313, (the
"Contract") which was authorized by the City Council by M&C C-21305 on February 21, 2006;
and
WHEREAS, the Contract involves professional services related to the Facilities Master
Plan process; and
WHEREAS, it has become necessary to amend the Contract to include an increased scope
of work and/or revised maximum fee.
NOW, THEREFORE, City and Consultant, acting herein by and through their duly
authorized representatives, enter into the following agreement that amends the contract:
1.
Section I, Services of the Consultant, of the Contract is amended to include the additional
consultant services specified in Attachment A (Consultant proposed amendment dated December
04, 2006), which is attached hereto and incorporated herein. The cost for these additional
services to be performed by Consultant shall not exceed $14,700 for labor and mileage plus no
more than $1,500 for direct costs such as printing and postage.

Section V, Compensation to the Consultant, of the Contract is amended to provide for an
increase in the not-to-exceed maximum fee to be paid to Consultant for all work and services
under the Contract, as amended, so that the total fee to be paid by City for all work and services
shall not exceed the sum of$66,200 plus up to $15,000 for reimbursables. The additional fee is
described in Attachment A.

In accord with City of Fort Worth Ordinance No. 15530, the City has goals for the
participation of minority business enterprises and woman business enterprises in City contracts.
Consultant acknowledges the M/WBE goal(5%)established for this agreement and its commitment
to meet that goal. Any misrepresentation of facts (other than a negligent misrepresentation) and/or
the commission of fraud by the Consultant may result in the termination of this agreement and
debarment from participating in City contracts for a period of time of not less than three(3)years.
4.
All other provisions of the Contract that are not expressly amended herein shall remain in
full force and effect.

Dear Greg,
The following is our proposal for an amendment to our contract#33313. This
amendment will provide for the Public Awareness Program to be implemented by
Wyntress Ware and Associates. This will also bring our contract into M/WBE
compliance as required.
STAUBACH SERVICES AGREEMENT AMENDMENT
TO
CITY OF FORT WORTH
SECRETARY CONTRACT NO. 33313
THIS STAUBACH SERVICES AGREEMENT AMENDMENT (the
"Amendment") is entered into as of the 4th day of December,2006(the"Effective Date")
between the City of Ft. Worth, Texas ("Client") and The Staubach Company —
Southwest, Inc. ("Staubach"). Client and Staubach may sometimes each be referred to
individually in this Amendment as a"Party"and collectively as the"Parties".
Staubach provides a variety of real estate consulting and advisory services. Client desires
to retain Staubach to provide the Community Awareness/Outreach services as set forth in
this Amendment and Staubach has agreed to provide those services through Ware &
Associates, Inc.
In consideration of the mutual covenants and agreements set forth below, Client
and Staubach agree as follows:

1. ENGAGEMENT.
1.1 Services.
Phase I of the City of Worth's Facilities Master Plan and City Hall Evaluation
will heavily focus on reliable and up-to-date communication systems,public
awareness and out reach initiatives. Ware&Associates in conjunction with The
Staubach Company have developed a strategy to effectively satisfy the goals and
objectives of the"Community Awareness Campaign"and more importantly, meet
the needs of Fort Worth's diverse communities.
STRATEGY:
Community Advisory Committee
It will be necessary that The Staubach Co. and Ware&Associates establish an
ongoing line of communication with the Community Advisory Committee(CAC).
The CAC has been established as the committee that will take information back to
each organization they represent.
Ware&Associates, Inc will attend all Community Advisory
Committee meetings and will provide notes TEAM members.
Attendance at Community Advisory Committee meetings
• 8 hours
Drafting and forwarding meeting notes
• 3 hours
COMMUNITY AWARENESS CAMPAIGN
Community Briefings
Contact Aids of City Council members and ask for a list of upcoming
scheduled events that will allow the Master Plan Team to conduct
presentations.
• Calls and scheduling 10 hours
• Attending meetings 16 hours

Media Relations
Media relations will be critical to the success of the campaign.Ware will use
the following methods and tools to ensure the messages are clear,concise and
achieve the desired results.
WA will set up meeting with City of Ft. Worth's Communications Officer
—Eileen Houston-Stewart. WA will coordinate with the City on
advertising on the City Page, City of Ft. Worth's Web Page and other
means of media relations,
• 16 hours
Fact Sheets—one(1)fact sheet will be developed and distributed to the
press.
• 10 hours
Media Releases—WA is to contact all Neighborhood Associations and
distribute the"Fact Sheet"to the associations.
• 15 hours
Weekly Team Planning Meeting
• 20 hours
• mileage 200 miles
TERMS OF AGREEMENT
This contract will cover Phase I and will remain in effect until completion of Phase I.
The labor cost and mileage expense for this project is not to exceed$ 14,700.00.
Mileage will be calculated at City of Fort Worth's rate. The labor cost for this short-term
contract will be billed under our agency rate of$150.00 per hour. All direct costs
associated with this project will be pre-approved by The Staubach Company and are not a
part of labor cost, (direct costs will include, but not be limited to printing,postage,
advertising, etc.) The direct cost will not exceed$1,500.00 allowance during the duration
of Phase 1.
