HomeMy WebLinkAboutContract 34805, '.i= � " CiiY SECREI`AR�f C` �C�f��RA�T 6�� � PROFESSIONAL SERVlCES AGREEMENT This PROFESSIONAL SERVICES AGREEMENT (�Agreement'� is made and entered into by and between the CITY OF FORT WORTH (the "City'�, a home rule municipal corporation situated in portions of Tarrant, Denton and Wise Counties, Texas, acting by and through Karen L. Montgomery, its duly authorized Assistant City Manager, and CORNERSTONE SYSTEMS, INC. ("Consultant") a Texas corporation and acting by and through Dave Chittum, its duly authorized Vice President. WHEREAS, on or about May 20, 2004, fhe City and Consulfanf enfered info an agreement for purchase, implementation, programming and support services for the City's Mainframe Computer Systems pursuant to Gity Secretary Coniract ("CSC'� No. 30075; and WHEREAS, the Cify's goal is to maintain afl mainframe saftware at vendor-supported and current maintenance levels; and WHEREAS, in order to maintain a supported operating system, the Cify will require an upgrade to the system; and WHEREAS, the parties desire to enter into an agreement for additional mainframe programming services for the upgrade. NOW THEREFORE, for the good and valuabl� consicieration as stated herein, the parties hereby agree as follows: 1. SCOPE OF SERVICES. Consultant hereby agrees to provide the City with professional consulting services for the purpose of performing an upgrade the operating system to the current version z/OS 1.7 as outlined in the Statemenf of Work, which is attached hereto as Exhibif "A," and incorporafed for all purposes incident to this Agreement. 2. TERM. This Agreement shall commence upon the date that both the City and Consultant have executed this Agreement ("Effective Date ) and shall continue in full force and effect until terminated in accordance with the provisions of this Agreement or when the City provides Consultant with written notice that Consultant has fulfilled its obligations under this Agreement and that Consultant's services are no longer required. 3. COMPENSATION. The City shall pay Consultant an amount not to exceed $124,305_00 in accordance with the provisions of this Agreement. Consultant shall not perform any additional services for the City not specified by this Agreement. Any additional services shall be requested and such associated costs shall be approved in writing by the City. The City shall not be liable for any additional expenses of Consultant not specified by this Agreement unless the City first approves such expenses in writing. 4. TERMINATION. 4.1. Written Notice. The City or Consultant may terminate this Agreement af any time and for any reason by providing the other party with 30 days written notice of termination. In the event no funds or insufficient funds are appropriated by the City in any fiscal period for any payments due hereunder, City will notify Consultant of such occurrence and this Agreement shall terminate on fhe last day of the fiscal period for which appropriations were received without penalty or expense to the City of any kind whatsoever, except as to the portions of the payments herein agreed upon for which funds shall be been appropriated. 4.3 Duties and Obliqations of the Parties. In the event that this Agreement is terminated prior to the Expiration Date, the City shall pay Consultant for services actually rendered as of the effective date of termination and Consultant shall continue to provide the City with services requested by the City and in accordance with this Agreement up to the effective date of termination. 5. DISCLOSURE OF CONFLICTS / CONFIDENTIAL INFORMATION. Consultant hereby warrants to the City fhaf Consu(fanf has made fuff discfosure in writing of any existing or potential conflicts of interest related to Consultant's services and proposed services with respect to the Scope of Services. In the event that any conflicts of interest arise after the Effective Date of this Agreement, Consultant hereby agrees immediately to make full disclosure to the City in writing. Consultant, for itself and its officers, agents and employees, further agrees that it shall treat all information provided to it by the City as confidential and shall not disclose any such information to a third party without the prior written approval of the City. Consultant shall store and maintain City Information in a secure manner and shall not allow unauthorized users fo access, modify, delete or otherwise corr�apt City lnformation in any way. Consultant shall notify the City immediately if the security or integrity of any City information has been compromised or is believed to have been compromised. 6. RIGHT TO AUDIT. Consuftanf agrees that the Cify sha(I, untif fhe expiration of fhree (3) years after final payment under this contract, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records of the consultant involving transactions relating to this Contract. Consultant agrees that the City shall have access during normal working hours to all necessary Consultant facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. The City shall give Consultant reasonable advance notice of intended audits. Consultant further agrees to include in all its subcontractor agreements hereunder a provision to the effect that the subcontractor agrees that the City shall, until expiration of three (3) years after final payment of the subcontract, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records of such subcontractor involving transactions related to the subcontract, and further that City shall have access during normal working hours to all subcontractor facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this paragraph. City shall give subcontractor reasonable notice of intended audits. 7. INDEPENDENT CONTRACTOR. It is expressly understood and agreed that Consultant shall operate as an independent contractor as to all rights and privileges granted herein, and not as agent, representative or employee of the City. Subject to and in accordance with fhe condifions and provisions of this Agreement, Consultant shall have the exclusive right to control the details of its operations and activities and be solely responsible for the acts and omissions of its officers, agents, servants, employees, contractors and subcontractors. Consultant acknowledges that the doctrine of r�spondeat superior shall not apply as between the City, its officers, agents, servants and emptoyees, and Consultant, its officers, agents, employees, servants, contractors and subcontractors_ Consultant further agrees that nothing herein shall be construed as the creation of a partnership or joint enterprise between City and Consultant. 8. LIABILITY AND INDEMNIFICATIO CONSULTANT SHALL BE L/ABLE AND RESPONSIBLE FOR ANY AND ALL PROPERTY LOSS, PROPERTY DAMAGE AND/OR PERSONAL /NJURY, INCLUD/NG DEATH, TO ANY AND ALL PERSONS, OF ANY K/ND OR CHARACTER, WHETHER REAL OR ASSERTED, TO THE EXTENT CAUSED BY THE NEGLIGENT ACT(S) OR OM/SSION(S), MALFEASANCE OR INTENTIONAL MISCONDUCT OF CONSULTANT, ITS QFFtCERS, AGENTS, SERVANTS OR EMPLOYEES. ASSIGNMENT AND SUBCONTRACTING. Consultant shall not assign or subcontract any of its duties, obligations or rights under this Agreement without the prior written consent of the City. If the City grants such consent, the assignee or subcontractor shall execute a written agreement with the City under which the assignee or subcontractor agrees to be bound by the duties and obligations of Consultant under this Agreement. 10. INSURANCE. Consultant shall provide the City with certificate(s) of insurance documenting policies of the following minimum coverage limits that are to be in effect prior to commencement of any work pursuant to this Agreement: 10.1 Coveraqe and Limits a) Commercial General Liability $1,000,000 Each Occurrence $1,000,000 Aggregate b) Automobile Liability $1,000,000 $250, 000 $500,000 Each accident on a combined single limit basis or Property damage Bodily injury per person per occurrence Coverage shall be on any vehicle used by the Consultant, its employees, agents, representatives in the course of the providing services under this Agreement. °Any vehiclen shall be any vehicle owned, hired and non-owned c) Worker's Compensafion Statutory limits Employer's liability $100,000 Each accident/occurrence $1 Q0,000 Disease - per each employee $500,000 Disease - policy limit d) Technology Liability (E&O) $1,000,000 Each Claim Limit $1,000,000 Aggregate Limit Technology coverage may be provided through an endorsement to the Commercial General Liability (CGL) policy, or a separate policy specific to Technology E&O. Either is accepfabfe if coverage meets all other requirements. Coverage shall be claims-made, and maintained for the duration of the contractual agreement and for two (2) years following completion of services provided. An annual certificate of insurance shall be submitted to the City to evidence coverage. This coverage may be written as follows: Workers' Compensation and Employers' Liabi(ify coverage with fimits consistent wifh statutory benefits outlined in the Texas workers' Compensation Act (Art. 8308 — 1.01 et seq. Tex. Rev. Civ. Stat.) and minimum policy limits for Employers' Liability of $100,000 each accident/occurrence, $500,000 bodily injury disease policy limit and $100,000 per disease per employee 10.2 Certificates. Certificates of fnsurance evidencing fhaf fhe Consulfant has obfained all required insurance shall be delivered to the City prior to Consultant proceeding with any work pursuant to this Agreement. All policies shall be endorsed to name the City as an additional insured thereon, as its interests may appear. The term City shall include its employees, officers, o�cials, agent, and volunteers in respect to the contracted services. Any failure on the part of the City to request required insurance documentation shall not constitute a waiver of the insurance requirement. A minimum of thirty (30) days notice of cancellation or reduction in limits of coverage shall be provided to the City. Ten (10) days notice shall be acceptable in the event of non-payment of premium. Such terms shall be endorsed onto Consuttant's insurance policies. Notice shall be sent to the Risk Manager, City ofi Fort Worth, 1000 Throckmorton, Fort Worth, Texas 76102, with copies to the City Attorney at the same address. 11. COMPLIANCE WITH LAWS. ORDINANCES, RULES AND REGULATIONS. Consultant agrees to comply with all applicable federal, state and local laws, ordinances, rules and regulations. If the City notifies Consultant of any violation of such laws, ordinances, rules or regulafions, Consultant shall immediafely desist from and correcf fhe violafion. 12. NON-DISCRIMINATION COVENANT. Consultant, for itself, its personat representatives, assigns, subcontractors and successors in interest, as part of the consideration herein, agrees that in the pertormance of Consultant's duties and obligations hereunder, it shall not discriminate in the treatment or employment of any individual or group of individuals on any basis prohibited by law. If any claim arises from an alleged violation of this non- discrimination covenant by Consultant, its personal representatives, assigns, subcontractors or successors in interest, Consuttant agrees to assume such liability and to indemnify and defend the City and hold the City harmless from such claim. 4 13. NOTICES. GOVERNMENTAL POWERS. It is understood and agreed that by execution of this Agreement, the City does not waive or surrender any of its governmental powers. 16. NO WAIVER. The failure of the City or Consultant to insist upon the performance of any term or provision of this Agreement or to exercise any right granted herein shall not constitute a waiver of the City's or Consultant's respecfive right to insist upon appropriafe performance or fo assert any such right on any future occasion. 17. CHOICE OF LAW, This Agreement shall be construed in accordance with the interna( (aws of the State of Texas. If any action, whether real or asserted, at law or in equity, is brought on the basis of this Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the United States District Court for the Northern District of Texas, Fort Worth Division. 18. SEVERABILITY. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. 19. FORCE MAJEURE. The City and Consultant shall exercise their best efforts to meet their respective duties and obligations as set forth in this Agreement, but shall not be held liable for any delay or omission in performance due to a force majeure event or other causes beyond their reasonable control including, but not limited to, compliance with any govemment law, ordinance or regulation, acts of God, acts of the public enemy, fires, strikes, lockouts, natural disasters, wars, riots, material or labor restrictions by any governmental authority, transportation problems and/or any other similar causes. 20. HEADINGS NOT CONTROLLING. Headings and titles used in this Agreement are for reference purposes only and shall not be deemed a part of this Agreement. 20. REVIEW OF COUNSEL. The parties acknowledge that each party and its counsel have reviewed and revised this Agreement and that the normal rules of construction to the eifect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement or exhibits hereto. 21. ENTIRETY OF AGREEMENT. This Agreement, including the schedule of exhibits attached hereto and any documents incorporated herein by reference, contains the entire understanding and agreement between the City and Consultant, their assigns and successors in interest, as to the matters contained herein. Any prior or contemporaneous oral or written agreement is hereby declared null and void to the extent in conflict with any provision of this Agreement. Goal z/OS 1.7 Migration The goal of the City of Fort Worth is to maintain the system software for their mainframe environment at current and vendor-supported maintenance levels. 1.2. Out of Scope 1) Perform any work not specifically specified in section 1.3 "Scope of Work" under "Cornerstone Systems, Inc. Responsibilities" or section 3"Deliverables" of this Statement of Work. 1.5. Approach Cornerstone Systems provides hardware installation and implementation services utilizing a proven methodology and process that encompasses detailed planning, constant client interaction and communication, migration execution, operational stabilization and knowledge transfer. This approach enables Cornerstone to successfully migrate and implement our clients' systems, hardware, and operations infrastructure on schedule and within budget. The project life cycle of this engagement starts with the planning and design efforts and ends when all systems, processes, and procedures have been successfully migrated and are operationally stable and adequately supported. City of Fort Worth will designate a person to act as a Manager Interface or Liaison between Cornerstone Systems, Inc. and City of Fort Worth and the direction of the project will come from the City of Fort Worth Management Interface. 05-30-06 Page 2 �� Gornerstone Systerr�s, Inc. ��� ���� �.-_ �=� �_--�- -_.�....�.._. . :� � -- - - _ � } ,�.-� - z/OS 1.7 Mi A project kick-off meeting will formally initiate the engagement. At the conclusion of each phase a formal review of both key deliverables and project performance to date will be conducted. The overall objectives for each review are to (1) determine if the project should continue into its next phase and (2) detect and correct errors cost effectively. Participants of the review include the client sponsor, management teams, technicians, service providers, and key stakeholders. There are two types of services to be provided for this engagement, project management and technical consulting. Delivery of both will be through a combination of remote and onsite activities, with the majority of the activities being performed from a remote location. Project Management describes the organizational approach by which this engagement is managed. A Cornerstone Project Manager is assigned to oversee the entire planning, installation, implementation and migration phases of the project. The Project Manager will coordinate all project resources, conduct project team meetings, document status of the project and escalate issues in a timely manner. All the highly valued Project Management Institute (PMI) skills as well as Cornerstone's Best Practices are applied. The technical consulting services will be comprised of one or more highly skilled and experienced systems programmers. Initially, the technical consultant(s) will work with the City of Fort Worth programming staff to review the existing test and production environments and identify the requirements for the migration. Next, toleration maintenance will be ordered, installed, tested and implemented. This maintenance is required and will enable DASD to be shared between the Test z/OS 1.7 System and the Production z/OS 1.5 System. It will also enable a fallback of either the Production z/OS 1.5 System following a test or the cutover, should there be a requirement to do so. All ISV product upgrades will be performed by Cornerstone Systems, Inc. and prior to the migration of the Production z/OS 1.5 System to z/OS 1.7. If required, the installation and implementation of compatibiliry maintenance for CICS will be performed during this time by Cornerstone Systems, Inc. as well. Next, the z/OS 1.7 base system and RSU maintenance will be installed and the new system IPLed in the z/�S 1.7 Test LPAR. Current z/OS Hiper and PSP maintenance will also be ordered, installed and tested. Upon completion, the system will be ready to be customized and tested. The system customization will be performed bythe Cornerstone Senior Systems Programmer. For the system customization, the various system components currently in use, in addition to those that are required for z/OS 1.7, will be setup and tested. System datasets such as the master catalog and "parmlib" datasets will be modified to included similar customization contained in the Production System datasets. Then IBM Software that was not included with the z/OS shipment will be ported and tested, such as the old versions of COBOL. All user modifications and exits currently installed on the Production z/OS 1.5 System that are still required, will be reinstalled and modified, if necessary, and then tested. The porting and testing of all ISV products will also be performed by the Cornerstone Senior Systems Programmers on the Test System. All ISV products will then be tested by the City of Fort Worth assigned personnel. The test CICS systems will also be setup on the z/OS1.7 Test System and tested. Testing of the applications will be performed by the City of Forth Worth Applications Team. Since not all network connections or applications are available for testing on the z/OS 1.7 Test System, it is critical that testing be performed on the Production System. In order to accomplish this, the City of Fort Worth assigned personnel will work closely with the user community in the creation and execution of a detailed test plan to ensure that all systems will be functional in the new environment before production cutover. The Cornerstone Senior System Programmer will be responsible for building a Production z/OS System by cloning the Test z/OS 1.7 System. Tests will be scheduled for the Production Systems, hour-by- hour test and migration plans developed and if required, and Change Requests submitted. The first test will be reserved strictly for the Cornerstone Systems Programming staff. It will be to ensure the system is IPLable and will give an opportunity to identify and address problems prior to making the system available for Applications and End User testing. If no major problems result from the first test, the second test will be scheduled. The primary purpose of this second test will be to get sign-off from the Application Programmers. End Users will also be asked to participate in the test. A third test will be scheduled only if End User sign-off is not obtained following the second test. Throughout the testing phase, problem resolution will be performed, and a Problem Log maintained for all problems that are reported. Additionally, the IBM Support Center will be contacted to determine if any additional Hiper maintenance should be installed. If so, it will be ordered, installed, tested first on the Test System, and then installed on the Production System and tested during the scheduled tests. Upon successful testing, the z/OS 1.7 Production System will be implemented. If testing is successful during the second production test, and if the City of Fort Worth so chooses, the new z/OS 1.7 system would be implemented following this test versus scheduling a separate weekend for the cutover. It not, a separate. weekend will be scheduled, and a new hour-by-hour test and migration plan developed. The Cornerstone Senior Systems Programmer will be onsite to assist with the execution of the plan and to ensure a successful cutover. Upon successful testing and sign-off from Applications and the End Users, the system will be turned over to the Operations staff for Production processing. Following the z/OS 1.7 production implementation, the system will be monitored, problem resolution performecl as required and an SMP/E Accept of the zIOS maintenance performed. Two types of documentation will also be prepared. One will describe the newly implemented systems and the other the methodology and process to maintain the z/OS 1.7 system. Then a final technical review and knowledge transfer of the new environment will be pertormed. Various post migration tasks can also be pertormed at this time. These tasks would be performed by the Cornerstone Systems, Inc. Senior Systems Programmer and would consist of "cleanup" tasks, such as the relocation system data sets, re-initialization of old system volumes, archival of old ISV product libraries, and the elimination of obsolete procedures, system parameters and ISPF panels. Throughout the engagement, City of Fort Worth will have access to the Cornerstone Systems Hotline, which provides a single point of contact for City of Fort Worth when in need of Cornerstone's services or assistance. If problems occur during or following either migration or if City of Fort Worth is in need of mainframe support, City of Fort Worth will place a call to the Hotline, which is available 24 hours a day, 7 days a week, including holidays and weekends. The Hotline will then dispatch an appropriate resource to assist. They will also track and report on how quickly or effectively the support request is being addressed, therefore, providing City of Fort Worth the assurance that acceptable service levels are being met. Additionally, Cornerstone provides access to a customized web-based Document Library referred to as a QuickPlace. All administration information, project plans, status reports, issues and change control logs, checkpoint material, minutes, and project documentation will be centrally stored and accessible to the entire engagement team and key stakeholders. 1.6. Assumptions and Considerations 1) The project is an estimated 852 hour effort; estimates may be readjusted when all facts are available. 2) Services will be performed over a 3.5 month period. 3) Services will be provided from remote locations where possible and onsite where necessary. 4) Cornerstone Systems Services personnel will perform the services as described in this Statement of Work assuming that: a. If it is determined that onsite support is required, Cornerstone Systems Inc. Services personnel will perform the identified services onsite assuming that: a. A separate onsite work area that includes a desk, terminal, active telephone, and internet access will be made available for each Cornerstone employee designated to work onsite. b. Building access including badges, security codes and off-hours access is made available for each Cornerstone employee designated to work onsite. c. Facilities for meetings and onsite activities are provided. Cornerstone Systems Inc. will provide services as requested, with the limitation that these skills must either currently exist in the company skill set or be readily obtainable by Cornerstone Systems Inc. If a resource assigned does not have the skill for a particular service request, Cornerstone Systems Inc. will make every effort to provide a resource with the appropriate skill set to fulfill the requested tasks. City of Fort Worth will designate a person to act as a Management Interface or Liaison between �Cornerstone Systems Inc. and City of Fort Worth. The direction of the project will come from the City of Fort Worth Managemeht Interface. City of Fort Worth will provide ISV product and/or hardware vendor contact and customer information as necessary. City of Fort Worth will authorize Cornerstone Systems Inc. personnel to contact software vendors for information or to report problems, assuming that there is a requirement to do so. The z/OS 1.7 Migration may result in modifications to the estimated schedule, pricing, or other terms of this Statement of Work. Changes to this Statement of Work will be processed in accordance with the procedure described in Appendix A, "Cornerstone Project Change Control Procedure". 24x7 Hotline Support is included. The Cornerstone Systems Hotline provides a single point of contact for the Client when in need of Cornerstone's services or assistance. With the Hotline, the Client makes oniy one phone call in order to access any service that Cornerstone offers or contact anyone in the company. It is available 24 hours a day, 7 days a week, including holidays and weekends. In addition, the Hotline tracks and reports on how quickly or effectively customer support requests are being addressed, therefore providing the Client with the assurance that acceptable service levels re being met. The assumption is that City of Fort Worth will have a sufficient number of volumes available at the start of this project. 14) Licensed ISV products that are operating system release dependent will need to be upgraded to z/OS 1.7 compatible version, release and maintenance levels. The products that are upgraded and are downward compatible could be implemented on the Production System prior to the migration to z/OS. It is understood that these upgrades are to take place under the umbrella of the TechCenter contract currentiy in effect between City of Fort Worth and Cornerstone Systems, Inc. 15) Not all ISV products can be tested on the Test System. This is due to either the product not being licensed to run on the Test System or connectivity to the Test System not being setup. The products that cannot be tested on the Test System must be tested on the Production System during one of the z/OS scheduled tests. 16) Toleration maintenance is required to enable a shared DASD environment to continue to exist between two or more systems that are running different versions of the base operating system. That is, it will enable the Test z/OS 1.7 System to coexist with the Production z/OS 1.5 System. This is being addressed by a separate Statement of Work presented to City of Fort Worth by Cornerstone Systems, Inc. 18) Cornerstone Systems, Inc. proposes having two production weekend tests prior to the migration to z/OS 1.7. If testing is successful during the second weekend test, the new z/OS operating system could be implemented then versus scheduling a separate weekend for the implementation. 19) During the "Installation" phase, current z/OS maintenance will be installed and during the "Testing" phase, the latest z/OS hiper maintenance will be installed. Therefore, the assumption is that the City of Forth Worth z/OS systems will be current as of the time that these activities are performed. 20) Standalone time will be required to implement required IBM and ISV product releases and maintenance and to test and implement z/OS 1.7. 1.7. Success Factors 1) City of Fort Worth will ensure that resources are available to provide the Cornerstone Systems, Inc. technical staff with the required information and access to enable them to perform the tasks described in this Statement of Work. 2) Ciry of Fort Worth will ensure the required resources are available to complete the tasks and activities assigned and are available from the start date of this services engagement. 3) For the duration of this engagement, City of Fort Worth ensures all modifications made to the z/OS environment by anyone other than the Cornerstone Systems technical staff, such as the City of Fort Worth personnel or hired consultants, are documented and the information is made available to the Cornerstone Systems technical staff. 4) City of Fort Worth will provide information for the existing Change Management and Problem Management procedures and for the duration of the project, Comerstone Systems, Inc. technical staif and all other consultants hired by City of Fort Worth will abide by these procedures. 5) City of Fort Worth will provide and execute a detailed test plan to ensure all systems (critical and otherwise) are operational in the z/OS 1.7 environment before production cutover. 1.8. Risks To mitigate the risks, prior to performing the mainframe and storage migrations, planning/status meetings will be held to discuss the migration options and backout procedures. As a result of these meetings, a mainframe as well as a storage migration plan will be developed and distributed. Should problems occur following either migration, a backout will be performed. The migration will not be performed again until resolutions for all outstanding problems have been identified, implemented and tested. Cornerstone Systems, Inc. makes no guarantees that any application software (other than IBM products) will run under the z/OS 1.7 system. 2. MANAGEMENT STAFF PROFILE Dan Foulk Vice President of Services Mr. Dan Foulk joined Cornerstone Systems, Inc. in August 1993 after more than 30 years of experience in the data processing industry. As the Director of Large Systems, his responsibilities at Cornerstone include the management and coordination of all large systems technical personnel and project management resources. In addition, Mr. Foulk is an active account manager on many current Cornerstone accounts, and actively participates in the planning phases with new customers. Prior to joining Cornerstone, Ms. Heppner worked 21 years for a large oil company. There she accumulated over 11 years experience as a Manager of MVS/On-line Systems and other on-line systems, and five years as a Systems Programmer, installing, customizing and maintaining various software products. She was a member of a project management team that saved her company over 4 million dollars in the cost of hardware, software, and personnel. DISCUSSION: The IT Solutions Department will use this contract to upgrade the Mainframe Computer operating software to the current vendor supported level. On April 20, 2004, (M&C P-9948) the City Council authorized the purchase of mainframe computer systems programming support services from Cornerstone Systems, Inc. (Cornerstone). The City's goal is to maintain all mainframe software at vendor-supported and current maintenance levels. As a result, an upgrade of the operating software system is necessary. Cornerstone will upgrade the operating system to the current version z/OS 1.7. Approval of this agreement will allow additional mainframe programming services for the IT Solutions Department.
